Dutch board diversity and firm performanceHoman, Rick January 2017 (has links)
This study extends previous research on the effects of executive board diversity by examining the relationship between age-, gender- and nationality diversity on firm performance in the Netherlands. Based on a sample of 79 Dutch listed firms studied over the period 2010-2015, this study reports a positive link between board diversity and firm performance. Firm performance is, hereby, estimated using a forward-looking market performance measure (Tobin’s Q) and a backward-looking accounting measure (ROA).

Understanding the Team Dynamics of an Executive Virtual TeamRiley, Ramona Leonard 2011 August 1900 (has links)
Organizations of all types are now able to operate in virtual capacities through time, space, and distance across multinational boundaries; therefore, geography no longer limits business functioning. In fact, many corporate executives and boards employ virtuality in their work regimen. Therefore, organizations employ virtual executives to work teams with ideal skill sets to effectively persevere and complete tasks through distance, space, and time. The purpose of this study was to identify and yet understand the experiences of executive multinational, virtual board members working as a team in a virtual environment. Through this research the virtual dynamics of the virtual team have been studied, prodded, purposely mismatched, and weaved together to understand the culture of the virtual environment in which the team members interact and perform duties. With this particular board, there has been a history of previous work experience or exposure in some capacity; however, it has no great impact on their interaction and work with the entire board.
In this study, an exploratory look at the experiences, perceived team dynamics, and strategies used to successfully function as a virtual team are highlighted from a qualitative perspective. The purpose is to describe the individual perspectives of how a multinational executive virtual team best works.
The findings of this study reveal that there are many ways to communicate utilizing technology, but the objective for this virtual team is to be multidimensional in use. That means that honest communication is necessary for the board to perform at their optimal level. Therefore, the theoretical framework is based on team performance as a teamwork process-based construct which depends on communication, relationship, and trust to add success for virtual teams The framework results in three step process for team flow and success i.e., the importance of face-to-face meetings; advantages of virtual teaming; and challenges of virtual teaming to result in virtual team performance dependent on the team having communication, relationship, and trust present.

Cette thèse en politique économique internationale analyse à travers 4 chapitres les facteurs influençant la prise de décision en se focalisant sur les trajectoires des décideurs. Le premier chapitre montre que les membres du Conseil d’Administration (CA) du Fonds Monétaire International (FMI) ont un avantage considérable en matière de prêt et de remboursement sur les autres membres du FMI à travers des réseaux informels développés par leur simple présence aux réunions de CA du FMI à Washington DC. Le second chapitre met l’accent sur les trajectoires de carrière des membres du CA du FMI avant et après leur poste au sein de cette institution et comment ces trajectoires influent les prêts et les modalités de remboursement des pays emprunteurs. Dans un troisième chapitre, nous cherchons à savoir si les années de récession connues par les Présidents des Banques Centrales des pays occidentaux sont en mesure d’influencer leur gestion de ces institutions. Enfin, le quatrième chapitre propose un modèle d’économie politique des réformes en montrant l’importance des syndicats des travailleurs ainsi que des transferts de richesse de la part des gouvernements vers les populations, sur la mise en œuvre des réformes au sein des pays de l’OCDE. Cette thèse montre qu’à l’instar des décideurs nationaux qui ont tendance à influencer directement la vie économique des pays, les décideurs internationaux de par leurs histoires, leurs identités et leurs expériences de vie, peuvent également influencer la sphère économique des pays. / This thesis in international political economy analyses factors influencing the decision-taking focusing on the trajectories of policy-makers across 4 chapters. The first chapter shows that the IMF’s Executive Board (EB) members have a considerable advantage on other IMF members in terms of loans and repayments through informal networks developed by their simple presence on the IMF’s EB at Washington DC. The second chapter focuses on the IMF’s EB career trajectories before and after their position, and how these trajectories influence loans and repayment modalities of borrowing countries. In a third chapter, we want to know in what extend central bankers’ recession experiences tend to lead them to decrease the interest rates of central banks. Finally, the fourth chapter proposes a model of political economy of reforms showing the importance of unions and transfers from governments to populations concerning the implementation of reforms in OECD countries. This thesis shows that, as national policy-makers which tend to directly influence the economic life, international policy-makers, through their stories, identities and life experiences, can also influence the economic sphere of countries.

Corporate Governance hat einen radikalen Wandel in Europa seit den 1990er Jahren durchgemacht. Der Wandel ist konsolidiert und ist nun Teil des Rechts der modernen Aktiengesellschaften. Brasilianisches Recht wird immer durch die europäische Gesetzgebung inspiriert. Unsere Studie fragt, aus einer vergleichenden Sicht, ob sich das brasilianische Unternehmensrecht auf die europäische Corporate Governance bezieht. Wir konzentrieren uns in Europa auf das deutsche Recht, das englische Recht, das französische Recht und das europäische Recht. Unsere Analyse geht über die Herzen der Unternehmensführung und umfasst Teile, die dem Kapitalmarkt- und dem Umweltrecht angehören, da sie selbstverständlich auch eine Verbindung mit der Corporate Governance und dem Aktienrecht haben. Das Verständnis des Kerns der Unternehmensführung, welcher die Organisation der Verwaltungsorgane der börsennotierten Aktiengesellschaft ist, hängt von der Analyse der rechtlichen Behandlung von Neben-Themen, die aber verwandt sind, ab, wie die Regeln über die Haftung. / Corporate governance has undergone a radical change in Europe since the 1990s. Change has now consolidated and is part of the company law. Brazilian law has always been inspired by European legislation. Our study asks, from a comparative perspective, if the Brazilian corporate law relates to the European corporate governance. In Europe, we focus on German law, English law, French law and Community law. Our analysis goes beyond the heart of corporate governance and includes parts of capital markets law and environmental law, because they obviously also have a connection with corporate governance and company law. The understanding of the core of corporate governance, which is the organization of administrative bodies of the listed company on a regulated market, depends on the analysis of the legal treatment of incidental subjects, but related, as the regime of liability.
