The nature, the extent and possible implications of director interlock in South African listed companies

Recently, corporate scandals rocked the South African financial landscape, prompting the re-examination of existing corporate governance practices and renewed scrutiny of corporate governance institutions and mechanisms. One of these practices, a phenomenon called “director interlock”, was scrutinised in this study. A quantitative and inductive approach was used in this research to scrutinise companies listed on the Johannesburg Stock Exchange, as well as the directors who served on their boards during the periods researched, namely, 2010 and 2016, with the purpose of considering the consequences of director interlock in a South African context. Appropriate sources on corporate governance, director interlock and network analysis were accessed. Social network analysis was applied to analyse and map the extent, nature and structural dynamics of director interlock statistically in all South African listed companies in respect of 2010 and 2016 with a view to considering the causes and consequences of identified changes between 2010 and 2016, and possible implications of those changes for corporate governance in South Africa. Both periods occurred shortly after times of financial turmoil or contracting economic growth, where, in line with global trends, financial consolidation and a possible decline in economic activity and board sizes of companies would be expected. The concept of centrality, comprising three components, was used in the statistical social network analysis. These components were degree centrality, which is an indicator of the number of connections and the degree of activity of a company or a director, closeness centrality, which is an indicator of the closeness of a company or a director to other companies or directors within a network and the number of steps from that company or director to other companies and directors in the network, and betweenness centrality, which is a measure of the centrality of a company or a director and the extent to which the company or the director acts as a bridge between and connects with other well-connected companies and directors in the network. The following striking findings emerged from this research: a massive increase in the average board size between 2010 and 2016, a resultant increase in the density of networks between 2010 and 2016, and an apparent shift away from the dominance of mining houses described in earlier studies to financial services companies in 2010 and retail companies in 2016. In the literature review the existence of a global elite in the structure of company boards was pointed out, and the question was asked whether there is any evidence of the existence of a similar elite in South Africa and, if so, whether there have been any changes in the makeup, characteristics or nature of such an elite from 2010 to 2016. Further, the question was asked whether any changes can be observed regarding the central actors of company boards in the local economic power network. The research results indicate that iii there was an apparent reversal of transformational gains towards the re-establishment of white male dominance in the ultra-elite echelons of directors in the South African network by 2016. In the absence of conclusive evidence emanating from this research, the value of director interlock is still hotly debated. Is the practice of director interlock beneficial or damaging to corporations and the wider economic landscape, or could it be both beneficial and damaging? This study provides conclusive evidence that the value of interlock depends on the way in which it is applied, taking into account how the causes, consequences and dynamics of director interlock are manifested in individual companies. While evidence suggests that director interlock, if applied correctly, can be beneficial, the recent Steinhoff debacle was used to illustrate that it can also be detrimental, depending on how it is applied. This study emphasised the value of social network theory, resource-dependence theory, agency theory, small-world theory and power dynamics, specifically in research into corporate governance and related fields of study. This research undoubtedly contributes to the body of knowledge on corporate governance in general and the structure and functioning of company boards, inclusive of director interlock, in particular. Text in German / Summaries in German, English, Afrikaans and Zulu / So vielfältig die Aufgaben sind, sich ehrenamtlich und damit freiwillig und unentgeltlich zu engagieren, so vielfältig sind die Motive, die dabei eine Rolle spielen können. In dieser Forschungsarbeit wird untersucht, welche Motive ausschlaggebend dafür sind, dass leitende Frauen und Männer unterschiedlichsten Alters über Jahre hinweg treu ihren Dienst in einer Einrichtung für suchtkranke Menschen tun und dabei nicht resignieren. Anhand von geführten Leitfaden-Interviews lässt sich dabei erkennen, inwieweit auch christliche Motive eine Grundlage für den ehrenamtlichen Einsatz darstellen. Dazu gibt besonders Joachim Bauer mit seinen neurobiologischen Untersuchungen der menschlichen Motivationssysteme viele Anhaltspunkte. Die durchgeführten Interviews werden mithilfe einer thematischen Inhaltsanalyse bearbeitet und anschließend bewertet. Abschließend werden Vorschläge zum Umgang mit ehrenamtlichen Mitarbeiterinnen und Mitarbeitern in der Suchtkrankenhilfe formuliert. Diese qualitative Studie leistet einen Beitrag dazu, neue Erkenntnisse über die Motivation ehrenamtlicher Suchtkrankenhelfer zu bekommen, was in dieser Form noch nicht erforscht wurde. / Just as varied as the tasks are for unpaid volunteer work, the potential motives are equally as diverse. This research will examine which motives are critical, for women and men of various ages in positions of leadership, to serve faithfully for years in institutions for addicts and not to resign. From guided interviews, it can be seen to what degree Christian motives form a foundation for this volunteer work. Joachim Bauer’s neurobiological research of “human motivation systems” supplies us with key indicators. The interviews will be performed using a method of thematic content analysis and then rated. In conclusion, proposals for handling volunteers working in the area of assisting addicts will be provided. Abstracts in English, Afrikaans, Zulu and Arabic / The Middle East has a rising demand for public relations (PR) professionals because many of the oil-producing countries in the region are implementing radical transformational strategies to develop their non-oil sectors to safeguard future generations. PR professionals in the region are challenged by volatile environments in which there are on-going conflicts and wars. However, PR in the Middle East is key to engagement in its complex social, economic and political climate. Information and communication technology has captured the attention of organisations in the Middle East, by contributing to the evolution of PR practices from monologue to dialogue and from control to engagement. Against this background, the study explored critical PR and PR activism in the Middle East. Critical PR radically changes the traditional approach of PR, from asking how it can assist organisations to be more efficient, to asking what its role is in society? It advocates that the PR professional act as the facilitator of debate, dialogue and even dissent, and to encourage public input, thereby influencing public policies to develop long-term, transformational programmes that benefit society. This study explored the theoretical characteristics of critical PR elements and the principles of online organisation–public relationships. These characteristics and principles were further explored and measured by a quantitative self-administered web-based survey and one-on-one interviews with PR professionals in the Middle East Public Relations Association and from leading listed Middle Eastern organisations. / Die Midde-Ooste het 'n toenemende behoefte aan professionele persone in die gebied van openbare betrekkinge en PR. Inligting- en kommunikasietegnologie het die aandag van organisasies in die Midde-Ooste gevang weens hulle bydrae tot die evolusie van PR-praktyke, van monoloog tot dialoog, en van beheer tot betrokkenheid. Constructing a psychological framework for enhancing relational attitudes and behaviour in the South African employment relations context

Text in English, abstracts in English, Afrikaans and Zulu / This research endeavoured to construct a psychological framework for enhancing relational attitudes and behaviour in a South African employment relations context by investigating the relationship dynamics between individuals’ work-related perceptions (perceived organisational support and justice) and work experiences (psychological contract violation) and their relational attitudes (organisational and union commitment) and behaviour (organisational citizenship behaviour and counterproductive work behaviour) in the workplace, as moderated by their personal dispositions (individualism/collectivism) and mediated by organisational cynicism and trust. The associations between individuals’ personal (gender, age, population group and education level) and work-related (employment status, tenure, job level and union membership) characteristics and these dispositional and relational variables were also explored. A quantitative cross-sectional survey was conducted on a purposive sample of employed students registered at a higher education institution (n = 740). Canonical correlation analysis revealed that individuals’ work-related perceptions and work experiences as well as their sense of organisational cynicism and trust were strong predictors of their attitudinal commitment towards their organisations and their organisationally directed organisational citizenship behaviour. Structural equation modelling indicated a good fit between employees’ perceptions of the quality of their social exchange relationship with their employing organisations and their trust in and cynicism towards these organisations as antecedents of relational attitudes and behaviour. Mediation analysis indicated that individuals’ work-related perceptions and work experiences influence their attitudinal commitment to their employing organisations through their sense of organisational cynicism and trust. Moderation analysis revealed that the influence of individuals’ cynicism towards their employing organisations on their attitudinal commitment is conditional upon their level of horizontal collectivism. Multiple regression analysis showed that individuals’ gender, population group, level of education and job level explain their attitudinal and behavioural reactions to work-related perceptions and work experiences. Tests for significant mean differences revealed significant differences in terms of the biographical variables. At a theoretical level, the study extended the understanding of relational attitudes and behaviour and the antecedents thereof in the workplace. At an empirical level, the study delivered an empirically tested psychological framework for enhancing relational attitudes and behaviour. At a practical level, individual and organisational interventions in terms of the psychological framework were recommended. / Met hierdie studie is gepoog om ʼn sielkundige raamwerk daar te stel wat aangewend kan word om werknemerhoudings en -gedrag in ‘n Suid-Afrikaanse arbeidsverhoudinge konteks te verbeter. Abstracts in English, Afrikaans and Zulu / In this study, social exclusion in an independent, faith-based girl’s school in South Africa was investigated. Bullying is widely recognised as being unacceptable and is addressed by many schools in the form of anti-bullying policies. However, on ongoing basis, girls are being socially excluded from relationships and because this behaviour is often so subtle, it is neither recognised as a form of bullying nor is it being addressed within schools. Theologians argue that educational institutions ought to evaluate the ethical dimension of knowledge construction and that a focus on moral norms, values and virtues need to be a fundamental part of such communities, so that the well-being of its members is fostered. Unless problems such as social exclusion are understood from a theological-ethical perspective, it is unlikely that there will be a permanent change in girls’ behaviour. Changing societies that accommodate bullying requires changes in perspectives, attitudes and behaviour, and schools can make a significant contribution in providing a community in which every child feels accepted and is afforded dignity. This study offers a theoretical-ethical perspective of social exclusion and draws on insights from the fields of theological ethics, sociology, psychology and anthropology. The reasons why girls are socially excluded, the girls’ and the school’s systemic patterns of behaviour and what educators can do to develop an inclusive community are identified. To determine to what extent the theory was supported, alumnae were asked to complete the questionnaires and be interviewed. Some staff members also completed questionnaires and agreed to be interviewed. The findings of the empirical research indicated that the theoretical research was largely supported. Some interesting observations emerged from the questionnaires and interviews that expanded the understanding of social exclusion. One important finding was that the girls who are being excluded from social relationships feel that they are to blame and that they somehow deserve to be excluded. They experience strong feelings of shame as well as loss of self-esteem. This prevents them from discussing or reporting the problem and therefore the structures that are in place for such reporting are not effective. Another important finding was that there is a disconnection between the girls and the staff regarding the effectiveness of current interventions. Therefore, based on the theoretical research and the findings of the empirical data, this dissertation makes recommendations for establishing a community that promotes the well-being and dignity of all. / In hierdie studie is ondersoek ingestel na sosiale uitsluiting in ’n onafhanklike, geloofsgebaseerde meisieskool in Suid-Afrika. A conceptual framework for digital political communication to promote party-political issue ownership via an urban electioneering platform

Abstracts in English, Zulu and Afrikaans / This Grounded Theory study focused on understanding how South Africa’s two numerically-dominant political parties, the African National Congress (ANC) and Democratic Alliance (DA), used micro-blogging site, Twitter, as part of their electioneering arsenal in the 2016 municipal elections to promote party-political digital issue ownership within an urban context. Using each party’s 2016 election manifesto and corpus of tweets, this three-phased study found that while both the ANC and DA used Twitter as a digital political communication platform to communicate their election campaigns, the DA notably leveraged the social networking site for intense ‘focused’ messaging of its negative campaign against the ANC while simultaneously promoting positive electoral messages around its own ‘core’ issues and metro mayoral candidates. ‘Battleground’ metros were identified by the DA in Ekurhuleni, Johannesburg, Tshwane and Nelson Mandela Bay, leading to an emphasised urban campaign here to either activate the party’s own support base and/ or to suppress the ANC’s turnout in these highly-contested areas. Additionally, it was found that both the ANC and DA used Twitter for explicit and implicit partypolitical issue ownership claiming in the 2016 municipal elections. Lastly, this study also culminated in the proposal of three but interconnected different elements of a conceptual framework for digital political communication that political parties could use to promote digital party-political issue ownership within a pronounced urban electioneering setting. Deur elke party se 2016 verkiessings manifesto en arsenaal van twiets te gebruik, het hierdie drie-fase studie bevind dat beide die ANC en DA, Twitter gebruik het as ‘n digitale politieke kommunikasie platform. Die DA het egter die sosiale media netwerk kenmerkend gebruik vir ‘n intense gefokusde negatiewe veldtog teen die ANC terwyl hulle terselfdertyd ‘n positiewe verkiessings boodskap rondom die party se eie kernkwessies en metro burgermeesters kandidate gesentreer het. ‘Oorlogsgebied’ metros is deur die DA in Ekurhuleni, Johannesburg, Tshwane en Nelson Mandela Bay geidentifiseer wat ‘n defnitiewe stedelike veldtog tot gevolg gehad het om die party se eie ondersteuningsbasis te bevorder en/of die ANC se ondersteuning in hierdie hoogs betwiste areas te onderdruk. A conceptual framework for digital political communication to promote party-political issue ownership via an urban electioneering platform

Abstracts in English, Afrikaans and Zulu / This Grounded Theory study focused on understanding how South Africa’s two numerically-dominant political parties, the African National Congress (ANC) and Democratic Alliance (DA), used micro-blogging site, Twitter, as part of their electioneering arsenal in the 2016 municipal elections to promote party-political digital issue ownership within an urban context. Using each party’s 2016 election manifesto and corpus of tweets, this three-phased study found that while both the ANC and DA used Twitter as a digital political communication platform to communicate their election campaigns, the DA notably leveraged the social networking site for intense ‘focused’ messaging of its negative campaign against the ANC while simultaneously promoting positive electoral messages around its own ‘core’ issues and metro mayoral candidates. ‘Battleground’ metros were identified by the DA in Ekurhuleni, Johannesburg, Tshwane and Nelson Mandela Bay, leading to an emphasised urban campaign here to either activate the party’s own support base and/ or to suppress the ANC’s turnout in these highly-contested areas. Additionally, it was found that both the ANC and DA used Twitter for explicit and implicit partypolitical issue ownership claiming in the 2016 municipal elections. Lastly, this study also culminated in the proposal of three but interconnected different elements of a conceptual framework for digital political communication that political parties could use to promote digital party-political issue ownership within a pronounced urban electioneering setting.
