The main goal of this Master's thesis is to estimate the value of the CSC Computer Sciences s.r.o. company to the date of 31st March 2015. To achieve this goal a strategic analysis, financial analysis, analysis of value generators and financial plan has been carried out. In this thesis the assets and the items of income statement have been divided as neccessary and unnecessary for company's operations to achieve more accurate statement of value, these two parts are separately evaluated and then sumed. The evaluation itself has been accomplished using DCF profit two stage method, which is divided into two parts that consist of a 5 year prediction phase and a residual value phase. The company has currently no long-term foreign capital that an interest has to be paid for, so the free cash flow to the firm equals the free cash flow to the equity. The final value of the company is then compared with the book value of assets.

Kan hållbarhet vara en värdeskapare? : Sambandet mellan hållbarhet och bolagsvärde på Stockholmsbörsen 2016-2021

Syftet med denna uppsats är att undersöka eventuella samband mellan svenska noterade bolags hållbarhetsarbete och hållbarhetsredovisning utifrån ESG hållbarhetsbetyg, primärt i relation till uppfattat bolagsvärde och sekundärt även i relation till bolagsstorlek vad gäller nettoomsättning och redovisat eget kapital. Fåtalet snarlikastudier har utförts på den svenska marknaden vilket motiverade syftet i denna uppsats.  Metod: Studien tillämpade en kvantitativ forskningsstrategi med utgångspunkt från nyckeltalsdata och ESG-betyginsamlade från S&P Global  2016-2020. Finansiella nyckeltalsdata inklusive estimerat bolagsvärde insamlades från Morningstar Direct. Regressionsanalyser och Pearsons korrelationsanalys genomfördes i Excel och testades mot fyra hypoteser.  Resultat & slutsats: Inga samband påvisades mellan bolagsvärde och ESG. Samband mellan nyckeltalen för eget kapital och nettoomsättning i förhållande till bolagsstorlek kunde konstateras, men inte i samband med ESG hållbarhetsbetyg. Slutsatsen blev att samband saknades på grund av de motsatta effekter som hållbarhetsarbete har på kort respektive lång sikt, där hållbarhet innebär minskat bolagsvärde på kort sikt men ökat bolagsvärde på lång sikt. En annan slutsats var att framtida analyser behöver bygga på separerade snarare än aggregerade EGS-betyg som analyseras branschvis.  Studiens bidrag: Studien tillför ytterligare kunskap till forskningen genom iakttagelsen att relationen mellan ESG och bolagsvärde kan variera beroende på bolagsstorlek, tidsperspektiv och bransch. / The aim of this thesis is to investigate possible connections between Swedish listed companies' sustainability work and sustainability reporting based on ESG's sustainability rating, primarily in relation to perceived company value and secondarily also in relation to company size in terms of net sales and reported equity. Few similar studies have been performed on the Swedish market, which justified the aim of this essay. Method: The study applied a quantitative research strategy based on key figure data and ESG ratings collected from S&P Global 2016-2020. Financial key figures data including estimated company value were collected from Morningstar Direct. Regression analyzes and Pearson's correlation analysis were performed in Excel and tested against four hypotheses. Results & conclusion: No relationship was demonstrated between company value and ESG. A relationship between the key ratios for equity and net sales in relation to company size could be established, but not in connection with the ESG sustainability rating. The conclusion was that there was a lack of connection due to the opposite effects that sustainability work has in the short and long term, respectively, where sustainability means reduced company value in the short term but increased company value in the long term. Another conclusion was that future analyzes need to be based on separate rather than aggregated EGS scores that are analyzed by industry. Contribution of the thesis: The study adds additional knowledge to the research by observing that the relationship between ESG and company value can vary depending on company size, time perspective and industry.

De acordo com a teoria de finanças, gestão de riscos financeiros pode gerar valor para o acionista, em função das imperfeições do mercado. Dessa forma, esta pesquisa examinou se existe relação entre a gestão de riscos financeiros e geração de valor ao acionista. Utilizou-se a base de dados Economática® e as notas explicativas de forma a obter informações das variáveis indicadas pela literatura internacional e nacional. Foram analisadas, manualmente, 1.681 notas explicativas e o Q de Tobin foi utilizado como proxy do valor da empresa. A amostra foi composta por empresas não financeiras no período de 2006 a 2014. Nesse período de análise, ocorreram dois eventos relevantes: crise subprime de 2008 e a adoção completa das IFRS em 2010. No total, foram 1.794 observações analisadas nesta pesquisa. Foram utilizadas cinco estratégias de estimação dos parâmetros: MQO, Efeitos Fixos e Efeitos Aleatórios, dados em painel com termos de erro AR(1) e GMM com objetivo de contornar os problemas encontrados nas estimações, tais como: heterocedasticidade, autocorrelação e endogeneidade. Dessa forma, após a análise das estimações econométricas, verificou-se que as empresas que utilizaram derivativos não agregaram valor nesse período de análise. Uma explicação para esse resultado é que, aparentemente, as empresas utilizam derivativos com objetivo de controlar o caixa e não o de criar valor. Esta pesquisa não encontrou evidências de que a decisão de fazer Hedge Accounting afeta o valor das empresas. Quanto aos impactos da crise, verificou-se que as empresas usuárias de derivativos foram afetadas positivamente pelas oscilações do Ibovespa. Porém, ao analisar os efeitos globais da crise, constatou-se que a crise impactou negativamente o valor de todas as empresas da amostra. The study was conducted among the concepts which covers several authors and a questionnaire with questions and objective responses (made through a table structured in the study concepts), involving two companies selected for convenience of the researcher. Then it is performed the analysis of the data obtained and the necessary considerations. The research approach is qualitative, exploratory and descriptive. Through the concepts proposed by the authors related to the theme, called active factor and what it represents in a company, which are the assets and rights capable of generating cash flow in the short, medium and long term, divided into Tangible and intangible assets, and so Goodwill is considered the most contentious issue in accounting, because conceptually it is difficult to understand and its measurement is a much-discussed factor, but there is no accounting standards both domestic and international, any doubts about the need for their registration (in purchasing a business), called the Goodwill Purchased Purchased or when the purchase occurs is for sale, then there is its measurement because the fact is a negotiation. O estudo foi desenvolvido, entre os conceitos a qual abrange diversos autores e um questionário com perguntas e respostas objetivas (constituídas através de uma tabela estruturada nos conceitos do estudo), que envolvem duas empresas selecionadas por conveniência do pesquisador. Em seguida é realizado a analise dos dados obtidos e as considerações cabíveis. A abordagem da pesquisa é qualitativa, e exploratório-descritiva. The theses focuses mainly on human IVD laboratories though the most of the content relates to the healthcare as a whole. On one hand the theses offers a view of the pure theory of M&A's, on the other hand its connection to reality.The basic processes are the definition of the IVD market, analyses of the sources of income in the healthcare in relation to the possibilities of company value growth. At the end of the thesis the hypothesis is verified by a real lab acquisition case.

By analyzing a complete cycle, high and low, the empirical evidence leads us to conclude that as companies that remained focused on their core businesses were more benefited in the long run in relation to their market value than those that have diversified. / No período conhecido como superciclo das commodities (2000 – 2011) o mercado de mineração viu suas principais empresas fazendo o movimento de diversificação de seu core business, adquirindo empresas existentes ou entrando em projetos greenfield em mercados diversos. Passados 6 anos desse período e vivendo um momento de mercado em que os preços das commodities estão pressionados por um enfraquecimento da demanda global, esse estudo visa analisar se a estratégia de diversificação por essas empresas obteve o objetivo pretendido de aumentar o valor da empresa. Ao analisar um ciclo completo, de alta e de baixa, as evidências empíricas nos levam a concluir que as empresas que mantiveram focadas em seus negócios core foram mais beneficiadas no longo prazo, em relação ao seu valor de mercado, do que aquelas que diversificaram.
