Le juge et le sauvetage de l'entreprise en difficulté en droit OHADA et en droit français : étude de droit comparé / The judge and the rescue of the firm in difficulty in OHADA law and french law : comparative law

L’Acte uniforme portant organisation des procédures collectives d’apurement du passif, adopté le 10 avril 1998 à Libreville et entré en vigueur le 1er janvier 1998 est venu harmoniser le droit de la faillite dans les pays membres de l’Organisation pour l’Harmonisation en Afrique du droit des Affaires (OHADA). En effet, ces pays étaient jusque là, en la matière, dotés de textes inadaptés datant de l’époque coloniale. Au regard de la parenté aujourd’hui avérée des ordres juridiques africain et français en Droit des entreprises en difficulté, il n’était pas inintéressant de mener une étude comparative sur le rôle du juge dans le sauvetage de l’entreprise en difficulté dans les deux systèmes. L’étude révèle qu’en droit africain et en droit français, les degrés d’intervention du juge varient selon que l’entreprise est in bonis ou selon qu’elle est en état de cessation des paiements. Pour permettre au juge de mener à bien la mission de sauvetage de l’entreprise en difficulté, les législateurs africain et français lui ont octroyé des moyens d’action processuels qui se caractérisent de manière tantôt convergente et tantôt divergente selon les cas, par une maîtrise de l’instance et, par l’exécution immédiate des décisions judiciaires rendues. L’étude révèle cependant l’existence dans les deux ordres juridiques de nombreux obstacles qui s’opposent à la mission de sauvetage incombant aux juges africain et français, obstacles tant d’ordre fonctionnel que d’ordre structurel. A côté des solutions apportées ici et là à toutes ces problématiques, et à bien d’autres soulevées tout au long de l’étude, de nouvelles propositions sont faites pour rendre l’action du juge plus efficiente. Il reste que, qu’il s’agisse du droit africain ou du droit français, à travers la question relative au rôle du juge dans le sauvetage de l’entreprise en difficulté, se pose la récurrente problématique de la réelle capacité du droit à juguler les phénomènes économiques. / The Uniform Act organizing collective proceedings for discharge of liabilities, adopted on 10 April 1998 in Libreville and entered into force on 1 January 1998 came harmonize the insolvency law in the Member countries of the Organization for the Harmonization of the law of Affairs (OHADA). Indeed, these countries were up there, in material, with inadequate texts dating from the colonial era. Under today proven relatives of African and French legal systems in law firms in difficulty, it was interesting to carry out a comparative study on the role of the judge in the rescue of the firm in difficulty in both systems. The study reveals that African law and French law, judge's intervention levels vary depending on whether the company is in bonuses or depending on whether it is in a State of cessation of payments. To enable the judge to carry out the mission to rescue of the firm in difficulty, African and French lawmakers have granted action procedural means characterized sometimes convergent and sometimes divergent manner as appropriate, by a master of the instance and immediate execution of judicial decisions. However, the study reveals the existence in both legal orders of many obstacles that oppose the incumbent judges African and French, rescue mission obstacles so many functional order than structural. Next to the solutions here and all these problems, there other proposals are made to make more efficient action by the judge. It remains that, whether it's African law or French law, through the question of the role of the judge in the rescue of the firm in difficulty, arises the recurring problem of the real capacity of the law to curb economic phenomena.

Important differences mark the institutes, the most relevant is the power of creditors to decide about the major issues of the company in recovery, among which, the own company recovery. Clearly the decision power migrated from Judiciary (law of bankruptcy) to creditors (judicial recovery), being allowed to the first to intervene only in the specific situation of the cram down. However, in practice many judges have intervened in the judicial recovery process, with support in different arguments, which has affected the essence of recovery institute that is exactly the power of creditors in the company in crisis. This is the main point that will be discussed in the course of this work. / Com o advento da Lei nº 11.101/2005, criou-se o instituto da recuperação judicial das empresas, substituindo assim o instituto que até então vigorava, a concordata. Diferenças importantes marcam os institutos, sendo a mais relevante delas o poder dos credores de decidir as principais questões relacionadas à empresa em recuperação, dentre as quais, a própria recuperação da empresa. Claramente o eixo decisório migrou do Poder Judiciário (concordata) para os credores (recuperação judicial), restando ao primeiro a permissão legal para intervir no processo apenas na situação especifica do cram down. No entanto, a prática mostra que muitos juízes têm intervindo nos processos de recuperação judicial, com amparo nos mais diversos argumentos, o que tem afetado a essência do instituto da recuperação, que está, fundamentalmente, no poder dos credores na recuperação da empresa em crise. É exatamente este o ponto que será analisado no decorrer do presente trabalho.

A família sofreu, no século passado, séc. XX diversas mudanças. As próprias relações mudaram: industrialização e urbanização aceleradas, emancipação da mulher, duas Guerras Mundiais que alavancaram o tema dos direitos humanos, com evidente repercussão nos direitos da personalidade. Tudo isso alterou o perfil da família e das relações que ocorrem em seu seio. Na verdade, estabeleceu-se uma perspectiva limitadora do poder em geral, da ascendência sobre outrem, inclusive no âmbito do pátrio poder, hoje poder familiar. Sem embargo disso, passada a euforia inicial, é hora de buscar caminhos para a plena efetivação desses direitos. Isso dependerá, em grande medida, da própria interpretação judicial, já que na decisão jurisdicional o ordenamento convertido numa fórmula específica para a solução daquela lide atinge o seu ápice. Se a afetividade e a grita por justiça e ética nas relações familiares é inafastável, mais do que isso, é louvável, porque consagra a dignidade da pessoa humana, por outro lado, a ideologia e a patrulha moral em temas existenciais devem ser evitadas. Ativismo judicial não se confunde com invasividade. A intrujice do Estado na família pela função legislativa, executiva ou judiciária deve incentivar um repensar das próprias expectativas que os operadores do Direito, sobretudo do Direito de Família, possuem a respeito do potencial transformativo de seus saberes. Assim, sempre buscando o justo termo, a dissertação examina as hipóteses de intervenção judicial no exercício abusivo do poder familiar, tanto na dimensão patrimonial quanto na dimensão existencial. Na primeira, analisa-se a administração dos bens dos filhos, o usufruto que, por lei, lhe é correlato e sua interpretação à luz do princípio do melhor interesse da criança e do adolescente. Na segunda, o objeto da investigação é o ponto ótimo de equilíbrio entre a intervenção que concretiza os direitos e a intervenção invasiva, errônea. Surgem ponderações sobre a ideologia e sua influência na exegese judicial, em temas como alienação parental e abandono afetivo que habitam o novo léxico deste Direito de Família sequioso de substância o qual, entretanto, não pode abdicar de uma postura autocrítica sob pena de manietar as próprias possibilidades de realização pessoal que alega defender. / Family underwent several changes in the last century, the twentieth century. The very relationships did change: accelerated (rapid) industrialization and urbanization, women´s emancipation, two World Wars, levered the human rights subject, with obvious repercussion on the rights of personality. All of that has modified family profile and the relationships that occur within its core. Actually, in general, a limiting perspective of power was established on the ascendancy over the other, inclusively in the extent of parental power, currently said family, or parental authority. With no embargo of this, after leaving behind the initial euphoria, now is the moment to look for ways towards the thorough accomplishment of these rights. This will depend, largely, on the judicial interpretation, for in the jurisdictional decision converted into a specific formula aimed at the solution of that dispute, it reaches its climax. If, on one hand, affectivity and the outcry for justice and ethics within family relationships cannot be set apart, and, more than that, they are praiseworthy - for they consecrate dignity of the individual - on the other hand, when it comes to existential matters, ideology and moral patrolling ought to be avoided. Judicial activism does not confound with invasiveness. State intrusion on family through legislative, or executive, or judiciary activity, should encourage a review of the very expectations that Law operating professionals have particularly those in the Family Law field regarding the transformational potential of their knowledge. Therefore, looking always for the right boundary, the dissertation investigates the hypotheses for judicial intervening in abusive family authority, considering not only property dimension, but also the existential. On the first we analyze the administration of assets of sons, the usufruct that by force of law correlates to it, and its interpretation in the light of best interest for child and adolescent. On the second, the object of our investigation is the optimal balance point between intervention that makes rights concrete, and the invasive, erroneous interference. We ponder over ideology and its influence on the judicial exegesis, in subjects such as parental alienation and affective abandonment, which dwell in this Family Law new lexicon, avid for substance, but which, however, cannot waive from a self-criticism posture, under penalty of handcuffing the very own possibilities of personal fulfillment it alleges to defend.
