66 Abstract Title: Regulated markets in financial instruments Author: Michal Petr Supervisor: JUDr. Petr Kotáb, Ph.D. Regulated markets play important role in market economy since they enable effective allocation of capital and thus enforce the economic growth. First charter of the thesis is devoted to trace history of capital markets in order to illustrate their importance and specific function throughout last centuries. We discuss separately their development and evolution in the Czech Republic and in the rest of the world. In particular, we focus on European legislative framework and its significant changes in last decades as it substantially influences inland law. For this purpose we also consider conclusions of the final report of the committee chaired by Alexandre Lamfalussy which affected the European legislative. In the first part of the chapter we also analyze the institution of regulated markets, as determined by current legislation. In the second part we define investment instruments which are traded on the regulated markets. The second part of the thesis discusses in detail causes of regulation and supervision with particular focus on the Czech Republic. Duties of so-called quoted joint stock companies Thesis author: Mgr. Marek Novotný Thesis supervisor: prof. JUDr. Stanislava Černá, CSc. This thesis is concerned with the regulation of duties of quoted joint stock companies (especially the duty of information) and its various institutes. The purpose of this thesis is to describe the legislation in this area of law and its development, with emphasis on the transposition of European legislation, and subject them to critical evaluation. In the first chapter the theoretical framework is defined by describing key legal concepts (the term "quoted joint stock company", "regulated markets") and the development of the most important legal regulation in this area - Act No. 256/2004 Coll., on Business Activities on the Capital Market. The second chapter is devoted to regulated markets and subject information duty. The third chapter deals with the admission of a security to trading on a regulated market and associated initial information duty of joint stock company, which is willing to become quoted. I describe mainly the prospectus and its essential elements. Exploring the Encounter of ContinuousDeployment and the Financial Industry

The digitisation of the financial markets has led to IT becoming a vitalpart of financial institutions. The principles and practices of ContinuousDeployment (CD) are utilised to increase innovation through flexibilityand swiftness at many IT companies. This thesis explores the encounterof CD and the financial industry through participant observations andsemi-structured interviews with developers.We find in our study that practitioners in the financial industry usepractices that are part of a CD process. The specialisation of the systemsthat is evident in the industry could be considered a barrier for theadoption of a CD process. However, improved transparency that maycome as a result of CD is well aligned with the demands that are evidentin the industry. Furthermore, the requirement for code reviews mightimpact the ability to attain a continuous process, as it must be a manual.

Digital advertising on a regulated market : A multiple-case study in the Swedish alcohol industry

In regulated markets companies must comply with various rules, standards, and approval protocols to avoid expensive lack-of-compliance costs. Such regulations often limit the ability of companies to advertise and thereby reach out to consumers. This paper uses a qualitative multiple case-study approach to explore, from an industry perspective, how three different companies (a whisky producer, a microbrewery, and an alcohol importer) use digital advertising to raise brand awareness on the Swedish alcohol market. The firms are relatively similar in their approaches, unanimously preferring the use of social media advertising and conducting all activities through the lens of the regulations. However, the degree to which the firms are willing to take risks and find innovative solutions to the unique problems inherent to the regulated market in question differs. Although the study is context-specific, previous research has suggested that features and market practices in one regulated market can influence another. This thesis contributes to the literature on the broader topic of advertising on regulated markets, where research is primarily written from a public health perspective.

The Mexican energy reform in December 2013 has represented a radical change in the structure of the sector, which has grown from a public monopoly to a competitive market. This article aims to analyze the attributions and the legal and administrative nature which has be granted to the Energy Regulatory Commission (CRE) after the normative change that will play a key role in the correct implementation thereof. The nodal problem is to confirm if the CRE has being given the correct legal instruments to develop its function autonomously and transparently. / La reforma energética mexicana de diciembre de 2013 ha representado un cambio radical en la estructuración del sector, el cual ha pasado de ser un monopolio público a un mercado de libre competencia. El presente artículo tiene como objetivo analizar las atribuciones y la naturaleza jurídico administrativa que se ha concedido a la Comisión Reguladora de Energía (CRE) tras el cambio normativo, dado que este, en calidad de organismo regulador del sector, tendrá un rol fundamental en la correcta implementación de la misma. El problema nodal de la cuestión reside en corroborar si se ha dotado a la CRE de los correctos instrumentos jurídicospara desenvolver su función de forma autónoma y transparente.

Three essays on determinants of accounting choice

Die vorliegende Dissertation besteht aus drei empirischen Papieren, die verschiedene Anreize von Manager bezüglich einer Beeinflussung der Rechnungslegung untersuchen. Das erste Papier untersucht die Wechselwirkung von Produktmarktregulierung und Rechnungslegung. Die Ergebnisse zeigen, dass Manager frühzeitig neue Rechnungslegungsregeln anwenden, um regulierte Preise in der Versorgungswirtschaft zu beeinflussen. Der zweite Teil der Dissertation befasst sich mit der Frage, inwieweit sich persönliche Eigenschaften von Managern (Selbstüberschätzung) in der Rechnungslegung widerspiegeln. Ihre Fähigkeiten überschätzende Manager haben zu hohe Erwartungen bezüglich der zukünftigen Zahlungsüberschüsse ihres Unternehmens. Das Papier zeigt, dass diese Manager bei Amtsantritt mit einer geringeren Wahrscheinlichkeit das Periodenergebnis negativ beeinflussen (Earnings bath). Das letzte Papier der Dissertation untersucht die Berichterstattung von Unternehmen, die an europäischen, börsenregulierten Aktienmärkten notiert sind. Insbesondere liegt der Fokus auf der freiwilligen Anwendung der International Financial Reporting Standards (IFRS) und der freiwilligen Veröffentlichung von Quartalsinformationen. Die Ergebnisse zeigen, dass der Verkauf von Aktien an institutionelle Investoren zum Zeitpunkt des Börsengangs positiv mit der freiwilligen Anwendung der IFRS korreliert, jedoch nicht mit der freiwilligen Veröffentlichung von Quartalsinformationen. / This cumulative doctoral thesis consists of three papers. Each part investigates empirically different aspects of the incentive structure of managers to influence the accounting outcome. The first paper examines the interplay of product market regulation and financial reporting. It shows that managers early adopt a new accounting regime if accounting numbers are used by regulators to set prices in utility industries. The second paper argues that reporting decisions of managers are influenced by personal characteristics (overconfidence). Overconfident managers overestimate their abilities and consequently have upwardly biased expectations concerning future firm cash flows. More specifically, the paper shows that overconfident CEOs are less likely to engage in an earnings bath at CEO turnover. The last paper investigates reporting choices of firms in European exchange-regulated markets. In particular, it sheds light on the voluntary adoption of International Financial Reporting Standards (IFRS) and on the decision to voluntarily provide quarterly financial information. The findings indicate that the likelihood of voluntary IFRS adoption increases with the proportion of stocks sold to institutional investors upon IPO while the likelihood to provide quarterly information does not.
