Apribojimai nutraukti darbo sutartį reorganizuojant įmonę / Restrictions on the termination of an employment contract when restructuring an enterprise

Šio darbo pirmoje dalyje yra nagrinėjama Europos Bendrijų teisės aktuose nustatytos garantijos darbuotojams, taikomos įmonės reorganizavimo atveju. Tyrimo metu analizuojama Direktyva Nr. 2001/23/EB, remiantis Europos Teisingumo Teismo praktiką, aiškinamos direktyvos nuostatos įtvirtinančios individualią bei kolektyvinę darbuotojų interesų apsaugą. Antrojoje dalyje analizuojama reorganizavimo samprata civilinėje bei darbo teisėje, atskleidžiama reorganizavimo sąvoka, būdai, etapai. Pateikiamas reorganizavimo palyginimas su likvidavimo procedūra bei restruktūrizavimu. Taip pat analizuojamos Lietuvos Respublikos darbo kodekso normos, nustatančios apribojimus darbdaviui nutraukti darbo sutartį reorganizuojant įmonę. Tyrimo metu paaiškėja, kad nacionalinės teisės aktai nevisiškai atitinka Direktyvos Nr. 2001/23/EB tikslus. Nors reorganizavimas pats savaime nėra teisėta priežastis darbo santykių nutraukimui, tačiau darbuotojų apsauga nėra absoliuti. Reorganizavimo metu ir jam pasibaigus įmonėje susiklosto sudėtingi darbo santykiai, darbo santykių tęstinumas ne visada yra užtikrinamas. Todėl trečioje darbo dalyje yra kalbama apie darbdavio teisės nutraukti darbo sutartį įgyvendinimą bei jos apribojimus, aptariama darbuotojų perkėlimo galimybė, informavimo ir konsultavimo pareigos realizavimas. Darbo pabaigoje yra suformuluotos išvados remiantis atliktu teisės aktų bei Europos Teisingumo Teismo bei Lietuvos Aukščiausiojo Teismo praktikos tyrimu bei teisės doktrinos analize. / In the first part the main issue is analyzes of European Communities law and the Directive No 2001/23/EC witch laid down legal guarantees for the employees during the process of enterprises reorganization. The main provisions of the directive that include protection of individual and collective employee’s interests were explained according to The European Court of Justice practice. In the second part of the work was done analyzes of the concept of reorganization in civil and labor law, in purpose to find out definition of reorganization, means and stages of process. There are given a comparison of reorganization and liquidation, reorganization and restructuring. This part of work also includes analyzes of Labour Code norms, which laid down restrictions on employer who is unallowable to terminate the employment contract during reorganization of the enterprises. The study reveals that national legislation does not fully comply with purposes of Directive No 2001/23/EC. Although, reorganization in itself is not a legitimate reason for termination of employment, but employment protection is not absolute too. During the reorganization and after this process, labour relations between employer and employees may be complicated and employment succession is not always guaranteed. The thesis focuses on regulation of transfer of undertakings in the European Union and Czech law as defined by the Directive 2001/23/EC, the so called Acquired Rights Directive. Transfer of undertaking is a term used in labour law to describe a situation of change of employer as a result of legal transfer or merger. The aim of this thesis is to analyse the EU and Czech legal regulation of transfer of undertaking, especially with respect to the case law, its employment consequences, to mutually compare both regulations and finally to examine whether the Czech implementation complies with the Directive. The thesis is composed of four chapters. The first chapter is introductory and analyses the basic terminology of Czech labour law regarding employment relationship, its components and alterations, in particular the alteration of parties to employment relationship. The second chapter deals with the EU regulation of transfer of undertakings under the Acquired Rights Directive and abundant case law of the Court of Justice of the European Union. It starts with brief description of history of respective legal regulation and then describes the temporal, personal and territorial scope of the Directive. The labour law contains more explicit legislation specificly adapted to the relation between employers and employees. Sometimes the labour law needs to rely on more general regulations, such as the law of contract. When the situation contains a specific contract relation dilemma it is logical to use the law of contract, when for example the law of employee protection does not reach an acceptabel solution.</p><p>Transfer of undertaking is a situation were the employee protection is disregarded. The Euro directive 2001/23/EG prescribes, by its implemented rules in the law of employee protection, that rights and duties, such as employement agreements, passes on to the earner of the business. The employee also has the right to oppose a new employement situation which follows by the 6 b § 4 piece law of employee protection.</p><p>Transfer of undertaking is becoming common i todays business life why it is important to analyse and clear the meaning of the transfer, from a labour law and contract law perspective. To make a contract law interpretation of what it means to leave an answer regarding a further employment is something that can involve more than as an employee oppose a continued employment. What includes the transfer of undertaking situation for an employee, in a contract law perspective? That is a question that summarizes the main purpose of this essay. My choise is to interpretate the law of contract restrictive to avoid a too general or wide meaning of the law.</p>

Įmonės, įmonės dalies, verslo ar jo dalies perdavimas – šiandienos verslo kasdienybė. Nagrinėjamas ekonominis reiškinys turi socialinę pusę ir darbe nagrinėjamas darbo teisės prasme. Preziumuojama, jog įmonės, verslo ar jų dalių perdavimo atveju gali pasikeisti darbuotjų teisių apimtis, todėl Bendrijos teisės aktų leidėjui tenka užduotis nustatyti perdavimo sąvoką, pateikti jos požymius, o valstybėms narėms – tinkamai perkelti Direktyvą 77/187/EEB dėl valstybių narių įstatymų, skirtų darbuotojų teisių apsaugai įmonės, įmonės dalies, verslo ar verslo dalies perdavimo atveju, suderinimo bei ją keičiančią direktyvas ir konsoliduotąjį direktyvos tekstą. Despite the fact that this economic concept can be interpreted from many perspectives, this work approaches it from a labour law point of view. In order to safeguard employees‘ rights in the transfer of undertakings situation, the Council directive 77/187/EEC was adopted. Based on the assumption that transfers of undertakings change legal status of employees, the following issues are raised and discussed in this work: how „transfer of undertakings“, „employee representatives“, „information and consultation procedures“ are defined in the Directive 77/187/EEC and case law of EU courts and whether such definitions are clear cut and properly implemented in the national laws of EU member states; theoretical and practical grounds for employees‘ representation and its‘ forms; whether EU model and models of separate EU member of information and consultation secures the continuity of rights of employee representatives in transfer of undertakings situation. It is concluded that the above mentioned definitions still raise practical problems, models of implementation differ from state to state.

This diploma thesis deals with the institute Transfer of rights and obligations arising from the labour relations under the Czech legal system in comparison with European legislation and namely in the light of the Czech and EU's judicial decisions. The text is divided into three main parts. In the first part there are generally determined the labour relations, their elements and possible change of them. The second part describes the institute, the impact on the concerned employees and all rights and obligations with the transfer related. The third part is about the situations, when the Transfer of undertaking occurs in accordance with special regulations. There are raised the questions in the text, which could occur in this context with the change of the employer, and the author attempts them more or less to answer with the assistance of the decisions of courts.

Les groupes de sociétés rassemblent des sociétés juridiquement distinctes mais liées entre elles par des rapports de domination et de coopération au point de former une entité relativement identifiable. Leur organisation renvoie au jeu mêlé de la norme sociétaire et de la norme contractuelle. Prises de participation, pactes extra-statutaires, contrats commerciaux permettent à la société dominante de contrôler et de coordonner les activités des sociétés dominées au gré de la stratégie de développement par elle arrêtée. Mais, fondé sur le paradigme de l’entreprise, le droit du travail néglige souvent la relation de dépendance économique et juridique inhérente au groupe. However, built upon the paradigm of the company, labour law frequently neglect the economic and legal relationship of dependence existing within the group. This thesis focuses on the rules governing the protection of workers in case of transfer of employer in the European Union law and in the Czech law. The aim of this thesis is to analyze the implementation of the Directive 2001/23/EC into the Czech legal order. The thesis consists of three chapters. The first chapter briefly describes the origin and evolution of the European Union, EU institutions, competence of the Court of Justice of the European Union, sources of the European Union law and the principles governing the relationship between the EU law and national legal order. It also describes the main features of the employment relationship. The second chapter focuses on the legal rules governing the protection of workers in case of transfer of the employer at the European Union level. In her PhD thesis, the author deals with the legal regulation of transfer of undertaking (and the passage of the employees' rights and obligations it involves) and the frequent collective redundancy related to such transfers. Both sets of provisions dealing with these topics are embodied in the Czech Labour Code and are harmonised with the EU directives pertaining to these fields, specifically Council Directive 2001/23/EC of 12 March 2001 on the approximation of the laws of the Member States relating to the safeguarding of employees' rights in the event of transfers of undertakings, businesses or parts of undertakings or businesses (originally, Council Directive 77/187/EEC of 14 February 1977 on the approximation of the laws of the Member States relating to the safeguarding of employees' rights in the event of transfers of undertakings, businesses or parts of businesses) and Council Directive 98/59/EC of 20 July 1998 on the approximation of the laws of the Member States relating to collective redundancies.
