University-industry interactions : understanding university licensing strategies and beyond / La collaboration entre l’université et l’industrie : comprendre les stratégies de licences universitaire et au-delà

Cette thèse porte principalement sur les stratégies de licence des universités. Afin de comprendre l’impact social des stratégies de licences universitaires, nous examinons le lien entre le degré d’exclusivité des licences et les diverses caractéristiques des inventions sous licence. Les résultats théoriques et empiriques de nos recherches suggèrent que les pratiques des OTTs ne sont peut-être pas toujours optimales, ce qui laisse à penser que des améliorations pourraient encore être apportées. Lorsque les innovations sont séquentielles, les universités pourraient introduire des stratégies alternatives de licences open source. Nous élargissons notre étude en examinant les interactions dynamiques entre divers canaux formels et informels de transfert de connaissances. Notre analyse qualitative longitudinale suggère que l’interaction dynamique crée un effet cumulatif important vis-à-vis de l’activité de valorisation de la recherche, et renforce la dimension collective de la valorisation. / This thesis primarily focuses on university licensing. To understand the social impact of the university licensing strategies, we examine the link between the degree of exclusivity of licenses and the various characteristics of the licensed inventions. The theoretical and empirical findings of our research suggest that the practices of university technology transfer offices (TTOs) may not always be optimal, underlying the fact that there may still be room for the improvement. We also suggest that, when the innovations are sequential, universities might introduce alternative open source licensing (OSL) strategies. Furthermore, we expand our study by examining the dynamic interactions between various formal and informal channels of transfer. Our longitudinal qualitative methodology suggests that, dynamic interaction creates a strong cumulative effect with respect to the research valorization activity and reinforces the collective dimension of valorization.

The assessment of knowledge and attitudes of health legislation (HL) among private family practitioners (FP) working in a defined geographical area.

Introduction Since the 1994 change in power in South Africa, there have been many necessary changes in health legislation (HL), in accordance with the principles enshrined in the Constitution, Such changes have been recognized as being both complex and fraught with stakeholder interests. There is a perception that private family practitioners (FP) generally harbour negative attitudes towards HL that has been brought into effect in recent years. It is also possible that FP, in general, lack knowledge regarding HL. The aim of the study was to assess the knowledge and attitudes of private family practitioners (FP) to health legislation (HL) within a localized geographical area of the eThekweni Metro, KwaZulu-Natal Province. The specific objectives were: To determine family practitioners’ knowledge of health legislation. To determine family practitioners’ attitudes towards health legislation. To assess the correlation between family practitioners’ knowledge and attitudes. To compare the self-reported knowledge of health legislation with the objective assessment of knowledge and attitudes. To establish practitioners’ perceptions of the future of the profession, and of family practice in particular. Methods A cross-sectional descriptive and analytical study was performed, using a pre-tested, validated, structured questionnaire. This instrument was personally hand-delivered to each of a group of private family practitioners practising within a confined geographical area. The sample comprised of 101 family practitioners. Data were analysed using SPSS version 15.0 (SPSS Inc., Chicago, Illinois). Results The study revealed that private FP possess limited knowledge about HL and have a negative attitude in general towards HL. The mean knowledge score was 55% (standard deviation 12.2%). The mean score for attitudes towards health legislation was 46,3% (standard deviation 4.2%). The correlation coefficient between knowledge and attitudes was 0.244 (p=0.022). Therefore, there was a weak positive, but statistically significant, correlation between knowledge and attitudes. Thus, in general, as knowledge increased, so did attitudes improve and become more positive. The self reported knowledge and attitudes of FPs seemed to show some unexpected though non-statistically significant anomaly, in that FPs who considered themselves “well aware” of certain parts of HL, together with those who were “not aware”, reporting a more negative attitude towards HL than those who considered themselves to be “aware”. FPs’ perceptions of the future of the profession, and of family practice in particular, were generally reported as being reasonable to poor. Financial viability and sustainability of FP, in particular, were reported as being reasonable to poor. The attractiveness of the profession to the youth of today was reported as being poorer than in the past. However, the majority of FP held the perception that medicine as a profession was distinct as it responds to a calling to serve society at large, giving this aspect of the question a ranking of “reasonable to good”. Conclusion and Recommendations The study revealed that this group of FPs attained an overall mean knowledge score of 55% with respect to HL. FPs’ knowledge of HL requires improvement, which can be achieved through effective education and training programmes. Private FPs need to embrace the change process, but also need to be more pro-active in vocalizing their opinions. The Health Ministry and relevant authorities and policymakers need to play a greater role in creating an atmosphere that embraces and facilitates change by involving iii relevant stakeholders. Lastly, it is recommended that this study serve as a template for a broader research project involving larger numbers of participants and a wider geographical area. In addition, an intervention tool should be devised. Such a tool could take the form of a structured education programme on HL, with an associated monitoring and evaluation aspect, which would enable an assessment of the intervention programme in terms of its value and the influence it has on improving knowledge and attitudes. / Thesis (M.Med.Sc.)-University of KwaZulu-Natal, Durban, 2011.

De tous les droits de propriété intellectuelle, le droit d’auteur était celui qui semblait le plus éloigné des préoccupations économiques des autorités de concurrence. Conçu à l’origine dans un souci de protection de la création littéraire et artistique, il apparaît aujourd’hui davantage comme un outil de puissance économique tourné vers la protection de l’investissement et, plus généralement, un vecteur de l’activité économique. C’est à ce titre que l’application des règles de concurrence à des pratiques mettant en cause l’exercice ou la gestion de droits d’auteur est désormais considérée comme incontournable. Cette application se doit cependant d’être mesurée. Elle bouscule parfois les principes de la propriété littéraire et artistique et conduit à s’interroger sur une définition plus appropriée des contours de la protection offerte par le droit d’auteur. En outre, la remise en cause, au nom du principe de libre concurrence, de pratiques par ailleurs conformes aux règles du droit d’auteur, n’est pas sans risque. Elle contribue à modeler les contours du droit d’auteur selon une conception propre au droit de la concurrence et peut tendre, parfois, vers un amenuisement des prérogatives des titulaires de droits ou un affaiblissement du niveau de leur protection. À terme, la création pourrait s’en trouver menacée. Il convient donc de rechercher, en toute hypothèse, un équilibre permettant de satisfaire aussi bien à l’exigence de concurrence sur les marchés qu’à l’impératif d’efficacité de la protection du droit d’auteur. / Among all intellectual property rights, copyright seemed to be initially far away from the economic concerns of competition authorities. Originally designed with a view to protecting literary and artistic creation, it now appears more as a tool of economic power turned to investment protection, and, more generally, as a vehicle of economic activity. As such, the application of competition rules to practices based on exercise or management of copyright is now regarded as unavoidable. However, such application must be performed with care and caution as it sometimes bumped into the principles of literary and artistic property and raises questions about a more appropriate definition of the protection offered by copyright. Moreover, the modification of practices complying with copyright rules, in the name of free competition, is not without risk. It leads to draw the outlines of copyright according to considerations designed for competition laws and can aim, sometimes, towards an erosion of the rights of copyright’s owners or a decline of their level of protection. Eventually, creation could be threatened. In any event, it is therefore essential to look for an equilibrium which would satisfy both the requirements and principles of free market competition and the necessity to effectively protect copyright.

Fruit of the great developmental projects installed in the city from the 1960s on, such problem brings certain risks that have already met opposition by the population. In this topic, the targets of the analysis were the public hearings for environmental licensing which took place in Vitoria (ES) when there was a Production Expansion in Vale s Complex of Pelletizing (Plant VIII), in 2006, departing from the idea that they are public arenas where different social actors (State, businesses, and society to be impacted), who support distinct interests such as rationality, values, and projects related to the dispute for a social space, confront each other. It was investigated the way this form of social mobilization happen in the political arena that is called public hearings, that is, the way a social problem becomes visible and an object of mobilization. It was observed that the several social actors who take part in the public arena contend for spaces to broadcast their speeches and to position themselves in regard to the issues, thus revealing distinct discursive capacities, which become a differential in power in relation to each other / Será apresentado um panorama da construção de um problema social antigo, que é a poluição do ar gerada pelos empreendimentos situados na Ponta de Tubarão e sua relação com a cidade de Vitória. Fruto dos grandes projetos de desenvolvimento instalados na cidade, a partir do final da década de 1960, tal problema traz consigo riscos que começaram há muito ser contestados pela população. Nesse quesito, foram tomadas como objeto de análise as audiências públicas de licenciamento ambiental que ocorreram em Vitória, ES, quando houve a Expansão da Produção do Complexo de Pelotização da Vale (Usina VIII), em 2006, partindo da ideia de que são arenas públicas, onde se defrontam diferentes atores sociais (Estado, empresas, sociedade a ser impactada) que são portadores de distintos interesses, racionalidades, valores e projetos relacionados a um espaço social (e ambiental) em disputa. Foram investigadas, a partir desse recorte, as formas de mobilização social nessas arenas políticas denominadas audiências públicas, ou seja, como um problema social ganha corpo e se torna objeto de mobilização. Observou-se que os diversos atores sociais que participam dessa arena pública disputam espaços para evocar os seus discursos e se posicionar a respeito do problema em questão, revelando capacidades discursivas distintas, as quais se tornam um diferencial de poder na relação entre os mesmos

Expondo o conteúdo das licenças Creative Commons, será analisado o conteúdo jurídico das mesmas, bem como dados estatísticos da distribuição das licenças, quem as usa, como as usa e ainda quais as tendências apontadas a partir dos dados. Com fundamento no Marco Teórico do “Direito Como Integridade” na obra de Ronald Dworkin, a presente dissertação traz os resultados pesquisa, que consistem em uma comparação do comportamento habitual dos usuários das obras autorais licenciadas sob o Creative Commons, em relação à proposição legislativa do sistema jurídico brasileiro, e quais as possíveis consequências jurídicas e necessidades de atualização legislativa, tendo em vista essa nova dinâmica de produção e comercialização de conteúdo em ambiente virtual. / This study aims to examine the adequacy of the copyright licensing system developed by Creative Commons Foundation to Brazilian copyright laws. Also, the study intends to understand what possible legal contours of an increasingly collaborative culture in the production of content and licensing. Finally, it tries to determine what are the consequences and possible adaptation needs of the Brazilian legislation towards a new dynamic of legal relations. By exposing the contents of the Creative Commons licenses, it will analyze the legal content of the same, as well as statistical data on the distribution of licenses, who uses them, how they are used and also what the trends identified from the data. Based on the theoretical framework of "Law as Integrity" from the work of Ronald Dworkin, this dissertation brings the research results, which consist of a comparison of the usual behavior of users of copyrighted works, licensed under Creative Commons, in relation to the legislative proposal of the Brazilian legal system, and what are the possible legal consequences and legislative updating needs regarding the new dynamics of production and marketing of content in a virtual environment.

Patent licensing and vertical integration in complementary markets / Licences de brevets et intégration verticale dans les marchés complémentaires

Le secteur des TIC est caractérisé par des arrangements stratégiques de transferts de technologies tels que les licences et les regroupements de brevets. Par ailleurs, les produits et services ont souvent de fortes relations de complémentarité dans ce secteur. Afin de garantir un niveau satisfaisant d'interopérabilité aux utilisateurs, les producteurs de biens complémentaires doivent échanger des informations techniques. Cette thèse cherche à prendre en compte ces deux dimensions et à produire de nouveaux éclairages sur les cas de politique de concurrence impliquant des marchés complémentaires (e.g Intel/McAfee, Google/Motorola). Nous étendons la littérature sur les licences de brevets en modélisant des marchés avals différenciés et complémentaires. En utilisant les méthodes de l'économie industrielle, nous caractérisons les stratégies de licences profitables pour un innovateur en situation de monopole concernant le nombre de licences, les instruments tarifaires ainsi que l'intégration verticale et conglomérale. Nous montrons que le nombre de licences attribuées diffère généralement de celui observé lorsque la technologie est utilisée dans un marché aval isolé. En particulier, nous obtenons que le nombre de licences distribuées est plus élevé dans les marchés de niche lorsque le nombre de firmes intéressées par la technologie est limité. Dans ce cadre d'analyse, l'intégration verticale n'est pas profitable à l'exception des cas où, une seule firme est susceptible d'acquérir une licence sur le marché homogène, ou lorsque la demande pour le produit final est incertaine. Par ailleurs, les royalties unitaires perçus sur le nombre de produits vendus en aval ne sont utilisés que dans la structure de l'industrie la plus concurrentielle et lorsque la valorisation pour le bien final est élevée. Enfin, nous montrons que lorsque la demande est incertaine et que les acquéreurs de la technologie sont réticents à la prise de risque, l'innovateur préfère utiliser des royalties ad valorem qui portent sur les revenus issus des ventes de produits finals. Nos résultats montrent que les relations de complémentarité entre les marchés finals influent sur la manière dont sont transférées les technologies et que les fusions verticales et conglomérales ne semblent pas générer de comportements de forclusion. / IT industries are characterized by strategic patent agreements such as patent licensing or patent pools. Products and services frequently have strong potential complementarity relations in this industry. To guarantee a satisfactory level of interoperability to users, the exchange of technical information is required between complementary producers. This dissertation aims at taking into account these two dimensions of the IT sector in order to provide new insights on competition policy cases involving high technology complementary products (e.g Intel/McAfee, Google/Motorola). We extend the literature on patent licensing by explicitly modeling downstream differentiated complementary goods. Using industrial organization methods, we characterize the profitable strategies of a monopoly innovator with respect to the number of licenses, the pricing instruments as well as vertical and conglomerate mergers. We show that the number of licenses delivered in equilibrium can differ from the standard model with a single downstream market. In particular, we consistently find, for various forms of licensing contracts that more licenses are issued in niche markets when the number of potential licensees is capped. Overall vertical integration and conglomerate mergers are found to be unprofitable except when there is only one firm likely to acquire the technology or when there is demand uncertainty. On the other hand, per unit royalty rates are only used in the most competitive structure of the industry for high valuations of the final good. Finally, sales revenue (i.e ad valorem) is found to be a more profitable royalty base than the number of sales (i.e per unit royalties) when demand is uncertain and licensees are risk averse. Our results show that complementarity influences the way in which technologies are transferred and that vertical mergers do not generate foreclosing behaviors in this framework.

Services automatisés de référencement d'images en ligne et droit d'auteur : approche franco-canadienne

Thèse en cotutelle : Université Laval, Québec, Canada et Université Paris-Saclay, Cachan, France. / En France, les articles L. 136-1 et suivants du Code de la propriété intellectuelle ont prévu un mécanisme de gestion collective obligatoire applicable à la recherche et au référencement des œuvres d'art plastiques, graphiques ou photographiques. Sans décret d’application, le mécanisme n’a pas été mis en œuvre. Les doutes étaient, en effet, nombreux quant à la conformité du mécanisme au droit européen. La récente directive 2019/790 et son article 12 permettant l’octroi de licences collectives ayant un effet étendu apportent de nouvelles clés de réflexion dans le cadre des utilisations d’œuvres en masse. Ils pourraient rendre conformes les articles L. 136-1 et suivants. Sorti le 7 février 2020, un rapport1 du Conseil supérieur de la propriété littéraire et artistique2 propose une modification législative des articles L. 136-1 et suivants actuels. La mesure phare est le remplacement de la gestion collective obligatoire par un mécanisme de licence collective étendue3 . Au Canada, la réforme de 2012 de la Loi sur le droit d’auteur a abouti, entre autres, à une exonération de responsabilité pour les outils de repérage. Mais, récemment, les questions de responsabilité des intermédiaires techniques, de partage de la valeur et de licence collective étendues se sont fait entendre à la Chambre des communes du Canada lors de l’examen prévu de la Loi sur le droit d’auteur. Le mémoire revient sur la question de l’opposabilité du droit d’auteur dans le contexte des services automatisés de référencement d’images en France et au Canada. L’épineuse question d’un éventuel retour à l’opposabilité du droit d’auteur en France et au Canada est ensuite abordée. Ce retour à l’opposabilité du droit est envisagé dans le mémoire par le biais de la reconnaissance d’un enjeu de partage de la valeur et de la mise en œuvre d’un mécanisme de licence collective étendue.

L’emploi largement répandu des licences Creative Commons, en vue de partager des oeuvres non logicielles, justifie le choix de leur consacrer une étude, afin d’apprécier leur rapprochement actuel au régime légale de la propriété littéraire et artistique et afin d’envisager de conciliations prospectives. L’étude relève la singularité de Creative Commons en tant que système de gestion des droits d’auteur ; ce dernier, composé d’une série de licences, est guidé par une association de promotion du partage d’oeuvres et mu par une idéologie fondée sur l’autonomie de la volonté des auteurs. L’hypothèse de notre étude repose sur la variété constatée des libertés accordées par les licences. Ces dernières se transforment en une série d’outils standardisés qui s’imposent progressivement comme une norme pour la jouissance partagée d’oeuvres – tout en se fondant sur les règles du droit d’auteur. En même temps, l’étude des conséquences de la mise en oeuvre de chaque licence illustre la création d’asymétries entre les acteurs du partage. Notamment, si la distinction entre utilisation commerciale et non commerciale – introduite par les licences – constitue un outil deconciliation du régime propriétaire avec celui du partage créatif, l’utilisation de la notion ambiguë d'utilisation non commerciale influence le sort des licences et complique le processus évolutif des oeuvres partagées. L’affinement de la variété des licences conduit l’étude à s’atteler à l’examen des mécanismes prospectifs afin d’aboutir à une coordination des licences avec le droit d’auteur qui serait fondée sur le principe fondateur de Creative Commons, à savoir l’essai de rééquilibrage des intérêts impliqués au droit d’auteur. / The widespread use of the Creative Commons licenses for the sharing of non-software works demonstrates the imperative to devote a study to the licenses in question. The goal of the study is to assess the current links of the licenses to the legal regime of intellectual property in order to suggest prospective ones. The study underlines the singularity of Creative Commons as a copyright management system, which consists of a series of licenses and is guided by an association promoting the sharing of works and by an ideology based on the autonomy of the authors. The premise of the thesis is founded on the variety of freedoms granted by the licenses. The licenses transform into a series of standardized tools that are gradually imposed as a standard for the sharing of works while relying on the rules of copyright. At the same time, the analysis of the consequences of the implementation of each license demonstrates the asymmetries created between the agents involved in the sharing process. In particular, our study shows that although the distinction between commercial and non commercial introduced by the licenses acts as a conciliation tool between the proprietary regime and that of the creative sharing, the introduction of an ambiguous concept - that of non-commercial use - influences the fate of licenses and complicates the evolutionary process of shared works. One way to resolve this tension proposed by our thesis is to review prospective mechanisms that would achieve a level of coordination between the licenses and copyright based on the founding principle of Creative Commons, which is the rebalancing of the interests involved in copyright.

Essai sur les importations parallèles : la recherche d'un équilibre entre liberté et protection dans l'Union européenne

Le phénomène du commerce parallèle repose sur un constat de base à la fois simple et évident: le niveau des prix d’un même produit « créé et fabriqué » par le même titulaire peut souvent varier de manière importante d’un pays à l’autre, en raison notamment des disparités dans le revenu moyen des consommateurs, des règlementations nationales entravant les échanges, ou encore du niveau de concurrence qui peut être affecté par des restrictions d’ordre privé, telles que des conventions de partage de marchés ou des contrats de distribution. Les commerçants que l’on appelle « importateurs parallèles » achèteront le produit là où il est le moins cher, qu’il provienne directement du titulaire ou non, en vue de le revendre là où ils pourront faire le meilleur profit. Dans ce contexte, des problèmes apparaîtront dans le pays d’importation dans la mesure où les commerçants parallèles vendront, bien évidemment, moins cher que les distributeurs désignés par le titulaire. Le titulaire en sa qualité de « créateur » de produits, est souvent titulaire de droits de propriété intellectuelle qu’il désirera, non sans une certaine légitimité, « monnayer », tentant ainsi de cloisonner les marchés en vue d’obtenir le prix le plus élevé qu’un consommateur serait prêt à payer pour un produit « x » sur un marché « y ». Cet essai a pour mérite de mettre en tension, d'une part, la liberté des échanges et de la concurrence qui favorisent, notamment, l’obtention des produits au meilleur prix pour les acheteurs et les consommateurs et, d’autre part, la nécessité de protéger les efforts de création dans l’industrie afin que celle-ci continue à investir dans la recherche et le développement de nouveaux produits. / The phenomenon of parallel trade rests on a simple and obvious basic premise: the price levels of the same product “created and made” by the same manufacturer can often vary considerably from one country to another. This variation is notably due to disparities in the mean income of consumers, trade-prohibiting national regulations or the level of competition which may itself be affected by private restrictions such as market sharing agreements or distribution contracts. The merchants, termed “parallel importers” will buy the product where it is cheapest, whether or not it stems directly from the manufacturer, and resell it where they will obtain the best profits. Some problems will arise in the country of importation, insofar as parallel importers will sell at a lower price than the distributors designated by the manufacturer. The manufacturer, in his quality of “creator” of goods, is often the owner of intellectual property rights which it will understandably try to monetize, in an attempt to partition the markets in order to obtain the highest price that the consumer is willing to pay for product “x” on market “y”. This article, mainly jurisprudential, seeks to underline the tension between the free exchange of goods in open markets which notably allows consumers and buyers to obtain products at the best price, and the necessity of protecting the creation efforts of the industry in order to encourage investment in the research and development of new products.
