The main aim of European economic integration is to reach the common market of goods, services, persons and capital. To make this aim easier to realize in terms of free movement of capital, European Commission has created the statute of the European company (Societas Europaea, SE) as a new institute and corporate vehicle on the supranational level. The paper offers information about creation of the European company according to Comunitary and Czech national law and its corporate structure and mentions several concrete cases of company creation or transformation. The end of the study is dedicated to an analysis of the current usage of European company and advantages and disadvantages of this legal form of trading company together with a summary of current experience with the existence of European company and with the possible future of transnational companies within European Union.

Selected Songs for Chamber Winds and Soprano: Rediscovering a Forgotten Repertoire of John Philip Sousa

For over one hundred years, the music-going public has reflected on the life and influence of America's “March King,” John Philip Sousa. His popularity as a bandleader was unprecedented, and his reputation as an entertainer captivated the imagination and intrigue of a nation. Sousa's fame was attained through the high standards showcased by his unparalleled concert organization, the Sousa Band. He is interminably linked to the march, and for his seventy-seven years he proved to be its prolific and outspoken champion. Sousa's songs, however, were among his favorite works, and their presence on concert programs reinforced a variety of programming that was the hallmark of his success. The Sousa Band served as a cultural and musical ambassador, and annual transcontinental tours brought music to people where they lived. Sousa's songs were highly anticipated concert features, and were presented by soprano soloists known as the “Ladies in White.” A chamber winds instrumentation, rather than employment of the full-forces of the Sousa Band, allowed for an appropriate musical balance between instruments and voice. The “Forgotten Songs of John Philip Sousa Project” involved the research, editing, and performance of songs housed in the Sousa Archives for Band Research at the University of Illinois. Three songs discussed in this study, “Maid of the Meadow,” “The Snow Baby” from The Bride Elect, and “I've Made My Plans for the Summer” have been edited and performed in their intended setting for chamber winds and soprano. The songs in the Sousa collection resonate with a quintessential essence that recalls an American spirit and artistry that are closely linked with John Philip Sousa and his legendary band.

Le portage salarial / Umbrella company

Salariat et indépendance : la contradiction est profonde. En France, le droit du travail a été largement bâti sur l'opposition entre travail salarié et travail indépendant. Or, depuis plus de 20 ans, s'est développé en France un nouveau mode d'organisation du travail dénommé « portage salarial ». Il constitue une pratique contractuelle triangulaire établie entre des professionnels autonomes, une société de portage salarial et des clients. Ce mode d’organisation permet à ces professionnels de pouvoir exercer leur activité de façon indépendante, sans contrainte administrative ni de gestion, tout en bénéficiant des garanties sociales attachées au statut de salarié. Suspecté d'illégalité mais satisfaisant à un indéniable besoin social, le portage salarial devait être encadré. La loi du 25 juin 2008 portant modernisation du marché du travail donne à cette pratique un fondement légal et confie aux partenaires sociaux le soin de l’organiser. Malgré l’existence d’un accord collectif de branche, signé le 24 juin 2010, le portage salarial ne fait l’objet d’aucun encadrement législatif. Face au mutisme du législateur et à l’indécision du juge, l’insécurité règne. Il importe alors d’établir précisément les fondements et le mécanisme du portage salarial. Bien que périlleuse, cette quête d’un régime juridique mérite d’être entreprise afin de répondre au mieux aux attentes et aux interrogations des travailleurs et des entreprises qui seraient amenés à utiliser cette formule. Salariat et indépendance : la contradiction n’est que superficielle. / The contradiction between wage-labor and independence is particularly deep. In France, labor law was mainly built upon the opposition which exists between the wage labor and independent labor regimes. However, the past 20 years gave rise to the development of a newsocioeconomic relationship between workers and their employers : the "umbrella company" regime. Such model consists in a three-party-contract involving independent professionals, an umbrella company, as well as a client company. This type of organization constitutes a means for professionals to operate a non-subordinate work environment deprived of administrative or management-related constraints, while benefiting from all the social advantages pertaining to the wage-labor status. Initially suspected of being illegal, yet providing an undeniable social necessity, the umbrella company system requires a specific framework. The statute dated June 25th, 2008 on the modernization of labor market provides a legal framework to this system and assigns trade unions the mission to organize the circumstances surrounding such framework. Despite the existence of an Agreement dated June 24th, 2010, the umbrella company system lacks a clear legislative framework. The legislative branch's silence combined to the judicial branch's indecision triggers off a situation of significant insecurity on a legal point of view. The implementation of clear legal grounds and mechanisms applicable to the umbrella company regime is thus of the utmost necessity. Although such process is synonymous with a perilous quest, it seems particularly relevant to undertake it in order to come up with the expectations and questions of both the workers and the companies. The contradiction between wage-labor and independence is particulary superficial.

It was proposed a generic model to set up the performance indicators in a small sized drugstore which produces tailored made and prescribed chemical formulas. In order to compose the system design, a theoretical revision was carried out, broaching some proposals commonly developed in big companies. The work developed a revision of the strategic positioning, the formulation of SWOT analysis and the obtaining of strategic map for the company.Counting on a defined profile, it was set up on this basis in an appraisal system which substantiated BSC and from it indicators for entrepreneurial performance appraisal were set up. The development of this proposed work was centralized in the company Pharmakon Farmácia de Manipulação e Homeopatia ( Pharmakon Drugstore which produces tailored made and prescribed chemical formulas and Homeopathies), which has a structure classified as a small sized company. This work developed the review of strategic positioning, formulation of SWOT analysis and the obtaining of strategic map for the company. The consequences of implementation related to the work shown, considering the limitations of generalization of study case, can be adapted to other researches, besides being a useful subside for BSC implementation in other companies classified as small or medium ones / O objetivo deste trabalho consiste em desenvolver um sistema de avaliação de desempenho a partir das premissas desenvolvidas pelo BSC, por meio de um estudo de caso com pesquisa participante e abordagem qualitativa. Foi proposto um modelo genérico para a configuração dos indicadores de desempenho em uma farmácia de manipulação de pequeno porte. Para compor o desenho do sistema foi feita uma revisão teórica, abordando algumas propostas comumente desenvolvidas em empresas de grande porte. Com o perfil definido, foi configurado nessa base um sistema de avaliação fundamentado no BSC, e a partir dele foram estabelecidos os indicadores para a avaliação da performance empresarial. O desenvolvimento do trabalho foi centrado na empresa Pharmakon Farmácia de Manipulação e Homeopatia, que apresenta uma estrutura classificada como de pequeno porte. O trabalho desenvolveu a revisão do posicionamento estratégico, a formulação da análise SWOT e a obtenção do mapa estratégico para a empresa. Os reflexos da implementação do trabalho apresentado, considerando as limitações da generalização do estudo de caso, podem ser adaptados a outras pesquisas, além de servir de subsídio para implementação do BSC a outras empresas classificadas como de médio e pequeno porte

En tant que juge administratif spécialisé, le juge financier, entendu au sens de la Cour des comptes, des Chambres régionales des comptes et de la Cour de discipline budgétaire et financière, dispose d'une compétence d'attribution. Il lui revient ainsi d’assurer le respect des règles budgétaires et de la comptabilité publique. La perspective visant à apprécier le juge financier en tant que juge administratif, c'est-à-dire en tant que juge administratif de droit commun, peut dès lors soulever certaines objections. Néanmoins, la jurisprudence financière démontre de nombreuses et régulières interventions du juge financier comparables à celles d’un juge administratif. L’application des règles du droit administratif, les qualifications opérées, les contrôles sur les actes administratifs relevant d’un contrôle de légalité sont autant d’illustrations de ce rôle joué, de façon inattendue, par le juge financier. Ces activités, a priori non naturelles pour ce dernier, devaient dès lors inciter à orienter l’analyse autour des raisons pour lesquelles les juridictions financièresse trouvaient en position de juge administratif. Pouvaient alors être distinguées deux cas de figure. D’une part, il apparaissait nécessaire pour le juge financier, dans certaines hypothèses, d’agir tel le juge administratif. D’autre part, le juge financier affirmait, dans certains cas, une véritable volonté d’intervenir comme tel / As a specialised administrative judge, the financial judge, understood in the sense of the Auditors Court, of the regional Auditors Courts and of the Court of budgetary and financial discipline, has a ratione materiae jurisdiction. It is the judge’s duty to ensure compliance with budgetary and national accounting rules. The perspective tending to view the financial judge as a administrative judge, that is to say as an ordinary administrative judge, may consequently give rise to certain objections.However, financial case law shows numerous and regular interventions of the financial judge that are comparable to those of an administrative judge. The enforcement of administrative law rules, the descriptions made, the controls on administrative acts and documents subject to a control of legality are as many illustrations of the role played, unexpectedly, by the financial judge. These activities, a priori not natural for the latter, were consequently to incite to orientate the analysis towards the reasons why the financial courts were acting as administrative judges. Two scenarios could then be distinguished. On the one hand, it appeared necessary for the financial judge, in some cases, to act just like anadministrative judge. On the other hand, the financial judge maintained, in others cases, a true will to intervene as one

The way in which the constitutional jurisdiction treats political rights will allow to recognize flaws in the principle of justification of judicial decisions. As a hypothesis, it will recognize fundamental rights as a historical product of social struggles, whose rich and polysemic semantic structure has allowed the deconstruction of its original meaning as opposed to moral judgments extraneous to the codes of legal meanings. The use of procedural or discursive models of justification of the law has allowed the smashing of the free exercise of political rights / A presente dissertação objetiva identificar posturas ativistas ou decisionistas por parte do Supremo Tribunal Federal utilizando-se como parâmetro para seu desenvolvimento o julgamento do caso da “Lei da Ficha Limpa”, que reduziu a possibilidade de exercício dos direitos políticos em afronta direta a princípios constitucionais basilares como a presunção da inocência. O modo pelo qual a jurisdição constitucional vem tratando os direitos políticos permitirá reconhecer falhas no princípio de fundamentação das decisões judiciais. Como hipótese, reconhecerá os direitos fundamentais como produto histórico das lutas sociais, cuja estrutura semântica rica e polissêmica tem permitido a desconstrução de seu sentido originário em contraposição a juízos morais estranhos aos códigos de significados jurídicos. A utilização de modelos procedimentais ou discursivos de fundamentação do direito tem permitido o malbarateamento do exercício livre dos direitos políticos

<p>Detta arbete har undersökt skillnaderna mellan den nuvarande skogsvårdslagen och den föregående. Undersökningen har bestått av två delar, där ena delen är en litteraturstudie av lagarna och den andra är en fältstudie av metoder för att mäta naturhänsynsförändring. Som komplement till fältstudien har en litteraturstudie av undersökningsparametranas naturvårdsnytta. Litteraturstudien av lagarna gick till på följande sätt, inledningen av båda lagarna och hänsynsparagraferna har lästs och jämförts. Fältstudie har gjorts efter metoder som har arbetats fram och sedan testats i fält. De undersökningsområden som har testats är stående död ved med undergruppen konstgjorda högstubbar, grova träd, hänsynsytor, trädslagsfördelning och boträd. Testningen skedde i trakterna kring Orsa i Dalarnas län. Resultatet blev att hälften av undersökningsområdena skulle kunna användas i en större studie efter några modifikationer. Andra hälften av undersökningsområdena kan det inte på grund av att referensdata saknas. Lagstudien visade att den största skillnaden mellan de båda lagarna ligger i att i den nuvarande har man jämställt miljömålet med produktionsmålet. Det finns även en attitydförändring till en större öppenhet mot naturvård i den nya lagen.</p> / <p>This work has examined the difference between the new forestry actand the previous one. The research has been divided in two parts, one is a literature study of the law and the other is a field study of methods for measuring the change in consideration of nature. For the field study methods have been worked out and tested in the field. The research parameters that have been tested are standing dead wood with subgroup man made snags, thick trees, consideration of nature areas, distribution of tree species and nesting trees. The field testing were made in the neighboring forest of the city Orsa in the administrative province of Dalarna.The results of the field methods are that half of the methods have a possible use in a larger study with some modifications. The other half are missing references data to be useful.The biggest differences between the laws are that in new law the goals for production and environment care are equal. There is also an change in attitude towards greater consideration of nature.</p>
