Eliminierung negativer Effekte autokorrelierter Prozesse an Zusammenführungen

Im Kern der vorliegenden Arbeit wird eine neue Vorfahrtstrategie zur Steuerung von Materialflüssen an Zusammenführungen vorgestellt. Das Hauptanwendungsgebiet stellen innerbetriebliche Transportsysteme dar, wobei die Erkenntnisse auf beliebige Transport- bzw. Bediensysteme übertragbar sind. Die Arbeit grenzt sich mit der Annahme autokorrelierter Ankunftsprozesse von bisheriger Forschung und Entwicklung ab. Bis dato werden stets unkorrelierte Ströme angenommen bzw. findet keine spezielle Beachtung autokorrelierter Ströme bei der Vorfahrtsteuerung statt. Untersuchungen zeigen aber, dass zum einen mit hoher Konfidenz mit autokorrelierten Materialflüssen zu rechnen ist und in diesem Fall zum anderen von einem erheblichen Einfluss auf die Systemleistung ausgegangen werden muss. Zusammengefasst konnten im Rahmen der vorliegenden Arbeit 68 Realdatensätze verschiedener Unternehmen untersucht werden, mit dem Ergebnis, dass ca. 95% der Materialflüsse Autokorrelation aufweisen. Ferner wird hergeleitet, dass Autokorrelation intrinsisch in Materialflusssystemen entsteht. Die Folgen autokorrelierter Prozesse bestehen dabei in längeren Durchlaufzeiten, einem volatileren Systemverhalten und höheren Wahrscheinlichkeiten von Systemblockaden. Um die genannten Effekte an Zusammenführungen zu eliminieren, stellt die Arbeit eine neue Vorfahrtstrategie HAFI – Highest Autocorrelated First vor. Diese priorisiert die Ankunftsprozesse anhand deren Autokorrelation. Konkret wird die Vorfahrt zunächst so lange nach dem Prinzip First Come First Served gewährt, bis richtungsweise eine spezifische Warteschlangenlänge überschritten wird. Der jeweilige Wert ergibt sich aus der Höhe der Autokorrelation der Ankunftsprozesse. Vorfahrt bekommt der Strom mit der höchsten Überschreitung seines Grenzwertes. Die Arbeit stellt ferner eine Heuristik DyDeT zur automatischen Bestimmung und dynamischen Anpassung der Grenzwerte vor. Mit einer Simulationsstudie wird gezeigt, dass HAFI mit Anwendung von DyDeT die Vorzüge der etablierten Vorfahrtstrategien First Come First Served und Longest Queue First vereint. Dabei wird auch deutlich, dass die zwei letztgenannten Strategien den besonderen Herausforderungen autokorrelierter Ankunftsprozesse nicht gerecht werden. Bei einer Anwendung von HAFI zur Vorfahrtsteuerung können Durchlaufzeiten und Warteschlangenlängen auf dem Niveau von First Come First Served erreicht werden, wobei dieses ca. 10% unter dem von Longest Queue First liegt. Gleichzeitig ermöglicht HAFI, im Gegensatz zu First Come First Served, eine ähnlich gute Lastbalancierung wie Longest Queue First. Die Ergebnisse stellen sich robust gegenüber Änderungen der Auslastung sowie der Höhe der Autokorrelation dar. Gleichzeitig sind die Erkenntnisse unabhängig der Analyse einer isolierten Zusammenführung und der Anordnung mehrerer Zusammenführungen in einem Netzwerk. / The work at hand presents a novel strategy to control arrival processes at merges. The main fields of application are intralogistics transport systems. Nevertheless, the findings can be adapted to any queuing system. In contrast to further research and development the thesis assumes autocorrelated arrival processes. Up until now, arrivals are usually assumed to be uncorrelated and there are no special treatments for autocorrelated arrivals in the context of merge controlling. However, surveys show with high reliability the existence of autocorrelated arrivals, resulting in some major impacts on the systems\' performance. In detail, 68 real-world datasets of different companies have been tested in the scope of this work, and in 95% of the cases arrival processes significantly show autocorrelations. Furthermore, the research shows that autocorrelation comes from the system itself. As a direct consequence it was observed that there were longer cycle times, more volatile system behavior, and a higher likelihood of deadlocks. In order to eliminate these effects at merges, this thesis introduces a new priority rule called HAFI-Highest Autocorrelated First. It assesses the arrivals\' priority in accordance to their autocorrelation. More concretely, priority initially is given in accordance to the First Come First Served scheme as long as specific direction-wise queue lengths are not exceeded. The particular thresholds are determined by the arrival processes\' autocorrelation, wherein the process with the highest volume gets priority. Furthermore, the thesis introduces a heuristic to automatically and dynamically determine the specific thresholds of HAFI-so called DyDeT. With a simulation study it can be shown that HAFI in connection with DyDeT, combines the advantages of the well-established priority rules First Come First Served and Longest Queue First. It also becomes obvious that the latter ones are not able to deal with the challenges of autocorrelated arrival processes. By applying HAFI cycling times and mean queue lengths on the level of First Come First Served can be achieved. These are about 10% lower than for Longest Queue First. Concomitantly and in contrast to First Come First Served, HAFI also shows well balanced queues like Longest Queue First. The results are robust against different levels of throughput and autocorrelation, respectively. Furthermore, the findings are independent from analyzing a single instance of a merge or several merges in a network.

公司治理體系下控制權市場之定位 / The Role of Control Market in the Framework of Corporate Governance

本文主要探討公司治理體系下控制權市場所發揮之功能,內容大致上分為四個部分。第一部分先就公司治理理論以及不同體系加以介紹,從Ronald H. Coase交易成本理論、Berle & Means五種公司類型,以及代理理論說明公司治理的理論基礎,再分別介紹OECD以及World Bank的公司治理架構,而控制權市場則是公司治理體系下,外部治理機制的一項重要工具,最後就美國、日本與我國的公司治理體系加以介紹。 第二部分則是說明企業併購促使控制權市場發揮治理成效之主要活動,因此,分別就美國、日本與我國企業併購之概況加以闡述。美國歷經了五次併購風潮,有其經濟、文化等結構性因素,而日本與我國過去並未發生併購風潮,然而隨著結構性因素的改變,再加上全球化的浪潮,日本與我國併購活動有逐漸加溫之趨勢。 視敵意併購為控制權市場之主要利器,這是因為企業雖然有可能因為善意併購後,改善效率進而增加股東權益,有助於公司治理,但敵意併購活動更兼具威嚇現任經營者之效果,因此,敵意併購活動於公司治理體系上,一方面可汰換不適任經營者,另一方面亦可對現任經營者造成威嚇使其不敢進行有礙於股東權益之情事。而主併者進行敵意併購,主要可行的途徑有二:一為收購股權,另一為委託書徵求。就法制面而言,則見諸公開收購以及委託書管理相關規定。 第三部分開始探討敵意併購法制,本文分別介紹了美國、日本以及我國公開收購制度,目前我國已從事先核准制修正為事先申報制,與美國、日本之申報制相近。但對於公開收購定義則大相逕庭,美國採八項要素判斷,日本與我國則加以明確定義。另外股東平等原則部份,美國、日本與我國同採「比例分配制」,關於禁止變更收購條件的範圍,則是美國最寬鬆因此有利於主併者,而日本最嚴格。至於美國州法下的反併購條款在我國與日本並未出現。而關於我國引進強制公開收購制度,本文分別引述支持與反對者之意見,並基於促進併購活動發生有利於公司治理此一面向,說明強制公開收購制度可能之影響。 第四部份探討美國、日本與我國關於委託書徵求相關制度,就資訊公開的內容而言,美國、日本與我國相關規定大同小異,但徵求人資格限制以及徵求股份總數限制為我國獨有,況且因公司派掌握紀念品的製作權以及發放權,加上相關規定使投信事業必須支持符合持股成數之之公司董事會提出之議案或董事、監察人候選人,且又就使用股東名冊的難易程度而言,我國委託書徵求相關規定實對現任經營者較有利。 而關於委託書價購與否之爭論,本文分別就正反兩方之理由加以介紹,後從公司治理之角度出發,認為收購委託書可能使管理者有更多經濟上誘因進行舞弊,有礙於公司治理,故應禁止之。 最後比較公開收購制度與委託書徵求制度二者,分別從所需資金、成本風險控制、實施之便宜性以及公司治理角度,希冀我國未來公開收購制度能善加運用,發揮公司治理之功效。文末並提出相關建議,以供將來之研究或主管機關作為參考。 / This dissertation mainly discusses the role of control market in the framework of corporate governance. It is composed of four parts. The first part introduces relevant theories of corporate governance, including Ronald H. Coase’s “transaction cost theory”, Berle & Means’ “five types of corporation”, and agency theory. Then the diverse frameworks of corporate governance including OECD, World Bank, in which control market is indicated as a significant external mechanism, are illustrated. At last, the U.S., Japan, and Taiwan's frameworks of corporate governance are introduced respectively. The second part explains that the merges & acquisitions (M&A) is one of the major activities that make control market operate effectively. Then the general situations of the M&A in the U.S., Japan, and Taiwan are introduced. Taken as a main mechanism of control market, hostile takeover not only strikes inefficient managers but menaces the incumbent from fraud. Two major feasible approaches of hostile takeover are purchasing stocks and soliciting proxies. The rules of tender offer and proxy contest are relevant. The third part discusses the legal institution of hostile takeover. The rules of tender offer of U.S., Japan, and Taiwan are introduced. Then the similarities and dissimilarities between the rules from the definitions of tender offer, equal treatment to shareholders, and anti-takeover strategies are detailed. At the end of this part, different points of view about mandatory tender offer and its relation with corporate governance are discussed. The fourth part explores (investigates) the rules of proxy contest of the U.S., Japan, and Taiwan. They are similar in the disclosure principle, but only Taiwan set limitations on the qualification of solicitors and the amount of proxies. In addition, the incumbent in Taiwan have the control over the manufacturing and delivery of the tokens for shareholders in annual meetings. What’s more, regulations force the institute-investors to support the incumbent. In conclusion, the proxy rules in Taiwan favor the incumbent. Also, the arguments over proxy purchase and its relation with corporate governance is mentioned. At last, this paper compares tender offer with proxy soliciting in several aspects: the fund needed, risk control, convenience, and corporate governance. In the end, the conclusion provides some suggestions for legislators and future studies.

The focus of the work lies with the dissonance between discourse and the result of that process, raising the hypothesis that capital market pressure is behind such restructuring. The annual reports of this company portray the restructuring as a recurring corporate strategy, through which the company seeks to boost confidence in the capital market itself and its ability to deliver better results (or reverse bad ones) without, however, such results are achieved in fact, as this case study aims to show. This institutional literature proved to be a flagship tool company speech aimed at telling the actors of the capital market, stories about the strategies set in motion in defense of the interests of shareholders. The examination of such documents for this case study revealed that these strategies unfold in sometimes more tangible actions, sometimes more performing ones and, while restructuring proved to be more performing actions; the strategy of acquisitions / divestiments in series proved to be the most tangible ones. / Este trabalho apresenta um estudo de caso sobre o processo de reestruturação da operação brasileira de uma multinacional americana centenária, fabricante de equipamentos industriais e presente na Fortune 500. O foco do trabalho recai sobre a dissonância entre o discurso e o resultado desse processo, levantando a hipótese de que a pressão do mercado de capitais esteja por trás de tal reestruturação. Os relatórios anuais desta empresa retratam a reestruturação como uma estratégia corporativa recorrente, através da qual, a empresa busca reforçar a confiança do mercado de capitais em si e em sua capacidade de oferecer melhores resultados (ou reverter os ruins), sem que, no entanto, tais resultados sejam alcançados de fato, como o presente estudo de caso pretende mostrar. Tal literatura institucional revelou-se uma ferramenta emblemática do discurso da empresa que visa contar aos atores do mercado de capitais, histórias sobre as estratégias colocadas em movimento em defesa dos interesses dos acionistas. Nesse ambiente de competição extrema, o acúmulo do poder econômico assumiu um novo significado para os agentes econômicos e tornou-se verdadeira garantia de sobrevivência comercial. As concentrações econômicas, portanto, apresentaram-se como meio eficaz para combater os obstáculos impostos por este novo e desconhecido mercado, de modo que sua utilização foi até mesmo incentivada por vários Estados, como instrumento de fortalecimento das economias nacionais. Porém, muito embora as concentrações econômicas possam trazer aumento de tecnologia, diminuição dos preços ao consumidor, melhoria na qualidade dos produtos e serviços, entre outros benefícios; podem também representar um grande risco à manutenção da higidez dos mercados, decorrente do uso irrazoável do poder econômico por parte desses agentes em detrimento ao bem-estar dos consumidores e da economia. Nesse contexto, um conceito passa a adquirir importante relevância na ordenação dos mercados: a defesa da concorrência. A defesa da concorrência é hoje atuada pelos Estados não mais como um instrumento para a correção de distorções tópicas, mas sim como um verdadeiro instrumento de políticas públicas, que buscam garantir a manutenção de mercado saudável e competitivo, tutelando os consumidores e a economia como um todo, através da efetivação dos princípios da livre iniciativa, livre concorrência e da repressão ao abuso do poder econômico. No que diz respeito às concentrações econômicas, a solução para equilibrar o conflito de valores por elas... / Over the last decades, remarkably since the 80’s, the world-wide globalization and economy liberalism along with technology breakthroughs as well as deep domestic economies changes have all significantly altered the markets trade competition standards. Amid such a highly competitive scenario, the economic power control has both acquired a novel meaning for the economy players and become a commercial survival true guarantee. Thus economical concentrations have shown to be effective in overcoming the pitfalls posed by this unknown new market. Therefore, several States have been encouraging such a model even as a tool to strengthen domestic economies. Yet, although economical concentrations might bring about a technological boom, lower prices to the final consumer, and an improved products and services quality, they may also represent a high risk to robust markets maintenance due to this economical power mismanagement which tends to neglect both the consumers’ and the economy’s well-being. Thus, a major concept has been playing a crucial role in ordering markets: the trade competition defense. Nowadays, States have no longer been defending trade competition as a mere tool to fix topical misplacements, but as a true public policies instrument aimed at assuring a sustained healthy competitive market on which consumers and economy are protected as a whole by means of effective liberal principles, free trade competition, and by fighting economical power abuse. As to the economical concentrations, a solution to balance the emerging values conflict lies on the trade competition control, once allowing the use of abusive economical power and other hazardous trading practices has shown to be as damaging as not enjoying the advantages provided by the economical concentrations.
