[pt] A Oferta Publica Inicial de Ações (IPO) tem sido objeto de estudo em
diversos países, em função da importância destas operações, principalmente em
mercados desenvolvidos. Especialmente no Brasil, este ainda é um assunto
relativamente novo, com crescimento no volume de operações nos últimos anos.
Este trabalho busca avaliar as operações através da metodologia de Múltiplos,
verificando se as empresas foram superavaliadas, ou tiveram seu valor
subestimado. Em seguida, foi estimado o custo de capital próprio das empresas,
com base nas informações disponíveis no momento da operação e comparado ao
retorno observado após o lançamento. Da mesma forma, foi estimado o beta, com
base na média de cada setor e comparado ao realizado nos meses seguintes,
buscando testar a assertividade das estimativas utilizadas para o cálculo do Custo
de Capital. O presente trabalho teve como ponto de partida o estudo realizado por
Felipe Casotti (2007), analisando as operações entre 2004 e 2006, tendo agora
uma amostra maior e um histórico mais longo de dados, possibilitando análises
mais robustas e resultados mais conclusivos. É possível constatar que as
precificações das emissões não foram superestimadas, pois apesar das altas
valorizações no curto prazo, os retornos de longo prazo ficaram abaixo do médio
do mercado e em linha com o Custo de Capital estimado. / [en] Initial Public Offerings (IPO) have been the subject of studies in many
countries due to its importance, mainly in developed markets. Especially in Brazil,
it is still a new topic, as the number of operations has grown over the last years.
This research intends to evaluate these operations, using the Relative Valuation
Methodology, to verify if the companies were overpriced or underpriced.
Following that, the Cost of Equity for these companies was estimated, based on
the information available at the time of the offer and then compared to the return
observed after the shares issue. Besides that, the beta was estimated based on the
average for each industry, and then compared to the actual observed on the
following months, aiming at testing the accuracy of the estimate used in the Cost
of Capital calculation. This research was based on a previous study, undertaken by
Felipe Casotti (2007), which analyzed the operations between 2004 and 2006,
with the added benefit of now having a larger sample and a longer record of actual
data, enabling more robust analyses and more conclusive results. It is possible to
observe that the price of IPOs were not overestimated, as despite the high upsides
in the short term, the returns in the long run performed below market average and
were very close to the estimated Cost of Capital.

[pt] O presente estudo tem por objetivo entender as variáveis
que influenciam de
forma positiva ou negativa o custo de capital e também o
valor das empresas. As
empresas se encontram inseridas em um ambiente que lhes
exerce forças externas,
sejam elas econômicas, fiscais e financeiras, sociais,
políticas e institucionais,
legais ou regulatórias, internacionais e tecnológicas. A
compreensão dos fatores
sistêmicos e o impacto das suas mudanças na empresa tem
sido um dos grandes
desafios da economia moderna, dando a maior correlação
entre a macro e a
microeconomia. É também apresentada uma revisão da
literatura nacional e
internacional sobre a competitividade das nações e as
metodologias mais
utilizadas para o cálculo do custo de capital e avaliação
de uma empresa. Portanto,
o estudo foi efetuado com base nos dados anuais de
competitividade dos países
produzidos pelo IMD (International Institute for
Management Development) e os
dados de valores de empresas fornecidos pelo MSCI (Morgan
Stanley Capital
Index). Além disso, optou-se por segregar estes países de
acordo com seu estágio
de desenvolvimento, ou seja, emergentes e desenvolvidos.
Para isso, foram
utilizados os métodos estatísticos conhecidos como
Regressão Múltipla, assim
como uma pesquisa profunda nos artigos sobre este tema.
Por fim, os resultados
serão expostos e as conclusões apresentadas. / [en] The present study has the objective of understand the
variables influencing
positively or negatively the capital cost and the value of
companies. Companies
are inserted in an environment that exerts external
forces, such as economic, fiscal
and financial, social and institutional, legal or
regulatory, international and
technological. The understanding of systematical factors
and the impact of those
changes in the company have been one of the great
challenges of the modern
economy, giving to the biggest correlation between the
macro and the micro
economy. It is also presented a revision of national and
international literature on
the competitiveness of the nations and the methodologies
more used for the
calculation of the capital cost and valuation of assets.
Therefore, the study was
accomplished with the annual data of The World
Competitiveness Yearbook
produced by IMD (International Institute for Management
Development) and an
index provided by MSCI (Morgan Stanley Capital Index) with
the market value of
companies. The countries were separated by their
development stage, such as
emerging and developed countries. For this, it was used
the statistical method
known as Multiple Regression, as well as, some articles on
this subject. Finally,
the results will be displayed and the conclusions
presented.

[pt] A precificação das ações emitidas em ofertas públicas
iniciais tem sido alvo
de estudos em diversos países. Abordando o conceito de
avaliação por múltiplos,
este trabalho busca verificar se as ações das empresas
estavam sub-avaliadas ou
super-avaliadas no momento das suas Ofertas Públicas
Iniciais (Initial Public
Offerings). Posteriormente, são determinados os custos de
capital próprio
adotados na emissão, verificando-se a diferença entre
betas
utilizados no modelo
CAPM, no momento da IPO, e os betas dos 12 meses após a
oferta inicial. Para
tal, foi utilizada uma amostra composta por empresas que
abriram capital entre
2004 e 2006. Observou-se que as ações não foram sub-
avaliadas, mesmo após
serem observados elevados retornos iniciais. No entanto,
não há evidências
estatísticas de que foram super-avaliadas. Por fim,
verificou-se que os betas de 12
meses são significativamente maiores do que os betas
utilizados no momento da
precificação. Como esperado, o modelo CAPM determinou
retornos abaixo dos
retornos ocorridos após a emissão. / [en] The pricing of assets issued in initial public offerings
has been the subject
of many studies in several countries. Using the concept of
relative valuation,
this study intends to verify if the shares of selected
companies were undervalued
or not at the time of their IPOs (Initial Public Offering).
Later, the cost
of equity is determined and betas used in the CAPM model,
at the time of the
IPO, and the betas verified 12 months after the initial
issue are compared. The
sample is composed of companies with IPOs during the period
2004-2006. The
results show that the shares were undervalued, although
high initial returns
were observed. However, there is no statistical evidence
that they are overvalued.
Finally, it was found that the betas after 12 months are
significantly higher
than the ones used at the time of the pricing. As expected,
the CAPM model
determined returns below the returns that occurred.

[pt] A estimação do custo de capital próprio em mercados
emergentes é uma tarefa relevante para diversos grupos:
investidores internacionais, investidores locais,
administradores e até os reguladores. Diante disso, essa
dissertação de mestrado tem, portanto, quatro objetivos
principais: (i) discutir de maneira crítica os aspectos
teóricos dos modelos de avaliação de custo de capital
próprio em mercados emergentes existentes na literatura;
(ii) apresentar e discutir as principais metodologias
existentes para a estimação dos parâmetros dos modelos de
avaliação de custo de capital próprio; (iii) realizar uma
aplicação comparativa desses modelos nos mercados acionários
argentino, brasileiro, chileno e mexicano de maneira a
avaliar o impacto da escolha de determinado modelo de
avaliação de custo de capital próprio sobre as decisões
dos investidores e reguladores; e (iv) avaliar o poder
explanatório das medidas de risco dos modelos analisados
sobre os retornos futuros. Os resultados obtidos indicaram,
de uma maneira geral, que: (i) a escolha de determinado
modelo de avaliação de custo de capital próprio por parte
do investidor influencia diretamente a tomada de decisões
desse investidor, seja sobre a decisão de macro-alocação de
recursos entre países ou sobre a escolha do grau de
exposição a determinado país; (ii) as medidas de risco do D-
CAPM (downside betas) apresentaram um poder explanatório
maior sobre os retornos futuros das ações de empresas
Argentinas, Brasileiras, Chilenas e Mexicanas analisadas e
foram também mais úteis para a construção de portfólios,
entretanto, não foi possível identificar uma medida de
risco em especial que apresentasse desempenho superior
simultaneamente em todos os mercados em questão. / [en] Cost of equity valuation in emerging markets is a relevant
task for many groups: international investors, local
investors, business administrators and regulators.
Therefore, this dissertation has four main objectives: (i)
to discuss critically the theoretical aspects of the cost
of equity valuation models that have been proposed to
emerging markets; (ii) to discuss the mainstream
methodologies applied in the cost of equity valuation
models for the parameters estimation; (iii) to implement
the CAPM and D-CAPM cost of equity valuation models in
Argentinean, Brazilian, Chilean and Mexican companies with
the aim to make various kinds of comparative analysis and
to evaluate the impact of the model choice upon investors
decisions; and (iv) to evaluate the explanatory power of the
risk measures against future returns. The results indicate
that: (i) the choice of the cost of equity valuation model
has a relevant impact upon investors decisions regarding
asset allocation; (ii) the downside risk measures (downside
betas) had a better explanatory power against future
returns for Argentinean, Brazilian and Mexican companies
and also have been more useful in portfolio construction.
Nevertheless, there was no single risk measure that
performed better simultaneously in all the markets being
analyzed.

[pt] Em uma indústria sujeita à regulamentação, o Custo Médio
Ponderado de Capital -
CMPC é parâmetro fundamental para a determinação da
remuneração justa dos fornecedores
de capital das empresas reguladas (investidores e
credores), bem como para determinar a
tarifa módica para o consumidor dos produtos ou serviços.
Sabendo que as indústrias
reguladas prestam, em geral, serviços básicos e de infra-
estrutura, toda a sociedade é atingida
pelas decisões a respeito desse custo, e sua determinação
é parte importante das atividades do
regulador. A teoria que suporta o conceito do CMPC
remonta ao final da década de 50 e se
encontra consagrada nos meios acadêmicos, empresariais e
normativos. Entretanto, a
metodologia para a determinação dos seus componentes
prospectivos, ou seja, a determinação
de qual será o CMPC no futuro, encontra divergências
entre os principais autores e apresenta

cost of capital (CMPC) is
important to the regulatory framework in order to establish
both the fair return to the capital
providers (investors and creditors) of the regulated
companies, as well the reasonable price of
goods or services for the customers. The regulated
industries provide, in general, basic or
infrastructure services and, as the whole society is
affected by decisions about this cost, the
determination of such is an important part of the
regulators activities. The theoretical
foundations supporting the concept of the weighted average
cost of capital (CMPC) date back
to the 1950 s and are solidly established in the academic
and business circles, as well as in the
regulating entities. The methodologies applied to estimate
the expected weighted average cost
of capital (CMPC) in future years generate, however, some
controversy among the authors. In
addition, difficulties exist in gathering the necessary
data, especially in emerging markets
with small capital markets and a short history of political
stability. The objective of this
dissertation is to analyze the methodology employed by

challenge the investment

answered became: what are the

country? Upon analyzing the data, we see that, in emerging
countries, the cost of
capital is related to Employment, Education, Basic
Infrastructure, International
Investment and International Trade, while in developed
countries, it is related to
Basic Infrastructure, Prices, Public Finance and
Managerial Practices.

[pt] A presente dissertação tem por objetivo a análise empírica do desempenho
de uma amostra representativa das empresas brasileiras e de seus setores no
período compreendido entre 1999 e 2008, através da medida de desempenho que
tenha uma maior relação com o retorno dos ativos no mercado de capitais. A fim
de se alcançar este objetivo, fez-se necessário obter valores de medidas de
desempenho tradicionais das empresas, tais como o ROI, ROA, ROE e LPA e de
medidas baseadas na criação de valor para o acionista, como o EVA (Valor
Econômico Adicionado), para em seguida, correlacioná-los à medida de
desempenho externa, o MVA (Valor de Mercado Agregado), tida como a que
melhor reflete o retorno dos ativos, pois além de considerar o desempenho
corrente da empresa, leva em conta as expectativas futuras do mercado em relação
à mesma. Para este estudo, foram analisadas 47 empresas com capital aberto na
BOVESPA, distribuídas em 12 setores da economia brasileira. A mais alta
correlação obtida foi entre o EVA e o MVA da empresas, corroborando com a
afirmação da empresa detentora dos direitos sobre o EVA, Stern Stewart & Co.,
de que o EVA é uma medida superior de desempenho de empresas. Usando o
EVA como métrica de desempenho, foi observado que somente cinco das 47
empresas avaliadas construíram valor para o acionista ao longo da década, que os
setores de petróleo e de mineração foram os que mais criaram riqueza para o país,
e que o período associado ao governo Lula foi marcado por um acentuado
aumento das expectativas de crescimento de EVAs futuros. / [en] This essay aims the empirical analysis of the performance of a
representative sample of brazilian companies and their sectors over the period
1999-2008, through the measure of performance that has greater relation to the
return of assets in the capital market. In order to achieve this goal, it was
necessary to obtain values of traditional performance measures, such as ROI,
ROA, ROE and EPS, as well as measures based on the creation of shareholder
value, such as EVA (Economic Value Added), to, afterwards, correlate them with
the external performance measure, MVA (Market Value Added), regarded as the
one that best reflects the return of assets, because it considers the company s
current performance and takes into account future market expectations. This essay
was based on a sample of 47 companies traded on BOVESPA, distributed in 12
sectors of the Brazilian economy. The highest correlation obtained was between
EVA and MVA corroborating with Stern Stewart & Co’s statement that EVA is a
superior measure of business performance. When using EVA as the performance
measure, it was noted that only five of 47 companies evaluated built shareholder
value over the decade, that the petroleum and mining sectors were the ones that
have created more wealth for the country, and that the period associated with the
Lula’s Government was marked by a sharp increase in expectations of future
growth of EVAs.

stocks traded in the stock
market and, if they deliver return on capital below

capital is central to
Corporate Finance. It strongly impacts investment and
divestment decisions,
measures of profitability, and performance evaluation.
Continuing previous
academic studies about corporations in the U.S. and
Argentina, the objective of
this research is to know the practices in estimating the
cost of capital in Brazil.
Besides the relevance of the Cost of Capital as a subject,
by publishing the results
of this research and the resulting dissertation, we intend
to provide the academic
and corporate communities with a practical and ready-to-use

[pt] No período de 2004 a 2008, foram registradas, no Brasil, 199 ofertas
públicas de ações, sendo 111 ofertas iniciais de ações, basicamente abertura de
capital registrada na Bolsa de Valores de São Paulo; e 88 ofertas públicas de ações
registradas na Comissão de Valores Mobiliários, com finalidades diversas.
Utilizando uma amostra de 50 ofertas públicas, observamos as principais práticas
de avaliação de empresas adotadas pelos principais agentes financeiros que atuam
no país. Concluímos que as avaliações respeitam os principais modelos e
premissas discutidas no meio acadêmico, aplicando-os à prática, assim como com
o que é praticado em outros países, ajustando-se a realidade brasileira.
Observamos algumas diferenças quantitativas entre as ofertas iniciais de ações e
as ofertas públicas de ações, sendo que o segundo grupo se mostrou mais
conservador quanto às premissas adotadas. / [en] Between 2004 and 2008, 199 public stock offers were registered in Brazil,
of which 111 were initial stock offers, at the São Paulo Stock Exchange, Brazil’s
main stock exchange; and 88 public stock offer registered at Comissão de Valores
Mobiliários (Brazilian SEC), with several reasons. Using a sample of 50 public
offers, we observed the best practices adopted by the main financial appraisers in
Brazil. We concluded that these appraisers tend to use the better known models
and assumptions accepted in the academic world, according with what is practiced
in other countries, adjusted to Brazilian reality. We observed some quantitative
differences between the assumptions in the pricing of initial stock offers and
public stock offers, where the second one showed more conservative assumptions
than the first.

[pt] Este trabalho, O impacto dos Fundos de Private Equity no Custo de
Capital de Empresas Investidas no Brasil, tem como objetivo analisar elementos
da teoria de Custo de Capital juntamente com elementos da teoria de Private
Equity/Venture Capital (PE/VC). Supõe-se que fundos de PE/VC têm influência
sobre o desempenho e sobre o valor de curto e longo prazo das empresas através
do impacto de suas iniciativas sobre o custo de capital de empresas investidas.
Neste trabalho o custo médio ponderado de capital é calculado a partir de
estimativas do custo de capital próprio obtidas pelo método CAPM (Capital Aset
Pricing Model) ajustado para o Brasil e a partir de estimativas do custo de dívida,
baseadas na proporção representada por despesas financeiras sobre o valor médio
de empréstimos, debêntures e arrendamentos de curto e longo prazo. A introdução
de uma variável dummy representando o investimento de fundos de PE/VC
permite identificar o impacto da atuação destes fundos no custo de capital, o que
contribuirá para a discussão acerca dos fatores que influenciam o custo de capital
de empresas brasileiras. As regressões estimadas sugerem que os coeficientes
obtidos para grande parte das variáveis explicativas são estatisticamente
significantes e confirmam a maioria dos sinais esperados. A variável dummy
introduzida para controlar os efeitos dos investimentos de fundos de PE/VC
mostra-se significativa ao nível de 10 por cento, com efeito positivo sobre o custo de
capital.Este resultado sugere que fundos de PE/VC podem constituir uma fonte
alternativa de financiamento que influencia o custo de capital a partir do impacto
sobre o custo de capital próprio. Os resultados deste trabalho contribuem para
integrar as teorias de custo de capital e de Private Equity/Venture Capital, a partir
de estimativas que auxiliarão gestores corporativos e da área financeira na decisão
acerca da fonte de financiamento mais adequada. / [en] The present study,The Impact of Private Equity Funds on the Cost of
Capital of Invested Companies in Brazil, tries to combine elements from the
theory of cost of capital with that of Private Equity/Venture Capital (PE/VC).
Apart from performance improvements, it is expected that PE/VC funds influence
short and long term valuation of companies through their influence in the cost of
capital for invested companies. The weighted average cost of capital is estimated
having the cost of equity based on adjusted Capital Asset Pricing Model
(CAPM)and cost of debt based on the ratio between financial expenses and
average loans, debentures and short and long term financial rents. The
introduction of a dummy variable to account for PE/VC investment will indicate
any impact of such participant on the cost of capital.The analysis of the impact of
PE/VC may add to the discussion on the factors that influence Brazilian
companies cost of capital.Estimated regressions show significant coefficients for
most of the explanatory variables and confirm most of the expected signs. The
dummy introduced to control for investment by PE/VC funds is significant at the
10 percent level with a positive influence on cost of capital. Such result indicates
PE/VC funds may constitute an alternative source of financing that will influence
the cost of capital on the equity share of that cost. Since studies carried out so far
have done little to integrate both cost of capital and PE/VC theories, a quantitative
estimate the impact of PE/VC on cost of capital will shed light on managers
decision of funding sources.
