This master’s thesis will examine the concept of “fixed establishment” in VAT-law. The concept can be found in the new EC-directive on the common system of value added tax, however it has existed for thirty years in previous directives. Despite this, the legislator has never provided a proper definition of the concept. Its meaning has therefore evolved through the case-law of the ECJ. The Court has put forward a number of criteria which are all to be met if a fixed establishment is to be at hand. First of all the stablishment must have the human and technical resources necessary to provide the service. Furthermore the establishment need to be fully dependent on the parent company. This criterion may be fulfilled even though the establishment is a separate legal person. Finally the Court has held that the result of a transaction being taxed in the country where the fixed establishment is located must lead to a rational taxation result. This rational result is to be examined on a case-by-case basis. It seems clear that a scheme where a fixed establishment is being used with the sole purpose of avoiding VAT would not meet this requirement. The concept of fixed establishment is not to be confused with the concept of permanent establishment existing in income taxation. This latter concept is laid down by Article 5 of the OECD Convention. The two concepts share a common heart, however the ECJ has used the concept of fixed establishment to accommodate the needs of Community law in the field of VAT. Furthermore, this master’s thesis will examine what tax planning opportunities fixed establishments may provide. Swedish companies, primarily exempt taxable persons such as banks and insurance companies, may be tempted to establish fixed establishments in states with a low VAT-rate on professional services, i.e. services provided by consultants, engineers, lawyers and accountants etc. Exempt taxable persons are not entitled to deduct input VAT. By having the fixed establishment purchase the service in question abroad at a low rate of VAT and then forward the service to the main office, savings on VAT cost can be made. A VAT-saving scheme, based on reversed charge of VAT, may involve a Swedish company purchasing a service via a fixed establishment in Luxembourg at a VAT-rate of 15%. When the establishment subsequently forwards the service to the main office in Sweden no taxation will be made since the ECJ has held that transactions within the same legal entity are not taxable. The difference in VAT cost is ten percentage points which is what the Swedish head office saves by having the fixed establishment purchase the service rather than purchasing it directly from the provider. Similarly, a fixed establishment may be organised in Switzerland, outside the Community, where the VAT-rate is even lower. There are obstacles to these kinds of VAT-saving schemes, and these will be more thoroughly examined.

Generationsskifte i familjeägda aktiebolag : Särskilt arv och testamente

Det är naturligt att det flera gånger under ett företags livstid sker generations- och ägarskiften. Genomförandet av ett sådant skifte är en stor och krävande procedur som kräver noggrann planering och god framförhållning. Det handlar om stora summor pengar och ibland ovärderlig kunskap som skall förvaltas vidare av en kommande generation. De bör tidigt sättas in i företagets verksamhet för att underlätta den dag då skiftet väl sker. Tyngdpunkten i denna uppsats har lagts på oplanerade generationsskiften och särskilt efterlevande makes arvsrätt vad gäller arv av andelar i familjeföretag. Syftet är att visa på de fördelar och nackdelar denna metod har vid generationsskifte samt visa på svagheter i gällande lagstiftning. Ett planerat skifte under företagarens livstid är att föredra och det finns då ett antal olika metoder att tillämpa, som gåva och andelsbyte, intern aktieöverlåtelse, underprisförsäljning och testamente. De har alla sina fördelar och nackdelar. Det är dock ingen självklarhet att det finns någon i den yngre generationen som är intresserad att ta över familjeföretaget under företagarens livstid. Då kan försäljning till utomstående vara ett alternativ, något som bör planeras lika noggrant som ett vanligt generationsskifte. Emellertid kanske inte ett skifte sker medan företagaren är i livet, av olika orsaker, och det blir då istället de legala arvsreglerna som sätter in. Att vänta och inte planera skiftet av företaget, utan låta det gå i arv, är något som inte bör ske. Verksamheten sätts i en osäker sits. Leverantörer, kreditorer och anställda påverkas av situationen. Genom att upprätta testamente kan företagsledaren styra och bestämma lite mer, bland annat om vem eller vilka som skall få andelar i företaget. Även annan egendom kan tas upp i testamentet och en ekonomisk rättvisa kan då skapas inom familjen. Arv kan ”botas” genom användandet av testamente. Arvsreglerna är utformade så, att den efterlevande makan ärver före gemensamma barn och det gäller även enskild egendom. Det har ingen betydelse om barnen fått aktier i företaget och är mer lämpade än den efterlevande makan att ta över. Då inget generationsskifte skett innan ägaren avlider, blir det arvsreglerna som sätter in, oavsett omständigheterna. Finns särkullbarn med i bilden resulterar det i flera ägare till aktierna, vilket kan leda till interna konflikter beträffande makten i företaget. / For natural reasons, an alternation of generation and owners happen several times during the lifetime of a company. The realization of such distribution is a large and demanding procedure. One has to do careful and advance planning. A change of generations involves large sums of money and in most cases invaluable knowledge that the next generation can administer. In order to facilitate the alternation, the younger generation should at an early stage familiarize themselves with the business. The main focus in this thesis is non-planned successions and especially the right of inheritance for the surviving wife regarding inheritance of shares in family businesses. The purpose is to show both the advantages and the disadvantages when using this method in a change of generations, and to show the weaknesses in the existing legislation. A planned succession during the lifetime of the company owner is recommendable and there are a few different methods one can apply, such as gift and exchanges of shares, internal transfer of shares, sale of shares for a price below market value and a will. All of them have their advantages and disadvantages. However, it is not a matter of course that someone in the younger generation is willing to take over the family business during the lifetime of the company owner. An alternative in that situation is to sell the company to an external buyer, something that should be planned as carefully as a succession of generation within the family. Nevertheless, for different reasons a change of generation may not happen while the company owner is alive and in those cases the law system regarding legal inheritance will occur. A non planned succession puts the whole business in an insecure situation full of risks. Suppliers, creditors and employees are all affected by the situation. By drawing up a will, the company owner can control and decide who will inherit shares from the family business. Other properties, such as a summer house or profit from the business, can also be brought up in the will. By doing that a fair economic devision can be done. In other words, the use of a will can remedy the consequences of inheritance. The law system regarding legal inheritance says that the surviving wife inherits, both martial property and private property, before joint children. It is of no importance that the children are more suitable to take over the business. When no alternations of generations have taken place during the lifetime of the company owner, the rules of legal inheritance will occur, irrespective of the circumstances in each case. However, children to the deceased outside the marriage can cause internal conflicts when it comes to the power over the company.

The swedish rule concerning the treatment of employee stock-options have changed and the new wording of the rule will be applicable for the first time in 2010. The previous wording of the rule stated that the employee shall be taxed for the stock-option when moving abroad, even if the option is not exercised. The Swedish Skatteverket and Regeringsrätten have found that this rule is in conflict with the free movement of persons within the European Union. The new wording of the rule states that the employee shall be taxed when the option is excercised, no matter where the employee is situated. A state`s right of taxation of a stock-option determines wheter and to what extent the employee stock-otion derives from that state.

Gemenskapsinterna förvärv : Har Skatteverkets dokumentationskrav konstitutionellt stöd?

Gemenskapsinterna förvärv är ett uttryck för handel mellan näringsidkare i olika medlemsstater inom Europeiska gemenskapen (EG). Enligt huvudregeln i mervärdesskattelagen (1994:200) (ML) ska ett förvärv beskattas i ursprungsstaten, varifrån transporten påbörjas. Vid gemenskapsinterna förvärv finns det dock speciella regler framtagna för beskattningen, i syfte att undvika dubbelbeskattning. Reglerna innebär att säljaren blir undantagen från skatteplikt i dennes etableringsland medan köparen beskattas för förvärvet i sitt etableringsland. Den svenska lagstiftningen anger att för att ett gemenskapsinternt förvärv ska undantas från beskattning måste varan transporteras av säljaren, köparen eller någon för deras räkning från ett EG-land till ett annat. Vidare måste köparen vara registrerad som skattskyldig till mervärdesskatt i ett annat EG-land än det som varan utgick ifrån. För att detta ska vara möjligt krävs dock att transporten ut ur ursprungslandet kan styrkas. Sedan 1993 finns det inte längre några fysiska tullkontroller som kontrollerar vilka varor som rör sig över landsgränserna. På grund härav har Skatteverket uppställt krav på dokumentation som ska kunna frambringas för att undanta det gemenskapsinterna förvärvet från beskattning. Syftet med uppsatsen är att undersöka huruvida dokumentationskraven har konstitutionellt stöd och om de är förenliga med den skatterättsliga principen om neutralitet, samt om Skatteverkets rekommendation om att debitera mervärdesskatt som en försiktighetsåtgärd utgör ett hinder i den fria rörligheten. För att en bestämmelse ska anses ha konstitutionellt stöd krävs att det, enligt legalitetsprincipen, finns grundlagsstöd för bestämmelsen. Handlingar från Skatteverket får inte innebära en skärpning av en lagregel, eftersom de då riskerar att strida mot legalitetsprincipen. Dokumentationskraven utgör en otillåten utvidgning av lagtexten varför de inte kan sägas ha konstitutionellt stöd. För att en bestämmelse inte ska strida mot neutralitetsprincipen får olika handlingsalternativ inte innebära olikartad beskattning. Då det är olika svårt att frambringa tillräcklig dokumentation för att ett gemenskapsinternt förvärv ska kunna undantas från skatteplikt, beroende på vilket sätt en näringsidkare väljer att transportera varan, är dokumentationskraven inte förenliga med den skatterättsliga principen om neutralitet. Vidare utgör skatteverkets rekommendation om att, vid osäkerhet huruvida köparen kommer transportera varan ut ur landet, debitera mervärdesskatt på fakturan som en försiktighetsåtgärd en inskränkning i den fria rörligheten vilken inte kan rättfärdigas på grund av inbringandet av skatteintäkter till medlemsstaterna.

Skatteverkets tolkning av 3:9 och 3:10 IL. : Är tolkningen förenlig med lagstiftaren syfte?

Abstract The purpose of this bachelor thesis is to investigate whether Skatteverket’s interpretation of 3:9 and 3:10 IL is consistent with the legislator’s purpose with these rules. The bachelor thesis is written with a legal approach which seeks to use all sources of law in accordance to its legal source value. Individuals who are considered as tax residents in Sweden have the opportunity to be granted tax exemption according to the six-month-rule and the one-year-rule if the individual works abroad. If the income is taxed in the country of source and the individual has been working there for more than six months, the six-month-rule can be applicable. If the income has not been taxed in the country of source, the individual still can be granted tax exemption through the one-year-rule, but to do so he has to work in the same country for at least one year. Both rules require that the individual does not visit Sweden more than 72 days in a time span of one year. Skatteverket has, in its consideration, decided to add the 72 days on which an individual can visit Sweden with a new number of days, 24 days, which individuals can visit third countries. This means that Skatteverket is making it tougher for Swedish employees to be granted tax exemptions through the exemption rules. The aim of the exemption rules is, inter alia, to be an incentive to encourage Swedish employees to work abroad. Skatteverket’s consideration is preventing the purpose with the exemption rules because it prevents individuals to enjoy the positive effects of the mentioned rules. I believe that Skatteverket does not have any reason to interpret the rules this way according to the text of law or its government bill. My conclusion is that Skatteverket’s interpretation of 3:9 and 3:10 IL is not compatible with the objective of the legislator.
