台灣非營利組織治理原則之探討--以社會福利基金會為例

非營利組織對社會來說,象徵著社會善的一面,因此不是被蒙上善良、公益的面紗,就是被視為擁有較高的自我道德要求。非營利組織是社會正義、道德的維護者與實踐者,所以非營利組織被認為是不會做壞事的。在台灣非營利組織中,社會福利基金會在數量上是各類別基金會第二位,多數具有具體輸送的服務,以及多數資源來自組織外部的捐助與社會資源,因此本研究以台灣社會福利基金為為主要研究對象。事實上,台灣從過去1987年「彭昭揚社會福利基金會」事件 、1988年的「溫暖雜誌事件」 、到1999年的921大地震事件,都曾陸續發生以社會慈善之名誘發大眾善心,卻危害社會公益的弊案,在在都影響著公民社會中的信任資本。 企業界在2001年11月底,安隆(Enron)破產的消息震驚了一項深受美國投資人信任的華爾街。世界通訊(WorldCom)、泰科(Tyco)等投資者及分析師眼中的頂級企業陸續發生危機。虛構交易、浮報營收、竄改收支等,接二連三的企業醜聞讓投資人的信心盡失。在收拾殘局的同時,各國有識之士咸認為,重塑及強化「公司治理」是為斧底抽薪的根本療劑,經濟合作與發展組織(OECD)因此簽署了「治理原則」以為各國公司治理的標準與指南。本研究試圖以同樣的實務工作者的觀點將企業「公司治理」之原則,以跨界類比方式,探索以初步探討台灣「非營利組織之治理原則」。 本文結合理論與實務的面向分析,在分析過程中,結合質化與量化資料。探討台灣社會福利基金會的治理現況以及對治理原則的態度,研究方法並以質化為主,佐以量化方式,質化部份以立意抽樣七個社會福利基金會為對象,每個基金會深度訪談董事(長)及執行長,並對台灣基金新台幣一千萬元以上之426家社會福利基金會,以問卷調查方式收集資料。再將訪談資料作整理、歸類與分析,問卷資料則經過除錯、登錄,再以SPSS做統計。之後將訪談資料與問卷資料作對照、整理、歸類與分析解釋。 本文的研究價值為:本研究係以企業公司治理原則跨界類比至社會福利基金會之研究,在研究價值上是以跨界運用,並且是運用企業公司治理原則較周延的考量,突破過去台灣對基金會治理研究的以董事會或董事會與執行長的研究範疇,第三是研究者本身係跨社會工作與管理兩界,因此本研究雖為探索性研究,但是價值上已跨出原來社會福利與企業管理結合的研究。 本文在研究的貢獻上,計有對政策的、理論的以及實務上的貢獻:對政府的政策而言,台灣在推動基金會治理之時,由於是由近33各業務主管單位分別管理不同目的事業的財團法人,因此政府需要透過治理原則建構一個良好基金會發展的法規環境。對基金會治理的理論則可以跨界運用企業的公司治理之理論和責信的理論,唯企業公司治理,以吸收社會大眾資金的上市上櫃公司為重要對象,其責信的對象的利害關係人是具體的股東、員工、顧客、供應商等,但是基金會的治理則不限規模大小都需要治理,責信的對象也擴及不特定的社會大眾;因此透過治理原則共識利害關係人所重視的責信,卻是相似的。在實務上的貢獻是發現目前談基金會治理,在概念上已有認知,但是在落實建構機制與執行,則尚有一段差距,加上基金會的多元性,因此建議目前在實務上應開始先探討治理原則,同時倡導和教育,再邁向治理機制的建構。 / Nonprofit organization symbolizes bright side of the human society. Nonprofit organization always be covered with kindhearted yashmak and regarded as high moral standards. Nonprofit organization is the preserver of social justice and morals, bust also the practicer. Nonprofit organization won’t be regarded as law-breaker. The welfare and charity foundations are the second large of Taiwan’s all foundations. Most of them have direct service programs and lots of resources from outside. My research will focus on the welfare and charity foundations in Taiwan. In facts, there were some social events in Taiwan that encouraged people kindness and endangered public welfare at the same time, such as “Pong Chou-Yang social welfare foundation event in 1987”, “nice and warm magazine event in 1988” and “921 earth quake in 1999”. They were endangered the trust capital of Civil Society in Taiwan. Profit sector on November in 2001, the news about Enron went into bankruptcy shocked the well street which always be trust by American investors. There are some reliable and top firms which faced crisis one after another, such as World com and Tyco. A lot of enterprise scandals were reported continuously, such as fictitious business transactions, faking up profit and income, falsify income and expense report. The investor lost their confidence finally. During the recovery period, most of advisers and consultants think the best way to resolve these problems is rebuilt and reinforce the “Company Governance”, and OECD has signed the “OECD Principle of Corporate Governance” for the standard and guideline of the member state’s company. This research try to use the same perspective of workers in practice, the “Company Governance” concept and method, and try apply in the nonprofit sector by analogy. The research will try to explore and built the “Governance Principle of nonprofit organizations in Taiwan”. This research combined theory and practice for analysis. It is include qualitative and quantitative data in the analyzing process for discussing Taiwan’s social welfare foundations’ reality and attitude of the governance. Except for content analysis, this research used the qualitative method for the most part and quantitative method is in secondary. This research also used “Purposeful sampling” method to choose seven social welfare foundations in Taiwan. The researcher interview with the board chairman and executive director for each foundation and send the questionnaire to the 426 foundations which fund were over ten million dollars. Next step is generalizing and analyzing the interview data, then use SPSS software for statistic analysis. Final step is comparing, generalizing, analyzing and explaining. The value of this research is: Try to revise the governance model of the profit sector and apply to the social welfare foundations. It’s the first time to apply the governance model crossing two sectors and use the conscientious model. It was broken through the focus on the governance of the board committee and executive director. Because of the researcher was crossing social work and business management, this research is not only a simple exploring research. It also have more plus values. There are policy, theory and practical contributions of this research. Because there are 33 Departments in Charge to manage different foundations for different purpose, government need to construct the environment for the development of foundations through the principle of governance. The only suggestion about the law is “in principle”, “in directly” and “in good time”. Beside this suggestion, the category of the management should be classified for different level by size and mission. For the theory purpose, this research can apply governance and accountability theory for crossing two sectors. The company governance is mainly suit for entering the market company. The main accountability target is for stakeholders, staff and customers. There is no size limitation for the governance of foundation. The accountability target is all public. The practical contribution is discovering the present situation that already had the governance concept, but not to carry out the constructive mechanism, the executing stage. We should encourage Taiwan’s nonprofit organization to explore the principle of governance in practice. At the same time, they should propose and educate the construction the mechanism of governance.

軟體商業生態系統中利基者經營模式之變遷:以資訊安全軟體公司為例 / Metamorphosis of Niche Players' Business Models in the Software Business Ecosystem: the Case of Information Security Software Firms

本研究採用「商業生態系統」觀點,以「利基者」的角度出發,來探討利基型軟體公司經營模式的變遷。研究對象為屬於「利基者」的資訊安全軟體公司,以及其所處的環境。研究分為「歷史分析」與「探索性個案研究」兩大部分。首先,本研究以「歷史分析」作為前導研究,探討資訊安全軟體由1986年至2007年的發展沿革,並釐清防毒軟體廠商、防火牆軟體廠商,以及入侵偵測/防禦軟體廠商所處的商業生態系統,以及廠商在其中的角色。此外,在歷史分析中,本研究也探討了主要商業生態系統之間的關係。而「探索性個案研究」,則選擇了五個成功的資訊安全軟體公司,以及五個失敗的資訊安全軟體公司,探討這些廠商在1986年至2000年之間經營模式的變遷,以了解成功及失敗的因素為何。此外,也描述繼續存活的成功廠商,如何在2001年之後,因應環境「擾動」而動態調整其經營模式。 在「歷史分析」的部份,本研究首先發現,資訊安全軟體自1986年開始出現,此時的資訊安全軟體廠商,主要為防毒軟體廠商,而廠商在「個人電腦商業生態系統」以及「區域網路商業生態系統」中扮演「利基者」的角色。在1994年後,「Internet商業生態系統」蓬勃發展,除了防毒軟體廠商之外,防火牆軟體廠商以及入侵偵測軟體廠商開始出現。而資安軟體廠商在「Internet商業生態系統」中扮演「利基者」的角色。之後,資訊安全軟體廠商逐漸形成了一個「邊界安全商業生態次系統」。在這個「次系統」中,不同的廠商分別扮演了次系統中的「關鍵者」、「支配者」,以及「利基者」。另一方面,三個「主系統」之間,存在「演替」的現象,後者的重要性,逐漸超越前者。而到了2001年之後,由於環境中的劇烈「擾動」,產生了新的生存空間,也改變了既有「物種」的「種間關係」。而另一方面,主要商業生態系統中「關鍵者」的跨入,也嚴重壓縮了既有「利基者」的生存空間。 「探索性個案研究」中,本研究又分為「規範性個案研究」與「描述性個案研究」兩部分。「規範性個案研究」探討五個成功的資訊安全軟體公司,包括Symantec、Trend Micro、McAfee、Check Point,以及Internet Security Systems(ISS),在1986年至2000年之間,調整經營模式的動態過程,並與五個失敗的公司,包括ACSI、ESaSS、EliaShim/eSafe、Raptor,以及Axent進行比較。研究首先發現,成功的「利基者」,充分「借助」了「關鍵者」的資源,包括「技術」、「夥伴」、「聲譽」,並透過學習,運用關鍵者的「知識」,提升組織的能力。其次,成功的「利基者」,都能建立以自己為中心的「商業生態次系統」,包括「通路次系統」或是「技術平台次系統」。此外,成功的「利基者」,也都能及時參與新興的商業生態系統,並察覺商業生態系統「演替」(亦即「消長」)的狀況,進而調整參與的重心。而失敗的五個「利基者」,均於2000年之前被其他公司購併,主要因為較欠缺這些作為,或在這些方面未能成功。「描述性個案研究」則描述在2001年之後繼續存活的成功「利基者」,如何因應環境「擾動」與其他廠商行為的改變,動態調整經營模式。這些廠商調整經營模式,以鞏固既有的生存空間,並掌握新的生存空間。同時,也多方參與由不同的「關鍵者」所主導,未來可能成為「主流設計」的技術架構。 綜合來說,成功的利基型軟體公司,由創立開始,隨著成長的過程,「參與」以其他關鍵者為中心的商業生態系統,同時也致力於「建立」以自己為中心的商業生態系統。「參與」及「建立」二者與時並進,並適時調整,利基者才得以維持長久生存。 / This study takes the view of niche players to explore their business model changes in the software business ecosystem. Software firms in the information security software industry and their environments are selected as research context. The research is comprised of two main parts: a historical analysis and an exploratory case study. The historical analysis serves as a pilot study, in which information security software industry’s historical development is scrutinized to clarify which business ecosystems these security software firms, including antivirus software firms, firewall software firms, and intrusion detection/prevention software firms, participate in as they grow, as well as these firms’ roles within the business ecosystems. Relationships between different busines ecosystems are also studied in the historical analysis. In the exploratory case study, five successful security software firms and five failed security software firms are selected as case companies. The case study explores how successful firms and failed firms, from 1986 to 2000, differ in the way they changed their business models, in order to understand why successful firms remain in existence after 2000. The case study also describes how these surviving firms have, responding to “disturbance” in the environments, been adjusting their business models dynamically since 2001. The historical analysis reveals that the “PC business ecosystem”, the “LAN (local area network) business ecosystem”, and the “Internet business ecosystem” are involved as security software firms grow. Information security software firms have participated in the “PC business ecosystem”, when antivirus software was brought to the world in 1986. Antivirus software firms played the role of “niche players” in the “PC business ecosystem” at that time. Later when local area network was getting prevalent, a few antivirus firms participated in the “LAN business ecosystem”, playing the role of “niche players” as well. When the Internet commercialized around 1994, firewall software firms and intrusion detection software firms emerged. All participating information software firms played the role of “niche players” in the “Internet business ecosystem”. In 1996, a “sub-system”—“perimeter security sub-system” —was formed within the “Internet business ecosystem” by various security software firms and hardware companies. This “sub-system” had its own “keystones”, “dominators”, “hub landlords”, and “niche players”. In addition, “ecosystem succession” phenomenon is observed between the three “main system” —the “PC business ecosystem”, the “LAN business ecosystem”, and the “Internet business ecosystem”. Importance of the latter gradually surpassed the former. Furthermore, “disturbance” has emerged since 2001, creating new living space, but at the same time altered the “inter-species relationship” between existing species. Some “keystones” in the main ecosystems turned into “dominators”, highly decreased existing niche players’ living space. The exploratory case study is divided into a “normative case study” and a “descriptive case study”. In the “normative case study”, five successful security software firms, including Symantec, Trend Micro, McAfee, Check Point, and Internet Security Systems (ISS) are compared with five failed firms—ACSI, ESaSS, EliaShim/eSafe, Raptor, and Axent in the way they adjusted their business models from 1986 to 2000. Evidences revealed that successful niche players sufficiently leveraged resources provided by keystones. Resources include technologies, partners, and reputation. Successful niche players also learn from keystones to acquire knowledge, which further improves niche players’ organization capabilities. In addition, successful niche players are capable of building up their own “sub-systems,” which can be “channel sub-systems” or “technological platform sub-systems.” Furthermore, successful niche players, in time, participate in every promising business ecosystems, and sense the “ecosystem succession” phenomenon when it takes place to adjust their efforts on different business ecosystems. Five unsuccessful case companies fail to achieve similar accomplishments. Consequently, all of them have been acquired or merged by other firms by 2000. Meanwhile, in the “descriptive case study,” I describe how five successful firms keep surviving after 2001, adjusting their business models to secure existing living space and seize emerging opportunities. These successful niche players also participated in all information security architectures proposed by different keystones, expecting that one of these architectures will turn out to be the “dominant design” in the future. Overall, successful niche players, as they grow, participate in business ecosystems led by other keystones, and build up their own business ecosystem as well. They advance and adjust both their “participating” and “builing up” activities to secure long-term survival.

股東權利基礎評價之實證研究

Shareholders usually have the right to receive dividends, the preemptive right, the right to claim the residuals assets, and the right to vote at shareholders’ meetings. The paper uses the base of shareholders’ rights to re-explain the empirical meanings of Ohlson model and Easton model. According to the base of shareholders’ rights, Ohlson model(price model)can be rewritten as the linear model of earnings, book valve, and voting right premium. In the same way, Easton model(return model)can be rewritten as the linear model of earnings level, earnings change, and voting right premium change. According to the theory base above, this paper develops related research hypotheses. Not only current earnings but also future earnings are included in empirical models, and I use Taiwanese data to test the hypotheses. First, the paper tests whether each variable in price model or return model can explain stock price or return. Second, the paper investigates whether the results mentioned above will be affected by different contexts. The empirical evidence of the price model can be summarized as follows. First, each price variable has significantly positive explanatory power with respect to stock price. Second, when earnings is negative or earnings persistence is low, the value-relevance of current earnings will decrease. Third, when industry prospect becomes worse, market pays little attention to current earnings and book value and manager gets less private benefits, thus the association between current earnings, book value, voting right premium and stock price is low. Fourth, when industry life cycle is shorter, more attention is paid to current earnings, which is related to availability of data. Fifth, when macroeconomic circumstance is different, the explanatory power of each variable is not significantly different, this phenomenon may be due to little significant difference among macroeconomic circumstance during research periods. Sixth, when inflation rate is high, accounting information signaled by firm is overstated, which reduces the association between current earnings and stock price. The empirical evidence of the return model can be summarized as follows. First, each return variable has significantly positive explanatory power with respect to stock return. Second, when earnings is negative or earnings persistence is low, the value-relevance of earnings level will decrease, while the value-relevance of earnings change will increase. Third, when industry prospect is not good, market pays little attention to earnings level and future earnings indicator and manager gets less private benefits, thus the association between earnings level, future earnings indicator, voting right premium indicator and stock return is low. Fourth, when industry life cycle is not the same, the explanatory power of each variable is not significantly different. Fifth, when macroeconomic circumstance becomes worse, the informativeness of earnings change is significantly low, this phenomenon may be due to positive correlation between macroeconomic circumstance and earnings. Voting right premium indicator also has the same phenomenon. Sixth, when inflation rate is different, the explanatory power of each variable is not significantly different, this phenomenon is likely due to little significant difference among inflation rate during research periods. In summary, the variables in shareholders’ rights-based valuation models can explain stock price or stock return. In the different contexts, the explanatory power of variables mentioned above with respected to stock price or stock return is significantly different. The results imply the importance of contextual analysis when researchers are engaged in the valuation of stock price or stock return.

台灣中小型科技公司競爭策略與競爭優勢之研究-以噴墨列印產業為例 / Competitive strategy and competitive advantage of High-Tech SMEs ─ a case study of Taiwan's ink jet printing industry

台灣中小企業的發展歷程,從創造台灣經濟奇蹟的原始動力到1980年代後期起,因國內外環境改變而面對嚴重的挑戰並歷經重大的改變。直至今天更因全球化的衝擊,正面臨嚴苛的考驗。其中能成長為跨國大企業者,實在寥寥可數,而大部份均歷經生存與滅亡的不斷輪迴。加上台灣企業逐漸大型化,大型企業開始獲得台灣經濟的主導權,中小企業在台灣經濟的比重逐漸降低。然而,在全球供應鏈上,台灣不論是大型企業或中小企業大部份均只是扮演中段生產與代工的角色,供應鏈上的上游原料與材料技術卻無法占有一席之地。這樣的現況我們似乎只歸因於市場機制的優勝劣敗而鮮有進一步的具體解決方案與實際創新商業模式之深入探討。然而,從一些成功的案例我們發現其實有一些具特異性與價值性資源及能耐的中小企業在面對常態資源不足,市場生態丕變、與組織對應不良的困境中,善用自己的核心能力,從理論與應用科學的發展、核心能力的延伸與擴張,競爭策略的預應彈性與組織能力的強化做為變革的基礎,逐步發展其成功的創新商業模式。 本研究以”台灣中小型科技公司之競爭策略與競爭優勢”為架構,以” 噴墨列印產業 ”之利基創造為導入實例,進行對台灣中小企業科技核心能力的認知,應用策略、經營模式、與變革創新的階段性探討與分析。期能從競爭策略的面向,提出問題與理論驗證,並提出一成功營運模式的研擬。此外,再以其在高競爭障礙市場的成功實績,進一步探討台灣中小企業如何善用獨持資源與策略轉折,創新創造利基市場,由小做大,建立跨國的成功創新商業模式,甚至建立自有品牌。最後,期望本研究的理論參據與實績驗證的內容和建議對台灣中小企業在困境中的力爭上游能有所助益。 / Since the time of creating the original driving force of Taiwan's economic miracle to late 1980s, the development of Taiwanese SMEs has been facing serious challenges and experiencing major changes due to rapid changes in domestic and international environment. Even today they are facing a more severe test because of the impact of globalization, and very few of them are able to grow to large multinational companies while most of them have been going through the continuous cycle of survival and extinction. Furthermore, Taiwanese enterprises have become larger in scale gradually, and large companies have begun to gain dominance of Taiwanese economy. The proportion of SMEs in Taiwanese economy has gradually reduced. However, in the global supply chain, most of the enterprises in Taiwan, no matter SMEs or MNCs, play the role of “ production and OEM/ODM” and rarely place the upstream of the supply chain as suppliers of raw materials and technology. This current situation seems to be attributed to the market mechanism fitness and few further specific and practical solutions have been discussed and conducted earnestly into the innovative business model in depth. However, from a number of successful cases, we discover that there are some SMEs, who are capable of core competencies and special advantages yet inadequate resources and capabilities, the changing market ecology, and the plight of organization corresponding ability, have successfully developed their own business models by their core competencies and the development of theoretical and applied science, the precise implementation of extension and expansion of core competencies and the strengthen of pro- action flexibility of competitive strategies as well as the capability of organizing, and gradually achieved the innovation and progressive development of the unique successful business model. In this research, the technical core competences, application strategies, innovative transformation and new business model of Taiwan's SMEs will be carried into analysis and discussion based on the framework of " competitive strategy and competitive advantage of High-Tech SMEs in Taiwan " setting the foundation of "The ink jet printing industries" as an illustration. For each stage of competitive strategies, the questions will be presented with theories to verify, and the simulation of successfully-operated models will be brought out. In addition, from the successful examples in high competitive barrier market, this research will further explore how good Taiwanese SMEs are by using the core capabilities and strategy transition to gradually innovate the global niche market with successful innovative business models, and even establish their own brands. Finally, I hope the theoretical reference, content and recommendations of performance verification can be helpful to get through the plight of the striving SMEs in Taiwan.
