Acquired SME:s in the IT-service industry : A multiple case study on firms in Denmark and Sweden

There is a gap in the theory of acquisition, little investigation have been made on the acquired firm within the acquisition process and in service industries. Because of the lack of research in this area, this research is focusing on acquisition theory and how it positions to the acquired firm rather than the firm making the acquisition. Therefore a need to investigate the acquisition theory on acquired firms on SME: s in the IT-service industry is interesting. To do so, three case studies have been made on three firms that have been acquired. The empirical results from the case studies have shown how the relationship between the parent company and the subsidiary has differences. The company culture and the relationship to the parent firm differs if the parent firm is foreign or not; and if the acquisition process is mutual between two firms rather than a market extension acquisition. By analyzing the data of this research the study show that the previous theories of acquisition are adaptable to implement on firms that have been acquired on SME:s in the IT-service industry.

Para tanto, foram pesquisadas no ano de 2008 três escolas municipais de Mogi-Guaçu-SP e três empresas da região que atuaram nestas instituições. Trata-se de um estudo descritivo-analítico, de cunho qualitativo, baseado em dados coletados por intermédio de entrevistas a professores do 3º. Ciclo Intermediário e gestores escolares, observação de aulas, de atividades extracurriculares e análise documental da escola, bem como de material didático e orientações pedagógicas fornecidos pelas empresas envolvidas. O referencial teórico adotado assenta-se: nas conexões entre teorias pedagógicas e tendências de Educação Ambiental, e nas teorias de reprodução, dependência e resistência no processo escolar Os dados obtidos foram analisados com base em duas categorias principais: tendências de Educação Ambiental praticadas pelas empresas e pelas escolas; relação da escola com a Educação Ambiental empresarial. A análise dos resultados mostrou grande sintonia entre as concepções de educação ambiental de ambas as instituições e que, enquanto as empresas exercem coerentemente sua vocação político-social, a escola não exerce seu papel crítico e de autonomia perante as colaborações externas, reproduzindo mecanicamente um discurso acrítico, instrumental e adestrador, veiculado pela educação ambiental empresarial. Interpreta-se que isso resulta, em grande parte, de deficiências na formação inicial dos recursos humanos atuantes na escola pública, à carência material das instituições escolares públicas, à ausência do poder fiscalizador do Estado, à influência da mídia no tratamento da questão ambiental e à ausência de uma política pública consistente de formação continuada. Constata-se, assim, a existência de uma escola pública vulnerável, desprotegida e despreparada para lidar com as investidas externas em seu processo educativo. Educação Ambiental; relação empresa-escola; responsabilidade social empresarial; autonomia; dependência. / Abstract: Considering the increasing participation of companies on educational fields, this research aims to analyse how much school is prepared to critically perform its autonomy toward influences from companies on the Environmental Education in the scholar process. For this purpose, three municipal schools in Mogi-Guaçu (SP) and tree companies which performed in these institutions were studied in the year 2008. This is a descriptive and analytical study, with a qualitative character based on data collected through: interviews with 3rdcycle intermediate teachers and school managers, class observation, extracurricular activities and school documentation, and also pedagogical material and pedagogical orientations supplied by the involved companies. The theoretical reference is based on connections between pedagogical theories and Environmental Education trends and also on theories in reproduction, dependence and resistance in school process. The data obtained was analysed according to two theoretical main categories: trends on Environmental Education applied by the involved companies and schools, and relation with the school and the Environmental Education business. The analysis of the results showed a great synchronism in the conceptions of Environmental Education for both institutions and although companies consistently perform their social-political vocation, the school does not perform its critical and independent roles when facing external help, therefore reproducing mechanically an instrumental and uncritical training discourse, aired by entrepreneurial Environmental Education. The interpretation is that it mostly leads to deficiencies on the initial formation of active human resources performing in public schools, lack of material resources in public school institutions, absence of supervisory power by the State, influence of the media in environment issues and absence of consistent continuing formation. Influence de la trajectoire de vie du propriétaire dirigeant sur la représentation de son rapport à l'entreprise et de sa relation à la réussite / Influence of the owner's life trajectory on the representation of his relationship to the company and its relationship to success

Cette thèse s’intéresse à l’influence de la trajectoire de vie du propriétaire dirigeant sur la représentation de son rapport à l’entreprise et de sa relation à la réussite. Produire une connaissance sur ces éléments est essentiel tant au niveau socio-économique qu’au niveau académique. La représentation du rapport que le propriétaire dirigeant entretient avec son entreprise est mal connue. La réussite est bien souvent appréhendée sous un angle économique et financier. Cette recherche n’aborde pas la réussite sous le seul angle de la performance de l’entreprise mais davantage dans ce qu’elle représente pour le propriétaire dirigeant. Cette recherche qualitative s’est construite autour de 44 entretiens semi-directifs de propriétaires dirigeants de la région bordelaise. L’étude du matériau collecté a été réalisée au moyen de trois analyses complémentaires. La première a été conduite en suivant la méthodologie développée par Gioia et al (2012). Ensuite, une analyse lexicale a été menée à l’aide du logiciel Alceste. Enfin, cette recherche se voulant d’orientation psychodynamique,une analyse par écoute flottante a été menée pour repérer ce qui caractérise le phénomène étudié et qui n’est pas dit explicitement par les répondants. L’ensemble des interprétations réalisé à partir de ces trois analyses a ensuite été proposé à 15 d’entre eux. Les résultats mettent en évidence l’impact des expériences subjectives antérieures des propriétaires dirigeants sur la naissance de leur désir de création et sur la formation de leur désir de réussite. Le processus d’élaboration puis de création d’une entreprise est considéré comme une grossesse et une naissance symbolique. Cela conditionne le rapport que les propriétaires dirigeants développent avec leur entreprise. Leurs expériences antérieures les ont conduits à tenter de développer leur idéal d’entreprise, ce qui a été rapproché du mythe de pygmalion. Il existe donc un lien fort entre le rapport que les propriétaires dirigeants développent avec leur entreprise et leurs représentations de leur relation à la réussite. Leurs ambitions et leurs désirs de réussite sont projetés sur l’entreprise afin de lui permettre de se développer. Sans une nécessaire distanciation, ce rapport devient aliénant ce qui freine les perspectives de croissance de l’entreprise. / Research in the entrepreneurial field has been conducted with the ambition of discovering the determinants of entrepreneurial success (Schmitt, 2015). In the champion of the science of management, the representation to the previous of Cognitivists. This orientation is definitive as the building construction.The psychodynamic approach proposes a different meaning of representations. It postulates that are psychic constructions on a relation to the represented object. In this way, the influence of the life trajectory of the actors is fully recognized.This research highlights the impact of the subjective experiences of entrepreneurs on the birth of the desire for creation and autonomy. Thus, we were led to identify with models, then we would have differentiated to finally be able to individuate.Nevertheless, in order to succeed in entrepreneurial action, the owner-managers must become aware of this desire for creation and autonomy. This research shows that such an awareness marks the entry of the owner-managers into the phenomenon of entrepreneurial emergence. The use of the psychodynamic approach makes it possible to shed different light on the successive stages of entrepreneurial emergence. In this orientation, it is considered similar to a symbolic pregnancy. The owner-manager becomes aware of his desire to undertake a phase of incorporation. Then in a retention phase, he is led to develop a vision and analyze the resources at his disposal. Finally, the expulsion phase corresponds to the symbolic birth of an organization or a business project. The owner-manager then attempts to materialize his business ideal which has been brought closer to the pygmalion complex. This well-known mechanism of psychoanalytic theory and particularly at work in artists' populations especially among sculptors.Verstraete (2003) has highlighted the existence of a relationship between the entrepreneur and the company within the entrepreneurial phenomenon. This research confirms this relationship and the contribution of psychoanalytic theory provides explanations of its nature. By fostering the desire to create an ideal business, the owner-manager is also led to project his own desires for success. This projection of the entrepreneur's ambitions on his company favors its development. This mechanism is similar to the pygmalion effect discovered by Rosenthal and Jacobson (1968), which postulates that the success of children depends on the desire of their parents to project on them.This conjunction of the dual desire of the owner to give life to its creation and to promote its chances of success has been named the phenomenon of entrepreneurial pygmalion. This phenomenon influences representations of the relationship to the success of owner-managers in the sense that it expresses the ambitions projected on the organization. The company then becomes a means to materialize their personal aspirations. It is for this reason that they have a singular relationship with this creation.Finally the extreme involvement of the owner-manager in his business sometimes leads him to abandon his personal life. These works demonstrate their ambition to find a balance between the life of the company and their personal life.

O papel dos parques tecnológicos no estímulo e criação de spin-offs acadêmicos

To reach this, the company needs to acquire technologies, knowledge, skills and abilities through the innovation in both products and processes. In this context, there are the technology parks, that are physical spaces where it happens technology, innovation and information sharing. A technology park works as a mechanism for business: there are technology-based companies, business incubators, universities, research institutions, higher education institutions and research laboratories. Thus, it creats a propitios environment so that there are relationships between companies and universities, or, in other words, academic knowledge becomes a part of the daily business and it develops itself in innovation that can be marketed. So that the park can achieve it goals and develop and disseminate technological processes it needs to establish strong links with government institutions, compnies that complies with its objective and universities that are able to provide academic knowledge. This study aims to determine whether the presence of a technology park encourages the creation and development of academic spin-offs in São Carlos city (SP). It was a multi case study in São Carlos Science Park and Parque Eco Tecnológico Damha-São Carlos. As the mainly results, it was possible to note that having two technology parks in the city was not enough to stimulate the creation of academic spin-offs, but it is enough to maintain and develop the spin-offs that already been created. Besides, it was possible to note that the entrepreneurs miss the incentive from the university to create academic spin-offs and to create links with incubators and technology parks. / Presencia-se um mundo no qual uma empresa, para sobreviver em um mercado cada vez mais competitivo, precisa lançar produtos novos em um espaço de tempo cada vez menor. Para que consiga isso, a empresa precisa adquirir tecnologias, conhecimento, habilidades e competências por meio da inovação, tanto em seus produtos quando em seus processos. Neste contexto, aparecem os parques tecnológicos, definidos como espaços físicos aonde acontece o compartilhamento de tecnologia, inovação e informação. Um parque tecnológico funciona como um mecanismo de negócios: nele estão empresas de base tecnológica, incubadoras de empresas, universidades, institutos de pesquisa e de ensino superior e laboratórios de pesquisa. Desta forma, cria-se um ambiente propício para que haja relações entre empresas e universidades, ou seja, o conhecimento acadêmico passa a integrar o cotidiano das empresas e se desenvolve em inovação que pode ser comercializada. Para que o parque tecnológico consiga atingir seus objetivos e desenvolver e difundir os processos tecnológicos, ele precisa estabelecer relações fortes com instituições governamentais, empresas que estejam de acordo com seus objetivos e universidades que forneçam o conhecimento acadêmico. Este trabalho teve como objetivo verificar como a presença de um parque tecnológico estimula a criação e o desenvolvimento de spin-offs acadêmicos na cidade de São Carlos - SP. Foi feito um estudo multicaso no São Carlos Science Park e no Parque Eco Tecnológico Damha-São Carlos, além de seis empresas do tipo spin-off acadêmico localizadas na Fundação ParqTec, que é uma incubadora de empresas, em São Carlos. Como resultados principais, foi possível observar que a presença de Parques Tecnológicos não é suficiente para se estimular a criação de spin-offs acadêmicos, mas é necessária para manter e desenvolver os que existem. Além disso, foi possível notar que os empreendedores sentem falta do incentivo da universidade para criação de spin-offs e para o estabelecimento de relações destas com incubadoras e parques tecnológicos.

The research was conducted inside the footwear cluster in Biriguí/SP. Absorption capacity is recognized as essential input to innovation and a prerequisite for identifying opportunities in your environment that will create and sustain competitive advantages. Companies with greater absorption capacity levels are more proactive and then get more dynamic movements towards the exploration of opportunities. It addresses the type of cluster, relationships and characteristics of the companies that compose it. As relevant methodological approach to collecting and processing data, we opted for the research development in two phases. The first one carried out through interviews with major producers and research works that tell the story of the studied cluster, which has resulted in the description and characterization of the research object: the footwear cluster in Biriguí/SP. The second one evaluates the absorption capacity in the cluster by collecting data and information for the dependent and independent variables and statistical calculations. To obtain data, we used an instrument classified as survey in 80 companies of various sizes (large, medium, small and micro), in order to identify their characteristics, the intra-cluster relationship and how it affects the absorption ability of cluster companies. The survey development has showed that business characteristics and how they relate among them intra-cluster affecting the absorption capacity of companies inside the cluster. The study has limitations such as the number and distribution of respondents, composition of the unbalanced answers in relation to the actual composition of the cluster companies and the difficulty of collecting data that made not possible to measure the performance variable which verify the absorption capacity in relation to this variable. As a contribution, it has a better understanding of the characteristics of the company in relation to the absorption capacity in low technology clusters and regarding the relationship with the type of cluster. It also enables the orientation of executives in the category governance clusters and public policy related to incentives to increase competitiveness of these companies. / O objetivo da pesquisa foi identificar e avaliar se a relação entre empresas de um cluster industrial de baixa tecnologia (calçados) e suas características individuais influenciam a capacidade de absorção das empresas do aglomerado. A capacidade de absorção é reconhecida como insumo indispensável à inovação e um pré-requisito para a identificação, no seu ambiente, de oportunidades que levarão à criação e sustentação de vantagens competitivas. Empresas com maiores níveis de capacidade de absorção são mais proativas, o que as conduz a movimentos mais dinâmicos na exploração de oportunidades. Aborda-se o tipo de cluster, bem como os relacionamentos e características das empresas que o compõem. Como procedimento metodológico pertinente à coleta e tratamento dos dados, optou-se pelo desenvolvimento da pesquisa em duas fases. A primeira, realizada por meio de entrevistas com os maiores produtores e pesquisa em obras que contam a história do cluster pesquisado, resultou na descrição e caracterização do objeto de pesquisa: o cluster de calçados de Birigui/SP. A segunda, que envolveu a coleta de dados e informações para as variáveis dependentes e independentes e cálculos estatísticos, avaliou a capacidade de absorção no cluster de calçados de Birigui/SP. Para a obtenção de dados, foi utilizado um instrumento classificado como survey em 80 empresas de vários portes (grande, média, pequena e micro), com o objetivo de identificar as características destas, do relacionamento intracluster e como isso afeta a capacidade de absorção das empresas do cluster. O desenvolvimento desta pesquisa mostrou que as características das empresas e a forma como se relacionam intracluster afetam a capacidade de absorção das empresas do aglomerado. O estudo apresenta algumas limitações: quantidade e distribuição dos respondentes; composição das respostas desbalanceada em relação à composição real das empresas do cluster; não mensuração de nenhuma variável de desempenho para verificar a capacidade de absorção em relação a essa variável (decorrente da dificuldade para a coleta de dados). Como contribuições, apresenta uma melhor compreensão das características da empresa em relação à capacidade de absorção em clusters de baixa intensidade tecnológica e dessa relação com o tipo de cluster. Além disso, possibilita a orientação de executivos no quesito governança de clusters e na articulação de políticas públicas, relacionada a incentivos que aumentem as condições de competitividade dessas empresas.
