1 [Mandatory rules in international business transactions] Abstract Nowadays, international elements often penetrate legal relations, which may interfere with the fundamental values of individual states. The mandatory rules of private international law offer protection against such unwanted interferences. These rules represent social, political and economic organization of the state and they apply always regardless of the applicable law of the legal relationship. Although the purpose of mandatory rules is obvious, there are many questions about their application in practice. This thesis offers an overview of possible answers concerning the definition, naming of this type of rules or determination of their mandatory character. Furthermore, the work categorizes mandatory rules according to their function and origin and explains the difference between mandatory rules in the context of private international law and national law. The thesis describes issues of mandatory rules that protect weaker parties of obligations and their international mandatory character. Example of contradictory opinions is based on case-law of the Court of Justice of the European Union in cases Ingmar and Unamar, which recognizes international mandatory character of these rules, and on German doctrine and case-law, which considers these...

The dissertation deals with some areas of the work contract (the scope of the work, the price of the work and the payment terms and the execution of the work). The dissertation consists of two unevenly large parts. The general part briefly introduces the concept of commitment and contract, describes in general the contract for a work including a brief historical and foreign excursion and generalizes the national legislation of contract for a work according to the Civil Code, focusing on its character, form, typical features and essentials. The last subchapter differentiates the contract for a work from some similar contractual types. A special part of this dissertation is divided into four chapters. The first chapter approximates the concepts of "mandatory" and "non-mandatory" provisions as the types of legal nature of a legal rule. The next chapter deals with contract for a work focused on construction work and examines the legal nature of the special provisions. L’autonomie de la volonté est un principe relatif à la liberté des parties quant au choix de la loi applicable au contrat international. Cependant, ce principe est limité par les règles d’ordre public, et plus généralement les dispositions impératives, réduisant l’étendue de cette autonomie. Afin de perfectionner la mise en application de ces règles tout en garantissant une certaine prévisibilité, il s’avère important d’étudier en détail l’origine et la nature des règles d’ordre public. Une étude comparée avec le droit international privé égyptien s’avère nécessaire pour perfectionner les mécanismes actuels. Le débat conceptuel actuel met en évidence le rôle de la coopération internationale, outre les intérêts purement étatiques, ce qui suscitera un nouvel ordre public transnational, voire supranational. / The freedom of choice is a principle referring to the freedom of the parties concerning the choice of the law ruling the international contract. However, this principle is limited by public policy, which reduce the extent of this freedom. In order to improve the application of these rules with a minimum of predictability, it is important to study in detail the origin and nature of the rules of public policy. A comparative study with Egyptian private international law is needed to take advantage from all current mechanisms. The current conceptual debate highlights the role of international cooperation, in addition to purely State interests, which will tend to create a new transnational, or even supranational, public policy.

Les lois de police protectrices dans les contrats internationaux / Protective mandatory provisions in international contracts

L’émergence depuis quelques années de nouvelles lois de police pour protéger certaines parties faibles au sein des contrats internationaux a été identifiée sous l’appellation de lois de police protectrices. En tant que renouvellement du mécanisme traditionnel des lois de police, cette émergence interroge, notamment quant à son bien-fondé. Cela suppose d’envisager les lois de police protectrices à la fois en tant que nouveau concept, et en tant qu’objet s’intégrant dans un environnement plus général. Ces nouvelles lois de police se sont imposées pour répondre à un besoin de protection sur la scène internationale. Cependant, la philosophie des lois de police apparaît difficilement conciliable avec l’objectif de protection d’une partie faible. Dès lors, il conviendrait de modifier certaines caractéristiques du mécanisme afin qu’il soit en mesure d’atteindre cet objectif de protection. Mais alors, se crée une déformation du concept initial de l’outil des lois de police. En outre, envisagées au sein de leur environnement, à savoir le droit européen des contrats, les lois de police protectrices sont susceptibles d’être limitées par des concepts propres au droit de l’Union. Elles peuvent aussi être dépassées par des outils d’inspiration européenne qui mettent en œuvre un autre lien entre l’impérativité d’une norme et l’exigence de protection de la partie faible. / These past few years, the advent of new mandatory provisions to protect certain weaker parties within the realm of international contracts have been identified as protective mandatory provisions. As a renewal of the traditional mandatory provisions mechanism, it raises several questions with regards to its merits. This requires to consider protective mandatory provisions as a concept in itself, as well as an object integrated in a more global legal environment. These new mandatory provisions have appeared as an answer to a need for protection on the international level. However, the philosophy of mandatory provisions can be considered to be incompatible with the objective of the protecting the weaker party. Therefore, it is necessary to change certain characteristics of the mechanism in order for it to effectively attain its protection objective. It would then, however, amount to a deformation of the initial concept of mandatory provisions. Finally, considered within their environment, i.e. European contract law, protective mandatory provisions can be limited by EU-specific law concepts. They can also be surpassed by other tools, of European inspiration, putting into effect another link between the imperative character of the norm and the protection requirement of the weaker party.

The aim of the thesis is to define the cathegory of peremptory rules in private international law and to describe their specific use in the commercial domain compared to business to consumer contractual relations. The reason for my research was my concern for the conflict between the formal possibility to conclude a contract and the actual enforceability of the contractual claims before a court or before alternative dispute resolution bodies in the domain of private international law. A major part of the thesis uses an analytical approach and a grammatical, teleological and logical interpretation of the mentioned legal instruments. The final part is grounded on the legal comparation of several laws across different countries and thus demonstrating how different approaches to peremtory rules may influence the actual interpetation of various legal relations and the contractual liberty in general. The thesis is composed of four chapters and a conclusion. To begin with, the first chapter focuses on the peremptory rules in international commercial relations as a whole. Att bygga utifrån krav på konstruktion och hållbarhet : En jämförelse mellan dåtid och nutid

I denna fallstudie jämförs en gammal gårdsbyggnad uppförd 1898 med kraven som ställs vid nybyggnation idag. För cirka 120 år sedan ställdes inte lika stränga krav på byggnationen som idag. De krav som undersöks handlar om hållbarhet och konstruktion. Syftet med studien är att skapa en bättre förståelse för varför dagens krav finns genom att undersöka en byggnad som är uppförd utan dessa krav. För att nå klimatmålen, som Sverige har antagit, finns det bland annat krav på byggnaders energieffektivitet som kan mätas genom att beräkna byggnadens primärenergital. Energieffektiviteten påverkas delvis av hur välisolerad en byggnad är varför kravet som ställs på en byggnads U-värde (värmegenomgångskoefficienten) också är intressant att undersöka. Gränsvärden på primärenergital och U-värde finns i Boverkets byggregler, BBR. Krav på konstruktionen finns i den internationella standarden Eurokod och de nationella valen i EKS. Beräkningar har gjorts på tak och bärande väggar för att kontrollera att de har tillräcklig bärighet. Även primärenergitalet och U-värden har räknats ut samt risken för fukt i den solida tegelväggen. Resultatet visar att konstruktionen klarar de krav som ställs i Eurokoderna och EKS och att byggnadens funktion bara uppfyller ett av de krav som ställs i BBR. Resultatet är i linje med tidigare forskning som har genomförts på energiprestanda hos gamla byggnader och visar på att det genom renovering, utan att skada byggnadens kulturvärde, är möjligt att uppnå dagens krav även om just den byggnaden som undersökts här inte når kraven. / This case study compares the function and framework of a building from 1898 with the requirements regarding sustainability and strength when building today. The purpose of this study is to get a better understanding of the requirements by investigating a building that was built without them. The requirements on a new building’s sustainability are today applied to old buildings that undergo extensive renovation. Two measurements to ensure high sustainability are primary energy and the heat transfer coefficient. A well-insulated building has a low heat transfer coefficient and will require less energy to heat and therefore be more energy efficient and more sustainable. Calculations have been made to determine the strength of the roof and the walls according to the Eurocodes and the nationally determined parameters, EKS. The primary energy and heat transfer coefficient has been calculated and compared to the mandatory provisions, Boverkets byggregler, BBR. The result shows that the framework is strong enough to take care of the loads it is exposed to. Most of the requirements regarding sustainability fail to be met. Although in conclusion it should be possible to meet some, if not all, the requirements with further renovation without harming the cultural value of the building.
