生存、獲利以及成長是企業的目標。第二次世界大戰之後,國際性的商業活動快速的成長,隨著全球商業活動自由化、國際化,加上資訊科技的興起,市場全球化與生產全球化為企業創造了機會,也使得企業面臨的競爭環境日趨嚴峻,企業面臨來自全球的挑戰,威脅其生存與獲利。在競爭環境的迅速變動下,企業為了追求永續經營,不斷的成長成為企業生存之必要條件。購併是企業追求快速成長的捷徑之一。 雖然購併能夠幫助企業迅速取得所需要的關鍵資源,但是從所收集的資料顯示,失敗的購併案例還是佔了七成之多,可見成功的購併是一件相當不容易的事。 本研究所描述的個案企業是目前世界上歷史最悠久的化學與製藥公司,公司成立的日期可以回溯到西元1668年。以購併取得所需要的關鍵資源在該企業是常見的作法,所以該企業透過經驗的累積發展出購併相關活動的標準作業程序(SOP)。但是即使已經有豐富的購併經驗,並不是每一件購併案都能夠達成原先所設定的目標。 本研究希望透過研究實際購併案例的啟動購併動機與後續整合行動以印證相關購併理論,並且整理歸納出成功的購併案例中值得學習的作法以及失敗的購併案例中為何失敗的地方以供未來想要採取購併方式的企業作為參考。 歸納個案企業的購併案例得到以下結論。企業選擇購併作為成長方式的動機是為了達成綜效理論中所提及的啟動綜效、營運綜效和市場綜效。至於後續整合行動,在事前必須要有清楚的整合計畫、工作小組、組織架構與人事布局;然後透過即時且透明的溝通管道傳達給每一位員工;並且強化人力資源管理系統讓不管原本是屬於購併公司的員工還是被購併進來的員工都能夠清楚的瞭解自己在購併後的新組織中可能的職涯發展,協助所有員工穩定下來以渡過整合變動期。 / Survive, gain and grow are the targets for all companies. Business environment has been changed and globalization is the mainstream for all business activities after World War II. This change creates opportunities but also bring threats to companies. Companies now have to face challenges from all over the world. Keep growing is the means for companies to keep survival from these challenges. Merger and acquisition(M&A)is one of the shortcuts for companies to pursue fast growth. M&A can help companies to get key resources quickly. However, the chance to get fail is extremely high up to 70% from collected research data. Apparently it is not easy to have a success M&A case. This paper is describing a more than 300 years old pharmaceutical company whom accumulates a lot of experiences in M&A cases from company history. These M&A cases will be analyzed to prove related theories. Key successful factors will also be concluded for companies who will choose M&A as their growth alternative for reference. To sum up illustrated M&A cases, the motivation of a company to trigger M&A is aiming for starting synergy, operating synergy and market synergy. To ensure post-merger integration can proceed smoothly, it requires clear integration plan which contains dedicated task forces for execution, well-thought-out organization structure and important position appointment. Reinforce personnel system to ensure its function can provide necessary and sufficient assistance to all employees timely. Transparent and open communication channels shall be established in order to eliminate insecure atmosphere.

This work deals with the data migration during the process of mergers and acquisitions. The first, theoretical part, defines the general terms concerning mergers and acquisitions, further mentions motives that may lead to it, and the basic stages of the implementation process of mergers and acquisitions. This section also presents brief information on selected methodologies of project management, of which principles are used in the next part, dealing with data migration projects. The aim of this work is to develop a methodology for project management of data migration in mergers and acquisitions process, which may serve as a guide for merging companies and data migration teams. In the methodology there are specified activities and defined procedures to be followed in the various stages of the project life cycle. To each activity the way and necessary prerequisites for carrying out are specified. The methodology also describes common problems with which the data migration project in carrying out the action may be faced and which could threaten the success of the project or its part. For each potential problem a possible way to eliminate it is added, or solutions.

The diploma thesis is focused on accounting, tax and legal aspects of company transformations. The paper contains the definition of the theoretical bases and a detailed analysis of the four already implemented transformations of mergers by acquisition and division by splitting. Furthermore, the methods of transferring the assets of a real company in the form of a division by splitting through merger and also the transfer of a commercial establishment are compared. In the end, variant specific procedures for the transfer of the property in question are proposed.

美國企業購併、股價及工業生產指數之共積與因果關係檢定 / Cointegration and Causality Test among Mergers, Stock Price and Index of Industrial Production in the United States of America

企業併購程序中有關併購公司取得成本、被併購公司公平價值與與商譽攤銷爭議問題研究

企業併購商譽產生係由「併購公司投資成本」與「被併購公司可辨認淨資產公平價值」產生差異所致,本文先由「併購商譽攤銷」之行政訴訟進行分析,進而研究我國稅捐稽徵機關是否應當發展公平價值評價審查制度以解決相關租稅爭議。另外由於在我國102年起上市櫃公司全面採用國際財務報導準則的前提下,透由我國上市櫃公司於102年度之商譽減損測試執行狀況,將該分析結果與國際現況進行比較,試圖了解我國上市櫃公司之商譽會計政策是否隱藏併購公司高估商譽之風險,並進而探討公司負責人於併購時點所作之投資決策,是否有「經營判斷原則」之適用?在此混沌不明的過渡期間中,本文希望透過此研究而呼籲我國監理機關能盡早正視此一問題。 / M&A Goodwill arises from the difference of "M&A investment cost" and "the acquired company's identifiable net assets at fair value" .This study analyzes the administrative litigation about the " amortization of goodwill" at first. Further we study that whether the tax authority should develop the examination system of fair value evaluation to resolve disputes related to income tax. In addition , science Taiwan Financial Supervisory Commission (FSC) formally announced that all listed companies must apply International Financial Reporting Standards (IFRS) after year 2012, we summary the the Goodwill impairments during year 2013 evaluated by the listed companies and compare with the international status ,trying to understand the listed companies`s accounting policy and weather the M&A Goodwill is without evaluation . At last, this study discuss when responsible person of the corporation high paying to the acquired company whether there is "business judgment rule" applicable? In this chaotic period, this study hopes that this research result could let FSC to notice this issue as soon as possible.

Les stratégies d’internationalisation des banques européennes sont-elles efficaces ? Cette thèse analyse le lien entre l’internationalisation des banques et leur performance. L’objectif étant de vérifier s’il existe des modalités d’implantation qui expliquent les écarts de bénéfices entre les établissements bancaires européens. Nous nous focalisons sur trois types de stratégies d’implantation : l’installation de filiales, les alliances ou partenariats avec des entreprises étrangères et les fusions et acquisitions transfrontalières. Parmi les filiales étrangères nous distinguons les filiales qui portent l’enseigne du groupe de celles qui portent un autre nom. Cette distinction nous permet d’analyser l’impact sur la performance du choix de garder ou non l’enseigne du groupe lors du déploiement international. Nos résultats montrent qu’il existe bien des modalités expliquant des différences de rentabilité entre les établissements. En effet, il semble qu’une implantation via des filiales portant le nom du groupe bancaire ait un impact négatif sur la performance. Par ailleurs, nous avons aussi relevé que la réalisation de partenariats transfrontaliers dans plus de dix secteurs différents n’est pas bénéfique pour la banque. / Are European banks’ cross-border strategies effective? This thesis analyzes the relationship between European banks’internationalization strategies and their performance. We investigate whether there are internationalization strategies that explain differences between European banks’ profits. We focus on three types of implementation strategies: at first, the installation of subsidiaries, then, alliances or partnerships with foreign companies and last but not least, cross-border mergers and acquisitions. Among foreign subsidiaries we distinguish those which carry the the group’s brand from those which carry a different name. This distinction allows us to analyze the results a bank can expect by keeping its company name while expanding overseas. Our results show that there are strategies that explain differences in profitability between institutions. Indeed, it appears that internationalization through subsidiaries with a brand perspective has a negative impact on performance. In addition, we also note that the implementation of cross-border partnerships in more than ten different sectors is not beneficial for the bank.
