Užsienio arbitražų sprendimų pripažinimas / Recognition of foreign arbitral awards

Tarptautinio arbitražo atveju susiduriama su arbitražo sprendimo pripažinimo procedūra ne jo priėmimo valstybėje. Svarbiausias tarptautinis instrumentas, reglamentuojantis užsienio arbitražų sprendimų pripažinimo tvarką, yra 1958 m. Niujorko konvencija dėl užsienio arbitražų sprendimų pripažinimo ir vykdymo. Pagal 1958 m. Niujorko konvenciją funkcija pripažinti užsienio arbitražų sprendimus valstybėse paprastai priskiriama konkrečiam nacionaliniam teismui arba teismams. Pripažinimo klausimas sprendžiamas vadovaujantis Niujorko konvencijos V straipsnyje įtvirtintais atsisakymo pripažinti užsienio arbitražo sprendimą pagrindais. Siekiant efektyvaus ir vieningo pripažinimo mechanizmo veikimo, stengiamasi vienodinti nacionalines teisės normas Susitariančiose šalyse. Prie šio siekio svarbia dalimi prisidėjo 1985 metais Jungtinių Tautų Tarptautinės prekybos teisės komisijos (UNCITRAL) priimtas Tarptautinio komercinio arbitražo pavyzdinis įstatymas, kurio paskirtis – būti orientyru valstybėms priimant nacionalinius aktus šiuo klausimu. Jame, be kita ko, integruotos ir nuostatos dėl užsienio arbitražo sprendimų pripažinimo, parengtos vadovaujantis Niujorko konvencija. Ne mažiau svarbus ir vieningos teismų praktikos pripažįstant užsienio arbitražų sprendimus veiksnys. [toliau žr. visą tekstą] / In a case of foreign arbitration it is inevitable to face the procedure of recognition of foreign arbitral award in a country where it was not enacted. 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards is the fundamental international instrument, which establishes the order of recognition of foreign arbitral awards. Pursuant to the 1958 New York Convention, the function to recognise foreign arbitral awards is attached to certain national court or courts. The question of recognition is solved following grounds on refusal to recognise foreign arbitral awards, which are set in the Article V of New York Convention. Due to the effective and united function of the recognition mechanism, it is endeavoured to uniform national law rules in the Contracting States. Contribution to this objective was added by 1985 UNCITRAL Model Law on Commercial Arbitration, adopted by United Nations Commission on International Trade Law. The mission of this Law is to be a guide for the states in establishing their national laws on the subject. The Model law, among other regulations, integrates the provisions on recognition of foreign arbitral awards, which are laid in accordance with New York Convention. Les déterminants de l’acceptation d’une affectation à l’international

Cette étude porte les raisons de l’acceptation d’une affectation internationale. Alors que l’augmentation du nombre d’entreprises et d’activités internationales crée une pression de plus en plus forte à recourir à la mobilité internationale, ces entreprises éprouvent toujours certaines difficultés à attirer et à sélectionner les bons candidats. Notre étude, effectuée auprès d’individus travaillant dans le domaine de l’ingénierie-construction, visait, dans un premier temps, à connaître quels sont les déterminants individuels, organisationnels et de l’affectation dans l’acceptation d’une affectation à l’international. Dans un second temps, nous avons cherché à vérifier l’importance relative de ces déterminants dans l’acceptation d’une affectation à l’international. Nos analyses ont révélé que deux déterminants individuels et sept déterminants organisationnels ont influence positive significative dans l’acceptation d’une affectation internationale. / This study’s main focus is the reasons that are involved in the acceptance of an international assignment. While the number of multinational corporations is increasing, so is the pressure to attract and select candidates that will accept an international assignment. Based on a sample of employees working in engineering and construction, our study had two main goals. First, we sought to identify which are the key individual, organisational and assignment variables in the decision to accept or refuse an international assignment. The second goal was to verify the relative importance of those key variables in the acceptation of an international assignment. Our analyses revealed that two individual variables and seven organisational variables have a significant and positive influence in the acceptance of an international assignment.

The contribution of EIA to decision making: a critical analysis of EIA refusals in South Africa / Jeanne Davidson.

The effectiveness of the Environmental Impact Assessment process has been questioned by its critics both locally and internationally, as there is a perception that EIA process is merely a rubber stamping exercise. The objective of this study was to determine whether or not the relevant provincial authorities in South Africa have issued EIA refusals and if so what the main reasons for refusal were. Both Basic Assessment and full EIA processes were considered. Access to the EIA refusals from the various provincial environmental departments and environmental consultants was limited. Only seventeen EIA refusals were received after extended requests over a 12-month period, after which each of these were analysed. The reasons for the EIA refusals encountered in this study have been categorised into seventeen sub-classes relating to the following environmental issues: site location, socio-economics, land use/zoning, lack of justification, Spatial Development Framework (SDF), biodiversity, incompleteness of information, legislation discouraging development, visual/noise impacts, lack of alternatives, services issues, cumulative effects, groundwater, waste, specialist studies, gross non-compliance and air pollution. It is important to note that an EIA application could potentially have more than one screening trigger, and therefore it is possible that the percentages explained in this study can add up to more than 100%. The highest number of the EIA refusals’ screening triggers (8 of 17 = 47.06%) were found to be due to the transformation and rezoning of undeveloped or vacant land, and 5 of 7 (71.4%) of those particular EIA refusals were attributed to applications for residential development. Biodiversity and ecological sensitivity of the site location, as well as construction of infrastructure were next on the scale, with three (17.65%) EIA refusal screening triggers each. Finally, concentration of animals for production and storing and handling of hazardous substances both had two (11.76%) screening triggers. Only one EIA refusal did not include any substantive reasons for refusal and was refused on purely procedural grounds. The lack of justification of the development, lack of technical information and inadequate alignment with future spatial planning also constituted reasons for negative authorisations. From the results it was evident that although it is usually the procedural issues that hinder EIA, this study encountered many substantive issues, making up the majority of the reasons for EIA refusal here. This goes against international opinion that EIAs are usually turned down due to lack of adherence to process. Other findings from this study of particular interest include that no database is maintained for the number and reasons of EIA refusals that are processed, only for those that are authorised. It was also found that there were provinces that have never issued an EIA refusal. Studiens syfte var att få kunskap och förståelse varför medlemmar i en nykter och drogfri förening valt att vara nyktra och drogfria, varför de gick med i föreningen samt vilken betydelse den har. Frågeställningarna som användes var (1) Varför medlemmar i en förening väljer att inte använda alkohol och droger samt vilka faktorer som kan ha bidragit till detta? och (2) Varför gick de med i en nykter och drogfri förening samt vilken betydelse har föreningen? För att besvara frågeställningarna gjordes sex kvalitativa intervjuer. Resultaten analyserades med hjälp av jämförelser med tidigare forskning inom området och relevanta teorier. Resultatet påvisade att anknytning och känsla av trygghet och stöttning från föräldrar hade samband med intervjupersonernas intresse för alkohol och droger. Den nyktra och drogfria föreningen hade en viktig funktion för intervjupersonerna genom att stärka den egna identiteten som nykterist samt där fanns en gemenskap som delar liknande värderingar gällande alkohol och droger. / The study aimed to gain insight and understanding why members of a clean and sober compound chosen to be clean and sober, why they joined the association and the importance it has. The questions used were (1) Why did members of an association choose not to use alcohol and drugs and which are the factors that may have contributed to this? and (2) Why did they join a clean and sober association and what is the importance of the association? To answer the questions six qualitative interviews were done. Results were analyzed with the help of comparison with previous research in the field and relevant theories. The results demonstrated that affiliation and the feeling of security and jacking from parents were related to the interviewees' interest in alcohol and drugs. The clean and sober compound had an important function of the interviewees by affirming one's identity as a teetotaler, and that there was a community that shares similar values ​​regarding alcohol and drugs.

Christian Science and healing in Canada

Christian Science is one of several religious groups with doctrines that suggest that medical use hinders spiritual development and/or is ineffective. Because of the beliefs, Christian Science has faced controversy in both Canada and the United States, and experiences difficulty maintaining a committed following. In some cases, Scientists who choose to rely on Christian Science risk increased pain or death for themselves or their children. This study seeks to identify the influences that Scientists face when deciding upon a healthcare option for themselves and their children. I applied interpretative phenomenological analysis to eleven interviews with current Canadian Scientists and one interview with a former Scientist. In addition, I analyzed biographies, church policies and doctrines, Canadian laws, and relevant court cases to contextualize my data. I concluded that Scientists use diverse forms of healthcare (some of which may be risky).

A presente dissertação trata do direito de preferência para a celebração de negócios jurídicos, em geral translatícios de propriedade, que não encontra definição expressa no Código Civil, muito embora diversos dispositivos legais aludam ao referido direito. Na medida em que limita a liberdade contratual do vinculado à prelação, no tocante à escolha do outro contraente, a preferência, de origem legal ou negocial, atribui ao sujeito ativo da relação prelatícia o direito de ser preferido. Para tal, exige-se que o vinculado à preferência tenha decidido, de maneira livre e inequívoca, celebrar um contrato preferível, e que a sua intenção se tenha materializado, com a presença de um terceiro efetivamente interessado em com ele contratar. Constituído o direito do preferente, o que em geral chega a seu conhecimento por meio de notificação extrajudicial remetida pelo obrigado à prelação, pode aquele manifestar interesse em preferir, ou não. No primeiro caso, nasce na esfera jurídica do vinculado à prelação o dever de com ele contratar, nos mesmos termos e condições ajustados com terceiro. Dever este cuja violação, a depender da eficácia, real ou obrigacional, da preferência, possibilitará ao sujeito ativo perseguir não só as perdas e danos por ele eventualmente sofridas em decorrência do desrespeito a seu direito, como também, cumulativamente, lhe facultará exigir o cumprimento específico da obrigação. Neste último caso, o negócio jurídico celebrado entre o obrigado à preferência e terceiro será, perante o preferente, inoponível. / This thesis examines rights of first refusal to enter into a business transaction, generally involving the transfer of property. Rights of first refusal are not specifically defined in the Brazilian Civil Code, although various provisions of the Code allude to them. While on one hand rights of first refusal, whether legal or contractual in origin, limit the contractual freedom of the obligor, by restricting his choice of contracting parties, on the other they generate a preference or option in the right holder to conclude the transaction contemplated by the right. Before this preference or option can be exercised, however, the obligor must have formed the free and unmistakable intention to enter into the business transaction subject to the right of first refusal, and this intention must be made manifest in relation to a third party that is effectively interested in making the contract. The holder of the right of first refusal usually becomes aware that the right has become exercisable by notice sent by the obligor, and in response the right holder is required to state whether the right will be exercised or not. If the right is exercised, a new obligation arises on the part of the obligor to enter into the transaction with the right holder, on the same terms and conditions agreed with the third party. Depending on whether the right of first refusal is personal or real in nature, violation of this obligation can give rise not only to the right to reparation of losses suffered as a consequence of the breach, but also the right to demand specific performance of the obligation, in which case any transaction made between the obligor and a third party will be unenforceable against the holder of the right of first refusal.

A presente dissertação trata do direito de preferência para a celebração de negócios jurídicos, em geral translatícios de propriedade, que não encontra definição expressa no Código Civil, muito embora diversos dispositivos legais aludam ao referido direito. Na medida em que limita a liberdade contratual do vinculado à prelação, no tocante à escolha do outro contraente, a preferência, de origem legal ou negocial, atribui ao sujeito ativo da relação prelatícia o direito de ser preferido. Para tal, exige-se que o vinculado à preferência tenha decidido, de maneira livre e inequívoca, celebrar um contrato preferível, e que a sua intenção se tenha materializado, com a presença de um terceiro efetivamente interessado em com ele contratar. Constituído o direito do preferente, o que em geral chega a seu conhecimento por meio de notificação extrajudicial remetida pelo obrigado à prelação, pode aquele manifestar interesse em preferir, ou não. No primeiro caso, nasce na esfera jurídica do vinculado à prelação o dever de com ele contratar, nos mesmos termos e condições ajustados com terceiro.
