El presente informe analiza la corrección de una sentencia expedida por la
Segunda Sala Civil con Subespecialidad Comercial de Lima que declaró nulo en
parte un laudo arbitral a través del cual había concedido una pretensión
indemnizatoria por incumplimiento contractual, al considerar que dicho laudo
arbitral contenía una motivación sustancialmente incongruente, toda vez que el
Tribunal Arbitral recalificó el factor de atribución postulado por el demandante
arbitral – reconducción de la causa petendi.
El problema principal radica en determinar si la decisión adoptada por la Sala fue
acertada o no. Para lo cual analizaremos, a la luz de lo establecido por la doctrina
y la jurisprudencia, si el Tribunal Arbitral, al recalificar el factor de atribución,
respetó el contradictorio y al principio de congruencia de las partes.
La conclusión principal es que el Tribunal Arbitral aplicó el principio iura novit
curia sin respetar el derecho al contradictorio de la perjudicada, generando así
un laudo arbitral incongruente en relación a los términos iniciales del debate.
Al respecto, si bien el ordenamiento jurídico peruano no contempla una
regulación óptima del dicho principio, en la medida que la actual no ha
determinado los límites que debe suponer su aplicación, la doctrina y la
jurisprudencia se han encargado de delimitar los límites de dicho principio.
Al respecto, existe un consenso en que su debida aplicación pasa por respetar
el derecho al contradictorio, debiéndose correr traslado a las partes, antes de
laudar o emitir sentencia, a fin de que puedan cuestionar los nuevos términos del
debate. / This report analyzes the correction of a judgment issued by the Second Civil
Chamber with Commercial Subspecialty of Lima that declared null and void in
part an arbitration award through which it had granted a claim for damages for
breach of contract, by considering that such arbitration award contained a
substantially inconsistent motivation, since the Arbitral Tribunal re-qualified the
attribution factor postulated by the plaintiff in the arbitration - reconduction of the
causa petendi.
The main problem lies in determining whether the decision adopted by the
Chamber was correct or not. To this end, we will analyze, in the light of the
doctrine and case law, whether the Arbitral Tribunal, in recharacterizing the
attribution factor, respected the contradictory and the principle of congruence of
the parties.
The main conclusion is that the Arbitral Tribunal applied the iura novit curia
principle without respecting the right to contradictory arguments of the injured
party, thus generating an inconsistent arbitral award in relation to the initial terms
of the debate.
In this regard, although the Peruvian legal system does not contemplate an
optimal regulation of the said principle, to the extent that the current one has not
determined the limits that its application should entail, the doctrine and
jurisprudence have been in charge of delimiting the limits of the said principle.
In this regard, there is a consensus that its due application involves respecting
the right to contradictory arguments, and that it must be applied in a manner that
is consistent with the right to a fair trial.

El presente informe jurídico está destinado a determinar si la resolución que
declara fundado el recurso de anulación fue emitida conforme a las normas que
regulan el arbitraje y el recurso de anulación de laudo en el ordenamiento jurídico
peruano. Para ello se emplearán principalmente el Decreto Legislativo N°1071
que norma el arbitraje, el Reglamento de Arbitraje de la Cámara de Comercio de
Lima del año 2017, así como la jurisprudencia de las Salas Comerciales de la
Corte Superior de Justicia de Lima, de la Corte Suprema y del Tribunal
Constitucional al respecto. Asimismo, se empleará la doctrina pertinente
respecto al recurso de anulación de laudo arbitral y sus límites, así como
respecto a la prueba extemporánea en arbitraje. El análisis efectuado de dichos
instrumentos permitirá concluir que la resolución emitida no es conforme a
nuestro ordenamiento jurídico. Esto se debe a que se ha declarado fundado un
recurso de anulación que desde el inicio era improcedente y, además,
atendiendo a que la Sala ha calificado la motivación expuesta por los árbitros en
el laudo, lo cual se encuentra expresamente prohibido por ley. De esta forma, la
resolución materia del presente informe resulta en una intervención indebida de
la judicatura en el arbitraje. / The purpose of this legal report is to determine whether the court ruling declaring
the action for annulment was issued in accordance with the rules governing
arbitration and the action for annulment of an award in the Peruvian legal system.
For this purpose, the Legislative Decree N°1071, which regulates arbitration, the
Arbitration Rules of the Lima Chamber of Commerce of 2017, will be used as well
as the case law of the Commercial Chambers of the Superior Court of Justice of
Lima, the Supreme Court and the Constitutional Court in this regard. The relevant
doctrine shall also be used with respect to the arbitral action for annulment and
its limits, as well as with respect to extemporaneous evidence in arbitration. The
analysis of these instruments will allow us to conclude that the court ruling is not
in accordance with our legal system. This is due to the fact that an application for
annulment that was inadmissible from the outset has been declared well founded
and, moreover, on the grounds that the Chamber has qualified the grounds set
out by the arbitrators in the award, which is expressly prohibited by law. In this
way, the court ruling subject matter of this legal report results in undue
intervention by the judiciary in arbitration.

El presente informe jurídico aborda un caso judicial donde se declaró fundado un recurso
de anulación de laudo arbitral por supuestamente adolecer de vicios de motivación al no
presentar una valoración del informe de un perito cuyo objeto era afirmar las deficiencias
técnicas de un expediente técnico. Por lo cual, mediante el análisis de la doctrina,
legislación y jurisprudencia se cuestiona la decisión judicial porque los jueces emitieron
opinión sobre los criterios presentados por los árbitros para resolver el arbitraje, aún
cuando ello está prohibido bajo la Ley que norma el arbitraje. Del mismo modo, el
informe apoya la posición de que los supuestos de vicios de motivación aplicables a los
laudos arbitrales serán la inexistencia de motivación y la falta de justificación interna. Por
último, se presenta una opinión respecto a una cuestión de fondo del arbitraje: la invalidez
de la resolución contractual de una parte y una supuesta vulneración a la cosa juzgada por
el laudo arbitral. / The present legal report addresses a judicial case where an appeal to annul an
arbitration award was upheld on the grounds of alleged motivational defects, as it
failed to provide an assessment of an expert's report which aimed to highlight the
technical deficiencies of a technical file. Therefore, through the analysis of doctrine,
legislation, and jurisprudence, the judicial decision is questioned because the judges
gave an opinion on the criteria presented by the arbitrators to resolve the arbitration,
even though this is prohibited under the Law governing arbitration. Similarly, the
report supports the position that the grounds for motivational defects applicable to
arbitration awards will be the absence of motivation and the lack of internal
justification. Finally, an opinion is presented regarding a substantive issue of the
arbitration: the invalidity of one party's contract termination and an alleged violation of
res judicata by the arbitration award.

El desarrollo del presente informe se sustenta en los aspectos jurídicos más
relevantes en torno a la Resolución N° 5 del Expediente N° 00215-2023-0-1817-
SP-CO-02, que resuelve anular parcialmente el laudo arbitral del 21 de febrero
de 2023. En dicho arbitraje se discutió la aplicación de "penalidades por mora" y
"otras penalidades" bajo la Ley N° 29230. Posteriormente, luego de haber
abordado los aspectos relevantes sobre las penalidades contractuales, se
procederá a examinar la facultad del Poder Judicial para anular laudos arbitrales
por motivación insuficiente. Para ello se debe tener en cuenta si bien no es
posible aplicar el estándar de motivación judicial a los arbitrajes, los árbitros
deben sustentar sus decisiones en aspectos fácticos y jurídicos del caso
concreto a fin de no vulnerar el derecho a la debida motivación que asiste a las
partes.
Aunado a ello, se tiene que en el Caso Arbitral N° 0267-2022-CCL el tribunal
arbitral ha evaluado con coherencia la forma en la que se debe sancionar el
incumplimiento del supervisor al no haber entregado los informes respectivos en
el plazo contractualmente establecido, para ello sustenta su decisión en la
fórmula prevista en las bases integradas del contrato. Sin embargo, pese a está
prohibido expresamente que el Poder Judicial se pronuncie sobre el fondo de la
controversia, en el caso particular se evidencia que se ha solicitado la precisión
respecto al monto de referencia, lo cual estaría afectando la irrevisabilidad del
laudo. / The development of this report is based on the most relevant legal aspects
regarding Resolution No. 5 of File No. 00215-2023-0-1817-SP-CO-02, which
certifies to partially rescind the arbitration award of February 21, 2023. During the
arbitration, the application of "late penalties" and "other penalties" under Law No.
29230 were discussed. Subsequently, after having addressed the relevant
aspects of contractual penalties, we will proceed to examine the power of the
Judiciary to rescind arbitration awards due to insufficient motivation. In order to
successfully complete this task, it must be taken into account that although it is
not possible to apply the standard of judicial motivation to arbitrations, arbitrators
must base their decisions on factual and legal aspects of the specific case in
order not to violate the right to due motivation that assists the parts.
In addition, in Arbitration Case No. 0267-2022-CCL the arbitration tribunal has
consistently evaluated the way in which the supervisor's non-compliance should
be sanctioned for not having delivered the respective reports within the
contractually established period, decision that is based on the formula provided
in the integrated bases of the contract. However, although it is expressly
prohibited for the Judiciary to rule on the merits of the controversy, in the
particular case it is evident that precision has been requested regarding the
reference amount, which would affect the nonreviewability of the award.

La modalidad de Concurso Oferta se utiliza en los contratos de obra pública,
generando controversia respecto a su aplicación debido a que su régimen
jurídico establece como regla general la invariabilidad de la PEO del postor, salvo
excepciones. Para dichas excepciones, la Entidad debe aprobar las prestaciones
adicionales antes de su ejecución. En esta línea, el presente informe jurídico
aborda el Laudo Arbitral del Expediente N° 1908-308-18-CARC-PUCP, en el que
el Consorcio Puentes del Norte es el demandante y Provias Nacional el
demandado, analizando la viabilidad de aprobar un Expediente Técnico
Definitivo que excede el monto contractual bajo la modalidad de un contrato de
Concurso Oferta.
Con el propósito de desarrollar este análisis, primero se explicará la naturaleza
del contrato de Concurso Oferta, así como los deberes, riesgos y
responsabilidades del contratista. Luego, se analizarán los requisitos que debe
cumplir un Expediente Técnico Definitivo para su aprobación. Finalmente, se
evaluará el procedimiento para la aprobación de un Expediente Técnico
Definitivo, incluyendo su aprobación si dicho expediente contiene prestaciones
adicionales. La normativa aplicable al caso es el Decreto Legislativo N° 1017 -
Ley de Contrataciones del Estado y su reglamento, que establece el límite de las
prestaciones adicionales y el procedimiento para su aprobación, debiendo el
Expediente Técnico Definitivo cumplir con estos requisitos para ser aprobado. / The Bid Competition modality is used in public works contracts, generating
controversy regarding its application due to the fact that its legal regime
establishes as a general rule the invariability of the bidder's economic proposal,
except for exceptions. For such exceptions, the Entity must approve the
additional services prior to their execution. Along these lines, this legal report
addresses the Arbitration Award in Case No. 1908-308-18-CARC-PUCP, in
which Consorcio Puentes del Norte is the plaintiff and Provias Nacional is the
defendant, analyzing the feasibility of approving a Final Technical File that
exceeds the contract amount under the modality of a Tender Offer contract.
In order to develop this analysis, first the nature of the Tender Offer contract will
be explained, as well as the contractor's duties, risks and responsibilities. Then,
the requirements that a Definitive Technical File must meet for its approval will
be analyzed. Finally, the procedure for the approval of a Final Technical File will
be evaluated, including its approval if such file contains additional services. The
regulations applicable to the case are Legislative Decree No. 1017 - State
Contracting Law and its regulations, which establish the limit of additional
services and the procedure for their approval, and the Final Technical File must
comply with these requirements to be approved.

El presente informe tiene como fin analizar la Resolución N° 9 emitida por la
Primera Sala Civil Subespecialidad Comercial de la Corte Superior de Justicia
de Lima recaída en el Exp. N°00338-2021-0-1817-SP-CO-01. En dicha
resolución se resolvió declarar fundada la demanda de nulidad del laudo arbitral,
emitido el 25 de mayo de 2021, interpuesta por la Municipalidad Distrital de
Miraflores. Dicho laudo fue emitido a raíz del proceso arbitral desarrollado entre
la Municipalidad mencionada y Petramas S.A.C. La resolución señalada tuvo
como objeto determinar si el laudo cuestionado tuvo una aparente motivación
cuando el tribunal arbitral resolvió la excepción de caducidad planteada por la
Entidad.
El presente informe tiene como finalidad realizar un análisis respecto al
tratamiento de la excepción de caducidad dentro de la normativa peruana y cómo
ello se relaciona con el principio de competence - competence y el control judicial
de los laudos arbitrales. Asimismo, se analizará la motivación aparente y cuál es
el estándar de motivación exigido en los laudos arbitrales. / The purpose of this report is to analyze Resolution Nº 9, issued by the First Civil
Chamber of the Commerce subspecialty of the Supreme Court of Lima in case
Nº 00338-2021-0-1817-SP-CO-01. With this decision, it was decided to declare
founded the appeal for annulment of the arbitration award of May 25, 2021,
issued by the Municipal Government of the District of Miraflores. This ruling is the
result of an arbitration procedure established between the aforementioned
municipality and Petramas S.A.C. The resolution in question aimed to determine
whether the challenged award had apparent motivation when the arbitral tribunal
ruled on the lapse of claim defense raised by the Entity.
The purpose of this report is to conduct an analysis regarding the treatment of
the exception of lapse within Peruvian regulations and how this relates to the
principle of competence-competence and judicial review of arbitral awards.
Furthermore, the report will analyze apparent motivation and what the standard

Informe jurídico sobre la Resolución N° 09 recaída en el Expediente N° 00517-2021-0-1817-SP-CO-01Burga Moreno, Alice Josefina 09 August 2024 (has links)
El problema principal consiste en establecer si se vulneró el derecho del demandante a una debida motivación que justifique que la Sala Comercial declare fundado el recurso de anulación interpuesto contra el cuarto punto resolutivo del laudo. El mencionado punto resolutivo condenó a la Entidad al pago del íntegro de los costos del arbitraje1 tras determinar que no existió pacto entre las partes sobre la distribución de dichos costos y que no hubo una “parte vencida” en el proceso. Por tal motivo, el árbitro evaluó la distribución de los costos aplicando de manera supletoria el artículo 73.1° de la Ley de Arbitraje (en
adelante, LDA).
Para analizar el problema central, se empleará la LDA en lo referente a la motivación del laudo y los límites de la revisión judicial (artículos 56.1° y 62.2° respectivamente), a la luz de la jurisprudencia constitucional sobre la motivación en sede arbitral, en tanto nuestro ordenamiento permite el control de la motivación del laudo cuando se vulnera el debido proceso. En consecuencia, las Salas Comerciales deben interpretar las causales de anulación del artículo 63.1° sistemáticamente con la duodécima disposición complementaria de la LDA, pues
el recurso de anulación es una vía igualmente satisfactoria para controlar la
debida motivación arbitral. Finalmente, conforme al artículo 73.1°, se sostiene
que el pago de los costos arbitrales le correspondía a la demandada, dado que fue la parte vencida del arbitraje, al haberse declarado la caducidad de oficio de sus pretensiones. / The main problem is to establish whether the plaintiff's right to due motivation was violated and if its alleged violation justifies the Commercial Court’s decision

To analyze the central problem, the AL will be used in relation to the motivation of the award and the limits of judicial review (articles 56.1° and 62.2° respectively), in light of the constitutional jurisprudence on the motivation in arbitration, in Both our legal system allows control of the motivation of the award when due process is violated. Consequently, the Commercial Court must interpret the grounds for annulment of article 63.1° systematically with the twelfth complementary provision of the AL, since the annulment appeal is an equally satisfactory way to control the due arbitration motivation. Finally, in accordance with article 73.1°, it is maintained that the payment of the arbitration costs corresponded to the defendant, given that it was the losing party in the arbitration, as the expiration of its claims had been declared ex officio.

El problema principal planteado tiene como finalidad evidenciar la importancia
del reclamo expreso previo como requisito de procedencia de las demandas de
anulación de laudo arbitral, salvo excepciones. El Decreto Legislativo N° 1071,
Decreto Legislativo que norma el arbitraje, ha establecido que cuando existan
irregularidades en el marco del arbitraje ya sea en el incumplimiento de las reglas
pactadas por las partes o en aquellas garantías del debido proceso que resulten
aplicables, el interesado tendrá que advertir la existencia de estas afectaciones
buscando que los árbitros reviertan esta situación cuando sea posible. Caso
contrario, la norma señala expresamente que cuando no se haya formulado este
reclamo de manera expresa y oportuna, el laudo arbitral que sea emitido no
podrá ser cuestionado por aquellas afectaciones que no hayan sido advertidas
durante el trámite del arbitraje.
En el presente caso observamos como el demandante solicita la anulación del
laudo arbitral alegando que los árbitros incumplieron las reglas que las partes
habían pactado en el arbitraje. No obstante, hemos demostrado cómo este
reclamo no fue formulado de forma oportuna y, por ende, el demandante toleró
las afectaciones sufridas en el arbitraje. De esta forma, ante la ausencia de un
reclamo expreso previo, la demanda de anulación de laudo arbitral debió ser
desestimada en tanto no se cumplió con un requisito de procedencia establecida
en la normativa nacional que regula el arbitraje. / The main problem raised has as objective to put in evidence the importance of
the prior and express claim as a requirement of precedence of the Lawsuits for
annulment of arbitral award. The Legislative Decree No. 1071, Legislative Decree
that regulates arbitration, has established that when irregularities exist in the
context of the arbitration, either in the breach of the rules agreed by the parties
or in those guarantees of due process that are applicable, the interested party
will have to warn of the existence of these affectations and ask the arbitrators to
revert that the arbitrators revert this situation whenever possible. Otherwise, the
norm dictates that when there is no reclaim formulated in an express and timely
manner, the arbitration decision that is issued may not be challenged by those
defects that have not been noticed during the arbitration proceedings.
In the present case, we observe how the claimant requests the annulment of the
arbitration award alleging that the arbitrators failed to comply with the rules that
the parties had agreed upon in the arbitration. However, we have shown how this
claim was not formulated on time and, therefore, the claimant tolerated the
damages suffered in the arbitration. Thus, in the absence of a prior and express
claim, the claim for annulment of the arbitration award should have been
dismissed since it did not comply with a procedural requirement established in
the national legislation governing arbitration.

En este informe jurídico se aborda un problema principal y tres problemas
secundarios relacionados con la Resolución Nº 46 Laudo Arbitral - Arbitraje Ad Hoc
seguido entre OBRASCÓN HUARTE LAIN S.A. y PROVÍAS. NACIONAL. El
problema principal radica en la posible alteración de la ruta crítica de la obra. Se
concluye que sí existe un impacto en la ruta crítica, contrario a lo que señala el
Tribunal Arbitral.
El primer problema secundario sobre el impacto de la ruta crítica por el
comportamiento de un tercero ajeno al contrato de obra, se determina que sí es
posible, toda vez que el retraso en la aprobación del Presupuesto Adicional Nº 10
incurrido por la Contraloría General de la República constituye una causa que no
es atribuible al contratista.
El segundo problema secundario se refiere a partir de qué momento se puede
ejecutar un presupuesto adicional que excede el 15% del monto contractual. Se
establece que la aprobación se da a partir de la emisión de la resolución por parte
de la Contraloría General de la República, que dispone la aprobación del
presupuesto adicional solicitado por la entidad contratante.
El tercer problema secundario analiza si el contratista debe solicitar la ampliación
de plazo por un adicional de obra sin la autorización de la Contraloría General de
la República. Se concluye que no es posible, ya que, sin dicha aprobación, no se
puede ejecutar el adicional ni obligar al contratista a solicitar la ampliación de plazo. / This legal report addresses one main problem and three secondary problems
related to Resolution No. 46 Arbitration Award - Ad Hoc Arbitration followed between
OBRASCÓN HUARTE LAIN S.A. and PROVIAS NACIONAL. The main problem lies
in the possible alteration of the critical path of the project. It is concluded that there
is an impact on the critical path, contrary to what the Arbitration Court indicates.
The first secondary problem regarding the impact of the critical path due to the
behavior of a third party unrelated to the work contract, is determined to be possible,
since the delay in the approval of Additional Budget Nº 10 by the Comptroller
General's Office the Republic constitutes a cause not attributable to the contractor.
The second secondary problem refers to when an additional budget that exceeds
15% of the contractual amount is considered approved. It is established that the
approval is given from the issuance of the resolution by the Comptroller General of
the Republic, which provides for the approval of the additional budget requested by
the contracting entity.
The third secondary problem analyzes whether the contractor should request an
extension of the deadline for additional work without the approval of the Comptroller
General of the Republic. It is concluded that it is not possible, since, without said
approval, the additional cannot be executed or the contractor be forced to request
the extension of the deadline.
