A presente dissertação analisa a relação entre direito e experimentalismo institucional por meio de um estudo sobre o surgimento de políticas públicas de capital semente no Brasil. A partir de uma pesquisa empírica sobre a colaboração público-privada na criação e execução de fundos públicos de investimentos em empresas nascentes do BNDES e do trabalho de Mario Schapiro, a pesquisa analisa os arranjos jurídicos que procedimentalizam canais de comunicação entre o Estado e os gestores privados e geram aprendizado institucional para revisão dos arranjos contratuais da política. Ainda, a dissertação apresenta uma resenha da literatura de experimentalismo democrático em especial, Roberto Mangabeira Unger e Charles Sabel e a utiliza para analisar criticamente os arranjos jurídicos dos fundos de capital semente do BNDES, que ainda não garantem formas de accountability e controle social das políticas públicas de capital de risco. Ao analisar a experiência do Fundo Criatec, a dissertação a identifica como um exemplo de inovação institucional do BNDES, dotada de flexibilidade e horizontalidade. Entretanto, conclui-se que tais políticas públicas estão distantes do modelo de experimentalismo democrático e que há novas questões para os juristas brasileiros. Sugere-se que o novo ativismo estatal brasileiro incita uma agenda de sociologia jurídica aplicada. / This dissertation examines the relationship between law and institutional experimentalism through a study of the emergence of seed capital public policies in Brazil. Based on an empirical research about the public-private collaboration in the creation and implementation of the Brazilian Development Banks public investment funds in emerging firms, and the studies of Mario Schapiro, the research examines the legal arrangements that proceduralizes channels of communication between the state and private managers, and generates institutional learning to the revision of the policys contractual arrangements. Still, the dissertation presents a review of the democratic experimentalism literature - in particular, Roberto Mangabeira Unger and Charles Sabel - and uses it to critically examine the legal arrangements of seed capital funds from the BNDES, which do not yet provide forms of accountability and social control on venture capital policies. By analyzing the experience of the Criatec Fund, the dissertation identifies it as an example of institutional innovation in the BNDES, endowed with flexibility and horizontality. However, the research shows that such policies are far from the democratic experimentalism model and that there are new issues for Brazilian legal scholars. Furthermore, it suggests that the new state activism in Brazil encourages an agenda of applied socio-legal studies

Auras of Legality - The Jurisdiction and Governance Signature of the International Governance of Official Development Assistance

Official Development Assistance (ODA) or international development aid (defined as the transfer of official financing to promote the development and welfare of developing countries), is a highly influential and politically sensitive area of international relations. Though it is not governed by any international legal agreement, it displays remarkable cohesion across the major Northern donors in its modalities of governance, the coherence in its normative aims and in its institutional reform agenda. In order to understand why, this project focuses on the central, if overlooked, role of the Organisation for Economic Co-operation and Development (OECD) and its Development Assistance Committee (DAC) as the key institutional locus of the international governance of ODA by donors. This project examines the legal nature of the international governance of ODA, tracing and critically analysing the link between the governance of ODA and governance by ODA. It demonstrates how the legal form of the international governance of ODA is central to the reach and effectiveness of the legal and institutional reform agenda promoted via ODA at national and international levels, and to contouring the legal and political subjectivities of donors and aid-recipient states in ways that escape formal legal and democratic recognition. Finding that mainstream legal analytical methods fail to fully capture the legal-juridical quality of the international governance framework of ODA, and the particular role of law therein, I develop a new analytical lens based on the concepts of ‘jurisdiction’ (as juris dictio) and the ‘signature.’ This lens reveals how ODA creates a distinct jurisdiction with its own internal legal logic, where donor and aid-recipient subjectivities and relations of authority are continually constructed and maintained by international governance instruments and practices developed during colonial and imperial governance eras under the League of Nations and Marshall Plan institutions. I demonstrate how this jurisdictional space is augmented by key legal, policy, bureaucratic and technocratic instruments of governance by the OECD and DAC, through patterns of juridification and reiteration.

Framework for Achieving Sustainability in Investment Decisions: Refl ections on Rio+20

No / The quest for environmental protection alongside economic development has been one of the prominent themes of political and legal discourse for several decades. This article examines the extent to which the principle of sustainable development (introduced under the Rio Declaration 1992) as a conceptual framework for balancing these competing goals has been integrated within the international investment law regime. It does this by examining decisions of investment tribunals on disputes relating to the legitimacy of government measures on environmental grounds. The analysis evidenced a lack of clear principles and mechanisms for balanced consideration of all competing interests; with the outcome being generally the subordination of environmental concerns to the protection of investors’ economic interests under international investment law. This supports criticism that although sustainable development has become one of society’s most sought-after goals, progress towards achieving this has been frustratingly slow. Against this background, the article goes on to determine whether the outcomes from the hugely anticipated Rio+20 Conference provided a framework or mechanisms that could promote sustainability integration in investment arbitrations. The article fi nds that while the outcome document from the main Rio+20 Conference did not provide such a framework, the Declaration from the Judge’s Conference, which was organised by UNEP and held simultaneously in Rio, provided some principles and mechanisms that, if fl eshed out, could contribute towards better integration of sustainability in the investment regime.

O tema em discussão diz respeito ao atendimento, pelo direito comercial, de interesses que não exclusivamente o lucro, e guarda evidente relação com as bases principiológicas e legislativas já estabelecidas principalmente no Código Civil, na Lei de Sociedades por Ações e na Constituição Federal. Identifica-se espaço para o desenvolvimento de extensa gama de atividades econômicas lucrativas com intuito de geração de benefícios sociais, ambientais e econômicos para pessoas excluídas do circuito de consumo no país. Esse é o fundamento do instituto denominado principalmente de empresa social, negócio de impacto ou sociedade de benefícios, idealizado pelo economista bengalês Muhammad Yunus, ganhador do Prêmio Nobel da Paz, que tinha como intuito a erradicação da pobreza em seu país por meio do financiamento aos pobres de microcrédito, oferecido por um banco. A partir do entendimento da empresa como instrumento para que se alcance o desenvolvimento e a geração de impacto positivo na sociedade, o trabalho estuda os mais recentes debates sobre o contexto de surgimento e as diferenças dos conceitos atribuídos a essa modalidade empresarial nos diferentes países e regiões do mundo. Após, analisa a aplicabilidade dos conceitos e práticas de governança à empresa com atuação social, sobretudo em duas frentes: na própria estrutura societária, no que diz respeito à estabilização do compromisso dos sócios e acomodação de interesses entre partes relacionadas; e na organização dos órgãos administrativos da empresa, principalmente incumbidos da administração em si e da fiscalização da atividade social. / The subject under discussion relates to the attention, by corporate law, of interests not exclusively profitable, and is clearly linked to the principles and legislative bases already established mainly in the Civil Code, Companies Law and Brazilian Federal Constitution. One can identify a wide range of economic activities\' development space purposing to generate profits and social, environmental and economic benefits for people excluded from the consumption circuit. This is the main idea of the so-called social enterprise, positive impact business or Benefit Corporation, created by the Nobel Peace Prize winner, Muhammad Yunus, a Bangladeshi economist whose goal was to eradicate poverty by a microcredit bank. Having the enterprise as a tool to achieve development and generate positive impact in society, the study relates the most recent debates about the context of emergence and the concepts\' differences in the different countries to the social enterprise or Benefit Corporations. Afterwards, it analyzes the governance concepts and practices\' applicability to the social enterprise, especially about the corporate structure itself, regarding the partners commitment stabilization and interests\' accommodation between related parties; and the business organization, mainly in charge of the administration itself and the social activity supervision.

Ativismo judicial no Brasil e seu impacto no processo de desenvolvimento econômico / Judicial activism in Brazil and its impact on the process of economic development

A presente pesquisa buscou levantar os aspectos que envolvem o ativismo judicial no Brasil, desde os elementos estimuladores de sua prática pelos magistrados, até os efeitos de sua realização. O trabalho foi dividido em duas partes principais. Se inicia com uma breve digressão história, explicativa da importância da formação do Estado de Direito e da democracia, e do diploma legal que assegura esse sistema jurídico, a Constituição. Em seguida, demonstra a atuação da jurisdição constitucional, e seus limites impostos pela própria Magna Carta. E então, nesse cenário, avalia como o ativismo judicial se desenvolveu no Brasil, após a promulgação da Constituição Federal de 1988. Foram abordados os temas mais relevantes para o estímulo do ativismo judicial, quais sejam, as normas constitucionais com conceitos indeterminados, a vasta quantidade de direitos sociais previstos na Constituição Federal, pendentes de implementação legislativa e administrativa, o período histórico que vivemos denominado \"neoconstitucionalismo\" conferindo alto prestígio aos princípios para regularem os casos concretos, a análise da omissão inconstitucional por meio do mandado de injunção e da ação direta de inconstitucionalidade por omissão, e por fim, o controle concentrado de constitucionalidade, em especial, no que se toca aos efeitos da decisão nos processos objetivos. Na segunda parte do trabalho é realizada uma explicação sobre o Direito e desenvolvimento, e como seus estudos foram abordados por diversos autores, considerando a falta de uma sistematização teórica. Por fim, é feita uma análise do ativismo judicial, como praticado no Brasil, e seus impactos no processo de desenvolvimento econômico. / The present research investigated the aspects that involve the judicial activism in Brazil, from the stimulating elements of its practice by the magistrates, until the effects of its accomplishment. The work was divided into two main parts. It begins with a brief history, explaining the importance of the formation of the rule of law and democracy, and the legal diploma that ensures this legal system, the Constitution. Then demonstrates the performance of the constitutional jurisdiction, and its limits imposed by the Constitution itself. And then, in this frame, evaluated how judicial activism developed in Brazil after the promulgation of the Federal Constitution of 1988. The most relevant themes for the stimulus of judicial activism were discussed, which are, constitutional norms with indeterminate concepts, the vast number of social rights in the Federal Constitution, pending of legislative and administrative implementation, the historical period we call \"neoconstitutionalism\" conferring high prestige on the principles to regulate concrete cases, the analysis of the unconstitutional omission by mandatory injunction and direct action of unconstitutionality by omission(judicial review for the omission), and, finally, the control of constitutionality, especially, as regards the effects of the decision in the objective processes. In the second part of the work an explanation is made about law and development, and how its studies were approached by several authors, considering the lack of a theoretical systematization. Finally, an analysis of judicial activism, as practiced in Brazil, and its impacts on the process of economic development are made.

The rapid development in tourism sector in Turkey after 1980s led to an uncontrolled and unplanned development in the small settlements close to the tourism development areas. This is the result of the incrementalist tourism planning understanding emerged as the consequence of not considering the small settlements as a part of tourism development scenarios. Within the thesis, the tourism development areas and the economic, social, cultural and spatial relations of small settlements surrounding are discussed. It is emphasized that the concept of tourism is quite comprehensive and it is claimed that tourism legislation and tourism planning should be prepared taking into account that comprehensive tourism description. The questions, whether a role is described for small settlements in the tourism development scenarios in the course of tourism planning experiences of Turkey after 1980s or not, and what kind of approaches the tourism policies include about the development of small settlements are tried to be answered referring to the Tourism Encouragement Law Code: 2634 and Amended Law on Tourism Encouragement Law Code: 4957. The claims that tourism planning in Turkey after 1980s has not been carried out with a comprehensive planning approach and no part is reserved for the small settlements in tourism development scenarios are looked through over Antalya -Belek Tourism Centre and the hypothesis put forward in the thesis are proved through the mentioned sample areas. Moreover, within the scope of this thesis, recommendations and proposals on the legal regulations for the solution of problems determined and on the content of &ldquo / tourism development plans&rdquo / are given.

Esta dissertação procura analisar o artigo 219 da Constituição Brasileira sob a ótica das políticas econômicas do desenvolvimento. Em seu texto, o referido artigo garante como parte integrante do patrimônio nacional o mercado interno, prescrevendo seu incentivo a fim de proporcionar o desenvolvimento econômico, social e cultural, bem como a autonomia tecnológica e o bem-estar de toda a população. Partindo dos pressupostos teóricos da Constituição Federal de 1988 como sendo uma constituição dirigente, esta dissertação foca-se sobre o referido dispositivo encarando-o como artigo pertencente à chamada constituição econômica formal. Assim, esta pesquisa se propõe a estudar os três principais discursos nacionais sobre o desenvolvimento econômico, ao mesmo tempo em que busca na literatura econômico-constitucional as melhores análises sobre o referido artigo. / This study intends to analyze the article 219 of the Brazilian Constitution, under the view of the policies for economic development. In its text, the referred article grants the Brazilian internal market as part of the national patrimony. Further, the article prescribes its economic stimulus, intending to provide cultural, social and economic development, as well as social welfare and technological independence. Assuming that the Brazilian Constitution is a typical José Canotilhos directive constitution model, this study focuses on the referred article, facing it as a part of the Brazilian economic constitution. Thereby, proposes to study the three main national thesis about economic development, as the same time as it searches on the Brazilian constitutional and economic literature the best analysis on the cited article.
