Magister Legum - LLM / The main objective of this study is to review the legal and regulatory framework
of corporate governance in Tanzania with the focus on corporate governance laws
and regulations. The study is intended to discuss the main legal and regulatory framework in Tanzania which plays a part in the corporate governance. The Companies Act No. 12 of 2002 will be reviewed in order to establish which corporate governance principles are provided and to what extent they are effective. The capital markets and securities laws, guidelines on corporate governance in Tanzania with a focus on the listing requirements and other regulations applied at the DSE will also be reviewed in order to establish their effectiveness in attracting investors to the market. Given the comparative value of South Africa and Kenya in SADC and EAC respectively, this work will also discuss the legal and regulatory framework of corporate governance in Kenya and South Africa and compare with those in Tanzania in areas such as shareholders rights; stakeholder’s right; board control and effectiveness and the effectiveness of compliance. Such comparative analysis is done in order to single out areas of focus in legal and regulatory framework in corporate governance law such as companies’ law and stock market and security laws in Tanzania.

Some of the elements that facilitate implementation include stringent quality criteria and common benchmarks that build trust in the process and ensures the protection of the integrity of the system. The aim of this dissertation is an analysis of the regulatory framework for the procurement and distribution of stem cells in South Africa. This research includes aspects of the law of obligations, medical law and human rights law as found in the Bill of Rights. More specifically however, this dissertation attempts to bring to attention the shortcomings of chapter 8 of the National Health Act. An examination is undertaken according to the multilayered approach and therefore the proposed regulatory framework is examined within a constitutional framework, an ethical framework, the framework as established by common law, in this case the doctrine of informed consent and lastly within the national legislation framework as found in the National Health Act of 2003 and the regulations made in terms of the Act. This dissertation further entails a brief comparative study of the regulatory mechanisms of the United Kingdom as entrenched in the Human Fertilisation and Embryology Act of 2008 and the Human Tissue Act of 2004 and as practiced by the Human Fertilisation and Embryology Authority and the Human Tissue Authority. The analysis in this dissertation firstly provides an overview of the clinical manifestations and science of stem cell technology. Secondly, the impact of the Constitution of the Republic of South Africa is discussed with particular reference to the Bill of Rights on stem cell research and therapy. The most noteworthy conclusion to be made in this regard is that the embryo is not the bearer of constitutional rights. The ethical guidelines which act as regulatory tools in this field are then discussed with attention to general ethical principles as provided for by the Health Professions Council of South Africa as well as the Medical research Council. The doctrine of informed consent further enjoys attention as it is discussed in context of medical research and key issues are addressed regarding the process of obtaining consent in context of stem cell technologies. Certain recommendations are then made pertaining to the minimum scope required for lawful consent. Lastly a critical analysis is made of chapter 8 of the National Health Act. Opportunities, Barriers and Preconditions for Battery Energy Storage in Sweden : A Study Investigating the Possibilities of Grid Connected Lithium-Ion Battery Energy Storage Systems in the Swedish Electricity MarketIsaksson, Maja, Stjerngren, Ellen January 2019 (has links)
The global energy system is under transformation. The energy transition from a centralized, fossil fuel based energy system to a more decentralized, renewable energy based system will challenge the balancing of electricity supply and demand. This stresses the importance of grid flexibility. In this challenge, energy storage will play a valuable role as it can provide flexibility and support the renewable energy integration. More specifically, lithium-ion battery energy storage systems (Li-ion BESS) demonstrate technological advantages and valuable application possibilities in the electricity grid. This thesis examines opportunities and barriers for deployment of grid-scale Li-ion BESS in the Swedish electricity market, and provides an overview of different perspectives of possibilities with BESS from several market actors. The purpose of the exploratory study is to gain an understanding of prospects for grid-scale BESS in Sweden. Through a comprehensive literature study and an empirical study, based on fourteen interviews with various actors in the electricity market, data was collected and analyzed. The analysis of the empirical findings resulted in two tables summarizing opportunities and barriers for implementation of BESS in Sweden. The opportunities and barriers are categorized into three hierarchical levels; contextual level, power system level and BESS level, referring to where in the system the benefits or hinders are localized. Also, key discussion points related to BESS (such as storage time perspective, ownership, grid services, cost, price signals and knowledge gap) are explored and evaluated. Furthermore, to understand the possibilities for grid-scale BESS in Sweden, a potential business setup for BESS is assessed and analyzed to identify preconditions for BESS to be attractive on the Swedish electricity market. The findings of the thesis indicate that grid flexibility is most likely going to be a considerable issue within 10-20 years. By the time of the potential nuclear phase out in Sweden, there will be major instabilities in the electricity grid if solutions are not in place. Therefore, keys to grid flexibility need to be evaluated and planned for well in advance, and the findings indicate that BESS could be a possible part of the solution. Until now, the regulatory framework has been perceived as rather unclear when it comes to energy storage, which has led to uncertainties among the market actors. These unclarities are about to be clarified with new laws and regulations, which will enable potential businesses for BESS. With the changes in the regulatory framework in place, we see an opportunity with new actors on the market. Our analysis shows that the BESS owner will most likely be a commercial actor, to enable utilization of a BESS for combined applications. An important factor, affecting the possibilities of implementing BESS on the Swedish electricity market, is the cost of BESS. We consider the cost aspect as vital for the likelihood of deploying BESS in Sweden. Based on our main findings, we conclude several preconditions for the deployment of BESS in Sweden. These are; decreased costs of BESS, acceptance from market actors, increased knowledge, a trading platform for grid services provided by a BESS, coordination between markets and electricity load forecasts. We believe that if these preconditions are fulfilled, Li-ion BESS has a chance to affect and have an impact on the Swedish electricity market. / Dagens energisystem är under förändring. Det sker en omvandling där energisystemet går från att vara centraliserat och fossilbaserat till att bli mer decentraliserat och baserat på förnybar energi. Detta kommer att utmana balanseringen av elproduktion och elkonsumtion, vilket betonar vikten av flexibilitet i elnätet. I den stundande utmaningen kommer energilagring att spela en viktig roll eftersom det kan bidra med flexibilitet och samtidigt stödja integrationen av mer förnybar elproduktion. Mer specifikt har energilagersystem med litiumjon-batterier flertalet tekniska fördelar och värdefulla användningsområden i elnätet. Det här examensarbetet utforskar möjligheter och hinder för en framtida implementering av nätanslutna litiumjonbatterilager på den svenska elmarknaden och ger en överblick över perspektiv på utsikter för batterilager från flertalet marknadsaktörer. Syftet med den utforskande studien är att få en ökad förståelse för framtidsutsikterna för storskaliga batterilager i Sverige. Genom en omfattande litteraturstudie och en empirisk studie, baserad på fjorton intervjuer med olika aktörer på elmarknaden, samlades data in och analyserades. Analysen av de empiriska resultaten resulterade i två tabeller som sammanfattar möjligheter och hinder för implementering av batterilager i Sverige. Möjligheterna och hindren kategoriseras i tre hierarkiska nivåer; kontextuell nivå, kraftsystemnivå och batterilagersystemnivå, med hänvisning till var i systemet fördelarna eller barriärerna är lokaliserade. Dessutom utvärderas flera betydande diskussionsteman relaterade till batterilager (såsom lagringstid, ägande, nättjänster, kostnad, prissignaler och kunskapsluckor). För att förstå möjligheterna för att etablera batterilager i Sverige har en möjlig affärsuppställning utvärderats och analyserats. Detta för att identifiera förutsättningar för att batterilager ska vara attraktivt på den svenska elmarknaden. Examensarbetets resultat tyder på att nätflexibilitet sannolikt kommer att bli ett betydande problem inom 10-20 år. Den troliga avvecklingen av den svenska kärnkraften kommer att resultera i instabilitet i elnätet om inte lösningar finns på plats. Därför behöver lösningar för att uppnå flexibilitet i elnätet utvärderas och planeras i god tid och uppsatsens resultat visar på att batterilager kan vara en möjlig del av lösningen. Fram till nu har det funnits oklarheter i regelverket gällande energilagring, vilket har lett till osäkerheter hos marknadsaktörerna. Nya lagar och förordningar kommer att klargöra flertalet osäkerheter och möjliggöra potentiella affärer med batterilager. När det förändrade regelverket är på plats, ser vi potential för nya aktörer på marknaden. Vår analys visar på att batterilager med största sannolikhet kommer att ägas av kommersiella aktörer för att möjliggöra kombinerade användningsområden av batterilager. Möjligheterna till implementering av batterilager på den svenska elmarknaden påverkas i hög grad av kostnaden för batterilager. Vi anser att kostnadsaspekten är avgörande för sannolikheten att utnyttja batterilager i Sverige. Vår slutsats är att det finns flertalet förutsättningar för att batterilager ska bli attraktivt och lönsamt i Sverige. Dessa är; minskade kostnader för batterilager, acceptans från marknadsaktörer, ökad kunskap, en handelsplattform för nättjänster som tillhandahålls av batterilager, samordning mellan marknader samt lastprognoser. Om dessa förutsättningar uppnås anser vi att litiumjon-batterilager har en chans att påverka den svenska elmarknaden.

Operation and regulation of copyright collective administration in Nigeria : important lessons for AfricaOla, Olukunle Rotimi 13 November 2012 (has links)
The introduction of a regulatory framework in the area of collective management of rights in Nigeria must have been intended to strengthen the creative industry. Unfortunately, it has thrown this industry and in particular the music and film industries into a battle of a regulated against a non-regulated collective administration sector for upward of twenty (20) years.
My choice of research on this topic could be attributed to the interest I developed while administering the collective administration desk at the Nigerian Copyright Commission. Serving on that desk afforded the opportunity to see the frustration of right owners who were being deprived the fruit of their labor, as the societies meant to collect and distribute royalties on their behalf were enmeshed in litigations and in the process, rarely paid any royalties to authors.
Within this context, this research seeks to explore whether there is any merit in the continued existence of the current regulatory framework for collective management in Nigeria, and what the best operational framework for collective administration in Nigeria would be.
A methodological approach entailing literature review of books, articles, journals, legislation, cases, reports of committees and interviews with experts was adopted, with critical analysis carried out on particularly the Nigerian Copyright Act, the Nigerian Copyright (collective management organisation) regulation, the South African Copyright Act, the South African Performers’ Protection Act, the South African Collecting Societies Regulation, as well as judicial decisions challenging certain provisions in the Nigerian legislation.
It is hoped that this research will spur a desire for the need for supervisory and regulatory agencies of government to seek the national interest above all others in taking and making decisions that affect the collective administration of copyright and related rights. / Mercantile law / LL.M. The content of my work has been chosen on the basis that I have spent most of my career working as a regulatory lawyer in telecommunications. I started my career as a lawyer at the Czech Telecommunications Office and after few years I moved to the Ministry of Transport, which was then also responsible for telecommunications, and its strategy and legislation. Finally I joined Radiomobil (now T-Mobile Czech Republic) where I have spent 15 years to date. The development of technologies in the last 20 years is without a doubt fascinating. It is exciting to observe the sector regulation trying to catch up with the fast moving technological developments, and often aiming at attempting to regulate what cannot be regulated. At the same time we can witness the overregulated European telecommunications market gasping for air in comparison with other regions as it becomes less and less attractive to investments and investors, which is evidenced by the major European companies leaving the European markets and moving their activities into the less regulated regions of the world. A direct consequence of that is the consolidation of the European telecommunications markets. At the same time there are very high expectations on the part of both regulatory bodies and customers in the field of broadband development...

The degree to which a country’s public entities observe basic principles of good corporate governance is an increasingly important factor for attracting investment capital, maintaining economic stability and encouraging growth. Zimbabwe is faced with the challenge of restructuring for greater efficiency and creating an investment-friendly environment, therefore practicing good corporate governance in public entities is crucial for success and economic growth. As business entities, public entities need to be managed effectively by a competent board, which is able to construct and implement strategies that are in the best interests of the entity and all stakeholders.
This study focuses on the corporate governance initiatives, laws and regulations aimed at enhancing the effectiveness of boards of public entities in Zimbabwe. The key question addressed is whether or not the corporate governance initiatives and legal and regulatory reforms in Zimbabwe are sufficient to enable boards of public entities to effectively discharge their duties and meet internationally accepted corporate governance standards. A comparative analysis of Zimbabwe’s public entities corporate governance framework to that of South Africa (a developing country like Zimbabwe) and Australia (a developed country with similar common law heritage) is also conducted. Recommendations are made on how best to enhance the effectiveness of boards of public entities in order to promote good corporate governance practices in Zimbabwean public entities.
The research established that the existing corporate governance framework has not been effective in improving the effectiveness of Zimbabwe public entity boards due to lack of commitment and consistency, political interference, weak enforcement mechanisms, corruption and general disregard for the rule of law. The research found that South Africa and Australia have performed better than Zimbabwe in terms of creating conducive environments for boards of public entities to effectively discharge their duties.
To improve the effectiveness of public entity boards, it was found that boards should be properly empowered, government intervention should be minimised, board appointment processes should be transparent and merit-based, boards should be properly composed, board remuneration should be fair and performance related, the performance of the board should be regularly evaluated and effective enforcement mechanisms should be put in place. / Mercantile Law / LL. Regelverket för medicintekniska produkter är omfattande och medicintekniska företag lägger idag stora resurser på att säkerställa att deras produkter uppfyller de lagar och krav som finns. Detta arbete beskriver författarnas bidrag till CE-märkningsprocessen på det nystartade företaget LARA Diagnostics första produkt, en handhållen enhet för utvärdering av perifer neuropati samt hur processen att CE-märka en medicinteknisk produkt generellt går till för ett mindre eller nystartat företag. Arbetet syftar till att visa vilka utmaningar mindre bolag har i synnerhet vid processen att CE-märka sin första produkt samt vad företag kan göra för att effektivisera sin process. I arbetet visas att mindre företag kan effektivisera sin process genom att: Tidigt lägga grunden till CE-märkningen. Se till att rätt kompetens finns eller införskaffas utifrån Redan i produktutvecklingen säkerställa att väsentliga krav uppfylls, gärna genom att följa harmoniserade standarder. Arbetet visar även att kraven inom det regulatoriska området för medicintekniska produkter blir hårdare med tiden och att den utvecklingen förväntas fortsätta. / The regulatory framework for medical devices is extensive and the medical device industry spends considerable resources on ensuring that their products comply with existing laws and requirements. This paper describes the authors’ contribution to the CE marking process of the very first product from the startup company LARA Diagnostics, a handheld device for the evaluation of peripheral neuropathy, as well as how the process of CE marking a medical device is carried out in general for a small or startup business. The work aims to point out the challenges for smaller companies in particular to get their first product certified, but also what can be done to streamline that process. The paper shows that small companies can improve the process by: Laying the foundation for CE marking early in the process. Ensure that the right skills exist internally or are acquired externally. Making sure that essential requirements are met early in the product development life cycle, preferably by adhering to harmonized standards. The paper also shows that the requirements within the regulatory framework for medical devices are becoming stricter over time and that this trend is expected to continue.

Protection of petrolium resources in Africa : a comparative analysis of oil and gas laws of selected African StatesMailula, Douglas Tlogane 08 July 2014 (has links)
The resource curse is a defining feature of the African content. Despite vast resource wealth, Africa remains the poorest and most underdeveloped continent in the world. The aim of this study is to conduct a comparative analysis of the primary laws regulating of oil and gas exploration and product activities in Angola, Nigeria and South Africa in order to determine their effectiveness in protecting the continent's depleting petroleum resources. Different regulatory models apply to Angola, following the Norwegian carried-interest model, Nigeria, where a British discretionary model has been retained, an a South africa, where a unique model has been developed. The comparison is conducted by analysing and comparing these different regulatory systems in terms of legal frameworks; the legal nature of the regulatory systems; ownership of the oil and gas resources; legal nature of licenses; organisational or institutional structures; fiscal systems; local communities benefits from these proceeds of oil and gas resources; local content; state/government participation arrangements; and environmental challenges. The study evaluates the effectiveness of these regimes by examining the extent to which they recognise and enforce state ownership of he oil and gas resourcs in situ; recognise and enforce the doctrine of Permanent Sovereignty over Natural Resources (PSNR); protect the environment; how they provide for institutional capacities for the management of resources; and the protection of local communities from exploitation and abuse by recognising their rights to benefit from revenues derived from these resources. An overall assessment of the three systems reveals that there is no ideal model for oil and gas regulation in Africa. The Norwegian model might well be considered an ideal model if it was applied with care and correctly in Angola. The study hopes to gain practical importance for the proper regulationof the oil and gas industries' upstream activities in Africa and assist governments of the selected jurisdictions in their policy revisions, as some recommendations are made. / Economics / LLD.

La présente thèse aborde la question suivante : quel régime règlementaire est en mesure de procurer le plus haut niveau de protection contre les risques avérés ou suspectés des nanotechnologies tout en soutenant simultanément la compétitivité et l'innovation ? Bien que l’Union européenne et les Etats-Unis se soient efforcés de trouver des solutions nuancées en fonction des besoins, des capacités, des enjeux inhérents à chaque secteur concerné et de leurs traditions juridiques respectives, l’on ne peut que constater l’émergence d’une réglementation des nanotechnologies à géométrie variable. / While a significant number of products containing nanomaterials is already in widespread use, we have little understanding of risks and benefits they can bring to the society in the long term. The objective of this PhD thesis is to answer the following question: which regulatory framework can ensure a high level of protection against real or suspected risks of nanotechnologies while promoting competitiveness and innovation ? Although the European Union and the United States have attempted to find nuanced solutions according to the needs, capacities and challenges, which are proper to each sector concerned and their respective legal traditions, the emerging regulatory framework for nanotechnologies is characterised by a high degree of fragmentation.
