Current Legal Issues of Bank Regulation - Resume This thesis paper deals with issues that can be found in relation with bank regulation. At present, globalized world, banks as important financial intermediaries play a major role. Banks are present in our daily lives and whether or not we want to, they facilitate our everyday operations with the money, investment of free monetary resources, and also borrowing of money. We got accustomed to the convenience that the use of various banking services provides. Equally important are the services of banks for businesses enterprises, various investment companies and funds, and also the countries themselves (the governments). Failure of this system, now that so many subjects are dependent on it, could have far-reaching negative consequences. The bank regulation and its instruments serve as a protection against the rise of adverse consequences. With the growing importance of banks in our society, the importance of their regulation grows as well. But even this may not represent perfect protection and bank regulation may conceal other unforeseen problems. La protection juridique de l’usager du médicament en France et au Japon

Dans les sociétés anciennes et modernes, la santé a été et est aujourd'hui encore une préoccupation capitale. Elle est le signe du niveau de bien être de la collectivité et de la personne. Dans le cadre de l’accès à la santé qui constitue un droit pour tous, le médicament occupe une place importante en France et au Japon, deux pays où l’espérance de vie et le niveau de vie sont élevés et ne cessent d’augmenter. C’est au vu de ces considérations que nous nous interrogeons à travers cette thèse sur la véritable place de l'usager dans la régulation du médicament en France et au Japon qui sont deux pays différents par leur culture mais qui convergent à certains moments dans le droit. L'on pourrait valablement soutenir qu’un bon système de santé se reconnaît par le niveau de protection qu'il accorde à l'usager du médicament. Cela n'est pas aussi simple car divers intérêts sont en jeu. Il est aussi important de savoir comment se solde le traitement des conflits d'intérêts dans la régulation du médicament : protection de l'être humain ou protection de la science? S'il est soutenable que la protection d'un "humain scientifique" existe, il nous appartient de rechercher la réalité de l'existence d'un ensemble de règles permettant d'assurer une "Science plus Humaine". Nous savons et il a été reconnu que le monde de la santé, émotionnel, individualiste, structuré en groupes de pressions très forts et souvent très capitaliste, est difficile à appréhender. / In former and modern societies, health has been and still is a crucial concern. It is the sign of the community’s and the individual’s well-being. In the setting of access to health that is a right for all, the drug has an important place in France and in Japan, which are countries where life expectancy and level of life are high and keeps on increasing. It is in consideration of this, that we are asking ourselves, through this thesis, about the drug user's right place in drug regulation in France and Japan which are countries different by their culture but sometimes converging in law.We can validly hold up that a good health system can be recognized by the level of protection given to the drug user. But this is not so easy because various interests are at stake. It is important to know how these kinds of conflicts are solved in drug law: is it human or science which is protected? If we can hold up that the protection of the "scientific human" exists, we have to research the reality of the existence of rules insuring a “more human” science. We know and it has been said that the field of health, emotional, individualistic, structured in strong lobbies and often capitalistic, is very difficult to comprehend.

This PhD. thesis is dedicated to the legal regulation of instruments presenting guarantees of the independence of the member of parliament during the performance of his/her functions. The aim of this thesis is in particular to present a comprehensive picture of the topic concerning protection of independent performance of the parliamentary mandate, evaluate the Czech legal regulation in force and, last but not the least, to find an answer to the question to what extent is the Czech legal regulation in force complete and effective as well as present possible alternatives de lege ferenda. Member of parliament must be independent with regard to all aspects of the exercise of his/her mandate. Independency of the member of parliament is necessary precondition for his/her ability to exercise the mandate in such a way, which will enable him/her to face external pressures, not only from the state bodies, but also from other subjects or phenomenons. Instruments protecting independent performance of the mandate also support the possibility of members of parliament to fulfil their role freely and as a result to constitute working parliament. O efeito da governança corporativa no desempenho econômico e financeiro das empresas: uma análise empírica no mercado brasileiro / The effect of corporate governance in the economic and financial performance of companies: an empirical analysis in the Brazilian market

Governança corporativa é um conjunto de mecanismos que visa alinhar interesses entre as diferentes partes envolvidas que compõem a empresa. Os interesses muita vezes são conflitantes em virtude de que o indivíduo tende a maximizar sua utilidade pessoal, e desta discrepância de busca individual surge o conflito, conhecido como de interesse. O conflito pode ocorrer com qualquer envolvido na companhia, porém este trabalho estudará os que ocorrem entre o agente e o principal. O agente pode ser tanto funcionários da empresa, como investidor minoritário, sendo que o principal é representado pelo acionista controlador, que detém o poder sobre a companhia. Os mecanismos de governança corporativa podem ser internos e externos à corporação. Dentre os internos se destacam: conselho de administração, conselho fiscal, estrutura de propriedade, remuneração dos executivos, relatórios contábeis em concordância com as normas internacionais publicados periodicamente, e política de distribuição de dividendos. Dentre os externos os que se destacam são: possibilidade de aquisição hostil, mercado de trabalho competitivo, leis de proteção aos investidores, crosslistings e parecer contábil dos relatórios financeiros realizados por empresas externas de auditoria com renome no mercado. O conjunto de mecanismos visa alcançar os princípios básicos de governança corporativa: transparência, equidade, prestação de contas e responsabilidade corporativa. A presente pesquisa investigou a relação entre governança corporativa e o desempenho econômico-financeiro das empresas brasileiras listadas na BM&FBOVESPA entre os anos 2010 e 2014, representando o período posterior à crise econômica mundial desencadeada pelos títulos de subprime americanos, ocorrida no segundo semestre de 2008, e anterior à crise econômica e política no Brasil, iniciada em 2015. Foi utilizado o índice de governança IGC desenvolvido por Silva e Leal (2005) para medir a governança. O desempenho econômico-financeiro das empresas foi medido através das variáveis Q-tobin e taxa de lucro econômico. O modelo utilizou ferramentas que diminuem os problemas de endogeneidade e causalidade reversa, que são: inserir variáveis de controle e utilizar o método de regressão MMG-Sis (Método dos momentos generalizados - Sistêmico). Os resultados obtidos comprovaram o esperado pela literatura, pois o índice de governança corporativa influenciou positivamente o desempenho da empresa. Para a variável taxa de lucro econômico (TLE) o resultado apresentou significância estatística no nível de 5%, o que torna confiável a alegação. Já para a variável Q-tobin, apesar de também apresentar relação positiva com a governança, a análise estatística não se mostrou robusta a ponto de poder exercer alguma afirmativa sobre o resultado. Por fim, a pesquisa observou uma melhora na governança corporativa nas empresas da amostra ao longo dos anos e em relação a outras pesquisas de anos anteriores. / Corporate governance is a set of mechanisms to align interests between the different individuals who compose the company. The interests a lot of times are conflicting because of the individual´s seek to maximize their personal utility, and from this discrepancy of individual pursuit comes the conflict, known as interest. Conflict can occur between any involved in the company, but this work study those between the agent and the principal. The agent may be employees of the companies or minority investors and the main one is represented by the controlling shareholder, which holds power over the company. Corporate governance mechanisms can be internal and external to the corporation, the internal are: Board of Directors, audit committee, ownership structure, executive compensation, financial reporting in accordance with international standards published periodically and dividend distribution policy . The external are: possibility of hostile takeover, competitive labor market, protection laws for investors, cross-listings and accounting advice of financial reports made by external companies with renowned consultancy market. The mechanisms aim to achieve the basic principles of corporate governance: transparency, fairness, accountability and corporate responsibility. This study investigated the relationship between corporate governance and the financial performance of Brazilian companies listed on the BM&FBOVESPA between 2010 and 2014, representing the period after the global economic crisis triggered by securities US subprime, in the second half of 2008 and previous economic and political crisis in Brazil, which began in 2015. It was used the IGC governance index developed by Silva and Leal (2005) to measure governance. And the financial performance of the companies was measured by the variables: Q-Tobin and economic profit rate. The model used tools that reduce the endogeneity and reverse causality, which are: insert control variables and use the system GMM (Generalized method of moments) estimator as regression method. The results confirmed the expected by the literature as the corporate governance index positively influenced the performance of the company. For the variable TLE the result was statistically significant at the 5% level, which makes it reliable. As for the Q-tobin variable, although also have positive relationship with governance, statistical analysis was not robust to be able to exercise some confirmation about the result. Finally, research has found improved corporate governance in companies over the years and improvement over other research from previous years.

Este artículo se propone la comprensión de los cambios en lac omunidad de Catac como resultado de la acción colectiva ante los desafíos del contexto que se configuran como oportunidades y restricciones, y frente a las exigencias internas que se expresan como demandas de los grupos de interés o facciones que conforman la comunidad. En una comunidad heterogénea como Catac, la acción colectiva no es algo que se da por supuesto sino una acción deliberada; sin embargo, tiende a ser frágil y generalmente se rompe ante las presiones externas y las relaciones de poder definidas en términos de facciones al interior de la comunidad. / This article proposes a comprehension of social changes in the peasant community of Catac as results of collective action in a context where challenges present themselves as political opportunities and social contentions as well as internal demands of interest groups or factions. In an heterogeneous community as Catac, collective action is not something that is taken for granted but it is deliberately created and constituted. However, it tends to be fragile and usually breaks because of outside pressures and the power relations defined as relations among factions that exist in community.

Our study englobes all transactions realized through B3 from March of 2015 to April of 2017 for the 101 most liquid Real Estate Funds and the results indicate that all financial institutions that are prone to conflicts of interest tend to exploit it. Without exception, they negotiate much more of their own securities that what would be expected if the Distribution and Asset Management business were completely independent, whereas firms that are not conflicted tend to act more in line with what would be expected, although not uniformly. Our data also suggests that conflicted financial institutions tend to underperform the reference Index. / Utilizando uma base de dados da B3 (antiga BM&FBOVESPA), analisamos se instituições financeiras que fazem a administração e custódia de Real Estate Funds e também tem uma plataforma de distribuição como Private Banking ou Assessoria Financeira tendem a negociar mais dos seus ativos do que o que seria esperado em uma situação sem conflito de interesses ou vantagem informacional. Nosso estudo abrange todos as negociações realizadas em bolsa entre Março de 2015 e Abril de 2017 para os 101 Real Estate Funds mais líquidos. Os resultados indicam que todas as instituições financeiras que estão sujeitas a situação de conflito de interesse – definida como ter ao mesmo tempo gestão e distribuição de Real Estate Funds – sucumbem a tal conflito, enquanto instituições não conflitadas se comportam em linha com o que seria esperado de agentes isentos, embora não de maneira uniforme. Nossos dados também indicam que a maior parte das instituições financeiras conflitadas tende performar menos do que o índice de referência.

Com essa não interveniência o Estado tornou-se apenas responsável pela regulação, fiscalização e controle dos serviços públicos concedidos de energia elétrica, sendo que o fortalecimento do marco regulatório se deu com a criação da Agência Nacional de Energia Elétrica ¿ ANEEL, instituída pela Lei nº 9.427, de 26 de dezembro de 1996. Paradoxalmente a isso, os serviços de infra-estrutura de energia elétrica, para que possam ser implementados, necessitam da intervenção do Estado na propriedade do particular. Assim ocorre na geração, transmissão e na distribuição de energia elétrica. Um país de dimensões continentais como o Brasil, torna tais serviços de grande complexidade para sua implementação, pois desde a geração da energia elétrica até os grandes centros consumidores há necessidade da implantação de uma vasta rede de linhas transmissoras e distribuidoras que transpassam por inúmeras propriedades sobre as quais recaem os ônus da servidão, ou, quando não, são desapropriadas para a destinação a ser dada pelas concessionárias, trazendo sérios transtornos aos seus proprietários. Neste contexto observa-se no presente trabalho que, conquanto o detentor do imóvel não perde o domínio de sua propriedade, pois não há a transferência dela para a concessionária nos casos de instituição de servidão de passagem de linhas transmissoras e distribuidoras de energia elétrica, há sempre a restrição quanto ao uso, gozo e fruição da mesma. Diferindo da faixa de servidão, na desapropriação ocorre a transferência da propriedade para o titular do direito à expropriação, fazendo com que o proprietário perca sua propriedade para o Estado, representado por quem esse tenha outorgado a concessão ou permissão para a exploração do serviço. Para tanto, compete ao poder concedente como medida preparatória, a emissão dos atos declaratórios de utilidade pública para fins de desapropriação ou de instituição de servidão administrativa no setor elétrico tal qual previsto na Lei nº 8.987, de 13 de fevereiro de 1995 (Lei de Concessões), que dispõe sobre o regime de concessão e permissão da prestação de serviços públicos previsto no caput do art. 175 da Constituição Federal. No entanto, a reestruturação e a privatização de diversos setores, tais quais previstos no Programa Nacional de Desestatização - PND, trouxeram algumas dificuldades que não eram observadas quando todas as empresas implementadoras de infra-estrutura eram estatais. Neste contexto se situam as empresas prestadoras dos serviços públicos de energia elétrica, e de rodovias, em face das controvérsias verificadas quanto à utilização transversal e longitudinal das faixas de domínio das rodovias por empresas transmissoras e distribuidoras de energia elétrica, em razão de cobranças pecuniárias para sua utilização, denominadas como receitas complementares ou acessórias. O presente trabalho além de abordar o entendimento das concessionárias envolvidas, e das agências ARTESP, CSPE, ANEEL, e ABCR, ao final, trata de questão recém regulamentada, ou seja, a incorporação das redes particulares de distribuição, que não disponham de ato autorizativo do poder concedente, ao patrimônio das concessionárias de energia elétrica, em face da disposição contida na Lei nº 10.848, de 15 de março de 2004, que dispõe sobre a comercialização de energia, dando, também, outras providências. Estas questões, entre outras, são discutidas no presente trabalho, trazendo a lume, ao seu final, conclusões e recomendações quanto aos temas abordados / Abstract: The restructuring and privatization of the Brazilian electric sector started in 1995, has redefined the State¿s role within this sector that now starts to play the regulating and controlling functions instead of those of a contractor agent. With the non-intervention, the State has become the responsible for regulating, supervising and controlling the granted electric energy public services; keeping in mind that the strenghtening of the regulatory process begun with the founding of the Agência Nacional de Energia Elétrica ¿ ANEEL, instituted by Law nº 9.427, 1996 december 26th. On the other hand, for the implementation of the electric energy infrastructure services, it is necessary the State¿s intervention on private properties. That is the way it happens in generation, transmission and distribution of electric energy. A country like Brazil with continental dimensions, makes the implementation of such services quite complex, because from the generation point to the great consumer markets there is the need of implementing huge transmission and distribution networks through many private properties which suffer the burden of public right of free passage over it, or in many other cases these properties are expropriated and whose destination is decided by the utilities, causing serious troubles to their rightful owners. Under this circumstances it is observed in this project that although the land owner does not lose the right over his property (for there is not a legal transfer from the owner to the utility when the public right of free passage to the transmission and distribution networks is aplicable), there is always the problem related to the restriction of the usage, fruition and enjoyment of this very property by the owner. When it comes to expropriation, there is the transfer of the owner's rights, makin the owner loses it's property to the State; the State is, in this case, represented by a company that was granted the rights or permission to exploit the service. For this to happen, it is due to the power in charge of granting this concession (as a preparatory measure), the issuing of declaratory actions aiming the expropriation or the institution of administrative servitude in the electric sector, as foreseen in the Law nº 8.987 (february 13th 1995) known as Leis de Concessão (Concessions Law), which determines the clauses of the concession¿s set of rules, and the granting of the rendering of public services, as stated by caput in art. 175 of the Federal Constitution. However, the restructuring and privatization of various segments, according to the Programa Nacional de Desestatização ¿ PND (National Program for Privatization), have brought some difficulties that were not taken into account when all the companies resposible for implementing the infrastructure belonged to the State. We may include in this context, the companies which rendered electric energy public services, and highways, in view of the controversies related to the transversal and longitudinal usage of the sovereignty zones belonging to the highways by transmission and distribution of electric energy companies, due to pecuniary charges for its usage, the so-called complementary or secondary income. This document besides aproaching the understanding of the involved utilities as well as the agencies ARTESP, CSPE, ANEEL, and ABCR, deals with a recently regulated issue, that is, the incorporation of private distribution networks, which do not have an authorization act from the granting power, to the net assets of the electric energy utilities, in view of the clause contained in the Law nº 10.848, march 15th 2004, which establishes regulations over the energy trade, offering other arrangements as well. These issues, among others, are detailed in this current document, showing at the end, conclusions and recommendations related to the topics discussed. / Doutorado / Doutor em Planejamento de Sistemas Energéticos
