Direito tributário e livre concorrência: da interpretação e aplicação do artigo 146-A da Constituição Federal / Tax law and free competition

Este trabalho tem por escopo analisar o conteúdo semântico do artigo 146-A da Constituição Federal a fim de delimitar o seu campo de incidência e, desta forma, tentar esclarecer em que medida o Direito Tributário e a livre concorrência podem se relacionar. A partir de uma breve análise dos três modelos de mercados competitivos, a saber: o mercado de concorrência perfeita, o mercado monopolista e o mercado oligopolista, tentaremos definir em quais circunstâncias a livre concorrência pode ser protegida ou fomentada pelo Estado e em quais circunstâncias deve o Estado se abster de intervir. Adiante, analisaremos as formas de intervenção do Estado no domínio econômico e, em especial, os instrumentos jurídicos que permitem ao Estado regular a livre concorrência nos mercados. A partir destas conclusões, analisaremos o texto normativo do artigo 146-A e tentaremos oferecer uma interpretação consistente de seu conteúdo semântico, levando-se também em consideração os demais dispositivos constitucionais que versam sobre a livre concorrência. Por fim, analisaremos criticamente os pontos de maior discussão na doutrina e na jurisprudência envolvendo o Direito Tributário e a livre concorrência. / This work aims at analysing the content of article 146-A of Federal Constitution so as to define its object and, as such, clarifying how Tax Law and free competition may Interact with one another. After a brief overview of the three main models of competitive markets, them being: the perfectly competitive Market, the monopolistic Market and the oligopolistic Market, it will try to define in which circumstances free competition may be protected or fostered by public policies. Further, it will analyse how public administration may intervene into the private economic domain, specially the legal instruments though which public administration may regulate competition levels within markets. Based on these conclusions, it will analyse the provisions of article 146-A trying to provide an interpretation consistent with its content, also taking into account others constitutional provisions governing the free competition in the markets. At last, it will analyse the main points of discussion by scholars and legal precedents regarding Tax Law and the free competition principle.

Apesar dos princípios da livre concorrência e da defesa do consumidor estar lado a lado em sede constitucional e terem uma relação bastante íntima, tendo em vista o objetivo comum que os une, percebe-se, com poucas ressalvas, que a defesa da concorrência e a defesa do consumidor, no Brasil, sempre se mantiveram quase que incomunicáveis. Um exemplo de conduta que realça essa íntima interface entre Defesa do Consumidor e da Concorrência é o abuso de posição dominante, que tem como uma das suas principais manifestações a venda casada (tying ou vente liée). A venda casada, por gerar danos à livre concorrência e constituir-se como uma falha interna na relação de consumo, vem a ser capitulada como prática abusiva no Código de Defesa do Consumidor (CDC) e como infração à ordem econômica na Lei de Concorrência. Assim, a prática comercial pode vir a ser reprimida simultaneamente pelas duas esferas, o que impinge um diálogo entre a tutela da concorrência e a tutela do consumidor. Desta feita, a presente dissertação visou a responder aos seguintes problemas de pesquisa: (i) qual o liame entre defesa do consumidor e da concorrência? (ii) Como essas defesas podem ser mais bem coordenadas e harmonizadas? (iii) É necessária a dúplice capitulação? (iv) como articular as defesas, a fim de que resultados mais efetivos no que toca ao bem-estar do consumidor possam ser atingidos? A conclusão que se chegou é que a dúplice repressão à venda casada – não só não constitui um bis in idem – como é necessária. Não há que se falar em repressão apenas pela esfera da concorrência ou pela do consumidor, uma vez que, como bem salientado ao longo do presente estudo, em ambas as hipóteses restaria o consumidor desprotegido, sem mecanismos de defesa. Dessarte, poderá haver a aplicação simultânea da Lei Antitruste e do Código do Consumidor a uma prática de venda casada, sendo que cada uma irá atuar em um nível diferente de proteção ao consumidor: a primeira de forma macro e a segunda, micro. O exercício do poder de tributar pela União, Estados-Membros, Municípios e o Distrito Federal, dentro dos limites das competências que lhes foram outorgadas pelo Legislador Constituinte Originário, pode implicar em distúrbios na concorrência. Assim, com fundamento nos princípios da livre iniciativa e da livre concorrência, partindo-se da análise da estrutura dos mercados e as distorções a eles inerentes, das formas de intervenção do Estado no domínio econômico, bem como em razão de expressa disposição constitucional no sentido de que o Estado deve manter uma posição de neutralidade tributária em relação à concorrência, conforme preconiza o artigo 146-A da Carta Magna, busca-se analisar alguns dos efeitos produzidos pela tributação, tais como os impactos da guerra fiscal entre estados da federação, as implicações das decisões judiciais em matéria tributária e questões relacionadas à imposição de deveres instrumentais (obrigações tributárias acessórias), sobre a concorrência. / Exercise of the taxing power by the Brazilian Federal, State and Local government levels, within the scope of their jurisdictions as granted by the Original Constitutional Legislature, may imply competitive disturbances. Therefore, based on the principles of free enterprise and free competition, and based on an analysis of market structures their inherent distortions; of forms of State intervention in the economic domain; and also as a result of an explicit constitutional provision in the sense that the State must maintain tax neutrality vis-à-vis competition, as per Article 146-A of the Brazilian Constitution; we analyze some of the effects of taxation, such as the impacts of interstate tax warfare, the implications of tax-related court decisions, and aspects associated with the imposition of instrumental duties (ancillary tax obligations) on competition.

Os cartéis e os meios consensuais de sua investigação e combate : o bem-estar do consumidor como finalidade

A presente dissertação abarcará cinco temas bastante específicos: a defesa da concorrência, a defesa do consumidor, a prática do cartel, as formas consensuais de seu combate e investigação e o bem-estar do consumidor. No Brasil, verifica-se que, tanto a defesa da concorrência como a do consumidor se unem por um objetivo comum: o bem-estar do consumidor. Por isso, práticas tidas como ofensivas à ordem econômica podem desencadear danos graves aos consumidores, sendo um relevante exemplo disto a formação de cartéis, especialmente os relacionados à alteração artificial de preços. Dentre as práticas abusivas previstas no CDC, foi lançada elevação de preços sem justa causa, o que torna possível que a prática do cartel ou, ao menos, os seus efeitos sobre o preço, possam vir a ser reprimidos por ambas as esferas. Nesse sentido, buscou-se analisar os institutos consensuais de combate aos cartéis previstos na lei de concorrência: o “compromisso de cessação de conduta” e o “programa de leniência”, assim como seus possíveis efeitos benéficos sobre os consumidores. Desta feita, a presente dissertação visou a responder aos seguintes problemas de pesquisa: (i) qual o arcabouço jurídico-institucional à disposição da defesa do consumidor e da concorrência? (ii) qual o liame entre estas duas esferas? (iii) o que é “cartel” e de que forma ele atinge os consumidores (iv) o que são o “compromisso de cessação de conduta” e o “programa de leniência” e qual a sua utilidade ao combate dos cartéis? A conclusão obtida é que a defesa da concorrência e a do consumidor possuem um objetivo comum, o bem-estar do consumidor, a primeira de forma mediata e a segunda, imediata. Ademais, verificou-se o “cartel” como uma conduta altamente agressiva à livre concorrência e aos interesses dos consumidores, sendo possível que seus efeitos, de forma indireta, sejam penalizados pelo CDC. Finalmente, verificou-se a grande utilidade das formas consensuais – “compromisso de cessação de conduta” e “programa de leniência” – não apenas ao combate aos cartéis quanto à imediata cessação de seus efeitos, mas também como grande ferramenta de prova de sua ocorrência e garantia do bem-estar dos consumidores. / The presente dissetation involves five very specific issues: antitrust, consumer protection, cartels, consensual forms of its combat and investigation and consumer welfare. In Brazil, it is found that both the defense of competition as the consumer defense are united by a common goal: consumer welfare. Therefore, practices seen as offensive to the economic order can trigger serious harm to consumers, being a relevant example the cartel formation, especially those related to artificial price change. Among the abusive practices set out in Brazilian Consumer Defese Code (CDC), it was registered the prices raise without just cause, which makes it possible that the cartel, or at least its effects on the price, may be suppressed by both spheres. Therefore, it sought to analyze the consensual institutes of cartel’s combat and investigation under competition law: the "Conduct Consent Decree" and "Leniency Program", as well as their possible beneficial effects on consumers. Thereby, this dissertation aimed to answer the following research problems: (i) what is the legal and institutional framework available to the consumer’s and competition’s protection? (ii) what is the link between these two spheres? (iii) what is "cartel" and how it affects consumers? (iv) what are the "Conduct Consent Decree" and "Leniency Program" and what is its usefulness to cartel’s combat? The reached conclusion is that the defense of competition and the defense of consumer have a common purpose, consumer welfare, the first in a mediate way and the second immediately. In addition, the "cartel" was established as a highly aggressive approach to free competition and to the interests of consumers, being possible that their effects, indirectly, be penalized by the CDC. - "Conduct Consent Decree" and "Leniency Program" - not only to fight against cartels to the immediate cessation of its effects, but also as a great proof tool of its occurrence and assurance of the well-being of consumers.

A Study of the Problems in Implementing Entrepreneurship in State-Owned Enterprises

In the phases of Taiwan¡¦s economic growth, state-owned enterprises were playing important roles in accelerating economic development, so as to satisfy the needs to downstream industries. State-owned enterprises had successfully played a key role as the ¡§locomotive of Taiwan¡¦s economy¡¨. But after the 1980s, liberalization of economy, free competition and privatization were the thoughts that became the central theme of government¡¦s economic development. Hence, how to improve the operation of state-owned enterprises and remove restricting regulations, so as to improve the operation performance and bring about synergetic results of state-owned enterprises, soon became the main objective of state-owned enterprises business management. Entrepreneurship is the fundamental criteria in management of every business. But, what problems have state-owned enterprises encountered in implementing entrepreneurship in its management? Why, after many years of effort, state-owned business still could not unleash itself of the image that ¡§state-owned business = poor operations performance¡¨. This background motivated the study of the problems in entrepreneurship in state-owned enterprises. It is hoped that the study of this problem will result in finding ways to tackle the problem. State-owned enterprises that are suitable for free market competition are the subject of this study. External limitations and internal worries faced by state-owned enterprises were investigated. Furthermore, the study looked at the problems and barriers encountered by state-owned enterprises in improving its operating efficiency. With reference to modern management theory on corporate environment and behavior between organization and members, interview questions were developed. Middle to senior management personnel whose work was related to entrepreneurship development of state-owned enterprises were interviewed. Written records of the interview were maintained, interviewers were asked to check the description for any inconsistency with their expressions. Then, the content of the interview were cross-analyzed with the extent of influence of various internal and external stakeholders in state-owned enterprises in implementing entrepreneurship. The process attempted to clarify the best response to problems faced by state-owned enterprises in promoting entrepreneurship. It is found from the analysis, ¡§free market competition mechanism¡¨ is the source of energy for state-owned enterprises in implementing entrepreneurship. However, the factors that influence this program not only include ¡§restriction by unnecessary regulations¡¨ and ¡§passive state serviceman mindset¡¨, as discussed often in related studies, the other three important forces are: government decision and execution, practicality of leadership, and redefining the role of unions. Because state-owned enterprises must operate in balanced-power network consisting of leadership level, government, shareholder, consumer, civilian representatives, union, employee, supplier, and, competing suppliers, the aforementioned 5 influencing factors may seem independent in affecting the extent of state-owned enterprise in implementing entrepreneurship, but in reality they are highly interactive. This situation stagnate state-owned enterprises, stalling them to catch up with private businesses. Since entrepreneurship is the basis of business management, state-owned enterprises can only through its own strength and effort, do away the influence of this invisible balanced-power. Only by doing so, can state-owned enterprises break out of its limitations and show real revolutionary change.

Desta feita, a presente dissertação visou a responder aos seguintes problemas de pesquisa: (i) qual o arcabouço jurídico-institucional à disposição da defesa do consumidor e da concorrência? (ii) qual o liame entre estas duas esferas? (iii) o que é “cartel” e de que forma ele atinge os consumidores (iv) o que são o “compromisso de cessação de conduta” e o “programa de leniência” e qual a sua utilidade ao combate dos cartéis? A conclusão obtida é que a defesa da concorrência e a do consumidor possuem um objetivo comum, o bem-estar do consumidor, a primeira de forma mediata e a segunda, imediata. Ademais, verificou-se o “cartel” como uma conduta altamente agressiva à livre concorrência e aos interesses dos consumidores, sendo possível que seus efeitos, de forma indireta, sejam penalizados pelo CDC. Finalmente, verificou-se a grande utilidade das formas consensuais – “compromisso de cessação de conduta” e “programa de leniência” – não apenas ao combate aos cartéis quanto à imediata cessação de seus efeitos, mas também como grande ferramenta de prova de sua ocorrência e garantia do bem-estar dos consumidores. / The presente dissetation involves five very specific issues: antitrust, consumer protection, cartels, consensual forms of its combat and investigation and consumer welfare. In Brazil, it is found that both the defense of competition as the consumer defense are united by a common goal: consumer welfare. Therefore, practices seen as offensive to the economic order can trigger serious harm to consumers, being a relevant example the cartel formation, especially those related to artificial price change. Among the abusive practices set out in Brazilian Consumer Defese Code (CDC), it was registered the prices raise without just cause, which makes it possible that the cartel, or at least its effects on the price, may be suppressed by both spheres. Therefore, it sought to analyze the consensual institutes of cartel’s combat and investigation under competition law: the "Conduct Consent Decree" and "Leniency Program", as well as their possible beneficial effects on consumers. Thereby, this dissertation aimed to answer the following research problems: (i) what is the legal and institutional framework available to the consumer’s and competition’s protection? (ii) what is the link between these two spheres? (iii) what is "cartel" and how it affects consumers? (iv) what are the "Conduct Consent Decree" and "Leniency Program" and what is its usefulness to cartel’s combat? The reached conclusion is that the defense of competition and the defense of consumer have a common purpose, consumer welfare, the first in a mediate way and the second immediately. In addition, the "cartel" was established as a highly aggressive approach to free competition and to the interests of consumers, being possible that their effects, indirectly, be penalized by the CDC. - "Conduct Consent Decree" and "Leniency Program" - not only to fight against cartels to the immediate cessation of its effects, but also as a great proof tool of its occurrence and assurance of the well-being of consumers.

Os cartéis e os meios consensuais de sua investigação e combate : o bem-estar do consumidor como finalidade

A presente dissertação abarcará cinco temas bastante específicos: a defesa da concorrência, a defesa do consumidor, a prática do cartel, as formas consensuais de seu combate e investigação e o bem-estar do consumidor. No Brasil, verifica-se que, tanto a defesa da concorrência como a do consumidor se unem por um objetivo comum: o bem-estar do consumidor. Por isso, práticas tidas como ofensivas à ordem econômica podem desencadear danos graves aos consumidores, sendo um relevante exemplo disto a formação de cartéis, especialmente os relacionados à alteração artificial de preços. Dentre as práticas abusivas previstas no CDC, foi lançada elevação de preços sem justa causa, o que torna possível que a prática do cartel ou, ao menos, os seus efeitos sobre o preço, possam vir a ser reprimidos por ambas as esferas. Nesse sentido, buscou-se analisar os institutos consensuais de combate aos cartéis previstos na lei de concorrência: o “compromisso de cessação de conduta” e o “programa de leniência”, assim como seus possíveis efeitos benéficos sobre os consumidores.
