O presente trabalho acadêmico procura construir um referencial teórico baseado no ordenamento jurídico brasileiro para definir o papel da empresa estatal no mundo contemporâneo. Trata-se do ponto de partida para compreender a atuação do Estado como acionista controlador e as regras de convivência com acionistas privados em posição minoritária e com outros grupos de interesse afetados pela atividade empresarial. A abordagem do tema apóia-se na idéia central de que toda empresa estatal está investida de uma missão pública, explícita ou implicitamente incorporada no objeto social, que varia conforme a natureza da atividade exercida e está sujeita a adaptações ao longo do tempo. A missão pública coexiste com a finalidade lucrativa inerente ao modelo de companhia e serve para condicionar a ação do Estado enquanto acionista controlador e dos administradores, dando conteúdo a seus deveres fiduciários. / This dissertation aims at establishing a theoretical framework according to Brazilian law to identify the role of state-owned enterprise in contemporary world. This is the first step to understand what the governments behavior should be as a controlling shareholder and the legal rules applied to its relationship with equity investors and others stakeholders. The approach is based on the assumption that every state-owned enterprise has a public mission implicitly or explicitly included in its bylaws objectives. The public mission varies according to the nature of the business and should be redefined from time to time to keep adherence to the external environment. The public mission coexists with the companys profit scope and guides the States actions, as well as those of directors and officers. For that reason the public mission is embedded in their fiduciary duties.

L’activisme actionnarial : une perspective canadienne

Si l’on considère que le rôle des actionnaires varie dans un continuum qui s’étend de la passivité à l’une des extrémités jusqu’au contrôle total de la société dans laquelle ils ont investi, on peut affirmer que si, à une certaine époque, les investisseurs institutionnels ont privilégié une certaine forme d’apathie rationnelle, cette réalité a évolué. Loins d’avoir atteint l’autre extrémité du spectre, on doit néanmoins constater que désormais, les dirigeants et les actionnaires dominants doivent faire face à un nombre limité d’actionnaires institutionnels qui se connaissent et détiennent une part importante des titres d’une société. Malgré la présence d’obstacles légaux et organisationnels qui entravent toujours aujourd’hui l’exercice des droits des actionnaires, il semble que les interventions des investisseurs institutionnels aient transcendé la règle de la majorité en ayant recours à des moyens inusités pour diminuer les risques d’opportunisme au sein des sociétés ouvertes. En effet, si l’activisme des investisseurs institutionnels est un phénomène complexe qui prend des formes multiples souvent opaques et qui est difficile à cerner avec précision, il est néanmoins possible d’affirmer que ce mécanisme de gouvernance joue un rôle des plus importants en contribuant à limiter les coûts d’agence découlant de l’extraction de bénéfices privés par les dirigeants et les actionnaires dominants. En effet, au Canada, où la structure de propriété d’une majorité de sociétés est concentrée, l’activisme actionnarial permet de faire contrepoids au vaste pouvoir discrétionnaire des dirigeants ainsi qu’à l’influence qu’exercent les actionnaires dominants afin d’assurer une certaine forme de protection aux droits des actionnaires minoritaires. / If the role of shareholders is regarded as varying along a spectrum ranging from passivity to control of the company in which they have invested, it is safe to say that whereas institutional investors have exhibited a form of rational apathy in the past, this situation has changed significantly in recent years. Although institutional investors are still far from reaching the other end of the spectrum, it is clear that senior management and controlling shareholders are now faced with a limited number of institutional shareholders who know each other and who hold a significant share of the company's stock. In spite of the legal and organizational barriers that still impede the ability of shareholders to exercise their rights, it appears that the actions of institutional investors have transcended majority rule by resorting to unusual ways of reducing the risk of opportunism within publicly held Canadian companies. While the activism of institutional investors is a complex phenomenon embodying various forms which are often opaque and difficult to fully grasp, it can nevertheless be said that this mechanism of governance plays a critical role in slimming down agency costs arising from the realization of private benefits by managers and controlling shareholders. Indeed, in Canada, where most companies have a concentrated ownership structure, shareholder activism can serve as a counterbalance to the broad discretionary powers of company leaders and the influence of controlling shareholders, thus constituting a certain measure of protection for the rights of minority shareholders.

Les catégories d'actionnaires / The categories of shareholders

Il est acquis qu’il n’existe pas une, mais plusieurs figures de l’actionnaire. Le fait est aujourd’hui largement acté en droit : on ne compte plus les règles, dans l’ensemble des disciplines du droit des affaires, qui ne s’appliquent qu’à certaines catégories d’actionnaires plutôt qu’à tout actionnaire. Une étude d’ensemble des catégories d’actionnaires permet dès lors de déterminer, pour chacune de ces règles, quelle est la catégorie d’actionnaires « pertinente ». Une telle démarche commande en premier lieu de s’interroger sur les critères des catégories d’actionnaires. Un premier critère, suggéré en doctrine et repris en droit positif, repose sur la psychologie de l’actionnaire. Il doit être rejeté, son admission n’apparaissant juridiquement ni possible ni utile. Un second critère, qui n’a jusqu’alors pas été envisagé en tant que tel, réside dans le pouvoir de l’actionnaire. Il mérite d’être consacré, étant vecteur d’une meilleure compréhension et d’une amélioration de notre droit.L’étude des catégories d’actionnaires conduit en second lieu à les aborder individuellement au sein d’une typologie des catégories d’actionnaires. Elle permet de dégager une vision d’ensemble des pouvoirs de l’actionnaire et d’en faire apparaître toute la richesse. En confrontant les pouvoirs de l’actionnaire les uns aux autres, elle facilite en outre la recherche de leur signification et de leur bonne utilisation en droit. / The categories of shareholders. It is commonly accepted that there is not a single, but several types of shareholders. This has become a fact of law given the increasing number of rules, in every area of business law, which only apply to certain categories of shareholders rather than to all shareholders. A global study of shareholders categories will thus permit to determine, for each of these rules, which category of shareholders is the “appropriate” one. Such an approach entails first of all to raise the question of the criteria of shareholders categories. One criterion, suggested by scholars and adopted in positive law, focuses on shareholder psychology. Such criterion must be rejected, its adoption being, from a legal standpoint, neither possible nor useful. Another criterion, which until now has never been considered in its own right, is shareholder power. Such criterion should be recognized, in so far as it could both improve the law and enhance our understanding of it. The study of shareholders categories leads us next to consider them individually within a typical shareholders classification. From there, an overall picture emerges of the wide ranging possibilities of shareholders powers. Indeed, if the different powers of shareholders are compared and contrasted, it becomes easier both to define them and use them correctly legally.
