Topic of my diploma thesis is The Administrative punishment of legal persons. Lability of legal entities is considered to be very actual and controversial at the present time not only in the Czech republic, in connection with criminal law refom, but in the whole Europe. The solution of problematic question of effective sentencing legal persons and detering them from other illegal activities, has been a frequent issue of political profesional a nonspecialists discussion during the last ten years. This thesis describes czech system of public liability of legal entities, which is suffering from numerous imperfections. In the first chapter I define and specify administrative punishment and its basic principles, focusing on principle of humanity, principle of legality in its four forms (nulla crimen sine lege stricta, scripta, certa, praevia) and principle of subsidiarity of criminal repression. The following chapter is focused on administrative liability of legal person. Delictual liability of natural persons in the environmental protection I have chosen the subject delictual liability of natural persons in environmental protection for topic of my Master's degree thesis. The first reason why I have opted for this subject is due to the fact the environment is present everywhere and is a resource that needs to be protected as it is necessary to the human kind to survive. The law is one of the most powerful tools that can help protecting the environment. The second reason is that it does allow me to link several other law areas of interest which are administrative, criminal and environmental. The thesis contains three main parts. The first one is mainly dedicated to the legal liability while focusing on the responsibility in the environmental law. Also are mentioned the fundamental principles of the delictual liability in the Constitution. The second part relate to the criminal liability of natural persons in the environmental protection, starting from the basics of the international and European Union law. Recherche sur les fondements de la responsabilité sans faute en droit administratif / Research on cause of no fault liability in administrative law

La question des fondements de la responsabilité a été l’une de celles qui a le plus intéressé la doctrine depuis l’abandon du principe de l’irresponsabilité des personnes publiques. Tantôt compris comme un principe général d’explication, tantôt comme une véritable règle juridique, le fondement de la responsabilité est un élément de justification. Afin de clarifier le discours visant à expliquer le mécanisme de responsabilité, le fondement juridique de la responsabilité doit être distingué des principes qui justifient l’existence de cette règle et des conditions parfois mises à l’application de celle-ci. Jurisprudence et doctrine ont fait du risque et du principe d’égalité devant les charges publiques les deux fondements de la responsabilité sans faute en droit administratif. Cette présentation classique est aujourd’hui dépassée du fait de la création par le Conseil d’Etat de régimes de responsabilité dans lesquels la faute n’est pas exigée et qui ne sont pas pour autant rattachables à ces fondements classiques. Il apparaît donc que la présentation classique de la responsabilité sans faute doit être abandonnée au bénéfice d’une présentation centrée sur la notion d’obligation. Les hypothèses de responsabilité dans lesquelles la condition de faute n’est pas exigée peuvent alors être classées en deux catégories. Celles dans lesquelles le fait générateur méconnaît une obligation préexistante sont constitutives de véritables régimes de responsabilité, et celles dans lesquelles le fait générateur ne méconnaît aucune obligation préexistante et qui ne sont alors qu’abusivement rattachées à la responsabilité. La responsabilité sans faute, qui n’est qu’une catégorie négative n’ayant aucune unité, n’a pas de fondements propres ce qui la distinguerait par nature d’autres hypothèses de responsabilité. / Cause of liability has been one of the most discussed questions since the principle of administrative irresponsibility was given up. Sometimes seen as a general principle of explanation, sometimes as a legal rule, cause of liability is an element of justification. In order to clarify the discourse on liability, cause of liability has to be distinguished from principles which justify the legal rule of liability. For doctrine and jurisprudence, the risk theory and the principle of public expenses equality are the two causes of liability. This presentation has to be renewed because of the creation by the Conseil d’Etat of cases of liability in which the proof of a fault is not compulsory but which do not relate to classical cases. A new presentation with two categories based on the notion of obligation should be preferred. When the event giving rise to the damage ignores a pre-existing obligation it is a true system of responsibility but when the event giving rise to the damage doesn’t ignores such an obligation it is a mechanism of guarantee and not a system of responsibility. “Liability without fault” is a negative category with no unity and no specific causes. Fault is only a condition of liability: liability with fault and liability without fault are not different in nature.

: The main purpose of this thesis is to introduce and also to assess the new law on criminal liability of legal persons which brings really important changes into existing Czech criminal law conception. The first chapter is focused on the explanation of the terms which are indispensable to the topic such as criminal and administrative liability or the definition of the legal entities. The second chapter describes the development of the criminal liability of legal persons in the environmental law on the international and EU background. The third chapter provides a view of the current law basics. Specifically the substantive and procedural law questions are clarified. The fourth chapter offers the comparison especially of the slovak and polish law. In the fifth chapter the relevant judicature is analysed when the results are the basement for the future practising of the courts. In the end of the chapter the frequency of the new law is evaluated and also the recommendation for future utilization is given.

The Pension Funds are overseen by Previc and should have enough internal controls and governance to avoid actuarial deficit in the benefit plans that manage. The lack of control can lead to civil and administrative liability for entities, its officers, sponsors and other entities in the market who advise Pension Funds on the implementation of the investment process. The ascertainment of liability of the entities and its officers, within the Previc, begins with an administrative process that clears irregularities. After administrative level, who feel harmed can start a lawsuit. Despite the strong accountability framework of guilty, which should pursue is effective compensation of benefit plans arising from damage caused by mismanagement of resources that will complement the future income of the worker at the time that their workforces are reduced. The employee, who expects to receive his supplemental retirement, is the keystone of the closed private pension market. / O presente estudo pretende avaliar o controle e fiscalização do processo de aplicação dos recursos previdenciários por parte dos Fundos de Pensão cuja finalidade deve ser garantir o pagamento futuro do benefício contratado pelos participantes. Os Fundos de Pensão são fiscalizados pela Previc e devem possuir controles internos e governança suficiente para evitar déficit atuarial nos planos de benefício que administram. A falta desse controle pode acarretar responsabilidade civil e administrativa às entidades, seus dirigentes, patrocinadores e demais entes do mercado que assessoram os Fundos de Pensão no processo de aplicação dos investimentos. A apuração de responsabilidade em relação às entidades e dirigentes, no âmbito da Previc, tem início com um processo administrativo que apura irregularidades cometidas. Encerrada a esfera administrativa, aquele que se sentir prejudicado pode iniciar um processo judicial. Não obstante a forte estrutura de responsabilização de culpados, o que se deve perseguir é o efetivo ressarcimento dos planos de benefício decorrentes dos prejuízos causados pela má gestão dos recursos que servirão de complemento de renda futura do trabalhador no momento em que suas forças laborais estiverem reduzidas. La chance est une notion hétérogène en droit administratif. Les manifestations de ses différentes acceptions sont en effet nombreuses tant le hasard, les probabilités et le risque auxquels la chance renvoie sont riches d’applications concrètes. Les effets de ceux-ci sont donc également, et sans surprise, très variés, de sorte que la perméabilité du droit administratif est à leur égard teintée de singularité selon qu’ils sont respectivement considérés comme bénéfiques ou néfastes. Ainsi, les probabilités sont l’illustration de ce que la chance peut être un outil utile au juge administratif dans le prononcé de ses jugements, tandis que le hasard et le risque renvoient tous deux à la survenance d’événements ou de phénomènes imprévisibles qui cherchent à être évités. Malgré toutes les subtilités déployées par la chance en droit administratif, celle-ci se révèle néanmoins comme une notion dont l’unité apparaît au stade de l’étude de sa fonction. La chance est alors une notion fonctionnelle qui a vocation à être de plus en plus employée par le juge administratif pour améliorer l’indemnisation délivrée aux administrés, tant d’un point de vue qualitatif que quantitatif. / Chance is an heterogeneous notion in administrative law. The manifestations of its different meanings are indeed quite abundant in the sense that the coincidences, the probabilities and the risk that chance refers to are full of tangible applications. Their effects are equally, and unsurprisingly, very varied which means that the permeability of administrative law towards them is quite unique, depending on whether they are considered to be beneficial or adverse. So, probabilities illustrate how chance can be a useful tool for the administrative judge when pronouncing a judgment, whereas coincidences and risk both reflect back on the occurrence of events or unpredictable phenomenons which one would aim to avoid. Inspite of all the subtleties deployed by chance in administrative law, it nevertheless seems to be a notion, the unity of which appears to be at the study stage of its function. Chance is then a functional notion, the vocation of which is to be used more and more often by the administrative judge in order to improve the compensation awarded to citizens both from a qualitative and quantitative point of view.

This thesis deals with both categories of delictual liability of legal entities within the environmental law. The aim of this thesis is the analysis of the terms of delictual liability of the legal entities and evaluation of the effective legal regulation with emphasis on the environmental protection. Legal entities in the Czech Republic are subjects of administrative liability for a long time, while criminal liability was set by adopting the act of No. 418/2011 valid from 1st January 2012, dealing with criminal liability of legal entities and its related proceedings. The thesis is divided into five chapters. The first chapter describes the basic terms which this thesis works with and are necessary for understanding the issue, such as environment, environmental law, legal liability and legal entities. Second chapter deals with sources of law, firstly national law, then EU legislation and at the end international law. The third chapter is focused on administrative liability, its institutes and its formulation in chosen environmental acts. Depuis plusieurs années, la perte de chance suscite l’intérêt du juge administratif et de la doctrine publiciste. Le premier, qui en a largement développé le champ dans le contentieux de la responsabilité administrative, a fait évoluer la méthode de réparation de cet instrument en s’inspirant de l’exemple judiciaire. La seconde a tenté d’identifier les justifications de l’emploi de la perte de chance en s’appuyant sur l’incertitude du préjudice et sur celle du lien de causalité. Or l’analyse de la jurisprudence montre qu’en dépit de la pluralité des aléas justifiant l’usage de la perte de chance, celui-ci s’inscrit dans un cadre unique, caractérisé par une incertitude causale. La diversité apparaît ailleurs, au stade de l’indemnisation. Selon la méthode retenue – la logique du tout ou rien ou la réparation proportionnelle – la perte de chance change d’apparence. Prenant la forme tantôt d’une présomption de causalité, tantôt d’un préjudice spécifique, elle permet de surmonter l’incertitude causale de deux manières différentes. Les hésitations actuelles du juge administratif autour de l’indemnisation de la perte de chance témoignent de la difficulté à trancher entre l’une ou l’autre des deux possibilités de réparation et, partant, entre les deux outils qui y sont attachés. Toutefois, le type d’aléa sous-tendant l’emploi du mécanisme est en mesure de fournir une clé de répartition de ces deux modalités de réparation. / For several years, loss of chance has interested administrative judges and legal writing in public law. The former, who have widely developed its area in law of administrative liability, have changed the method of compensation of this instrument, by using the example of private law. The second has tried to identify the justifications of the use of loss of chance by using the uncertainty of prejudice and the one of causal relationship. But the analysis of jurisprudence shows that, despite the diversity of risks justifying the use of loss of chance, this is in keeping with a unique scope which is characterized by causal uncertainty. The variety is to be found elsewhere, at the stage of compensation. According to the selected method – the all or nothing approach or proportional compensation – the face of the loss of chance changes. It sometimes forms a presumption of causation, sometimes a prejudice, and so overcomes the causal uncertainty in two different ways. The current hesitations of administrative judges prove that it is difficult to choose between one or the other of two methods of compensation, and therefore, between the two instruments which are linked to them. However, the type of risks which underlies the use of mechanism can give a key to repartition of these two methods of compensation.

This requires to summarize, analyse and evaluate national regulations in force of delictual liability of legal persons within environmental protection as well as to compare some aspects of national regulations in force of delictual liability of legal persons with corresponding foreign regulation. A significant part of threats and damage to the environment comes from the activities of legal persons. A percentage of legal persons responsible for unlawful impairment and endangering of the environment increases significantly. Establishing legal persons is often associated with the effort of individuals to avoid liability for criminal activity by committing illegal activities through a legal person. Crime in the area of environmental protection is often perpetrated by criminal organizations with a strong financial background. For these organizations particularly the illegal trade in waste is very attractive because it is less risky than, for example drug or arms trafficking. This thesis is concerned with the topic of corporate criminal liability in the environmental contexts. The main purpose of the text is to describe possible ways for application of this phenomenon for the purposes of the environmental protection in practice and to evaluate its functioning so far. The first two chapters of the thesis focus on a general introduction to the topic of liability for environmental offences, and the background process for introducing corporate criminal liability into the Czech legal system, including the international incentives. The third chapter of the work aims to analyze some of the relevant sections of Act. No. 418/2011 Coll. and their capability to contribute to effective environmental protection. The importance of the fourth chapter lies in comparison of the advantages and drawbacks for using administrative or criminal liability for the purposes of sanctioning environmental offences. The analysis carried out in the first part of the thesis, leads to conclusions on the employment of corporate criminal liability in environmental law, and some of the possible recommendations for the enforcement authorities. Finally, there is a comparative chapter about the corporate criminal liability in England and Wales.
