Nevertheless, the external financial audit industry in the world and also particularly in Brazil has faced several challenges which threaten its success and evolution. In this sense, since the external audit industry in Brazil has been immersed in a deep crisis with features that are explored through this study, allow me to create an analogy over this study saying that the external financial audit industry is like a sick person with a chronic disease, but the disease has not yet been diagnosed and the person has been dealing with the isolated symptoms. This person, the external audit industry, has struggled with this disease for many years and it is getting worse. It is fundamental to highlight that the challenges faced by the external audit industry in Brazil, ultimately, have not harmed the industry only, but they also materialize themselves as chronic issues for the corporate governance and the capital markets since they harm every interested party. In my point of view, the hardest affected are the investors or shareholders whose interest the independent auditor’s work seeks to preserve. Therefore, the purpose of this study is to have a picture of the challenges faced by the external audit industry in Brazil and understand those challenges as a requirement to analyze the potential alternatives to solve them or, analogically, to diagnose this disease. The research purpose is to map and identify the challenges faced by the external audit industry in Brazil based on the understanding of professionals seasoned in the area. Those challenges are mapped and understood through a methodological approach, a questionnaire answered by auditors with experience in the Brazilian auditing market. The challenges were preliminarily listed based on over 16 years of experience of the author in the area of auditing and financial and accounting services, discussions and interviews about the topic with seasoned professionals, and analyses of pieces of news, publications and academic studies. The questionnaire was used in order to validate the challenges, observations, perspectives, and perceptions gathered through those resources. Despite of the fact that the study is highly relevant, it was not found, through my research, other analyses on this topic with a similar approach which is intended by this study. It looks like the external audit industry in Brazil has walked through these new age dealing with problems on a daily basis and the real challenges of the industry may be concealed by the economic conditions in Brazil and other explanations. As in any problematic scenario, in which a critical analysis is needed, having an accurate picture and understanding of the challenges is a crucial step to start exploring alternatives to address them.

It was investigated which were the main characteristics and the main factors that the Brazilian securitization to be similar or to be different of the North American securitization. Therefore, the main goal of this study is to investigate the factors that difficulty or facilitate the development of the Brazilian securitization market. It was asked to Brazilian decision makers (large corporate executives and financial market executives) what do they think of securitization. It was asked the reason why the companies and banks use or not use the securitization as a funding source or as an investment. In this study, it was investigated the factors that trouble the development of the securitization market and it was asked which are the main factor that a securitization deal was executed or not executed. This new perspective reveals that exist a huge difference between the opinion of the supply and the demand. On one side the companies (supply side) are searching for a lower funding and on the other side the banks (demand side) are searching for an secure investment with high profitability, in other words, there is still a huge gap between supply and demand in order to the Brazilian securitization market achieve maturity. / O propósito deste estudo foi realizar um diagnóstico do mercado de securitização através de uma pesquisa sobre o mercado de securitização brasileiro. Foi investigado quais são as suas principais características e os principais fatores pelo qual a securitização brasileira ser semelhante ou distinta da securitização norte-americana. Assim o objetivo principal deste estudo foi investigar os fatores que dificultam e que facilitam o desenvolvimento do mercado de securitização brasileiro e foi recorrido à opinião dos tomadores de decisão das grandes empresas e dos agentes financeiros brasileiros. Foi levantado quais são as motivações para que as empresas e os bancos não utilizarem a securitização como forma de captação ou de aplicação de recursos. Neste estudo foram investigados os fatores que dificultam o desenvolvimento da securitização e foi perguntado quais são os principais fatores pelo qual uma operação de securitização não ocorre e os fatores que facilitam o desenvolvimento da securitização e foi perguntado quais são os principais fatores pelo qual uma operação de securitização ocorre. Esta nova perspectiva do mercado para o mercado de securitização revela que existe uma grande diferença de opiniões entre os agentes deste mercado. De um lado as empresas (os ofertantes) buscando fontes de captação mais barata e de outro lado os bancos (os demandantes) buscando investimentos mais seguros com rentabilidades atraentes, em outras palavras ainda existe uma falta de alinhamento entre eles para que o mercado de securitização brasileiro desenvolva na sua plenitude e atinja a maturidade.

O estabelecimento de uma relação entre estes preços limite e volume só pode ser explicado através das teorias da área de Finanças Comportamentais, que através do relaxamento de premissas como racionalidade do consumidor e mercados eficientes se propõem a uma maior adequação à realidade. Os teste realizados confirmam haver utilização do preço mínimo das últimas 52 semanas, por parte do investidor, como referência para a tomada de decisão, ocasionando um aumento, acima de mercado, do volume de negociação destas ações no momento em que o preço corrente extrapola o preço mínimo passado. Entretanto, esta mesma relação não foi identificada para o preço máximo das últimas 52 semanas. A identificação de mais esta variável para explicar variações no volume de negociações do mercado de capitais no Brasil contribui tanto para as recentes teorias de Finanças Comportamentais como para o próprio desenvolvimento do mercado financeiro e conseqüentemente do país, sendo, portanto, do interesse de todos. / This academic work studies variables that explain the capital market volume in Brazil, focusing on the last 52-week minimum and maximum prices. The establishment of a relation between the market volume and some past prices can only be explained through Behavioral Finance theories, which abandon some strong premises as rationality and efficient markets to better adapt to reality. All the statistical tests made confirm that investors, in Brazil, make use of the last 52-week minimum prices to take buy-sell decisions. Because of that, we are able to observe that during the weeks where the current prices are below the last 52- week minimum prices, the volume goes up. Unfortunately it was not possible to confirm the same phenomenon for the last 52-week maximum prices. The identification of this other variable to explain the capital market volume in Brazil provides a huge contribution to the area of Behavioral Finance as well as to the capital markets development itself, leading to a further economic growth for the country, an issue of general interest for all of us.

O oportunismo sugere que o administrador escolha as fontes de recursos economicamente mais vantajosas no momento da decisão, não se preocupando com uma hierarquia de captação de fundos, ou com a manutenção de um nível de endividamento ótimo. As evidências empíricas apontam para a existência de oportunismo na escolha das fontes de financiamento e influência de fatores macroeconômicos na determinação do nível de endividamento. / We analyze the windows of opportunity theory in capital structure decisions, searching for evidences on this behaviour in Brazillian publicly held companies. The opportunistic approach suggests that managers make their capital structure choices based on economic advantages offered by each source of funds. That means, managers do not follow a pecking order nor a target adjustment model. Empirical evidences points to managerial opportunism behaviour in the financing decisions and strong macroeconomic factors influence on leverage. Public debt from Government competes with companies for sources of funds; interest rate and stock market liquidity are negatively related to leverage.

Para esta avaliação, são realizados testes sobre hipóteses acerca da significância estatística dos mispricings entre (1) os valores das cotas patrimoniais e os preços de fechamentos destes ETFs e (2) sobre a diferença entre os preços de fechamento dos ETFs e dos seus índices de referência. A amostra utilizada é dos oito ETFs comercializados no mercado brasileiro de capitais durante o período de realização do trabalho. Como resultado do esforço de pesquisa realizado, o último capítulo mostra uma tendência a distintos níveis de eficiência da precificação e erros de aderência nos ETFs brasileiros. Enquanto alguns ETFs mais líquidos apresentam prêmios/descontos insignificantes estatisticamente, os prêmios/descontos de outros ETFs se mostraram razoavelmente consideráveis. No que tange aos erros de aderência, a média dos erros do ETFs listados localmente mostrou-se em um patamar intermediário entre aqueles ETFs listados no mercado americano e os de uma seleção de ETFs listados em mercados emergentes. / The objective of this study is to evaluate the pricing efficiency and tracking error of Exchange Traded Funds (ETFs), known in the capital market as mutual funds listed and traded on stock markets. For this evaluation, tests are performed on assumptions about the statistical significance of mispricings between (1) the values of equity shares and the closing prices of the ETFs and (2) on the difference between the closing prices of the ETFs and their reference indexes closing prices. The sample is compounded by the eight ETFs that were traded on the Brazilian capital market during the period of the work. As a result of the research effort carried out, the last chapter shows a tendency to different levels of pricing efficiency and tracking errors on Brazilian ETFs. While a few more liquid ETFs presents premium/discounts that are statistically insignificant, some other ETFs’ premium/discounts have proved considerable. With respect to tracking errors, the errors average of ETFs listed locally showed to be in an intermediary level between those ETFs listed in the U.S. market and a selection of ETFs listed in emerging markets.

Relação entre cobertura da mídia, valor das empresas e liquidez das ações / The relationship between media coverage and companies\'s market capitalization and stock liquidity

Que tipo de relação existe entre a exposição que uma empresa tem na mídia e o seu valor de mercado e o volume de negócios com suas ações? Partindo da premissa que a exposição de uma empresa na imprensa aumenta o alcance das informações relativas a ela e contribui para diminuir a assimetria informacional entre a administração da companhia e os investidores, o objetivo deste trabalho foi testar empiricamente se existe relação positiva entre a exposição de companhias abertas brasileiras na imprensa e seu valor de mercado e a liquidez de suas ações em bolsa. Trata-se do primeiro estudo feito no Brasil sobre o assunto. A partir de uma amostra de 152 companhias que representavam 81% do valor de mercado da bolsa brasileira em março de 2015, foi levantada a frequência de matérias que citaram essas empresas no jornal Valor Econômico no período de 20 trimestres entre janeiro de 2010 e dezembro de 2014. A técnica estatística usada foi a de regressão com Dados em Painel, que considera a variação tanto entre as companhias da amostra como também as alterações de valores no tempo para cada empresa. Como esperado a partir da plataforma teórica e da evidência de estudos internacionais, os resultados indicam uma relação estatisticamente significativa entre cobertura da mídia e valor de mercado. Os resultados foram consistentes tanto no teste com o múltiplo preço/valor patrimonial (P/VPA) como com a métrica Q de Tobin como variável dependente. Isso significa que, nesta amostra, as empresas que aparecem com mais frequência na imprensa econômica têm maior valor de mercado relativo do que aquelas que aparecem menos. Um terceiro teste foi feito para medir a relação da exposição na mídia com a liquidez das ações, também encontrando associação estatisticamente significante e positiva. No caso do primeiro teste, é importante destacar que, quando a amostra foi dividida em quartis por porte, a cobertura da mídia perdeu significância para explicar o valor de mercado das maiores empresas do país. Espera-se que o trabalho, ainda que com as limitações de um estudo pioneiro no país, possa contribuir para que companhias abertas, assessorias de imprensa, veículos de comunicação e também os reguladores do mercado conheçam melhor as relações existentes com a exposição na imprensa. Se a linha de pesquisa prosperar e uma relação de causa e efeito for comprovada, imagina-se que no futuro as empresas poderão usar planos de mídia em estratégias de relações com investidores e medir esses efeitos. / What kind of relationship exists between the exposure that a company has in the media and its market value and the traded volume of its stocks? Assuming that the exposure of a company in the press increases the extent of information relating to it and helps to reduce the information asymmetry between the company\'s management and investors, the objective of this study was to empirically test whether there is a positive relationship between Brazilian companies exposure in the press and its market value and the liquidity of its shares on the stock exchange. This is the first study in Brazil on the subject. From a sample of 152 companies representing 81% of the market capitalization of the Brazilian stock market in March 2015, I have collected the frequency of stories in which they were mentioned in the Valor Econômico newspaper in the period of 20 quarters between January 2010 and December 2014. The statistical technique used was the regression with Panel Data, which considers the variation both between the sample of companies as well as value changes over time for each company. As expected from the theoretical platform and evidence from international studies, the results indicated a statistically significant relationship between media coverage and market value. The results were consistent in both the test with the multiple price-to-book (P/B) as with the Tobin\'s Q ratio as the dependent variable. This means that companies in this sample that appear more frequently in the financial press have higher market value relative to those that appear less. A third test was done to measure the relationship between media exposure with the liquidity of the shares, also finding statistically significant positive association. For the first test, it is important to note that, when the sample was divided into quartiles by size, media coverage has lost significance in explaining the market value of the largest companies in the Brazilian market. It is expected that work, albeit with the limitations of a pioneering study in the country, can contribute to public companies, press offices, media outlets and also the market regulators to have a more informed perception of the scope of the exposure in the press. If the line of research to thrive and if a cause and effect relationship is proven, it is thought that, in the future, companies may use media plans in investor relations strategies and measure these effects.
