The Constitution, being the Supreme Law of the Peruvian legal system, irradiates its normative force towards all the legal fields. For its part, Commercial Law is an area based on privatea utonomy; however, in our legal system a zone free of constitutional control does not exist.In this article, the author conducts a remarkable analysis about the constitutionalization of Commercial Law, making reference to the Constitutional Court’s jurisprudence which, applying fundamental principles  and  rights,  has had an effect on the application of the commercial laws in our country. / La Constitución, al ser la Norma Suprema del sistema jurídico peruano, irradia su fuerza normativaa todos los ámbitos del Derecho. Regulating franchise operations in South Africa : a study of the existing legal framework with suggestions for reform.

This thesis analyses the existing legal framework that applies to franchising in South Africa today. The study begins with an examination of the history and nature of the franchise contract, focusing particularly on the nature of the franchise relationship. This study is undertaken in order to substantiate the argument that franchising is a unique method of doing business. There is a need therefore to recognise that the franchise contract is a special contract in its own right, just like contracts of sale, lease, insurance and suretyship. The study then goes on to examine the problems which are experienced in the sector, as well as the law which must provide solutions to these problems. The research will show that in a modern commercial world the existing legal framework, especially the common law, cannot adequately deal with many of these problems. The complex relationship between franchising and competition law is also explored. A common thread that emerges from franchise disputes is the lack of protection afforded to the interests of franchisees. Franchisees tend to be at the mercy of economically stronger franchisors, hence the belief that there is a need for a stronger regulatory framework. The study then shifts to proposals for reform. In 2000 the Department of Trade and Industry (DTI) established the Franchise Steering Committee in conjunction with the Franchise Association of South Africa (FASA) to review the regulatory environment. This Committee drafted franchise legislation which aimed to bring the regulation of the sector under the control of the DTI. This legislation has not been implemented and the DTI has changed its strategy. Instead of dealing with franchising independently, franchising will fall within the scope of consumer protection legislation. Both the consumer protection legislation and the legislation proposed by the Franchise Steering Committee are thoroughly examined and explained. Shortcomings in the proposals are highlighted and an alternative approach is recommended. It is proposed that franchise-specific legislation should be introduced but that this legislation should establish a system of co-regulation between the government and the franchise sector.

Liberté contractuelle et le droit européen / Freedom of contract and European law

La problématique conduit à une analyse du droit européen privé des contrats. La première partie recherche les sources de la liberté contractuelle européenne. La multiplicité des règles et des pratiques permet de constater un défaut de définition. Le premier chapitre souligne que l'autonomie de la volonté est relative parce qu’elle est subjective et évolue au gré des équilibres en jeu. Il s'agit d'une liberté intégrée, issue du code civil romano-germanique. Le second chapitre permet de constater que l'autonomie de la volonté est un principe très relatif en droit international privé. Le pluralisme du droit implique que la liberté contractuelle est une notion sans source et ni stable, ni établie. Le droit international privé européen est en construction et fonctionnel.La seconde partie étudie la liberté contractuelle européenne du point de vue du droit positif au sens large du terme. Cette liberté est un principe relatif en symbiose avec les nécessités de protection des cocontractants et du commerce européen. Il s’agit d'un principe subjectif du fait de l'ordre public européen (qui contient l’ordre public économique, les lois de police et l’ordre public international classique), et d’un principe essentiel dans la construction européenne. Le premier chapitre trace le cadre et la structure générale de la liberté contractuelle européenne. Elle participe au commerce et se doit de respecter les principes essentiels de l’Union au sens de droit objectif (liberté d’établissement, juste concurrence, égalité commerciale) ; elle est traduite par l’essor de principes européens et par la pratique commerciale. Le second chapitre note que la liberté est une notion intégrée dans la société européenne. Elle est fonctionnelle et trouve son équilibre en correspondant avec l’ordre public au sens subjectif (protection des parties les plus faibles et des droits fondamentaux). / Problem drives to analyze what is European right of contract. First part searches the sources of European freedom of contract. The multiplicity of rules and practices allows seeing a defect of definition. The first chapter underlines that the autonomy of the will is relative because it is subjective and it evolves according to the balances in contract. It determines that this freedom is joined and is partly the result from the Romano-Germanic civil code. The second chapter allows noticing that the autonomy of the will is henceforth a very relative principle in international private law.Pluralism of the law involves that the contractual freedom is a notion without spring neither stable nor established. The European private international law is under construction and organized in a functional waySecond part studies the European contractual freedom from the point of view of the substantive law. This freedom is a relative principle in symbiosis with the necessities of protection of the parties of contract and necessities of the European business. It is about a subjective principle because of the European law and order (it contains the economic law and order, the lois de police and the classic international law and order), and because of principles in the European construction. The first chapter draws the frame and the general structure of the European contractual freedom. It participates in the business and owes respect the essential principles of the Union in the direction of objective right-law (freedom of establishment, just competition, commercial equality); it is characterized by the European principal development and by the commercial practice. Second chapter notes that the freedom is integrated into the European Union. It is functional and finds balance by corresponding with the law and order to the subjective direction (protection of the weakest parties and the fundamental rights).

"The Crossroads of the Air": Boosterism and the Development of the Indianapolis Municipal Airport, 1925-1939

This work explores the relationship from 1925 to 1939 between the business and government leaders of Indianapolis and the development of a municipal airport for the city. Beginning in 1925, local leaders worked to provide the city with a public airport. The initiation of three distinct and consecutive airport projects during this period closely tied development of a public airport with the commercial future of Indianapolis. The Chamber of Commerce led the first project, which established a public airport shared with the Indiana National Guard. Soon after this airport opened, the City of Indianapolis, with the cooperation of the Chamber of Commerce, undertook the development of a larger municipal airport in Indianapolis that opened in 1931. Finally, in 1938 the city government cooperated with the Civil Aeronautics Authority (CAA) to build a national aviation experimental station at the Indianapolis Municipal Airport.

La complexification des schémas contractuels et l'émergence correspondante de nouvelles valeurs contractuelles favorisent la réception du principe rebus sic stantibus dans le droit commercial international. Les deux phénomènes permettent également d'envisager dans une nouvelle perspective les objections traditionnelles à la révision pour imprévision. Les arbitres du commerce international sont appelés à jouer un rôle, bien que modeste, dans le mouvement d'harmonisation privé du droit commercial international. These two phenomenas supplied keys for a revised perspective of the traditional objections to the application of the rebus sic stantibus principle. Arbitrators have a role to play in the movement of private harmonization of international commercial law. The international context in which they proceed, the inherent quality of appeasement in arbitration and the particularity of the relation between arbitrator and national law are making it possible for international arbitrators to give priority to adaptation of the contract when the circumstances are right. Many factors will have to be analysed by the arbitrator before he chooses to adapt the contract because adaptation is not always the best solution. Other remedies will have to be devised if it is the case.

Social structures of contracts - a case study of the Vietnamese market

What makes real life contractual arrangements? How does the law influence real life contractual arrangements? These are everyday questions for businesspeople and commercial lawyers. The traditional ‘imperative’ view of law assumes that business people contract ‘in the shadow of the law’ and contractual arrangements conform to what the law says. But empirical studies on contract practice suggest that contract law may, in fact, play a very insignificant role in real life contractual arrangements. This thesis provides a sociological view of the role of contract law in real life contractual arrangements in the context of the Vietnamese market. Specifically, this thesis applies an institutional law & economics approach to investigate how social structures of the market influence contractual arrangements to marginalize contract law in the Vietnamese market. Drawing on two surveys of contract behaviour in the Vietnamese market, this thesis finds that real life contractual arrangements respond to the institutional structure of the market as a whole, rather than only ‘the shadow of the law’. Institutional changes in the Vietnamese market suggest that there exists a merchant law system, constituted of traditional moral norms and social structures in the market. This merchant law system continues to order contractual arrangements in the market, despite the introduction of a transplanted contract law system. Disagreeing with the imperative approach, this thesis claims that contract law reform should conform to the institutional structure of the market to reduce transaction costs of contracting and to provide an effective framework for real life contractual arrangements.

Comparative and critical analysis of the doctrine of exemption/frustration/force majeure under the United Nations Convention on the Contract for International Sale of Goods, English law and UNIDROIT principles

This thesis attempts to critically and comparatively analyse the doctrine of exemption/frustration /force majeure under the United Nations Convention on the Contract for International Sale of Goods (CISG) the UNIDRIOT Principles of International Commercial Contracts (UNIDROIT) and the English Law. The doctrine of exemption/frustration/force majeure is very important in the area of contract and commercial law, it is a doctrine deeply rooted in fairness and allows a party to be excused from performing an obligation in a contract if at the conclusion of the contract an inhibition beyond the foreseeable control of the party happens to render the performance of the contract impossible. However, it is not easy to effectively streamline this doctrine and properly determine its applications. It has been observed in this thesis that, the doctrines of exemption/frustration /force majeure are not exactly the same; this thesis explores in details severally and jointly the various differences and similarities in the interpretations and applications of these impossibility doctrines. For instance, the open and flexible use of words in the definition of this doctrine under the CISG and the UNIDROIT Principles left much to be desired. Thus, it is one of the succinct arguments of this thesis that couching international law in loose words will work against the uniformity of application of this law, due to the different interpretations national law courts will be subjecting it to. This among other issues retarded the growth and development of the doctrine of exemption and force majeure. Furthermore, English law stance on the doctrine of frustration which can be gleaned from both the Sale of Goods Act of 1979 and the Common law are far from being adequate and need to be updated. This thesis therefore incisively laid bare the applications, interpretations and way forward for the doctrine of exemption/frustration/force majeure under the legal instruments of focus of this work. The thesis also comparatively compares the relationship between the doctrine of frustration/force majeure/exemption and other related doctrines like mistake, termination, avoidance, risk, and hardship. The thesis is concluded with a Draft Model Frustration Clause (DMFC) which is an attempt to rise above the status quo doctrine of frustration in the extant laws and develop a frustration clause that will be able to provide answers to the many flaws that trail these laws.

State-Financed Merger and Acquisition Activity in Germany as a Catalyst for Robust Chinese Patent Law Enforcement

Germany’s economic dominance in Europe, generous investment incentives, and technical manufacturing prowess has encouraged an influx of Chinese-led inbound activity, concentrated in high-tech sector mergers and acquisitions. A close examination of these M&As yields evidence of systemic Chinese state-financing through both state-owned and private vehicles that likely stems from China’s “Made in China 2025” policy, which hopes to stem capital outflow and to indigenize technological innovation. As Germany braces for what it sees to be continuous attempts by China to take patented German technology through M&As, it worries that Chinese patent law will allow for rampant patent infringement by copycat Chinese entities. This paper presents an overview of the root causes of China’s heavy economic activity in Germany, as well as an analysis of the legal concerns held by German firms based on a close reading of the Patent Law of the People’s Republic of China and strategic recommendations for German companies hoping to work with or in China.
