L'évaluation des tests génétiques : considérations normatives et contextuelles

L’objectif de ce mémoire vise à exposer les méthodes d’évaluation propres aux tests génétiques. Le mémoire se penche également sur le recours grandissant, par des instances locales, aux services de génétique dispensés par des laboratoires internationaux. Le premier article propose une recension des modèles d'évaluation propres aux tests génétiques et une analyse de leur situation sur le parcours translationnel. L'article expose les origines de ces modèles, leurs attributs et particularités distinctives et spécifie le public cible auquel ils sont destinés. L'analyse comparative des modèles d'évaluation permet de mettre en relief leurs apports et limites respectives. Les critères évaluatifs de chaque modèles sont situés le long du parcours translationnel permettant de mettre en évidence les types d'évaluations nécessaires à chacune des phases de progression des tests génétiques le long du continuum menant à leur utilisation. Le second article adopte une tangente pragmatique et se penche sur l'utilisation effective des tests génétiques dans un centre hospitalier universitaire pédiatrique. Plus spécifiquement, l'article dresse un portrait exhaustif de l'ensemble des tests génétiques moléculaires réalisés à l’extérieur du Québec par le CHU Sainte-Justine en 2009 étant donné l’augmentation des tests disponibles internationalement comparativement à ceux offerts à l’interne. Vu la globalisation des envois d'échantillons vers des laboratoires localisés à l'étranger, l'objectif est de décrire l’état de la situation actuelle et d’identifier des cibles potentielles pour l’amélioration des processus et le développement de tests localement. L'évaluation des tests génétiques est abordée sous une double perspective: les considérations normatives liées à l'évaluation des tests génétiques tel que préconisé par les différents modèles d'évaluation ainsi que d'un point de vue pratique dans le contexte particulier d'un centre hospitalier universitaire. / The objective of this paper is to outline the genetic tests evaluation methods. The paper also examines the growing use of genetic services provided by international laboratories. The first article provides a review of the evaluation models specific to genetic testing and an analysis of their location on the translational pathway. The article outlines the origins of these models, their attributes and distinctive features and specifies the target audience to which they are intended. The comparative analysis of evaluation models highlights their strengths and limitations. The evaluative criteria of each model are located along the translational pathway to highlight the types of evaluations required at each stage of the genetic tests leading to their use. The second article focuses on the effective use of genetic testing in a pediatric university hospital centre. More specifically, the article provides a comprehensive overview of all molecular genetic tests done outside of Québec by the CHU Sainte-Justine in 2009 due to the increase of available tests internationally compared to those offered in-house. The objective is to describe the state of the current situation and identify potential targets for process improvement and development of local testing. The evaluation of genetic tests is approached from two perspectives: normative considerations related to the evaluation of genetic tests as recommended by the various evaluation models as well as a practical point of view in a university hospital.

台灣地區大陸配偶社會適應問題之研究

自開放探親以來,兩岸交流日趨熱絡,截至民國九十四年底陸續來台團聚及申請居留、定居的大陸配偶已逾廿三萬人,成為新興移入人口的主流。「兩岸婚配」的盟合大多係由台灣男性主動認識大陸女子、或經由親友介紹、及婚姻仲介等方式而結婚,大陸配偶透過「跨海婚姻」的歷程來到台灣,在陌生的社會民情與生疏的家庭環境中試圖展開新生活,她們無不努力地學習並詮釋新的角色;然因兩岸的社經環境、風俗習慣,人民的成長背景及價值觀念等文化之差異與隔閡,建立自己的同儕生活上有所困難,加上在台灣取得社會資源的不易,使其與台灣社會網絡互動貧乏,只能依賴婚姻的狀況下更顯得被孤立,而成為社會的弱勢族群,且因人數眾多已形成嚴重的社會問題。 由於大陸配偶來台者日眾,在相關的社會新聞中,造成台灣民眾常抱持著偏執與異樣眼光看待她們,總將其視為外來者或麻煩製造者而產生了許多誤解,使她們在異鄉的生活適應上備感艱辛,諸如她們漂洋過海的婚姻動機為何?來台後對於兩岸的生活習慣與價值觀念之差異要如何適應?又將如何與台灣的社會相連結?對於國家與社群的認同為何?微視她們真正的心聲是值得我們作抽絲剝繭的探究。本文針對中國移民女性來台的社會適應問題進行研究,讓現實生活中的大陸配偶自己發聲,筆者實地去瞭解她們的生活底層,聆聽她們的心聲、感受與生活經驗,試從其自身的敘述中來勾勒出她們的「台灣經驗」,而非新聞媒體上所建構與杜撰的故事,或是三姑六婆們街頭巷尾的竊竊私語。 / Ever since Taiwan and PRC opened door for citizens to visit their relatives across Taiwan Straits, cross-border interactions from both sides are becoming more frequent. According to statistical data released by Taiwan government, more than 230 thousand PRC immigration requests to Taiwan have been granted by the end of 2005. In consequence, PRC residents are becoming the mainstream in Taiwan immigration population. Typically, cross-border marriage took place through matchmakers or relatives’ introduction or Taiwanese males actively create opportunities to know PRC female. Thereby female is the dominant gentile in PRC immigrant population. Due to different value systems, and vast cultural gap, it is not easy for PRC spouses to quickly adapt to the new environment and families. In addition, for lack of proper access to Taiwan social networks, PRC immigrants are usually isolated and speechless. And the issues become more severe as PRC immigrants increases in Taiwan. From time to time, social incidents caused by PRC immigrants are mistakenly reported or even exaggerated by public media that lead to biased misunderstanding from Taiwanese pollution. And there’s virtually no chance for PRC spouses to speak up. In this paper, we will focus primarily on the following issues: what are the motivations of PRC spouses to come to Taiwan, how they adapt themselves to make up the cultural gap and the new value system, as well as how can they link up with Taiwan societies. Rather than referencing to media reports that could possibly be distorted, we chose to collect first hand experiences by face to face interviews with PRC spouses. Let’s listen to their genuine voice about their “Taiwan experiences”.

保險經紀人之法律地位與境外保單制度研究 / The Study of Insurance Broker's Legal Position and The Provision of Off-shore Insurance Legislation

我國保險法令對於市場中分屬不同業務性質之保險經紀人,於監理規範上並無太大之區別。而於實際之財產保險與人身保險之經紀業務中,其間實具有相當大之差異性存在。再就保險之需求者而言,企業型之被保險人與消費型之被保險人,本屬相當不同之市場族群,這也正說明近年關於金融消費者保護法之立法,即係著眼於金融消費者市場保護措施的建立。惟對於企業型之被保險人市場,於保險法相關之規範上,則相應缺少一些差異性之規範設計。 我國保險法令關於直接保險業務與再保險業務並未依國內市場之業務與國際市場之業務而區分,自然造成我國保險經紀人之業務類別僅分為「直接保險經紀業務」及「再保險經紀業務」二分法之現象。而保險經紀人執行此等「前衛業務」時,事實上其所應負責任之對象為該等原始被保險人,而非被再保險人〈即原保險人〉。但相較於國內保險法規上之分類類別,也只能將其視為「再保險」之一類別,此時該等執行此類「前衛業務」之保險經紀人依此法令上之二分法類別設計,將同時具備執行「直接保險經紀業務」及「再保險經紀業務」之情形,雖然於我國法令規範上,經紀人公司得經營保險經紀人業務及再保險經紀業務,但同時也衍生於法規上如何處理利益衝突之問題。但於此等「前衛業務」,保險經紀人事實上所應負責任之對象應僅指該等原始被保險人,而非被再保險人〈即原保險人〉,此時若又將其同視為兼具執行「再保險經紀業務」,則自然發生法令規範與事實關係不符之謬誤。 本文對於保險經紀人同時經營保險經紀業務與再保險經紀業務之問題,於根本上探討保險經紀人於實務作業之具體情形,並分析其法律地位與相關之義務與責任,希望對於保險法相關規範之發展上,能對於不同業務屬性之保險經紀業務行為,發展出一套不同之思路與設計,藉以消彌監理與實務間之鴻溝。並期待法規應引領國內保險公司,能真正專注於實質保險本業之經營,對於大型企業體之財產保險需求,能真正作為承接實質風險之保險人,而非甘於僅處於前衛業務所安排之出單公司,以類似於保險中介人收取服務費用之模式經營。如此,對於被保險人而言,則可相對免除國內出單費用之成本;對於保險經紀人而言,亦可達到為被保險人最大利益考量之執業職責。 基於目前法規對於跨國保險、境外保險及剩餘保險等問題呈現法規缺漏之現象,本文亦延伸探討目前相關法令對於境外保單議題之處理方式。目前之保險法167-1條未將企業等非消費者被保險人購買境外保單之情形排除於外,實無益於維護金融市場秩序、保障消費者權益之立法目的,應予排除。另鑑於境外保單交易多具跨國性質,基於罪刑法定主義之明確性原則,立法者應將「代理、經紀、招攬保險業務」定義清楚,避免嗣後爭議。 本論文以產物保險為主軸,於第二章中介紹保險相關的輔助人,保險係人類創造新文明之過程中損失分擔之機制,這個機制則需要許多人之努力方得以運轉,保險契約之締結,除了契約當事人以外,尚需要有許多相關人士的輔助,才得以使保險機制能更有效的運作,此等保險相關的輔助人各司其職,目的均在使得保險制度之運作更為流暢與正當。第三章及第四章分別論述保險經紀人之市場功能與法律地位、保險經紀人之行為規範與專業責任及義務,以及我國保險法令關於保險經紀人之相關規範。第五章至第七章深入探討保險經紀人處理境外保單之相關問題、P&I制度、國際金融業務境外保險之議題,並檢討現行法制對於保險經紀人處理境外保單之法律問題。並於第八章文末提出修法建議與結論。 本論文以現代經濟社會對保險制度之期待為標的,以保險服務業對整體經濟社會發展所產生之影響及其願景為研究背景,期待藉由保險實務工作者與政府主管機關、法律學界與實務界之共同努力,能使保險實務之運作更趨於完善,並使國內保險事業與國際保險市場之發展密切接軌,形成一套保險從業人員得所依循之「執業典範」,以為日後相關保險從業人員及主管機關得以遵循及評鑑的共同指標,使投保大眾對於保險制度之運作更具有信賴與安全感,給予全體社會一個穩健、安全又合諧的經濟環境。

Trois essais sur les fusions-acquisitions transfrontalières / Three essays on cross-border mergers and acquisitions

Par comparaison avec la littérature sur les fusions-acquisitions nationales, celles sur les fusions-acquisitions transfrontalières (Cross-Border Mergers & Acquisitions, CBM&A) est relativement récente. En particulier, nous avons encore très peu d’études sur les fusions-acquisitions entre les entreprises des pays développés et émergents. Cette thèse considère trois questions rarement abordées jusqu’à présent. 1) Est-ce que la diversification industrielle peut expliquer les fusions-acquisitions entre les entreprises européennes et des marchés émergents? 2) Est-ce que le marché valorise plus dans ces opérations les actions de diversification industrielle? 3) Quelles sont les modalités de paiement préférées dans ce type d’opérations ? Parallèlement, nous avons comparé ces opérations de fusions-acquisitions à celles ayant lieu en France et à l’intérieur de l’Union Européenne. Fondés sur 2406 fusions-acquisitions en France, 7628 à l’intérieur de l’Union Européenne et 1857 entre des entreprises européennes et des marchés émergents sur la période 1992(1998)-2012, nos résultats sont les suivants. Premièrement, conformément à ce qui est observé dans les fusions-acquisitions entre des entreprises des pays développés mais contrairement à ce que laisse entendre la littérature théorique sur les investissements dans les marchés émergents, les fusions-acquisitions entre les entreprises européennes et de pays émergents sont plutôt des opérations de spécialisation industrielle. Nous constatons également que la relation entre la diversification internationale et la diversification industrielle est négative. Deuxièmement, les effets d'annonce des CBM&A entre les pays de l’'Union Européenne et les marchés émergents se traduisent par une augmentation de richesse des actionnaires des entreprises européennes acquéreuses. Cependant, par rapport aux fusions et acquisitions réalisées entièrement à l'intérieur de l'Union Européenne et en France, les effets d’annonces sont beaucoup moins positifs. Troisièmement, les marchés financiers sous-évaluent les entreprises européennes lors des fusions-acquisitions avec des entreprises de pays émergents. Nos résultats démontrent que les entreprises acquéreuses payent moins en espèces dans les fusions-acquisitions avec des entreprises des marchés émergents qu’avec d’autres entreprises européennes. En revanche, les primes payées ne sont pas significativement différentes. Nos résultats suggèrent aussi que les dirigeants des entreprises Européennes ne jouent pas sur le « market timing » lors de leurs décisions de paiement. Cette thèse a des implications importantes pour des futurs acquéreurs d’entreprises de pays émergents. Compte tenu des résultats obtenus sur la fin de notre période d’analyse, elle révèle que la diversification industrielle dans les fusions et acquisitions d’entreprises de pays industrialisés avec des entreprises de marchés émergents est plus importante ces dernières années, et qu’elle a un impact positif. Nous pensons que les résultats peuvent être attribuables soit à la crise financière soit à une meilleure intégration des marchés émergents dans l'économie mondiale. Elle met aussi en évidence qu'il existe des conflits d'intérêts clairs entre les investisseurs et les dirigeants lors de fusions-acquisitions entre des entreprises européennes et de pays émergents. / Compared to domestic M&A, the literature of cross-border M&A is relatively fewer. Most of the current research is based on US studies. We also have much less knowledge about the cross-border M&A from developed countries to emerging countries. Motivated by the general research background, the thesis conducted three distinctive papers regarding cross-border M&As from European Union (EU) to emerging countries. We propose three research questions that are seldom addressed in previous literatures: 1) Does industrial diversification explain the cross-border M&A from the European Union to emerging countries? 2) Do market value industrial specialization or diversification in CBM&A with emerging countries? 3) Do acquiring managers take advantage of the market timing in payment decisions in CBM&A with emerging countries? In addition, we compared the CBM&As with those of domestic France as well as the CBM&As inside the European Union. Based on 2406 fusions-acquisitions in France, 7628 CBM&As inside the European Union, and 1857 CBM&As between European firms and the emerging markets during 1992-2012, we find the following results. First, consistent with what is observed in prior M&As literatures between companies in developed countries but contrary to what is suggested in the theoretical arguments in earlier literatures about emerging countries, we show CBM&As from the European Union to emerging countries are industrially specialized rather than industrially diversified. We find that there is a negative relationship between international diversification and industrial diversification. Second, we found that the announcement effects for CBM&As between the E.U.-15 and emerging market are positive, but compared to CBM&As conducted wholly inside the E.U.-15 and domestic M&As in France, they are significantly less positive due to the focus on industrial diversification versus specialization. Third, we found the market undervalues the acquiring firms in CBM&A from the European Union to emerging countries. The acquiring managers do not take the advantage of the market timing when making their payment decisions. Our results show the acquiring firms do not incline to pay cash in CBM&A to emerging countries but rather in CBM&A inside European Union. In the meanwhile, we find the premium paid by the acquiring firms are not different from CBM&As inside the European Union. Our analyses evidence that acquiring firms are reluctant to pay cash in CBM&As with emerging countries. The thesis contributes to the current M&A empirical literatures and it has provided important research implications. It highlights also that there are clear conflicts of interests between investors and managers in the cross-border from the European Union to emerging countries. The thesis also opens new perspectives for the future research. For example, we observed that industrial diversification has an increasing trend in recent years, and it is valued positively by the market. We believe the results may be attributable to either the financial crisis or the better integration of emerging markets into the world economy.

Cross-border cooperation (CBC) influenced the regional development of the border regions. CBC is very much supported by the European Union and its funding policy. Cooperation between border regions is considered as a key to the joined Europe. Since 1989 there is a special programme supporting CBC within the member states of EU. A new programme supporting cross-border cooperation between the member states and the candidates' countries "Phare CBC" was developed in 1993. This paper is focused on selected issues of cross border cooperation of Euroregion Šumava, Pilsner region and South Bohemian region. Euroregion Šumava was established in 1993. It is a voluntary association of cities, villages and other joined organizations intent on the cross border cooperation with similar association on Bavarian and Austrian site of border. These three associations established trilateral Euroregion Šumava{--}Bayericher Wald{--}Mühlviertel. Together they implement the principles of European regional policy. Cross border activities of Euroregion Šumava were analyzed on followed issues: 1. Euroregion budget and its development between 1998{--}2006 2. Projects supported by Small Projects Fund realized by Euroregion 3. Projects realized under the financial support of Small Projects Fund Phare CBC and Interreg IIIA (focusing on the projects´ holders, priority areas and districts) Pilsner and South Bohemian regions were established in 2001 as regional authorities. They provide national and regional service partly financed by their own resources (mainly tax income) and partly by grants received from central authorities. Together they constitute the cohesion region of NUTS 2 "Southwest". Pilsner and South Bohemian regions create joint regional development policy and strategic documents because of implementing Regional operational programme. So far CBC was not part of their common regional policy. Cross border activities are analysed on the projects realised under the Interreg IIIA programme, which was managed by the Secretary of Cohesion region. Special focus is put on the projects´ holders, priority areas and regional aspects. Results of analysis are summarized in graphs, tables and maps.

Gli effetti di giudicato delle sentenze straniere e dei lodi / THE RES JUDICATA EFFECTS OF FOREIGN JUDGMENTS AND AWARDS

Benché ampiamente studiata con riferimento al contenzioso interno, la res judicata ha ricevuto minore attenzione nella sua “dimensione internazionale”. Il presente lavoro si propone di esplorare i profili incerti degli effetti di giudicato delle “decisioni non domestiche”, intese come decisioni non provenienti dalle corti del foro, e in particolare delle sentenze straniere e dei lodi arbitrali internazionali. Nel tentativo di superare almeno parte delle incertezze e dei problemi della prassi attuale, in relazione alle sentenze straniere si sostiene che i relativi effetti di giudicato vengano determinati sulla base della teoria dell’estensione assoluta degli effetti, la quale assicura certezza giuridica transnazionale ed è consona alla moderna evoluzione liberale delle norme sul riconoscimento. Quanto ai lodi arbitrali, si propone che le istituzioni arbitrali adottino, nei propri regolamenti, ampie regole preclusive che riflettano la natura e gli obiettivi del procedimento arbitrale. Le soluzioni proposte condividono l’idea che gli effetti di giudicato di una “decisione non domestica” dovrebbero essere determinati in linea di principio dal “sistema” a cui la decisione appartiene, sebbene l’adozione di un approccio unitario risulti problematica quando questioni di giudicato sorgono tra corti statali e tribunali arbitrali in maniera da compromettere l’autonomia dell’arbitrato internazionale. / Although extensively studied in domestic litigation, res judicata has received less attention in its “international dimension”. This work seeks to navigate the uncharted waters of the res judicata effects of “non-domestic decisions”, understood as decisions that are not rendered by the courts of the forum, and in particular of foreign judgments and international arbitral awards. In an attempt to overcome at least part of the uncertainties and problems of the current practice, as regards foreign judgments it is proposed that their res judicata effects be determined based on the theory of the absolute extension of effects, which ensures cross-border legal certainty and accords with the modern liberal evolution of recognition rules. As regards arbitral awards, it is suggested that arbitral institutions adopt, in their regulations, broad preclusive rules that reflect the nature and objectives of the arbitral process. The proposed solutions share the idea that the res judicata effects of a “non-domestic decision” should be in principle determined according to the “system” to which the decision belongs, although the adoption of a unitary approach is challenged when res judicata issues arise between state courts and arbitral tribunals so to jeopardize the autonomy of international arbitration.

The theme of my thesis is The Cross-border co-operation Czech Republic and Germany in the framework of programme INTERREG IV in period 2007-2013 Emphasis is placed on analysis, and subsequent comparison of the cooperation between the two countries. The thesis is divided into three main parts. The first part is devoted to the European Union, regional policy in the European Union, cross-border cooperation in general and the history of the European territorial cooperation. In the second part of the thesis is an analysis of crossborder cooperation within the Programme Cross-border Cooperation of Czech Republic and Saxony and analysis of cross-border co-operation within the Programme Cross-border Cooperation of Czech Republic and Bavaria. In the last part of this thesis is the comparison of both operational programs and Euroregions, which are part of a subsequent evaluation of the results and their possible contribution to removing regional disparities.

Analisamos especificamente (1) o efeito da distância institucional na posse adquirida, (2) os comportamentos miméticos relacionados com a posse das multinacionais da América Latina quando realizam aquisições internacionais e (3) se adquirir um negócio relacionado tem impacto na força da distância institucional e do isomorfismo mimético. Investigamos quatro níveis de fontes de imitação, incluindo a experiência anterior da própria empresa, empresas domésticas e estrangeiras, e competidores da mesma indústria. Os resultados dos testes empíricos, usando uma análise de regressão logística em uma amostra de 1.334 aquisições internacionais efetuadas por multinacionais da América Latina e uma amostra transversal de 567 aquisições internacionais da indústria da manufatura, durante um período de mais de 20 anos (1995-2015), apoiam o quadro baseado em instituições, com diferentes influências nas escolhas da posse nas aquisições internacionais. Os resultados mostram evidências de que as multinacionais preferem adquirir posse total quando investem em países institucionalmente mais distantes. Mais, confirmamos que os comportamentos miméticos das multinacionais relacionados à posse em aquisições internacionais ocorrem nos quatro níveis. Finalmente, a influência da distância institucional, imitação das empresas estrangeiras e dos competidores da mesma indústria são fortalecidos pela aquisição de um negócio relacionado, enquanto que o efeito de imitar as experiências anteriores da própria empresa e das empresas domésticas é enfraquecido pela aquisição de um negócio relacionado. Contribuímos para a Visão baseada em instituições da Estratégia internacional identificando os comportamentos miméticos específicos à posse adquirida pelas empresas quando se internacionalizam. Além disso, também contribuímos para a crescente literatura sobre multinacionais da América Latina, ou multilatinas, fornecendo um melhor entendimento acerca das suas estratégias em aquisições intenacionais. Usamos uma abordagem multinível para trazer uma nova compreensão de como as multinacionais da América Latina imitam as decisões de posse em aquisições internacionais. Para o estudo da posse, e especificamente da posse em aquisições internacionais, contribuímos com uma interpretação comportamental e consideramos o isomorfismo entre multinacionais, indo além dos determinantes convencionais como custos de transação, assimetria informacional ou incerteza. / This study draws upon the institution-based view to explain the ownership decisions by Latin American multinationals (LAMNCs) in cross-border acquisitions (CBAs). We specifically examine (1) the effect of institutional distance on the ownership acquired, (2) the mimicking behaviors regarding ownership of MNCs from Latin American countries when undertaking CBAs and (3) if acquiring a related business impact the strength of institutional distance and mimetic isomorphism. We endeavor into investigating four levels of imitation sources, including firms own prior experience, home and foreign firms, and industry competitors. The results of the empirical tests, using a logistic regression analysis on a sample of 1,334 CBAs by LAMNCs and a cross-sectional sample of 567 CBAs from the manufacturing industry, over a 20-year period (1995-2015), support an institutional-based framework with different influences in the ownership choices in CBAs. Our findings provide evidence that MNCs prefer to acquire full ownership when investing in institutionally distant countries. Furthermore, we confirmed that the mimicking behavior of MNCs pertaining to ownership in CBAs occurs at four levels. Finally, the influence of institutional distance, mimicking of foreign fims and industry competitors are strengthened by the acquisition of a related business, albeit the effect of mimicking own firm prior experiences and home firms is weakened by the acquisition of a related business. We contribute to the institution-based view of international strategy identifying the specific mimetic behaviors of firms’ internationalization ownership in foreign operations. Moreover, we also contribute to the burgeoning literature on LAMNCs, or multilatinas, by providing a better understanding of their strategies regarding CBAs. We use a multi level approach to bring a new understanding of how LAMNCs mimic ownership decisions in CBAs. To the study on ownership, and specifically ownership in CBAs, we contribute for a behavioral interpretation and consider isomorphism between MNCs, going beyond conventional determinants such as transaction costs, informational asymmetry or uncertainty.
