Povinnost loajality společníka kapitálové obchodní společnosti / The duty of loyalty of a member of a limited company

The diploma thesis is focused on the duty of loyalty of shareholders (members). Although some legal experts consider this duty as a basis of any private law relations, duty of loyalty remains mainly overlooked in the business law area. Firstly, the diploma thesis explores the duty in broader view and describes its functioning in other countries, where duty of loyalty is traditionally respected: United States of America and Germany. The thesis continues to the development of the duty of loyalty in Czech Republic. Before 2014, this duty was not explicitly included in Czech law or no wide consensus about the legal source of this duty. The loyalty principle has begun to be recognized in 2006, when legal experts started to work with this term and set theoretical basis for this duty. Even if there was no consensus about the scope and range of the duty of loyalty and the existence of this duty itself, the duty of loyalty has been established in the judicature of Czech courts. Even Supreme and Constitutional Courts accepted this duty in its decisions. The role of Judicature for the duty of loyalty and its contend is significant. Summary: Limited Liability Company is so popular form of a corporation suitable. I can say, this type of company is the most popular form of business organization. To have some knowledge about this issue could be very helpful and that is a reason of choosing this topic of my thesis. The regulation of duties of members of a limited liability company in the Commercial Code is only a little part of the whole limited liability company, but very I think, it is very important part. The regulation of duties members of a limited liability company is complex with their right and often should be view together. But on the other hand, sometimes the text of Commercial Code says nothing about the particular position of the member in the company and must be used theory. The most important of my thesis is to focus on the main duties of members of a limited liability company and the position of them. Every each duty of members I described in a separate chapter. I tried to explain every one duty in relation with other duties to explain mutual interconnection as a complex unit. The legal regulation of the Limited Liability Company should be often so much formal and complicated. The duty of loyalty of a member of a business company This thesis deals with the topic closely connected with the field of corporate governance which is a part of corporate law. According to the American legal theory is duty of loyalty one of the fiduciary duties. The traditional classification of fiduciary duties is based on dualism - duty of loyalty and duty of care. But this concept is changing over time mainly due to case law. There is no settled opinion on the basic question how many fiduciary duties there are. Current opinion of the respected authority in this field - Delaware' Supreme Court is based on dualism of fiduciary duties, but not in the traditional meaning. The duty of loyalty includes according to the opinion of the judges not only conflicts of interests and self-dealing situations, but breach of good faith as well. On the other hand the traditional point of view was settled on two fiduciary duties - loyalty and care as well. Board of Directors of a joint-stock company and position of its members Board of Directors of a joint-stock company is a body whose powers can be divided in two major fields of activity. The first one is called business management and involves organization and conducting of business within the company. The second one includes the right to act on behalf of the company in relations to third parties. The aim of my thesis is to analyze issues related to the so called "concurrence of duties" which has recently become very relevant and there is still no generally accepted solution. Concurrence of duties can be defined as a situation, where a member of the Board of Directors performs, besides his duties, other duties for the company (different from his duties of a member of the Board of Directors) as an employee of the company. These concurrent duties are based on different legal rules, so e.g. the respective liability for damage in connection to the performance of such duties, possibilities of termination of the legal relationship between such person and the company or tax and insurance payment conditions are regulated differently. Primarily the basic of employment relationship which underlies duties is characterized. This characteristic is divided into five parts, in the first the employment relationship is defined, the second part deals with the identification of the subjects of the employment relationship, the third approximates the content of the employment relationship, and the fourth allocates duties to the employee only and the fifth part explains the concept of work discipline. This thesis describes and analyses a conditional sentence as a criminal punishment. The penalty exists under Czech legislation as a suspended sentence of imprisonment and a suspended sentence of imprisonment with supervision. The essence of the conditional sentence lies in a decision of a court that finds an offender guilty and sentences him to imprisonment, but the execution of the sentence is suspended if the court taking into account the character and circumstances of the offender has a reasonable belief that execution of the sentence is not necessary to induce the offender to lead an upright life. According to statistics, the conditional sentence is the most frequently imposed criminal sentence in the Czech Republic. The first chapter describes the conditional sentence as an alternative sentence, as well as principles of restorative justice. The next chapter deals with the essence of the conditional sentence and its arguable legal status. Despite the fact that legal theory considers the conditional sentence as a distinct type of punishment, the Criminal Code indicates that it shall be only one of the form of the sentence of imprisonment. O estudo da responsabilidade civil dos administradores de companhias abertas na doutrina nacional trata usualmente dos deveres fiduciários, do ato regular de gestão e da teoria ultra vires, da culpa ou dolo do administrador, das ações ut universi e ut singuli e da solidariedade entre a responsabilidade do administrador e a da companhia. Poucos abordam as causas extintivas dessa responsabilidade, e raro são os que tratam da hipótese de exclusão de responsabilidade do artigo 159, § 6º, da Lei nº 6.404/76. Como a disciplina dos deveres fiduciários prevista na lei societária brasileira tem forte influência do Direito norte-americano, buscou-se na legislação, doutrina e jurisprudência daquele país os fundamentos necessários à melhor interpretação e aplicação da regra de exclusão e, em especial, na business judgment rule, doutrina que protege os administradores contra responsabilização por prejuízos à companhia decorrentes de decisões por eles adotadas, proteção esta também conferida pela hipótese do artigo 159, § 6º, da Lei nº 6.404/76, ao administrador leal e de boa-fé. / The study of corporate directors civil liability in national doctrine usually deals with fiduciaries duties, regular management act and the ultra vires theory, directors malpractice or deceit, ut universi and ut singuli actions and solidarity between directors and companies responsibility. Few address the extinctive causes of such liability, and rare are those who address the liability exclusion hypothesis of the Article 159, § 6º, of the Law n. 6.404/76. Whereas that the fiduciary duties discipline provided for in Brazilian corporate law has strong influence of American law, was sought in the legislation, doctrine and jurisprudence of that country the fundamentals for a better understanding and application of the exclusion rule and, particularly, in the business judgment rule, a doctrine that protects directors against liability for damages to the company arising from their acts, protection also afforded by the Article 159, § 6º, of the Law n. 6.404/76, to the loyal and good faith director.

La problématique militaire a toujours été à l’ombre des débats publics, à l’écart du reste de la société. En effet, le rendez-vous des droits de l’homme et des casernes n’aurait peut-être jamais eu lieu, du moins sur le plan européen, sans l’impulsion vigilante de la Cour européenne des droits de l’homme.Les droits de l’homme se sont largement introduits au sein des casernes, comme le démontre l’adage européen : « La convention européenne ne s’arrête pas aux portes des casernes » emportant avec lui diverses conséquences. La pénétration des droits fondamentaux au sein des casernes conduit à reconnaître aux militaires la jouissance d’un véritable statut juridique en sanctionnant la méconnaissance des droits et libertés qui y sont contenus.Cependant, si aujourd’hui, la jouissance des droits et libertés fondamentaux est reconnue aux militaires, il est important de rappeler, que ces derniers demeurent des individus assujettis à des contraintes commandées par leur statut particulier. Ces sujétions que doit prendre en compte le juge européen lors de son interprétation viennent dès lors, limiter et restreindre la portée des droits garantis aux militaires. Il est donc nécessaire que le juge européen, prenne en considération l’ensemble de ces paramètres lors de son processus interprétatif.Dans cette perspective, le juge européen tentera habilement de ménager d’une part, son objectif fondamental à savoir garantir aux militaires la jouissance et la protection de leurs droits fondamentaux Et d’autre part, de concilier cette promotion des droits et libertés avec l’ensemble des sujétions auxquelles sont soumis les militaires. / The military subject has always benn in the shadow of public debate. The meeting of human rights and the military barracks could never have happened without impetus of the European Court. The human rights have largely introduced in the military barracks. About that, the quote from the European Court indicates : « The European Convention on Human Rights does not stop at the gates of the barracks ».which has several consequences. The introduction of human rights they allow recognize a real legal status to the military.However, if the rights are recognized to the military, it is necessary to remember the military are subject to constraints in view of special status. The European judge must take into consideration these parameters in his interpretative process. In this perspective, the European jugde will attempt conciliate his primary objective that of rights protection, with that of the constraints which are subject the military.

The paper presents that the scope of this desideratum, to obtain an adequate decision, undergoes a process in which the parties are symmetrical in the proceedings, effectively influencing the decisions taken by the magistrate, who will only be isolated from the parties at the time of the ruling and not at the construction of the proceedings. It starts from a publicist ideal, from a democratic model of process forged through extensive dialogue between the parties and the magistrate, and the resulting dialecticism promotes a genuine contradictory, changing the design of the aphorisms mihi factum dabo tibi ius and iura novit curia, because everyone should contribute to the social peace, with no surprises. The collaboration between the parties brings duties for all parties with no exception, but the most important role belongs to the magistrate, which entails clarification duties, prevention, dialogue and aid. The parties serve diverse interests and contribute little, especially since there is a gap between them, which is exactly the reason of the litigation, including the right against self-incrimination principle. However, they cooperate with the duty of good faith. The study also faces another problem, which is the question of whether or not cooperation is a principle, not as predominant orientation, but as normative species. Finally, for the formation of a cooperative and democratic process, everyone should conduct the process as a working community / A presente dissertação tem como propósito desvelar o significado de um processo estruturado cooperativamente, o que, em tese, implica decisão de mérito em tempo razoável, que seja justa e efetiva. Neste trabalho, busco enfrentar o problema do controle das omissões estatais envolvendo direitos fundamentais, por meio da análise das soluções oferecidas pela tese dos deveres de proteção, também conhecida como função protetiva dos direitos fundamentais.1 Para tanto, abordo duas questões conexas: (i) a definição do fundamento e conteúdo dos deveres de proteção; e (ii) a polêmica em torno de sua estrutura. Esses problemas têm implicações diretas na possibilidade de justiciabilidade desses deveres, ou seja, de que a partir deles seja possível extrair uma pretensão judicialmente tutelável. Em linhas gerais, sustento que a existência dos deveres de proteção está ancorada em argumentos teórico-filosóficos, dogmáticos e no próprio direito positivo. Quanto ao problema do conteúdo da função protetiva ou seja, se estipula um dever objetivo ou um direito subjetivo , sustento, neste trabalho, que não há uma resposta definitiva para esse problema. A depender de algumas circunstâncias presentes no caso concreto, podese estar diante de um dever objetivo ou de um direito subjetivo, a permitir uma maior ou menor interferência do Judiciário na elaboração e implementação de um plano de proteção para os direitos fundamentais. Nesse sentido, procurei apontar e discutir aquilo que chamei de elementos de controle, colhidos da literatura e jurisprudência (1 Ou, simplesmente, teoria dos deveres de proteção dos direitos fundamentais. Optei pela inclusão, no subtítulo, da expressão deveres de proteção, a fim de facilitar a identificação do tema, embora a existência de deveres de proteção, de um direito à proteção ou de uma função protetiva dos direitos fundamentais seja objeto de problematizações ao longo de todo o trabalho) / The present work is intended to address the problem of the judicial review of state negligence concerning fundamental rights, through examining the solutions provided by the duties of protection theory also known as the securing function of fundamental rights. In order to accomplish this goal, the dissertation comprises two related tasks: (i) determining the legal grounds and the essence of the duties of protection; and (ii) assessing the controversy in regard to their legal structure. Both these issues have an immediate impact in the possibilities of judicial review, i.e., that through the duties of protection one could achieve a judicially sanctioned claim. In broad outlines I argue that the existence of the duties of protection relies on theoretical-philosophical and dogmatic premises, and on the positive law as well. With reference to the problem of their essence that is, whether they consist of objective duties or subjective rights , it is sustained that there is no categorical answer to this question. Depending on the factors and circumstances coexisting in each particular case, one can be staring at an objective duty or a subjective right enabling either a wider or a tighter judicial intervention in conceiving and implementing a plan of protection designed for fundamental rights. Thus, I seek to point out and debate what I characterize as elements of control, which I have selected from bibliography and judicial precedents.
