This thesis focuses on the convergence project of IASB and FASB with the aim to create a new lease standard. The main goal of this thesis is to point on weakness of existing IAS 17 which is criticized, go through the history of the project development for preparing new standard since 2006 and to find out which changes have been prepared and accepted by IFRS for eliminating critical deficiencies. IASB published two drafts, the final standard has been published on 13 January 2016.

Die vorliegende kumulative Dissertationsschrift befasst sich mit den konzeptionellen Grundlagen und der historischen Entstehung verschiedener Aspekte der Rechnungslegung. Der erste Artikel setzt sich mit den konzeptionellen Grundlagen des amerikanischen Standardsetzers FASB auseinander und zeigt, dass die Entstehung des amerikanischen Rahmenkonzepts in den 1970er und 1980er Jahren stark von Umweltfaktoren abhing. Im zweiten Beitrag wird dargelegt, dass das vom internationalen und amerikanischen Standardsetzer im Jahr 2010 überarbeitete Rahmenkonzept, mithin die qualitativen Anforderungen an nützliche Finanzinformationen, im konditional-normativen Sinne keine ausreichende Basis für die Entwicklung von Rechnungslegungsnormen ist. Der dritte Artikel fokussiert auf die regulatorische Entwicklung der Bewertung von Vermögenswerten in Deutschland und stellt regulatorische Änderungen sozioökonomischen und politischen Umweltfaktoren gegenüber. Der abschließende vierte Beitrag enthält eine historisch-kritische Analyse des der Rechnungslegung zugrunde liegenden Rechenschaftskonzepts, welches zur Zeit des Nationalsozialismus an einer deutschen Hochschule untersucht wird. The first article discusses the conceptual framework of the U.S. standard setter FASB and shows that the evolution of the U.S. GAAP conceptual framework in the 1970s and 1980s was considerably influenced by economic factors. The second manuscript employs a conditional-normative approach to analyze the 2010 joint conceptual framework of the international and the U.S. standard setter, in particular the qualitative characteristics of useful financial information. The paper shows that the qualitative characteristics are not a sufficient basis for developing accounting standards. The third article focuses on the regulatory history of asset valuation in Germany and explains regulatory changes by socio-economic and political events. An investigation of the effects of SFAS No.121 on asset impairment reporting and stock returns

Prior to Statement of Financial Accounting Standards No.121 (SFAS No.121): Accounting for the Impairment of Long-Lived Assets and Long-Lived Assets to Be Disposed Of, managers had substantial discretion concerning the amount and timing of reporting writedowns of long-lived assets. Moreover, the frequency and dollar amount of asset writedown announcements that led to a large “surprise” caused the Financial Accounting Standards Board (FASB) and the Securities and Exchange Commission (SEC) to consider the need for a new standard to guide the recording of impairment of long-lived assets. This study has two primary objectives. First, it investigates the effects of SFAS No.121 on asset impairment reporting, examining whether SFAS No.121 reduces the magnitude and restricts the timing of reporting asset writedowns. Second, the study compares the information content (surprise element) of the asset impairment loss announcement as measured by cumulative abnormal returns (CAR) before and after the issuance of SFAS No.121. The findings provide support for the hypothesis that the FASB's new accounting standard does not affect the magnitude of asset writedown losses. The findings also provide support for the hypothesis that SFAS No. 121 does not affect the management choice of the timing for reporting asset writedowns. In addition, the findings suggest that the market evaluates the asset writedown losses after the issuance of SFAS No. 121 as good news for “big bath” firms, while, for “income smoothing” firms, the market does not respond to the announcements of asset writedown losses either before or after the issuance of SFAS No. 121. The findings also suggest that, for “big bath” firms, the market perceives the announcement of asset impairment losses after the adoption of SFAS No. 121 as more credible relative to that before its issuance. This could be because the practice of reporting asset writedowns after the issuance of SFAS No. 121 is under the FASB's authoritative guidance, which brings consistency and comparability in asset impairment reporting.

An Empirical Investigation of the Lobbying Influence of Large Corporations on Selected FASB Standards

The Financial Accounting Standards Board is a private sector rule making body. Congressional inquiries have questioned whether the setting of accountin standards should remain in the private sector. Congressional critics have charged that the FASB has been captured by special interests and recommended that a governmental agency assume responsibility for standard setting. Specifically, critics charge that large corporations capture the Big Eight accounting firms who, in turn, have captured the FASB. Previous capture studies have concluded that the standard setting process is pluralistic and that the FASB has not been captured. The studies have focused on the influence of the Big Eight to determine if the FASB has been captured. They assume if standards do not reflect the expressed preferences of the Big Eight, then Congressional criticisms are invalid. The studies also assume a unidirectional influence between participants in the process and have ignored the intensity of preferences of the respondents.The purpose of this study is to provide a theoretical framework to specify selection of standards that would be expected to be subject to capture. This framework also recognizes the duo-directional nature of influence. The allegations of capture were tested using the standards selected in accordance with the theoretical framework. The following hypotheses were tested. HO_1 There is no positive statistically significant relationship between clients' preferences and an accounting firm's support for an outcome. HO_2 There is no positive statistically significant relationship between the preferences of large corporations and standards enacted by the FASB. HO_3 There is no positive statistically significant relationship between the preferences of the Big Eight firms and the standards enacted by the FASB. These hypotheses were tested for each Big Eight accounting firms and for each standard. A logist procedure was employed. The results of the tests, with three exceptions, indicate that any relationships that occurred happened by chance.

É neste contexto que se desenvolve o presente estudo, onde o principal objetivo foi avaliar a conveniência do pronunciamento nº 52 do FASB para a qualidade da informação contábil, à luz da teoria da contabilidade, ao mesmo tempo em que se aplica um terceiro método de conversão, inspirado na Correção Monetária Integral. Internationell Redovisning : Harmoniseringens utveckling mellan IASB och FASB / titel : International Accounting – The development of harmonization between IASB and FASB

Den ökade globaliseringen av kapitalmarknaden och det faktum att marknader numera integreras oberoende av landsgränser, har bidragit till att en harmonisering av redovisningsregler har blivit allt viktigare. Inkonsekvenser i redovisningen har historiskt resulterat i finanskriser och företagskandaler, som fått allvarliga konsekvenser. I syfte att minimera dessa redovisningsskillnader ingick den internationella standardsättaren IASB tillsammans med den amerikanska standardsättaren FASB ett gemensamt projekt. Projektet går under benämningen Norwalk Agreement och startades år 2002. Idag samarbetar IASB och FASB mot målet att öka jämförbarheten med den internationella redovisningen genom att utveckla en enhetlig uppsättning av högkvalitativa redovisningsstandarder. Som en del i detta projekt publicerade de år 2010 de två första kapitlen i den gemensamt framarbetade föreställningsramen. De har även tagit fram två förslag till nya standarder beträffande leasing och intäktsredovisning samt färdigställt en standard för värdering till verkligt värde.Syftet med studien är att, utifrån den internationella harmoniseringsprocessen, undersöka de likheter och skillnader som finns mellan IASB:s och FASB:s regelverk, hur väl förankrad de kvalitativa egenskaperna är i de gemensamt utvecklade standarderna samt vilka utvecklingstendenser som går att urskilja.Studien har genomförts utifrån en induktiv ansats med en komparativ design. Undersökningsansatsen är av kvalitativ karaktär där fyra områden har valts ut för att studeras närmare. Områdena utgörs av föreställningsram, leasing, värdering till verkligt värde och intäktsredovisning, som valdes ut på grund av deras betydande roll avseende harmoniseringsprocessen.Studiens resultat visar att det (förutsatt att förslagen går igenom) har skett en konvergering på de jure nivå mellan de båda standardsättarnas regelverk. Det kvarstår dock skillnader på de facto nivå som en konsekvens av kulturella och institutionella skillnader. Undersökningen visar även att det finns brister avseende de kvalitativa egenskapernas representativitet i FASB:s och IASB:s förslag på nya standarder. Slutligen går utvecklingen mot en ökad användning av professionellt omdöme, principbaserade standarder och ökad transparens, vilket är att likna IASB:s förhållningssätt. An Empirical Investigation of the Potential Use of Data Required by FASB Statement No. 33 by Financial Analysts in the Dallas/Fort Worth and Houston Regions

In September, 1979, the Financial Accounting Standards Board issued FASB Statement No. 33, which required certain corporations to issue specified supplementary information based on constant dollars and current costs. This information is intended to show the impact of inflation on the reported earnings and capital of business enterprises. Opponents of Statement No. 33 claim that the required supplementary information is difficult to interpret and, therefore, will not be used. Proponents contend that the information is self-explanatory and would highlight the impact of inflation on the performance of business enterprises. Thus, they conclude the supplementary data will be useful to various user groups and will be used. This dissertation's primary objective was to determine whether the supplementary data will be used by financial analysts in the Dallas/Fort Worth and Houston regions in evaluating an enterprise's operating performance and its ability to maintain physical operating capability and the general purchasing power of financial capital.

Under de senaste decennierna har företag, nationer och ekonomier blivit alltmerkunskapsorienterade. Samtidigt som världsglobaliseringen av ekonomier för multinationellaföretag innebär att innehavet av internt upparbetade immateriella tillgångar ökar och får alltstörre betydelse. Globaliseringen har föranlett till en expansiv tillväxt av börsmarknader samtökat antal korsnoterade multinationella företag. Investeringar i internt upparbetadeimmateriella tillgångar är kapital- och resurskrävande och notering på främmande marknaderses som ett lämpligt alternativ för att finansiera dessa tillgångar. De amerikanskabörsmarknaderna har länge varit attraktiva för utländska korsnoterade företag vid inhämtandeav kapital samt var tidigare förenliga med kraftiga regleringar avseende redovisning ochrapportering. I samband med att IASB blev den ledande normgivaren inom EU valde SEC atteliminera justeringsrekvisitet i Form 20-F för företag verksamma på de amerikanskabörsmarknaderna. Europeiska korsnoterade företag undgår att rapportera enligt US. GAAPförutsatt att de upprättar de konsoliderade finansiella rapporterna enligt IFRS. Borttagandet avjusteringsrekvisitet i Form 20-F sågs som en effekt av IASB:s och FASB:s konvergensprojekt.Åsikter har lyfts om att borttagandet skedde för tidigt då skillnader mellan normgivarna ärväsentliga, specifikt inom området internt upparbetade immateriella tillgångar.Syftet med studien är att redogöra för hur de europeiska korsnoterade företagen på deamerikanska börsmarknaderna NYSE och NASDAQ redovisar och rapporterar interntupparbetade immateriella tillgångar, i förhållande till börsvärde samt bransch- ochnationstillhörighet. Årsrapporteringen ska även ske till SEC med Form 20-F. Dessutom syftarstudien till att urskilja om skillnader i redovisningen och rapporteringen påverkarjämförbarheten mellan företag. Studien omfattar 40 årsrapporter från företag med säte inomEuropa. Ansatsen i studien liknar ett hermeneutiskt tillvägagångssätt där årsrapporternastuderas genom en multipel fallstudie med komparativa inslag, för att ge en djupare förståelseför redovisningen och rapporteringen av internt upparbetade immateriella tillgångar.Studien visar att användandet av IFRS ser olika ut utifrån nations- och branschtillhörighet,gemensamt är att investeringar ses som värdeadderande. Likväl att företagens börsvärdepåverkar benägenheten för upptagandet av en internt upparbetad immateriell tillgång.Företagens branschtillhörighet antyder sig ha en inverkan på benägenheten vid appliceringenav IAS 38 p. 57, vilket indikerar att enhetlighet för företag inom och mellan branscher är enunik företeelse. Ett negativt samband förekommer mellan osäkerhet och tidsåtgång iinvesteringsprocessen, där effekten blir att utgifter hänförliga till interna projekt kostnadsförsi resultatrapporten. Sannolikheten för erhållandet av framtida ekonomiska fördelar är högrevid egenupparbetade tillgångar som är avsedda för internt bruk, det motsatta gäller för externtbruk.Benägenheten att uppta tillgången blir således omgivningens informella påtryckningar, vilkavarierar beroende på branschtillhörighet. Av studien framgår att bedömningen ochuppskattningen av de framtida ekonomiska fördelarna är problematiskt att genomföra. Företaginom sjukvårdsbranschen har signifikanta problem med sådan bedömning, vilket innebär attde missgynnas då IFRS inte kan tillämpas fullt ut. Lämnandet av frivilliga och obligatoriskaupplysningar enligt IFRS varierar mellan branscherna. Jämförbarheten kan ifrågasättas dåredovisningen och rapporteringen av internt upparbetade immateriella tillgångar i storutsträckning sker samblandat med övriga immateriella tillgångar.I studien framtogs en undersökningsmodell för analys av datamaterialet. Modellen är till föratt analysera nationstillhörighetens inverkan på redovisningen och rapporteringen. Studien visar att nationstillhörighet fortfarande har en inverkan samtidigt som resultatet även indikeraratt skillnaderna håller på att suddas ut. / During the last decade companies, nations and economies are increasingly becoming moreknowledge oriented. Meanwhile the world globalization of economies means, to multinationalcompanies, that the holding of internally generated intangible assets is increasing and is ofincreasing importance. The globalization has led to an expansive growth of the stock marketsand has increased the number of cross-listed multinational companies. Investments ininternally generated intangible assets are capital as well as resource intensive and listing onforeign markets is seen as a suitable alternative to finance these assets. The US stock marketshave long been attractive to foreign cross-listed companies in obtaining capital, and wereconsistent with heavy regulations on accounting and reporting. IASB became the leadingstandard setter in the EU and therefore SEC chose to eliminate the conversion of necessaryprerequisite in Form 20-F for the companies operating in the US stock markets. Europeancross-listed companies avoid reporting under US. GAAP as long as they establish theconsolidated financial statements according to IFRS. The removal of Form 20-F was seen asan effect of the IASB and FASB convergence project. Opinions have been raised that theremoval was premature because the difference between the standard setters are essential,particularly in the area of internally generated intangible assets.The purpose of this study is to describe how the European cross-listed companies on the USstock markets, the NYSE and NASDAQ, account and report internally generated intangibleassets relative to market capitalization, industry and nationality. The annual report should alsohave been established with the Form 20-F. Another reason with this study is to identifydifferences in the accounting and reporting, which recognize the effects on comparabilitybetween companies. Our study is based on 40 annual reports of companies based in Europe.The methodology we’ve chosen for this study is similar to a hermeneutic approach and theannual reports are considered using a multiple case study with comparative elements. The aimis to provide a deeper understanding of the accounting and reporting of internally generatedintangible assets.This study shows the use of IFRS varies based on nationality and industry affiliation, howeverthe companies view investment as value added. And, furthermore, how the stock value affectsthe enable and the propensity for an internally generated intangible asset. Companies industryaffiliation suggests to have an impact on the propensity for the application of IAS 38, p. 57,indicating that the uniformity of the company within and between sectors is a uniquephenomenon. A negative correlation exists between uncertainty and the period of time in theinvestment process, where the effect is that the expenses attributable to internal projects areexpensed in the financial statements. The probability of obtaining future economic benefitsare higher for internally generated intangible assets which are intended for internal use, the opposite applies to external use. Informal pressure from the surrounding, which variesaccording to industry affiliation, has effected the possibility to enable the propensity. Thestudy shows that the valuation and the estimate of the future economic benefits are difficult.Companies in the healthcare industry have significant problems with such a valuation, whichmeans that they are disadvantaged as IFRS cannot be fully applied. Publishing of voluntaryand mandatory information under IFRS varies between sectors. The comparability isquestionable when the accounting and reporting of internally generated intangible assets aremerged with other intangible assets.In this study a study model was made for analyzing the data. The model is to analyze thenationality impact on the financial statements and reporting. The study shows that nationalitystill have an impact, while the results also indicate that the differences constantly are beingerased.This thesis is written in Swedish.
