Účetní výkaznictví dle IFRS u softwarových společností / Financial reporting of software companies under IFRS

The thesis focuses on financial reporting under IFRS in comparison with US GAAP. It defines a software company and characterizes the business segment as very dynamic, rich in business combinations. The thesis describes methods of financial reporting of intangible assets, research and development and external sources for obtaining software. In-house created software is rarely capitalized that cause undervaluation of assets. In particular assets from business combination are reported. The thesis describes software revenue recognition according to current IFRS/US GAAP and the new revenue standard. It compares chosen aspects of reporting in segments: B2C, B2B, social networks, information security and search engines. In the conclusion, the thesis evaluates current situation in described segments regarding relevance of the standard to monetization models and intangible assets of software companies and it provides possible outlines in the future.

Vliv implementace IFRS do německých účetních předpisů na vypovídací schopnost účetních výkazů SME / Impact of IFRS Adoption into German GAAP on SME’s Financial Statement Informative Value

The legislated Accounting principles modernizing act, abbreviated BilMoG, caused a fundamental accounting reform in Germany. The most important international accounting standards IFRS were implemented in to elsewise conservative accounting rules. Due to fact the main users of GAAP in Central Europe are SME, the description and analysis of IFRS's implementation in to German GAAP seems to be beneficial for SME's financial statement informative value for the first year as of December 31, 2010. Major receiver of SME's financial statement is not the institutional investor but financing bank and other creditor. The aim of the thesis is to verify assumed informative value's improvement of SME's financial statement as their most important finance reporting form. The verification of defined hypothesis is based on rigorous and systematic SME's characteristic analysis as well as their applicable GAAP's. After recognition of the most important German GAAP's changes follow the IFRS comparison and a feasibility evaluation of German qualitative characteristics used not only by SME. The consequent empirical research mergers the provided analysis and recognition of the fundamental and by SME frequently used balance positions with quantitative and qualitative assessment of adjustment to be made for preparation of consolidated financial statement in accordance with German accounting rules and principals. This research is based on near 70 available audited Czech SME's financial statements for the financial years before and after partly IFRS adoption into German GAAP (BilMoG). The findings and results establish the verified informative value's improvement of financial statements. The finance lease recognition (necessary capitalisation) persists to be the most significant adjustment between Czech and German financial statement after BilMoG. This fact clearly shows the deficiency of current Czech GAAP. Extent and number of required adjustments are on the decrease and the current German GAAP seems to be applicable for SME's purposes either. Thesis conclusion draws the attention and requirement to improve the Czech GAAP. Also continuance of prudence principle after partly IFRS adoption is fixed. Surprisingly the positive tax law impact is found out, especially not only on allowances or provisions, but also on other relevant accounting areas as such asset definition, discounting of long term provisions, finance lease recognition etc.

KONSOLIDOVANÉ ÚČETNÍ VÝKAZY PODLE UK GAAP / Consolidated financial statements under UK GAAP

This diploma thesis deals with the preparation of consolidated financial statements in accordance with UK GAAP rules after the reform, with effect from 1 January 2015. The subject of investigation is primarily a process of preparation of consolidated financial statements in the UK, especially the full consolidation method and the equity method. The fundamental standard upon which this work is based is FRS 102. The work should also, on the practical examples, compare the process of preparation of consolidated financial statements in accordance with UK GAAP and IFRS, since one of the main objectives of the reform of 2015 ws the progress in the implementation process to IFRS. To assess whether this objective is successfully implemented, the work also includes comparisons with previous UK GAAP standards, particularly FRS 2 and FRS 6. The results show that although the reform of the UK Accounting standards should be based ont he principles of IFRS, final form does not correspond to this aim. In the process of preparation of consolidated financial statements, there had been almost no progress and there are still many different approaches.

This thesis deals with consolidated financial statements prepared in accordance with UK GAAP and compares selected areas with the approach according to IFRS. The thesis describes development of UK accounting legislation from its beginnings to its current form focusing mainly on consolidation. It also outlines content of the key accounting standards that are relevant for the subject. The emphasis is put on use of the full consolidation method in preparing consolidated financial statements. The thesis also deals with accounting for investments in associates and joint ventures. Therefore it is necessary to define the criteria according to which it can be assessed whether an entity controls another entity. Another field of study is dedicated to new standards coming into effect for accounting periods commencing on or after January 1st, 2015. Benefits of changes that are incorporated in the new standards are subsequently evaluated. The aim of this thesis is to describe development of rules for preparation of consolidated financial statements in accordance with UK GAAP and to assess to what extent is UK GAAP affected by global convergence of accounting systems.

Title: Navigating between Accounting and Taxation: An Examination of the Impact of their Relationship on Manipulation  Level: Student thesis, final assignment for bachelor’s degree in business administration.  Authors: Isabell Helgöstam och Fanny Hallencreutz  Supervisor: Fredrik Hartwig  Date: 2024 - May  Aim: The purpose of this study is to examine whether the link between accounting and taxation affects the extent of manipulation in corporate financial reports.  Method: The thesis has been conducted using a qualitative method, which involves four semi-structured interviews. The paper is also based on previous studies and literature.   Results and conclusions: The link between accounting and taxation does increase the level of manipulation in a firm's financial reports, often in the form manipulating downwards.   Contribution of the thesis: The link has a negative impact on the Swedish Generally Accepted Accounting Principles (Swedish GAAP). The progression is mainly held back by the fact that changes aimed at improving quality often result in earlier taxation, leading companies to pay more taxes. In the connected area it is expected, according to us, that the companies will manipulate their financial statements in order to lower the taxable income. Our contribution will be to demonstrate how manipulation can occur through means other than increasing the reported income.   Suggestions for future research: To investigate how the quality of accounting may be affected by companies choosing to manipulate their accounting due to the relationship. The quality investigation could be conducted by examining the extent to which the quality is affected and how it impacts the Swedish GAAP. À la suite des derniers scandales financiers, des différents codes de bonnes pratiques et des multiples réformes institutionnelles, la question de la relation entre le renforcement de la gouvernance d’entreprise et son efficacité n’a pas été abordée empiriquement en France. Cette recherche contribue à ce débat en examinant l’influence des mécanismes de gouvernance d'entreprise sur la gestion du résultat.En se basant sur trois stades d’études complémentaires, cette recherche évalue les spécificités de la gouvernance française sur la qualité des états financiers à partir d’une analyse factorielle confirmatoire, d’une régression logistique binaire et des modèles discrétionnaires basés sur les « accruals », les seuils et les scores de manipulations. L’estimation des paramètres des modèles et la durée de l’étude ont été fixé après la vérification de la comparabilité des chiffres comptables après l’entrée en vigueur des normes IAS/IFRS. Les principaux résultats indiquent qu’il faut généraliser certaines pratiques de gouvernance d’entreprise en donnant un appui au législateur et aux partisans des réformes financières afin de garantir une meilleur qualité de l’information financière. / This dissertation investigates and empirically tests the relationship between corporate governance strength and corporate governance effectiveness on the quality of the reported financial statements. Despite, concerns about the strengthen of the corporate governance structure and its effectiveness on earnings management, the relation between corporate governance strength and corporate governance effectiveness is not empirically well developed in France.Using three stages of follow-up studies, this research estimates the specificities of the French corporate governance on the quality of financial statements from a factorial confirmatory analysis, a binary logistic regression and discretionary models based on "accruals", "revenues" and scores of manipulations. The estimation of the parameters of the models and the duration of the study were fixed after the check of the comparability of the accounting numbers after the adoption of the IAS/IFRS GAAP.The main results indicate that it is necessary to generalize certain practices of the French corporate governance, by giving support to both the legislator and the partisans of the financial reforms in order to enhance the quality of the financial information.

The paper deals with the problems of financial reporting in Switzerland. In the introduction, the reader gets the idea of the concept of regulation which is structured in two levels. Both of them are focused on more deeply in the following chapters. The first chapter analyses the regulation included in the "Commercial Code" (Obligationenrecht). Furthermore, the framework of the current Swiss commercial-law and the regulation of auditing are addressed. The second chapter focuses on the regulation based on the Swiss generally accepted accounting principles (Swiss GAAP FER), including their Conceptual Framework. The third chapter is dedicated to examples of financial reporting according to Swiss GAAP FER (presentation of financial statements, provisions).

Die vorliegende Dissertation untersucht empirisch das Auftreten und die Konsequenzen von Bilanzpolitik deutscher nicht-kapitalmarktorientierter Unternehmen. Sie besteht aus drei separaten Forschungsarbeiten, in denen Jahres- bzw. Konzernabschlüsse nach der Umstellung der handelsrechtlichen Rechnungslegung auf den Stand des Gesetzes zur Modernisierung des Bilanzrechts (BilMoG) in den Jahren 2009 und 2010 analysiert werden. Die Arbeiten verdeutlichen, dass neben dem vergleichsweise gut dokumentierten Anreiz zur Vermeidung von Steuerzahlungen weitere bilanzpolitische Motivationen bei deutschen nicht-kapitalmarktorientierten Unternehmen einschlägig sind. Die Ergebnisse enthalten Evidenz dafür, dass von der Bundesnetzagentur für Elektrizität, Gas, Telekommunikation, Post und Eisenbahnen regulierte Gasnetzbetreiber Wahlrechte in Erlösobergrenzen maximierender Art und Weise ausüben. Darüber hinaus geben die Ergebnisse Hinweise darauf, dass Ergebnisglättung betrieben wird, Berufsmanager das Periodenergebnis maximieren und Unternehmen mit geringer Eigenkapitalausstattung gezielt ihr Eigenkapital erhöhen. / This cumulative PhD-thesis consists of three papers. Using the adoption of new German GAAP in 2009 and 2010 the three studies investigate earnings management of private firms in the absence of the well documented incentive to minimize tax payments. The results show that in regulated industries regulation mechanisms can be a main driver for earnings management. Furthermore, the studies indicate that (i) private firms engage in earnings smoothing, (ii) outside-managers use income increasing accounting methods, and (iii) firms with a higher likelihood to violate debt covenants use equity increasing accounting methods.
