本研究探討私募折價幅度及私募前後績效之影響因素,並將應募人分為內部人、積極投資人以及消極投資人三種,觀察不同應募人下的私募,其私募前及私募後是否有累計異常報酬。
實證結果發現,在私募前股價表現與私募對象之關係方面,當私募對象為內部人時,在私募前45日股價即開始下挫,之後的累計異常報酬皆為負值,其原因可能為內部人藉由套利交易,先行在集中市場上賣出手中原有持股,再用較低價格認購私募新股,此舉不但能使手中持股的成本降低同時也能維持既有股權。關於私募半年後的股價表現,內部人及積極投資人私募後的累計異常報酬顯著為正,代表內部人在投資私募新股時,可能隱含著未來公司有較好的投資機會;至於積極投資人後續績效為正,可能代表積極投資人未來將會扮演監督者的角色,有助於提高公司的價值。迴歸分析也顯示,當公司私募的價格相對於公司在私募定價日當時的股價折價越多時,私募之後的累計異常報酬越低,代表私募折價會降低公司價值,傷害現有股東的權益。 / This study investigates the effect of private placements on stockholder wealth before/after the events based on cumulative abnormal return for three categories of investors, namely, the insiders, active investors and passive investors.
For private placements with insider investors, significant negative abnormal return prior to private placements may reveal sell arbitrage taken by insiders while significant positive abnormal return subsequent to private placements supports signaling theory.
Evidence showing significant negative relation between price discount on private placements and subsequent business performance implies the price discount reduces market value and hence harmful to existing shareholders’ wealth.

Il lavoro di tesi ha come oggetto di studio gli interventi di collocamento etero-familiare dei minori, in affidamento familiare e in comunità educativa, realizzati dai Servizi sociali in Emilia-Romagna, nel periodo 2008-2012. Sono stati analizzati i dati provenienti dal sistema informativo regionale, relativi ad 8.438 minori. Il lavoro si compone di tre parti: la prima è un’analisi descrittiva delle caratteristiche dei minori del campione e dei diversi interventi effettuati. Nella seconda parte, assumendo la prospettiva della family reunification, si intende osservare l’effettivo percorso dei minori, in termini di miglioramento o di peggioramento delle condizioni di partenza, al di là del rientro in famiglia. Allo scopo sono state create delle tipologie di esito e delle tipologie di processo, attraverso cui definire ciascun percorso. E’ stata quindi effettuata l’analisi descrittiva degli esiti e dei processi presenti all’interno campione. Nell’ultima parte del lavoro, è stata effettuata un’analisi statistica, volta ad individuare correlazioni significative tra le tre variabili rappresentate dalle tipologie di collocamento, dagli esiti e dai processi e le caratteristiche dei minori, le problematiche prevalenti dei minori e le problematiche prevalenti dei nuclei familiari. Le stime effettuate attraverso tabelle a doppia entrata sono state corrette tramite modelli di regressione di probabilità lineare. / The aim of the study is to examine out-of-home placements for children in Child Protection System, both in foster and in residential care, in Emilia-Romagna, in the period 2008-2012. Data are collected by the regional information system and the sample includes 8,438 children. The work consists of three parts: the first is a descriptive analysis of the characteristics of the children and of the different interventions. In the second part, taking the perspective of family reunification, we intend to observe the actual path of the child, in terms of improvement or deterioration of conditions departure, beyond the return to the family. Some types of outcomes and some types of processes have been individuated. It was then performed the descriptive analysis of the outcomes and processes present in the sample. In the last part of the work, it was carried out a statistical analysis in order to identify significant correlations between the three variables represented by the types of placements, the outcomes and the processes and characteristics of the children, the prevalent problems of children and the problems prevailing household. Estimates made through double entry table have been corrected by linear regression models of probability.

Given the increased number of children from racialized groups requiring foster care and the decreasing number of foster parents from racialized groups, transcultural foster placements are on the rise. Addressing racial and cultural diversity within the context of transcultural foster care placements is one of the most pressing dilemmas of contemporary child protection practice, in Canada. In this qualitative exploratory study, the perspectives of regular non-kinship foster parents groups in Nova Scotia and British Columbia, Canada, who provide foster care to children and youth from racialized groups, were explored through open-ended structured interviews. Participants consisted of nine foster parents, between the ages of 30 and over 60 years old, who were asked to share their experiences regarding transcultural foster care placements. The results of this study indicated foster parents were culturally receptive and ‘fostering cultural development’ in their homes as well as their respective communities.

This dissertation contains four essays on various topics in the fields of corporate finance and corporate governance. The first essay, entitled Corporate Governance and Ownership, presents an overview of the causes and consequences of, and possible remedies for, the separation of ownership and control in corporations. In particular, the essay addresses the costs and benefits of ownership concentration. A specific purpose is to put the role of ownership into perspective, while bringing the reader up to date with some recent developments. Essay number two, Shareholder Gains from Equity Private Placements: Evidence from the Stockholm Stock Exchange, contains an empirical investigation of the stockmarket’s reaction to announcements of equity private placements and rights issues. The essay sets out to test a range of hypotheses put forward in the literature. Extensive cross-sectional analyses of private placement discounts and abnormal returns are performed. The third essay is named Optimal Deterrence and Inducement of Take-overs: An analysis of Poison Pills and Dilution. This essay models how the ex ante wealth of shareholders could be increased with customized contractual provisions that affect takeover probabilities and premia. The proposed provisions resemble anti-takeover defense measures in the form of poison pill plans, and conversely, voluntary dilution schemes in the fashion prescribed by Sanford Grossman and Oliver Hart (1980). Finally, the fourth essay models the wealth effects of a particular takeover regulation, The Mandatory Bid Rule. This rule requires a potential bidder for a control position in a target firm to extend the offer to include any or all of the outstanding shares. Although the mandatory bid rule is aimed at the protection of minority shareholders, the essay argues that this regultion is not generally in the best interest of the shareholders. Each essay is self-contained and could, in principle, be read in any order chosen by the reader. Syftet är att undersöka vad som kännetecknar upplevelser och erfarenheter av familjehemsplaceringar med huvudsakligt fokus på relationer och familjens betydelse. Studien utgår från ett kvalitativt, hermeneutiskt förhållningssätt med tematisk analys gjord på svar från skriftliga intervjuer. Deltagarna bestod av personer med olika erfarenheter av familjehemsplaceringar, dels genom att ha varit placerad, dels tidigare arbetat som familjehemssekreterare. De teman som visade sig känneteckna upplevelser och erfarenheter av familjehemsplaceringar var familjeliv, känslor och utveckling som till stor del handlar om inställningen hos berörda parter. Detta är faktorer som påverkar dels hur pass lyckad placeringen blir, dels huruvida en relation uppstår mellan familjehemplacerad. Utifrån denna studies resultat kan slutsatsen dras att familjehemsplaceringar är komplext och innefattar många faktorer. I och med att placeringens utfall verkar påverkas av inställningen hos berörda parter är det viktigt att arbeta för att samtliga är positiva till vården, samt att den placerade får hjälp att kunna ta emot vården och känslomässigt ta till sig familjehemmet. / The aim of this study is to examine experiences of placements in foster care, with the main focus on relations and the importance of the foster family. The study is based on the qualitative, hermeneutic approach with a thematic analysis made on the answers of the participants’ written accounts. The participants consisted of persons with different experiences of foster care, either they had previously been placed in out of home care, or they worked as social workers. The themes that seemed to characterize experiences of placements in foster care was family life, emotions and development, which to a great extend also depended on the attitudes of the parties involved. These are factors which appeared to affect both how successful the placement become, and whether a relationship arises between the foster home and the person placed in foster care. Based on these results it can be concluded that placements in foster care are complex and include various factors. As the placements outcome seems influenced by the attitudes of the parties concerned, it is important to work towards ensuring that all concerned are positive and that the person who is placed receive help, in order to be able to benefit from the care offered from the foster family and emotionally embrace them.

Cette thèse est consacrée à la discrimination ethnico-raciale dans les stages organisés sous statut scolaire. Elle aborde ces questions du point de vue de l’école, institution disciplinaire confrontée à des transformations de ses frontières - tant au niveau de la gestion des publics que de la réorganisation de ses rapports avec l’entreprise. Elle traite d’abord du contexte politique et institutionnel de ces questions en France, qui se caractérise simultanément par une banalité des processus d’ethnicisation dans l’école et par la dénégation de l’existence de discriminations ethnico-raciales. Traitant ensuite du cadre particulier des stages, elle analyse la façon dont la discrimination prend forme, avec d’autres illégalités, dans les tensions concrètes entre une pluralité de normes co-présentes, entre l’école et l’entreprise. Elle met en évidence les mécanismes institutionnels et professionnels ainsi que les raisons d’une coproduction et d’une banalisation des discriminations par les agents de l’école. Elle analyse enfin ce que disent et ce que font les élèves des expériences discriminatoires vécues, ainsi que les tactiques à travers lesquelles ils donnent ou non sens et place à la discrimination dans leur trajectoire et dans leur rapport à l’école. Dans une approche de sociologie publique, construite dans un travail avec les acteurs publics au sein de l’institution scolaire, l’analyse s’appuie sur plusieurs enquêtes réalisées de 2004 à 2010 dans différents terrains en France. / This thesis is dedicated to the ethnico-racial discrimination in the work experience placements organized under school status. It lands these issues from the school point of view, disciplinary institution confronted with the transformations of its boundaries - as much on the level of the management of the public as on the reorganization of its connections with the company. It is first about the institutional and political environment of these issues in France, wich is simoultaneously characterized by a banality of processes of ethnicisation in the school and by the denial of the reality of ethnico-racial discrimination. Dealing then within the particular framework of professional training, this thesis analyses the way discrimination takes shape, among other illegalities, in the concrete strain between a plurality of standards co-existing in the school and the company. It brings to light the institutional and professional mechanisms as well as the reasons of a coproduction and a banalization of discriminations by school agents. At last, it analyses what the pupils make of these discriminatory experiments they live, as the strategies they will use to make sense or not of these issues, to give them room in their path and in their relationship with school. By a public sociology approach, built through a work with the public actors in the scholar institution, the analysis stands on several investigations led from 2004 to 2010 in different grounds in France.

Cette thèse porte sur la régulation émotionnelle d’enfants et d’adolescents placés à l’Aide Sociale à l’Enfance. Sa thématique s’inscrit dans l’approche de la psychopathologie développementale et s’appuie de manière connexe sur la théorie de l’attachement. Analysant les stratégies de coping et le tempérament comme des régulateurs émotionnels, l’enjeu est d’étudier les effets de la maltraitance et du parcours de placement afin de mettre en relief les ressources et les vulnérabilités de ces jeunes. Cette thèse développe une approche quantitative basée sur deux séries de questionnaires auprès de jeunes maltraités et d’un échantillon témoin. Les résultats apportent des éclairages sur les facteurs de risque et de protection générés par de tels contextes de vie et mettent en évidence les besoins spécifiques de ces jeunes. Les préconisations formulées invitent les institutions de protection de l’enfance à proposer d’autres modes d’accompagnement dans le but de favoriser des prises en charge taillées sur mesure et adaptées aux caractéristiques des jeunes confiés. / This thesis deals with the emotional regulation of foster children and adolescents placed to the “Aide Sociale à l’Enfance”. We approach the subject through the prism of developmental psychopathology, related to the theory of attachment. The coping strategies and temperament are studied as emotional regulators. The issue is to study the effects of maltreatment and of the placement trajectory in order to highlight the resources and vulnerabilities of these young people. This thesis develops a quantitative approach based on two series of questionnaires carried out on maltreated youth and from a control sample. The results shed light on the risk and protective factors generated by such life and highlight the specific needs of these young people. A number of recommendations are made to invite child protection institutions to propose other means of support, with the goal of promoting tailor-made care, adapted to the characteristics of the foster children and adolescents.

<p><strong>ABSTRACT</strong></p> <p>The landscape of Child Welfare inOntariohas changed over the past several years. One area of significant change is that increasingly children are placed with relatives (kin) when it has been determined that they cannot be safety cared for by a parent or guardian. This change was brought about by new legislation and with it came a number of standards and processes to guide front line workers work with kin.</p> <p>The purpose of this research study was to gain a better understanding of how this change impacted front line workers. The research focused on what influenced the work and considered individual, institutional and systemic factors. It was undertaken in order to gain a clearer appreciation of the successes and challenges in working with kinship caregivers.</p> <p>Five child welfare workers who work directly with kinship services caregivers were interviewed. Qualitative research methods were utilized so that participants could share the direct experience of their work. This research used a Critical and Interpretive social science framework to gain a better understanding of the systemic and societal influences that guide the work.</p> <p>The findings suggest that while this work is highly regarded and valued by the participants, they struggle with their role in supporting and advocating for kin. On one hand, they support kin but on the other, they present as worried about such care. They question what is behind the Ministry Of Children and Youth Services movement to greater consideration of kin. They bring forward very important concerns about inequities in the distribution of resources to support children who are not able to live with their parents or guardians.</p> / Master of Social Work (MSW)

Syftet med denna studie är att undersöka hur socialsekreterare beaktar barnets bästa när ett våldsutsatt barn placeras i familjehem. Därmed har socialsekreterares uppfattning av barnets bästa, hur det tillämpas vid placering av våldsutsatt barn samt huruvida handlingsutrymmet är tillräckligt stort för att kunna beakta barnets bästa undersökts. De teoretiska utgångspunkterna för arbetet är empowerment samt Michael Lipskys definition av gräsrotsbyråkratens handlingsutrymme. Studien utgår ifrån ett kvalitativt angreppssätt i form av semistrukturerade intervjuer mot bakgrund av ett målinriktat urval. Resultatet från intervjuerna har analyserats tematiskt och utgör således grunden för vidare diskussion. Resultatet i studien visar främst på att socialsekreterare tolkar barnets bästa genom att se till barnets skydd och trygghet. Detta tillämpas genom att göra barnet mer delaktig i beslutsprocessen genom att ta hänsyn till barnets önskemål vid placering. Samt ständigt se till barnets specifika situation och därmed ta beslut och överväga faktorer som säkerställer barnets trygghet. Resultatet visade även olika uppfattningar kring socialsekreterarnas handlingsutrymme där en del ansåg sig ha tillräckligt med handlingsutrymme för att kunna ta beslut för barnets bästa, medan övriga upplevde det motsatta. Samtliga intervjupersoner stod dock eniga i att det främsta som hindrar deras handlingsutrymme är bristen på familjehem. / The aim of this study is to examine how social workers consider the child’s best interest when an abused child is placed in a foster home. Thus, the social workers’ perception of the child’s best interest, how it is considered when placing an abused child in foster care and whether the social worker discretion is large enough to be able to take the child's best interest into consideration has been investigated. The theoretical framework from which the study is based upon is empowerment and Michael Lipsky's definition of the discretion of street-level bureaucrats. The study is assessed using a qualitative approach in the form of semi-structured interviews with a purposive sample. The results from the interviews have been thematically analyzed and thus form the basis for further discussion. The results of the study mainly show that social workers perceive the best interest of the child by ensuring their protection and safety. This is applied by making the child more involved in the decision-making by taking the child’s desires into consideration when placing the child. Also, by constantly looking at the child’s specific situation and thus making decisions that ensures the child’s safety. The results also showed different perceptions regarding the social worker discretion where some participants felt they had enough discretion to make decisions in the best interest of the child, whereas some participants felt the contrary. However, all participants agreed upon the fact that the main difficulty with their discretion is the lack of foster homes.
