South frica’s non-ratification of the United Nations convention on Contracts for the International Sale of Goods (CISG), wisdom or folly, considering the effect of the status quo on international trade

Magister Legum - LLM / The United Nations Convention on Contracts for the International Sale of Goods 1980 (CISG) seeks to provide a standard uniform law for international sales contracts. This research paper analyses the rationale behind South Africa’s delay in deciding whether to ratify the CISG, and its possible effect on trade with other nations. The CISG drafters hoped that uniformity would remove barriers to international sales thereby facilitating international trade. Ratification of the convention is only the beginning of uniformity; uniformity must then be extended to its application and interpretation. Not all countries have ratified the Convention yet they engage in international trade in goods: this state of affairs presents challenges since traders have to choose a national law that applies to their contract where CISG does not apply. This takes traders back to the undesirable pre-CISG era. On the other hand, those States that have ratified the convention face different challenges, the biggest one being a lack of uniformity in its interpretation. The problem of differing interpretations arises because some CISG Articles are vague leading to varied interpretations by national courts. Further, the CISG is still largely misunderstood and some traders from States that have ratified CISG exclude it from application. South Africa can only ratify an international instrument such as the CISG, after it has been tabled before Parliament, and debated upon in accordance with the Constitution. CISG’s shortcomings, particularly regarding interpretation, make it far from certain that CISG would pass the rigorous legislative process. Nonetheless, the Constitution of South Africa requires the South African courts and legislature to promote principles of international law. The paper, therefore, examines, whether the Legislature has a constitutional obligation to ratify CISG. South Africa’s membership of the WTO requires that it promote international trade by removing trade barriers. It is, therefore, vital for South Africa to be seen to be actively facilitating international trade. Even though the trade benefits which flow from ratification are not always visible in States that have ratified the CISG, there is some doubt whether South Africa can sustain its trade relations without ratifying the CISG. The paper shows that the formation of contracts under the South African common law is very similar to formation as set out under Part II of the CISG and if the CISG were to be adopted in South Africa, no major changes would be needed in this regard. International commercial principles as an alternative to the CISG still require a domestic law to govern the contract and would, therefore, leave South African traders in the same position they are in currently, where their trading relations are often governed by foreign laws. Ratifying CISG would certainly simplify contract negotiations particularly with regard to governing law provisions. Overall the advantages of ratification for South Africa far outweigh the shortcomings of the CISG, and ratification will assist in ensuring that South African traders get an opportunity to enter the international trade arena on an equal platform with traders from other nations. / South Africa

This Master's thesis is focusing on why the United States of America never ratified the United Nations Convention on the Law of the Sea. It is analysing the prevailing arguments which were used in 1982, which led to President Ronald Reagan never ratifying the Convention. As well as why the same thing happened in 1994 when the United Nations agreed on an Update to the Convention. Then the thesis is focusing on crucial parts of the Convention, which are part of the arguments for or against the ratification of the Convention, as well as those which have a great influence on the American approach to the high seas. Furthermore, this thesis is trying to offer a current insight into the problematic of why the United States still did not ratify the Convention, despite the fact that they used the Convention as an explanation why they patron the high seas as well as the right of innocent passage. At the same time, the findings are then looked at from the perspective of the South China Sea, which is a region the United States monitor. This last part is attempting to do several things. First, it is explaining the issue of the South China Sea and the interest of the United States in it. Materialet som kommer att användas är väsentligen de traditionella juridiska källorna samt somliga publikationer från media. Det kommer att dras slutsatser gällande skillnaderna respektive likheterna i slutet av uppsatsen för att summera all information samt analysen. / This following essay will investigate and compare the legal institution for constitutional amendment between the countries of Sweden and Spain. This will be carried out in a comparative legal method in order to be able to analyze and discuss each country’s regulation around this subject. The essay describes how a constitutional amendment procedure works in practice, but also who can initiate the amendment and what regulations exist regarding the constitutional amendment. The material that will be used in this essay is essentially the traditional legal sources as well as some publications from the media. Conclusions will be drawn regarding the differences and similarities at the end of the essay to summarize all the information and the analysis.

L’influence de la convention européenne des droits de l’homme sur le droit géorgien / Influence of the European Convention on Human Rights on Georgian Law

La présente recherche se réunit quatre questions générales et cruciales : 1) La place de la Convention européenne des Droits de l’Homme en droit Géorgien; 2) La conformité de la législation géorgienne avec la Convention Européenne des Droits de l’Homme; 3) Les relations de la Cour Constitutionnelle de Géorgie et de la Cour Européenne des Droits de l’Homme; 4) L’impact des décisions de la Cour Européenne des Droits de l’Homme sur la Géorgie. Sur toutes ces questions, contrairement aux Etats de l’Ouest de l’Europe, il existe peu d’information et/ou d’ouvrages sur la Géorgie, ce qui a rendu notre tâche longue et délicate. Il convient en effet de rappeler au lecteur de l’Europe occidental que la Géorgie est un Etat en développement. La Géorgie, située entre la Turquie et la Russie, pendant toute son histoire a été obligée de s’orienter vers une politique de défense. L’histoire de la Géorgie indépendante recommence après la chute de l’URSS en 1991. La Géorgie a adhéré au Conseil de l’Europe en 1999, mais les processus de l’européanisation du droit national commencent à partir 2004. La Convention Européenne des droits de l’Homme est un mécanisme efficace pour la protection des droits de l’Homme et les activités de la Cour européenne des droits de l’Homme suscitent un vif intérêt en Géorgie. Cependant, dans des relations juridiques, y compris devant le tribunal, l’application des standards européens des droits de l’Homme n’est pas un objectif en soi. Il faut que les juges, avocats, procureurs et les représentants d’autres professions juridiques garantissent, au cours de leurs activités, le respect des standards des droits de l’Homme existants.Dans le cadre de la présent recherche, on examinera l’influence de la Convention Européenne des Droits de l’Homme sur le Droit Géorgien a partir de la ratification de la Convention Européenne des Droits de l’Homme en 1999, jusqu’au 28 février, 2014 en deux directions : 1. Le statut de la Convention Européenne des Droits de l’Homme dans le Droit Géorgien (PARTIE I) et 2. La Géorgie face à la Cour Européenne des Droits de l’Homme (PARTIE II). / The given research unites four main questions: 1. Place of European Convention on Human Rights in Georgian Law. 2. Conformity of Georgian legislation with the European Convention on Human Rights. 3. Conformity of Constitutional Law judgments with the standards established by the European Court of Human Rights. 4. Judgments of European Court of Human Rights against Georgia.In connection to all these questions there is very little information and work in Georgia, which has made us study them better – on the ground of actuality of the given questions. We’ve considered discussing to the West European reader that Georgia is a developed country. It is located between Turkey and Russia, during its whole history it had to be orientated on the self-defense policy. History of Independent Georgia starts in 1991 by destruction of the Soviet Union. In 1999 Georgia became a member of the European Union, but National Law in Georgia and Europeanization process of State Institutions started in 2004. Human Rights European Convention represents an effective standard of Human Rights, accordingly activities of European Court of Human Rights causes great interest in Georgia. Despite all these in the legal circles, between them use of Human Rights European standards have become obligatory in the courts. It is needed that the judges, advocates, procurators and representatives of other legal professions have to actively use the existed standards of Human Rights Protection. In the framework of the given research we will investigate influence of European Convention on Human Rights with Georgian Law and starting from ratification of European Convention by Georgia – since 1999 – till February 28, 2014 included in two directions: 1. Place of Human Rights European Convention in Georgian Law (part I) and 2. Georgia against European Court of Human Rights (part II).

The first part of the study refers to the events of direct enforcement and nationalization of foreign arbitral awards, according to the new legal provisions of the New Brazilian Code of Civil Procedure. The second part of the study covers the assessment of the ratification process of foreign arbitral awards before the Superior Court of Justice (STJ), considering Brazil s new Code of Civil Procedure, the new internal rules of the Superior Court of Justice, the Arbitration Law and the New York Convention. The thesis also covers two cases, specifically, judged by the Superior Court of Justice: SEC No. 2,410 (Ferrocarriles versus Supervia Concessionária de Transportes Ferroviário S/A) and SEC No. 826 (Ssangyong Corporation versus Eldorado Indústrias Plásticas Ltda). Finally, after the reflection on the research conducted, one argues nationalization of the foreign arbitral award is possible given the new provisions included in Brazil s new Code of Civil Procedure and the acknowledgement thereof by the Superior Court of Justice, in the possibility of nationalization of the arbitral award in the Appeal to the Superior Court of Justice No. 1.231.554 / A presente dissertação de mestrado trata do reconhecimento e da execução da sentença arbitral estrangeira no Brasil. É uma pesquisa teórica e prática das áreas de direito processual civil e direito internacional, uma vez que aborda as mais diversas legislações internacionais e convenções que tratam da arbitragem comercial internacional e o reconhecimento e execução dos laudos arbitrais. Na primeira parte do estudo, serão analisadas as hipóteses de execução direta e nacionalização do laudo arbitral estrangeiro conforme novos dispositivos legais oriundos do Novo Código de Processo Civil. Na segunda parte, será abordado o processo homologatório de sentenças arbitrais estrangeiras perante o Superior Tribunal de Justiça tendo em vista o Novo Código de Processo Civil, o novo regimento interno do Superior Tribunal de Justiça, a Lei de Arbitragem e a Convenção sobre o Reconhecimento e a Execução de Sentenças Arbitrais Estrangeiras ("Convenção de Nova Iorque"). La thèse prend pour objet d'étude les institutions du droit des contrats dotées d'un effet rétroactif (nullité, résolution pour inexécution, condition suspensive ou résolutoire, ratification, etc.). Bien que menée en droit belge, la recherche s'appuie également sur des éléments de droit comparé empruntés principalement aux droits allemand, français et néerlandais. Elle vise à démontrer deux hypothèses.<p><p>Premièrement, elle tend à montrer que la rétroactivité n'est pas une notion conceptuelle, dont la signification serait donnée a priori en sorte qu'elle pourrait être déduite sur un mode purement logique de sa définition, mais bien une notion fonctionnelle dont la portée dépend du but en vue duquel elle est utilisée. Ao delimitar - em tempo e espaço - a trajetória da Governança Mercantil Global, confere-se posição de destaque à Convenção de Viena de 1980 (CISG), regime dotado de ampla legitimidade, concebido sob a égide das Nações Unidas e recém ratificado pelo Brasil. A análise do referido processo de vinculação dá-se a partir de instrumentos metodológicos conferidos pela Teoria dos Jogos, culminado com a apresentação dos limites do modelo e de alternativas viáveis para seu desenvolvimento. / The present thesis sheds light on contemporary game theoretical approaches in International Relations, in particular as they pertain to the role of strategy setting in cross-border trade. The study of Global Trade Governance leads to questions of regime legitimacy, culminating with the adoption of the 1980 United Nations Vienna Convention on Contracts for the International Sale of Goods (CISG), recently ratified by Brazil. The analysis of the aforementioned ratification process validates the threshold of game theory as its stands today, and proposes, on the other hand, viable alternatives for the development of the model.
