Os contratos de EPC : entre tipicidade e atipicidade

O presente trabalho analisa a qualificação do tipo social do contrato de EPC (Engineering, Procurement and Construction) na ordem jurídica brasileira em face do tipo legal do contrato de empreitada. Investiga-se, portanto, a existência de identidade ou diferença entre ambos os tipos a fim de que se possa dar ao EPC a devida qualificação jurídica. Para isso, no Capítulo I, são apresentados os caracteres gerais dos contratos de construção, com foco na delimitação do espaço normativo específico ocupado pelo contrato de empreitada. No Capítulo II, apresenta-se o Contrato de EPC. São delineadas suas principais características gerais para que, em um segundo momento, possa-se aprofundar a análise a partir do emprego do método tipológico. Por fim, no Capítulo III, demonstra-se a forma como o regulamento dos contratos atípicos mistos em geral é construído para, posteriormente, analisar-se a formação do regulamento do EPC em seus principais pontos. / The present work analyzes the qualification of the social type of the EPC Contract (Engineering, Procurement and Construction) in the Brazilian legal order in consideration with the legal type of the works and supply contract. It is therefore investigated the existence of an identity or difference between the two contractual types in order to give the EPC the appropriate legal status. For this purpose, in Chapter I the general characteristics of construction contracts are presented, focusing on the delimitation of the specific normative space occupied by the works and supply contract. In Chapter II, the EPC Contract is presented. Its main general characteristics are presented so that, in a second moment, one can deepen the analysis using the typological method. Sociologie des institutions marchandes : le cas de la mise en vente des bois publics en Lorraine / The sociology of commercial institutions : the case of selling public timber in Lorraine

A travers cette thèse nous apportons un éclairage sociologique au débat engagé depuis des décennies sur la problématique de la mise en vente des bois publics. A ce titre, nous étudions, dans la première partie de la thèse, le système d’enchères qui reste encore le principal mode de vente utilisé par l’Office National des Forêts. Nous identifions les conditions d’encastrement de ces ventes, considérant que les comportements des participants sont déterminés par l’interaction complexe de facteurs économiques, socio-structuraux, politiques, cognitifs, institutionnels formels et informels. Nous montrons à cette occasion que l’intérêt accordé à l’enchère réside dans sa capacité à trouver collectivement un consensus sur la valeur et l’allocation des lots de bois. Dans la deuxième partie de la thèse, nous analysons l’évolution récente du cadre institutionnel appliqué aux ventes de bois publics en nous appuyant sur les notions de construction sociale des institutions et de dépendance au chemin. Nous y démontrons que, malgré le verrouillage institutionnel organisé autour de l’enchère pendant plusieurs siècles, le développement des contrats d’approvisionnement, à la suite des tempêtes de 1999 et de l’action concertée d’une partie de la filière bois, marque l’émergence d’un embranchement institutionnel en matière de vente de bois publics. La présentation des facteurs économiques et non économiques mis en avant par les partisans de chacun des deux modes de vente nous amène à conclure que la double trajectoire institutionnelle (enchères/contrats d’approvisionnement) devrait dans l’avenir permettre de répondre aux différentes problématiques d’approvisionnement propres à la filière bois. / This thesis gives a sociological perspective on a debate that started more than thirty years ago, concerning the choice of methods for selling public timber. For this reason, the first part of the thesis focuses on the study of the auction system − the main selling method still used by the French National Forest Service. We have identified the conditions of the embeddedness of auctions, considering that during the exchanges actors are influenced by the complex interaction of economic, socio-structural, politic, cognitive, formal and informal institutional factors. We have shown that the point in using auctions has to do with its capacity to collectively find a consensus about the value and the distribution of timber lots. In the second part of the thesis, we have analyzed the recent evolution of the institutional framework applied to the public timber sales by leaning on the concepts of “the social construction of institutions” and “path dependence”. We have demonstrated that, despite the institutional lock-in that has been organized around the auction (since) for many centuries, the raise of supply contracts − due to the storms of 1999 and the planned action of a part of the timber industry − has indicated the outbreak of an institutional junction regarding the selling methods of public timber. After the presentation of the economic and non-economic factors underlined by the supporters of both selling methods we have concluded that in the future the double trajectory (auction/supply contracts) should be kept, since it should make it easier to find solutions to the various supply-related problems of the timber industry.

自從民國八十八年政府採購法實施之後,依照該法第九十三條規定:「各機關得就具有共通需求特性之財物或勞務,與廠商簽訂共同供應契約。」我國政府部門於焉開始推行共同供應契約此一採購制度。依據經濟學的相關理論與採購實務的經驗,該採購制度具有集中各政府機關共通需求的特性,可以擴大採購的規模,俾以量制價,降低政府的採購成本;此外,該採購制度也具有減少政府重複辦理相同標的之採購作業的功能,可以節省人力,降低行政成本。   本研究係利用文獻探討、專家訪談與問卷調查諸研究方法,針對我國共同供應契約採購制度實施以後的情況(例如共同供應契約產品的供應價格是否低廉等)做一調查與研究,藉以驗證此一採購制度確實具有降低採購成本與行政成本的功能,可以減少政府財政支出;此外,本研究亦針對此一採購制度自實施以後所產生的問題進行探討並提出建議,冀做為主管機關修改政策與執行機關實際作業之參考。 / Since the Government Procurement Law (abbreviated as “GPL” hereinafter) entered into effect in 1999, the Republic of China endeavors herself to implement a procurement system named “Inter-entity Supply Contract” (referred to as “the system” hereinafter) in accordance with the Article 93 of GPL. Based on relevant theories of the Economics and experience of procurement practice, the system should provide an advantage in reducing the government procurement cost by collecting the amount of common needs of different entities and in reducing the government administration cost by avoiding procuring same objectives repeatedly.   By means of reviewing literature, interviewing experts and questionnaire, this thesis aims at evaluating the actual performance of the system, such as whether the prices of the supplies are advantageous, and verifying that the system indeed has a effect in reducing government procurement and administration costs. Furthermore, this thesis also explores the problems emerged due to the implementation of the system and offers some practical solutions in eliminating these problems. The suggested solutions are in a hope to be referred to by the GPL Responsible Entity during amending policies and by the conducting entities during operation.

Impact des contrats d’approvisionnement sur la performance de la chaîne logistique : modélisation et simulation

Dans un contexte industriel où le partenariat d’entreprises devient une réponse stratégique aux exigences accrues du marché, le contrat d’approvisionnement apparaît progressivement comme un élément-clé de la gestion d’une chaîne logistique. La contribution de cette thèse comporte deux volets. Au plan méthodologique, il s’agit de fournir à l’entreprise un cadre d’analyse support à la contractualisation, permettant de relier clause, risque et performance en vue de définir, par une démarche instrumentée, les clauses pertinentes en adéquation avec le contexte industriel et la relation d’approvisionnement. Au plan des outils, un modèle de planification avec prise en compte des contraintes contractuelles et une plateforme de simulation ont été développés. Deux types de contrats d’approvisionnement (contrat d’engagement sur des quantités par période et contrat d’engagement sur des quantités par horizon) ont été simulés, mettant en évidence l’impact de ces derniers sur la performance locale (vue partenaire) et globale (vue de la chaîne logistique). / In high competitive industrial context where the collaborative partnership becomes a strategic answer to face the increased market requirements, supply contract gradually appears to be a key element in supply chain management. The contribution of this thesis is twofold. In one hand, methodological approach aims at providing deciders with contracting framework support that links clause, risk and performance in order to define, by instrumented approach, the relevant clauses to commit in adequacy with industrial context and supplying relationship. In the other hand, planning model including contractual constraints and simulation platform are developed. Two types of supply contracts (commitments on quantities per period and commitments on quantities per horizon) are simulated, highlighting the impact of these one on local performance (partner view) and global performance (supply chain view)

Die vier Beiträge der vorliegenden Dissertationsschrift untersuchen das Entscheidungsverhalten von Landwirten in unterschiedlichen Entscheidungssituationen. Das übergeordnete Ziel ist es, die Präferenzstruktur und Zahlungsbereitschaft von Landwirten in den untersuchten Entscheidungssituationen zu analysieren, um so die Informationsgrundlage als Entscheidungsbasis für Politiker und Berater sowie der Landwirte selbst zu erweitern. Hierzu findet die Methode der Discrete Choice Experimente in allen vier Beiträgen Anwendung. Im Einzelnen werden in den Beiträgen folgende Forschungsfragen untersucht: Der erste Beitrag prüft welche Faktoren die Entscheidung von Landwirten beeinflussen, den Preis für ihr Erntegut ex ante abzusichern. Im zweiten Beitrag werden die Präferenzen von Landwirten für das Eingehen einer Kooperation unter expliziter Berücksichtigung von nicht-monetären Faktoren analysiert. Der dritte Beitrag geht der Frage nach, welche Rolle die finanzielle Flexibilität in Investitionsentscheidungen von Landwirten spielt. Wie Anbauverträge für Biogas-Zuckerrüben aus Sicht der anbauenden Landwirte ausgestaltet sein müssen, wird im vierten Beitrag geklärt.

Le présent mémoire est divisé en deux parties. La première, un peu plus théorique, se veut un bref constat des problèmes reliés à l’octroi des contrats municipaux au fil du temps ainsi qu’un rappel des règles actuelles en matière d’attribution des contrats. La seconde partie porte sur les bonnes pratiques à adopter lors d’un appel d’offres, les zones grises et les erreurs à éviter lors du processus menant à l’adjudication d’un contrat. Dans un premier temps, l’auteure traite de la rédaction de l’appel d’offres, de sa publication, de l’ouverture des soumissions et des formalités à suivre afin de déterminer la soumission devant être retenue. Par la suite, elle aborde les concepts de division de contrat et d’avis d’intention. Finalement, le dernier chapitre relate les différents mécanismes de plaintes dans le milieu municipal. À la fin du mémoire, six (6) annexes viennent illustrer, sous forme de tableaux ou de schémas, différents concepts et étapes clés en matière de gestion contractuelle. / This master’s thesis is divided into two parts. The first one is a bit more theoretical and is intended to be a brief overview of the problems linked to the awarding of municipal contracts over time, as well as a reminder of the current rules governing the awarding of contracts. The second part informs on the best practices to be followed during a call for tenders, the gray areas, and the errors to avoid during the process leading to the awarding of a contract. First, the author addresses the writing of the call for tenders, its publication, the opening of tenders, and the formalities to be followed in order to determine the tender to be selected. Next, she discusses the concepts of contract division and notice of intention. The last chapter describes the various complaint mechanisms in the municipal sector. At the end of the thesis, six (6) appendices illustrate, using tables or diagrams, various key concepts and stages in terms of contractual management.
