台灣現階段有許多重大工程建設，都希望能應用BOT制度來開發。相對於BOT制度的了解仍處於萌芽階段，可謂是邊摸索邊執行。因此，本研究蒐集國內外相關文獻，彙整出BOT制度的特性及意涵，同時，參考國內台灣糖業公司在推動月眉遊樂區的開發經驗，整理出國營事業單位執行BOT制度遭遇到的困難及課題，如透過德爾斐專家問卷及專家諮詢座談，對於問題解決的基本共識如下﹕ 1.為了使開發計畫能符合土地所有權人及開發商雙方的要求，開發計畫內容應經由兩造彼此協商下產生。 2.為達到公平的原則，若是以公益為目的之開發案，權利租金的收取方式應以每年繳一定比例的營業額為權利租金較佳。若是商業性以私益為目的之開發案，則可以定額的方式收取權利租金。 3.對於開發案設定的年限，應利用現金流量的合理分析，尋求一個最適當的土地設定年限。 4.為兼顧開發商的成本壓力及確保建物的維護品質，對於建築物維護費用的籌措方式，應以於經營初期成立維護管理基金，並在營運上軌道後，改以收入的一定比例為維護費用較佳。 5.因為開發商是開發案成敗的關鍵人物，且多數的專家學者認為開發商面臨的風險最大，且開發商較有經營經驗，若任由土地所有權人在營運期間貿然介入，恐將造成「外行人領導內行人」的結果，對開發案而言，將會產生負面的效果，因此，土地所有權人以不介入為原則。 6.由於建築物殘值認定相當的困難，因此，為減少未來移轉財產時的困擾，建築物以無償移轉較有效率。 7.就整體性而言，人員隨同移轉對土地所有權人及開發商雙方較為不便，因此，開發案人員最好不要跟隨移轉。同時，為減少未來人員資遣的糾紛，應由開發商在人員進用簽約時，簽約期限不要超過BOT專案的開發年限。 8.當開發案遇到人為或不可抗力原因，致無法繼續經營時，開發案應由土地所有權人來承接，或自行經營或重新招商，使土地不致於閒置不用，浪費寶貴的土地資源。

我國政府基於減輕政府財政負擔，擴大公共建設投資以提振景氣之目的，將民間參與公共建設列為重要施政方向，不斷獎勵民間參與公共建設。各機關似乎不論規模大小，只要符合促進民間參與公共建設法所指項目之公共建設，均積極運用該法辦理，造成促參案件的蓬勃發展。 由於促進民間參與公共建設法對於參與公共建設之民間機構給予放寬土地、籌資等法令限制，並提供融資優惠、租稅減免之獎勵。然而辦理促參案件欲成功，不僅要吸引民間企業的投資，更重要的是公共建設能如期興建完成並符合品質要求及營運能順利運作，對於投資案的監督管理方面在在考驗行政機關的執行能力。 本文先透過從歷史之角度，對於國家理論予以概念性的介紹，並從國家任務責任歸屬之演變，進而探討國家任務委由私人執行之原則與界限，再討論擔保國家之責任內涵。再說明公私協力概念、背景、特性及態樣，公私協力如何作為擔保國家之行為模式，公部門與私部門合作方式為行政管制的革新，以建立監督管理機制取代完全之管制。並從我國促參案件現行制度上對於監督管理之規範架構進行檢討，並從個案履約階段執行經驗及問題中歸納出促參案件在履約階段中重要執行之問題。在立法層面而言，先從相關法規配合建置及連結、以契約作為監督管理方式、法律關係討論，提出監督管理項目，在法規範上架構監督機制。在契約層面而言，先確定契約架構原則，再提出契約範本架構，並試擬建議條文作為實務上運用之參考依據。期盼政府在推動公共建設時，重新思考制度規劃的方向及如何適當運用監督管理機制，採取事先規劃手段以減低事後紛爭的發生，進而共創政府民間合作雙贏之局面。

Following the Globalization trend, the policy of Deregulation, Open Sky and BOT had been implemented into the transportation industry in Taiwan. This new policy created the dynamics for transformation both in the Airlines Industry and Railway Industry. The new transportation policy lead to the establishment of E-Airways and T-Rail. This research concentrated on the case study of Operations Readiness Strategy implemented by E-Airways and T-Rail respectively based on the academic theory of SWOT and Five Force Model. E-Airways Case Study covers the strategic items on the establishment of Operations Core Competence, Flight Networks, Innovation of Economy-Deluxe class, Marketing Channel and Airline Strategic Alliance. T-Rail Case Study refers to the Operations Readiness Strategy implemented to import the core competence of High Speed Rail. This research reached the conclusions: 1.To confirm academic theory to be applicable for the successful model of both E-Airways and T-Rail case study; 2.To confirm same strategy model to be applied for different industry; 3.To confirm the strategic competence to be created; 4.That Cross verification of SWOT and Five Force Model will lead to solid strategy. 5.The successful model of E-Airways case study with analysis on the operation readiness strategy is available as reference for any potential airline operator after merge & acquisition of existing airlines. 6.The successful model of T-Rail case study is available as reference model for any ¡§next one¡¨ national HSR (High Speed Rail) Project.

The medical equipment market is very competitive in Taiwan, the equipment suppliers in response to the multiplex market changing, and to satisfy with the hospitals about demands of equipment and costs of control, we adopt the cooperative way, buildoperate- transfer (BOT) for specific equipment in some hospitals. ¡´The equipment suppliers may participate in the management of non-medical behavior to achieve mutual benefit and win-win situation with the hospital. ¡´ This study is case study research, according to the experiences of management over past several years I collect data from the objects of 6 BOT cases in each 6 hospital. By data classification and statistical analysis, found the characteristics and differences in each case that the equipment suppliers can proposed the more precise investment appraisal in the future. ¡´ This research found that medical equipment, the number of patients, examination items, the proportion between hospital and the equipment supplier, hospital¡¦s location, and the payment points from NHI are causing hospitals and equipment suppliers having a large gap between revenue and are affecting the survival of medical suppliers. ¡´ According to the results, in order to providing more accurate diagnosis to doctors and improving patient's medical quality, this study suggested that the hospitals and the equipment suppliers should develop a set of medical equipment about BOT investment appraisal system. To achieve the aspect that a three-way win for the patient, hospital and equipment supplier.

Virtual humans and other virtual agents are becoming more common in our everyday lives. Whether in the form of phone-based personal assistants or automated customer service systems, these technologies have begun to touch more of our activities. This research aims to understand how this technology affects the way we interact with our computer systems. Using a chat bot, I studied the way a conversational computer system affects the way people interact with and perceive automated interviewing systems in two different contexts. Study 1 examines the impact of a conversational agent on behavior during deception. It found that a conversational agent can have a powerful impact on people's perception of the system, resulting in individuals viewing the system as much more engaging and human. The conversational agent further results in a suppression of deception-related cues consistent with a more human-like interaction. Study 2 focuses on the effect of a conversational agent on socially desirable responding. Results of this study indicate that a conversational agent increases social desirability when the topic of the interview is sensitive, but has no effect when the questions are non-sensitive. The results of these two studies indicate that a conversational agent can change the way people interact with a computer system in substantial and meaningful ways. These studies represent a step toward understanding how conversational agents can shape the way we view and interact with computers.

我國推動促進民間參與公共建設作業，歷經獎勵民間參與交通建設、電業設施、焚化廠、到開放各類型公共建設等階段，實施多年來案件數及規模皆有成長，對我國公共建設市場影響日益深遠。依行政院公共工程委員會98年1月出版之「促進民間參與公共建設政策白皮書」提到，近10幾年來，藉由民間投資興建公共建設，引進民間資金及經營效率，以符公共建設需求及改善公共設施服務品質，已成國際趨勢。促進民間參與公共建設法公布施行以來，自91年至98年底，成功簽約案件達734件，雖已初具成效，惟實務上屢見爭議而引發關注，如台灣高鐵案、國道高速公路電子收費系統ETC案及高雄捷運等等。 因此，本論文擬從促進民間參與公共建設法之制定背景、緣起、歷程演變討論，參酌國外促進民間參與公共建設現況，並以中央在促進民間參與公共建設實務作業的做法與地方政府（以台北市為例）之實務作業比較分析，檢視促參作業在執行上可能面臨之相關法律及規範等問題，並分別提出中央與地方所引起關注之案例討論分析，最終嘗試提出未來改進建議。

本文主要目的在藉由權利金功能的探討來賦予民間參與公共建設的模式中，政府向特許公司課徵權利金的理由。 藉由經濟理論以及相關法令的分析，本文發現在民間參與公共建設的機制中，權利金具有1.移轉特許公司超額利潤、2.政府財產權用益收入、3.作為特許公司取權利的代價、4.政府相關成本的回收、5.遴選特許公司的參考等幾項功能。由於權利金的功能相當多樣，故本文將權利金的各項功能加以結合，提出能包含各項權利金功能的權利金收取概念。 此外，本文並針對設定地上權權利金和回饋金等特許公司在民間參與公共建設中可能產生的負擔與權利金進行比較，發現設定地上權權利金只是土地□o成本之一，與民間參與的權利金意義不同；而回饋金與權利金的本質類似但缺少法源基礎。故本文透過權利金相關問題的釋義來做為主辦單位在推動民間參與公共建設的作業時應該特別注意的事項及參考。 最後本文以台灣大學尊賢館委外經營的案例來進行財務試算，藉由權利金在民間參與財務規劃中扮演的角色來驗證本文提出的民間參與權利金功能。
