Os efeitos jurídicos das cartas de intenções e memorandos de entendimentos

O presente trabalho tem como objeto a análise dos documentos preliminares, usualmente chamados de carta de intenções e memorando de entendimentos, firmados na fase das tratativas durante o período pré-contratual. Em um primeiro momento, busca-se entender a natureza desses documentos, mediante o exame dos atos das partes na fase das tratativas, em especial as negociações e as declarações de vontade, e a comparação com figuras afins, como a proposta, o contrato, o contrato preliminar, a carta-conforto e a minuta. A partir dessa compreensão, aliada à demonstração de sua tipicidade social, chega-se a uma definição de documentos preliminares, baseada no acordo de vontades capaz de produzir efeitos obrigacionais de intensidade variada. Em um segundo momento, expõe-se a principal forma de tratamento dispensada a esses documentos na common law, dividindo-os entre aqueles que têm eficácia jurídica contratual (binding) e aqueles que não têm eficácia jurídica (nonbinding). Posteriormente, são trazidos casos da jurisprudência brasileira, seguindo-se o mesmo método, culminando com o papel da figura do abuso de direito nos casos de rompimento das negociações, identificada como a principal situação que desencadeia a discussão dos efeitos desses documentos nos tribunais. Adiante, as obrigações autônomas, como a de confidencialidade, exclusividade e divisão de custo, muitas vezes verificadas nesses documentos, são objeto de estudo, finalizando-se com a análise de determinadas cláusulas, perquirindo-se sua validade e efeitos. O resultado deste estudo revela que os efeitos que serão produzidos por um documento preliminar dependem não apenas do seu conteúdo, mas também do comportamento das partes condizente com ele. Informační povinnost při jednání o uzavření smlouvy / Information duty in pre-contractual negotiations

Information duty in pre-contractual negotiations Act no. 89/2012 Sb., the Civil Code, has brought many changes into the private law. The new Civil Code within the frame of pre-contractual liability among other things explicitly embedded in the provision of Section 1728 Subsection 2 the so called general information duty, i. e. a duty of the contracting parties to notify each other of certain circumstances prior to the conclusion of the contract. The paper aspires to define the term and the scope of general information duty with the help of the comparison of approaches toward this duty in other states and with the help of existing judicial (both Czech and foreign) decision making. In certain aspects, documents of European Contract Law were also taken into account owing to the fact that the European Contract Law was used in the process of drafting the valid and effective Civil Code. Even though many sources were used while writing the paper, the scope of general information duty could not be definitely determined. With respect to the fact that no explicit and distinct limits of this duty are set, the main source of knowledge will be judicial decision making which should take a consistent attitude toward a complex issue of general information duty which is inseparably related to the Economic Analysis of Law....

Syftet med uppsatsen har varit att analysera uppdaterad lagtext kring förhandsavtal iBostadsrättslagens 5:e kapitel. Inom uppsatsens ramar har även en kvalitativ fallstudiegenomförts utifrån tre bostadsutvecklares informationsgivning, för att se hur väl lagstiftarensintentioner stämmer överens med avtalen i praktiken. Först ges en historisk återblick kring bostadsrätten, som fick sitt inträde som upplåtelseformår 1930. Sedan beskrivs definitionen av ett förhandsavtal och vilka som är parterna i ettsådant. Vidare ges en beskrivning av den kritik som dåvarande lagstiftning fått. Kritiken hardels handlat om att det bindande avtalet som löper under en lång tidshorisont är en storekonomisk risk för konsumenten, och information kring risken har saknats. Det har ocksåfunnits ett generöst tolkningsutrymme kring lagen som bidragit till att bostadsutvecklarekunnat leverera diffusa avtalsvillkor till konsument. Ett exempel är att det inte varit tydligt hurlångt intervall för beräknad tid för upplåtelse fått vara. Många domar bevittnar även om attdomslut inte legat i linje med det ursprungliga syftet med lagtexten. Den här kritiken har letttill att en uppdatering av lagen skedde år 2023. Uppsatsen kommer i detalj att analysera den nya lagstiftningen med stöd av rättspraxis,juridisk doktrin samt litteratur. Ett exempel på krav som införts i laguppdateringen är att detinte längre är tillräckligt att endast informera om bestämmelserna, utan i många delar ska detäven säkerställas att konsument förstått innebörden av avtalet och dess villkor. Resultatet visar på att bostadsutvecklare har anpassat sina processer till den nyalagstiftningen. I många delar har företagen gjort liknande tillämpningar av lagen. I de delar avlagtexten som möjliggör en mer generös tolkning skiljer sig tillämpningarna åt, av naturligaskäl. Utifrån det som framkommit i studien går det att konstatera att de uppdateringar sombostadsutvecklare gjort, på det stora hela, ligger i linje med lagstiftarens syfte. / The purpose of this thesis has been to analyze updated legislation regarding preliminaryagreements in Chapter 5 of the Housing Ownership Act. Within the scope of the thesis, aqualitative case study has also been conducted based on the information provided by threehousing developers to assess how well the legislators' intentions align with the agreements inpractice. First, a historical overview of housing ownership is provided, which emerged as a form oftenure in 1930. Then, the definition of a preliminary agreement and the parties involved aredescribed. Furthermore, criticism of the previous legislation is addressed. This criticism hasrevolved around the fact that the binding agreement, which spans a long time horizon, poses asignificant financial risk for the consumer, and there has been a lack of information regardingit. There has also been a generous room for interpretation of the law, allowing housingdevelopers to include vague contractual terms for the consumer. For example, it has not been clear how long the interval for the estimated tenure period couldbe. Many court decisions testify that the judgments have not been in line with the originalpurpose of the legislation. This criticism led to an update of the law in 2023.The purpose of the law is to strengthen consumer protection. The thesis will analyze the newlegislation in detail, supported by legal precedents, legal doctrine, and literature. For instance,it is no longer sufficient to merely inform about the provisions; in many aspects, it must alsobe ensured that the consumer understands the meaning of the agreement and its terms. The results show that housing developers have adapted their processes to comply with thenew legislation. In many aspects, companies have implemented similar applications of thelaw. However, in parts of the legislation that allow for more generous interpretation, theapplications differ for natural reasons. Based on the findings of the study, it can be concludedthat the updates made by housing developers largely align with the legislators' intentions.

Breaking-off contract negotiations without justifiable grounds Abstract The thesis at hand deals with Sec. 1729 of the Civil Code which governs the liability for breaking-off contract negotiations without justifiable grounds. Its aim is to interpret the afore-said provision that forms an inherent part of the newly introduced regulation of pre-contractual liability. The thesis discusses both the conditions for establishing the liability for breaking-off contract negotiations and concurrently the legal consequences thereof. The difficulties in terms of interpretation, incidental to the introduction of this provision, are attempted to be solved by use of theological interpretative method and inspiration drawn from the comparative study of German and Austrian state of law. Finally, the thesis strives for analysing the case-law of the Czech Supreme Court related to the previous legislation and answering a question to which extent the conclusions previously arrived at by this court may be uphold following the recodification process. The thesis is divided into four main chapters. The first chapter emphasizes the importance and role of the principles of freedom of contract and good faith which are crucial for better understanding of culpa in contrahendo. Bostadsinvesteringarna har tagit fart de senaste åren i Sverige. Den gynnsammaprisutvecklingen har resulterat i fler nybyggnadsinvesteringar och antaletproducerade lägenheter har varit stort. I detta marknadsläge blev det allt merattraktivt att teckna förhandsavtal på nyproducerade bostäder. När prisfallet sedankom under hösten 2017 för att därefter stagnera, har det uppstått en ökad osäkerhetpå den svenska bostadsmarknaden. I den stagnerade marknaden harbostadsutvecklarnas finansieringsmodell avseende förhandsavtalen fått störremedial uppmärksamhet. Oftast handlar det om den kritik och de brister vad gäller deförhandsavtal som tecknats och som har uppenbarat sig allt mer när marknadensvängde. Detta har gett upphov till ett ökat antal tvister mellan bostadsutvecklare ochköpare såsom konsumenter, i ett försök att häva dessa avtal. Mot denna bakgrundhar idag allt fler hushåll avvaktat med att teckna förhandsavtal, framför allt påbostadsrätter där tillträdesdatum ligger långt fram i tiden.I uppsatsen har intervjuer hållits med bostadsutvecklare i Stockholm, finansiärer ochjuridiska ombud för konsumenter för att sammanställa synen på marknaden idag vadgäller förhandsavtal för nyproducerade bostadsrätter hos olika aktörer. Vidare har enfallstudie genomförts genom en djupdykning i två olika bostadsutvecklaresaffärsmodeller och styrprocesser, för att kunna granska underliggande orsaker till atttvister med köpare har uppstått. Syftet med uppsatsen har varit att identifiera definansiella orsaker som ligger till grund för de problem som idag uppstått påmarknaden, samt ge förslag på lösningar som vidare skulle kunna undersökas iämnet. / Residential investments have increased over the past years in Sweden. Thefavorable price trend has resulted in more investments in new-construction, and thenumber of new-built apartments has been large. During this market situation, itbecame increasingly attractive to sign pre-sale agreements on newly producedcondominiums. Since the prices subsequently fell in Autumn 2017 and thereafterstagnated, there has been an increased uncertainty in the Swedish housing market.In this stagnated market, the residential housing developers’ financing models for thepre-sale agreements has received greater medial attention. Most of this attention hasbeen about criticism and shortcomings regarding the pre-sale agreements that havebeen signed and which have become increasingly appeared when the marketswung. This has led to enhanced numbers of disputes between residentialdevelopers and buyers, as an attempt to lift these agreements. Today an increasingnumber of households have been waiting to sign pre-sale agreements, especially oncondominiums where access dates are well ahead.In the paper, interviews were carried out with housing developers in Stockholm,financiers and legal representatives for consumers in order to compile the view of themarket today regarding pre-sale agreements for newly produced condominiums,from various players. In addition, a case study has been conducted to get a deepdive into two different housing developers' business models and control processes,in order to be able to examine the underlying reasons why any disputes with buyershave arisen. The purpose of the thesis has been to identify the financial causes thatunderlie the problems that have arisen in the market today, and to give suggestionsfor solutions that could further be investigated on the subject.

Mycket kan gå fel när en part, i ett sent skede, väljer att hoppa av avtalsförhandlingarna i samband med ett bostadsköp eller en bostadsförsäljning. I svensk rätt är fastighetsköpet ett formalavtal vilket innebär att inget är bindande förrän formkraven är uppfyllda. Detta möjliggör att en part illojalt kan föra avtalsförhandlingar utan avsikt att ingå avtal, medan motparten ådrar sig kostnader som senare visar sig utan mening.  I denna uppsats undersöks rättsfiguren culpa in contrahendo som innebär att en part som av oaktsamhet orsakat en skada för motparten i anknytning till avtalsförhandlingarna, kan komma att bli ersättningsskyldig för den inträffade skadan. Inte nog med att det krävs ett oaktsamt agerande för att ett prekontraktuellt ansvar skall aktualiseras ställs det även krav, utifrån rättspraxis och doktrin, på att avtalsförhandlingarna uppnått en kritisk punkt där lojalitetsplikten träder in. Syftet med denna uppsats är att försöka bringa klarhet i vad som kan betraktas som en kritisk punkt där ett skadeståndsansvar enligt principen om culpa in contrahendo blir gällande. Studien är främst baserad på en rättsvetenskaplig metod, som komplement har också en kvantitativ metod applicerats i form av en enkätundersökning. Utifrån rättspraxis har det kunnat fastställas att en kritisk punkt går att jämföra med de situationer där parterna undertecknat ett föravtal. Resultatet från enkätundersökningen visar att den kritiska punkten möjligen har sitt inträdande i samband med att en av parterna undertecknar köpekontraktet. Viktigt att understryka är att respondenternas svar inte kan betraktas som gällande rätt. / A lot of things can go wrong when a part, at a late stage, exits during contract negotiations in connection with property conveyances. In Swedish law, the property purchase is a formal agreement, which means that nothing becomes binding until the formal requirements are met. This allows a part to disloyally negotiate agreements without intending to enter a contract, while the other part incurs costs that later prove meaningless.  This essay investigates the legal figure culpa in contrahendo, which means that a part whose negligence causes an injury to the counterpart in connection with the contract negotiations may be liable for the damage. Not only is negligent behaviour required for a pre-contractual liability to be triggered, but there is also requirement, based on case law and jurisprudence, that the contract negotiations have reached a critical point where the duty of loyalty enters.  The purpose of this essay is to try to clarify what can be considered a critical point where liability for damages according to the principle of culpa in contrahendo becomes valid. The study is mainly based on a legal method. As a complement, a quantitative method in the form of a study has been applied. Based on case law, it has been possible to establish that a critical point can be compared with the situations where the parties have signed a preliminary agreement. The results from the survey show that the critical point may have arisen when one of the parties signed the contract. It is important to emphasize that the respondent’s answers cannot be regarded as applicable law.

La thèse a pour but l’analyse de l’évolution récente du droit civil français et roumain de la responsabilité civile au cours de la période précontractuelle. Nous avons privilégié une approche comparative entre les deux droits nationaux à la lumière des droits européens. Au cours de la période précontractuelle les parties sont libres de négocier comme elles le veulent, mais sans causer un dommage à leur partenaire. Il y a un lien qui se crée entre les parties et qui ne peut être rompu que conformément au principe de la bonne foi. Nous avons pu constater que le fondement de la responsabilité est assez controversé et varie d’un ordre juridique à l’autre. En effet, la responsabilité civile balance entre sécurité juridique, autonomie privée et liberté contractuelle. En résumé, la phase précontractuelle a connu de profondes transformations au cours de son évolution. À l’heure de l’harmonisation européenne, voire de la globalisation, les droits français et roumain subissent des modifications afin de clarifier des règles de plus en plus compliquées et notamment celles relatives à la responsabilité civile précontractuelle. / The thesis finds its main purpose in the study of the recent evolution of French and Romanian civil law of liability during the pre-contractual period. We favored a comparative approach between national rights, in the light of European laws. During the pre-contractual period, the parties are free to negotiate as they please, as long as they do not cause damage to their partner. A bond is created between the parties and it can only be broken in accordance with the principle of good faith. We noted that the basis of liability is fairly controversial and varies from one legal system to another.
