為改善資訊揭露環境,並增進上市公司的資訊透明度,上海證券交易所在2004年起對所有上市公司強制實施XBRL財務報導格式,本研究檢驗強制實施XBRL財務報導格式對於公司經營績效之影響,以上海證券交易所上市公司為研究對象,研究期間為2003年至2010年,並考慮中國國有企業的特色,將樣本公司分為國有企業與民營企業,分別檢視強制實施XBRL財務報導格式對其經營績效之影響。基於中國國有企業之組織特性,本研究假設僅有民營企業可獲益於強制實施XBRL財務報導格式,並因此提升經營績效。實證結果顯示,確實僅有民營企業獲得XBRL財務報導的效益,在強制實施XBRL財務報導格式後經營績效提升,但由於組織特性的關係,強制實施XBRL財務報導格式的預期效益並未顯現在國有企業,對中國國有企業來說,資訊透明度與外部監督的提升不足以解決其經營上之代理問題。

This cumulative dissertation covers the concepts of scenario-based strategic planning and strategic management in family firms over five articles. The first article gives an overview of the cumulative dissertation explaining the research gap, approach and contribution of the dissertation. The paper highlights the two research areas covered by the dissertation with two articles focusing on scenario-based strategic planning and two on strategic management in family firms. The second article is the first of two focusing on scenario-based strategic planning. It introduces and describes a set of six tools facilitating the implementation of scenario-based strategic planning in corporate practice. The third paper adapts these tools to the financial management and controlling context in private companies highlighting the tools’ flexibility in managing uncertain and volatile environments. The fourth article is the first of two focusing on strategic management in family firms. It analyzes organizational ambidexterity as a factor explaining family firm performance. The article shows that a high level of organizational ambidexterity in family firms leads to a higher family firm performance. The final paper concludes the dissertation examining the tendency of family firms to focus on capability exploration or resource exploitation over different generations managing the family firm.

Cette thèse a pour objectif principal d’apporter une contribution à la littérature concernant la structure et l’efficacité du conseil d’administration (CA). Elle s’articule autour de quatre chapitres. Le premier chapitre est une revue de la littérature, tandis que les trois autres portent sur des questions de recherche distinctes. La première étude présentée dans le deuxième chapitre de cette thèse a pour objectif d'étudier les déterminants de la taille du CA, de l'indépendance de ses membres et de la dualité des fonctions de direction et de présidence du CA. Les principaux apports de cette étude peuvent être résumés comme suit : tout d'abord, nos résultats sont fondés sur l'analyse d'un des plus grands échantillons utilisés dans ce domaine, avec à peu près 16000 observations (entreprises-années) pour près de 2300 entreprises américaines observées de 1997 à 2010. De plus, sur le plan méthodologique, une batterie de tests statistiques a été réalisée afin de vérifier la robustesse de nos résultats, notamment des tests tenant compte des biais d'hétérogénéité et de simultanéité. Enfin, cette étude est probablement la première à démontrer que le passage de la loi SOX a limité la capacité des dirigeants à influencer la composition du CA. La deuxième étude s’attache à analyser les deux principales fonctions du CA, qui sont le conseil au chef d'entreprise et le contrôle de ses activités. Ainsi, comprendre la capacité du CA à remplir ces fonctions est une question fondamentale que nous nous proposons d’approfondir. Cette étude vient enrichir la littérature émergente sur la fonction consultative du CA en fournissant de nouveaux éléments de preuves sur l'importance de cette fonction dans la création de valeur de l'entreprise. Ces résultats apportent également des éclairages sur le conflit potentiel existant entre les deux principales fonctions du CA. Enfin, cette étude s'inscrit dans le courant de pensée qui cherche à évaluer l'impact des caractéristiques des entreprises sur l'efficacité de leurs structures de gouvernance. Le principal objectif de la troisième étude présentée dans le dernier chapitre de cette thèse est de déterminer si la rémunération à base d’actions des administrateurs peut affecter les décisions futures en matière d'acquisition, et le cas échéant, comment. Les résultats de cette étude apportent un nouvel éclairage concernant la rémunération des administrateurs. Cette étude met en exergue l'importance des pratiques de rémunération incitative sous forme d’actions et d’options pour les membres du CA. Par ailleurs, bien que de nombreuses études aient été réalisées afin d'analyser la relation existante entre les mesures incitatives à destination des administrateurs et la performance de l'entreprise, notre étude est l'une des premières à explorer les mécanismes à travers lesquels ces mesures peuvent influencer la valeur de l'entreprise. / This thesis aims at providing contributions to the existing literature on the structure and effectiveness of corporate boards. It comprises three essays that address distinct research questions. The first study examines the trends and determinants of corporate board structure using a panel data sample. This study extends the existing literature on the determinants of board structure in three important ways. First, our results are based on one of the largest samples used in this area, with almost 16,000 firm-year observations for nearly 2,300 firms observed from 1997 to 2010. Second, in terms of methodology, a set of statistical tests was performed in order to check the robustness of our findings, including tests that account for heterogeneity and simultaneity. Finally, this is probably the first study to show that the enactment of SOX has reduced the ability of CEOs in influencing board composition. Specifically, while SOX does not fundamentally alter the economic determinants of board structure, our results show that the documented negative impact of well performing CEOs on board independence in the pre-SOX era is no longer significant post-SOX. In the second study, the principal objective is to investigate the effects of advisory directors' presence on the board and monitoring intensity on the board's overall effectiveness in value creation. This study makes some significant contributions to the literature. First, it complements and extends the growing literature on the board's advisory function by providing strong new evidence on the importance of this board function in value creation. Second, it also provides some evidence on the potential conflict between the two primary functions of corporate boards. Finally, this study adds to the literature that attempts to assess the impact of firm and industry characteristics on the effectiveness of specific governance structures. The last study has as main objective to examine the relation between director compensation structure and shareholder interests in the context of acquisitions. This study contributes to the literature in several ways. First, we add to the recent but burgeoning literature that deals with the determinants of director compensation. Guided by theoretical work in this area, we show that director compensation is mainly consistent with firm's needs for monitoring and advising. Second, we extend the body of research that highlights the importance of equity-based compensation by providing evidence that the use of incentive-based compensation schemes to reward directors also matters. Finally, although many studies have examined the relation between directors' incentives and firm performance, this work is one of the first to examine the channels through which directors' equity-based pay affects shareholders' value.

Competitive Strategies of Digital Platforms in New Markets : An analysis of the strategies and firm financial performanceof digital platforms entering competitive markets in theNordics

Over the recent decade the world has seen an increase in businesses launching new, or changing theirbusiness model to, digital platforms. New and established businesses are flocking to digital platformsin order to evolve their business model and keep up with advancements in technology, such as cloudcomputing, which enables commerce and communication on a much faster and more streamlinedlevel. Digital platforms with two-sided markets often face fierce competition from market incumbentswhich benefit from traditional supply-side economies of scale, as well as from other digital platforms.Therefore, the competitive strategy adopted at market launch and under operations will have a greatimpact on the platform performance in terms of firm financial performance.This study is divided into two parts and is performed with the objective to gain insight into thecompetitive strategies adopted by digital platform businesses with two-sided markets, and how suchstrategic decisions may be informed in favor of profitability. The first part investigates the influence ofinternal factors, such as debt ratio, quick ratio, sales growth, and capital turnover ratio, on the firmfinancial performance (measured by return on assets) of digital platforms with two-sided markets inthe Nordics. The second part investigates the relationship between the firm financial performance(measured by return on assets) of digital platform businesses with two-sided markets after launch andthe type of strategy adopted. Subsequently, two hypotheses are presented. Subsequently, twohypotheses are presented. A panel data regression model is developed to evaluate these relationships,allowing the authors to test the null hypotheses. The data set used in the panel data regression modelcomprise an unbalanced sample of 27 companies who have launched their platforms in Norway,Sweden, and Denmark. Financial data was gathered in the form of return on assets (dependentvariable), capital turnover ratio, quick ratio, debt ratio, and sales growth (explanatory variables).These companies were grouped depending on which strategy was adopted on market launch and underearly operations. These strategies are subsidy, seeding and marquee users, micro market launch andpiggybacking (categorical ‘dummy’ variables).Studying the firm financial performance of businesses which adopt digital platforms will help us tobetter understand the efficacy of strategies adopted and how these strategies impact financialperformance. Both null hypotheses tested may be partially rejected. The authors conclude that theinternal factors debt ratio, quick ratio, and sales growth have a significant influence on theprofitability (measured by return on assets) of digital platforms with two-sided markets in the Nordics.The influence of the internal factor capital turnover ratio on profitability is statistically insignificant.Quick ratio has a positive significant influence on profitability, whereas debt ratio and sales growthhave a negative influence. The authors also conclude that companies which have business modelsallowing them to adopt a subsidy strategy yields stronger profitability than those which adopt otherstrategies. Companies which entice seed & marquee users to their platform as a strategy yields thesecond strongest profitability. Companies which choose a micro market launch strategy yield theweakest profitability. The authors of this study will not draw conclusions on the efficacy of theadoption of a piggybacking strategy on profitability due to the limited number of observationsattributed to the piggybacking dataset.Future studies may expand upon this research with the inclusion of a wider catchment of businesses,as well as the inclusion of a wider data set to include other geographical locations and improvestatistical significance of the data set. An improvement to the study may also be to analyze thecorrelation between the strength of competitors upon market entry and the efficacy of the strategiesadopted.

Alliance portfolios and value creation: Theory and empirical evidence from the global airline industry

Com afecten els recursos als quals les empreses accedeixen per diverses aliances estratègiques simultànies amb socis diferents a la creació de valor i a l'apropiació de valor? Les carteres d'aliances expliquen l'heterogeneïtat entre empreses respecte del valor que capten quan entren en noves aliances estratègiques? Aquesta tesi doctoral es basa en la teoria dels recursos i en la bibliografia sobre el comportament estratègic i les dinàmiques competitives, i presenta un model teòric que es refereix a la creació de valor i l'apropiació en empreses que accedeixen a recursos a través de diverses aliances simultànies amb socis diferents. El model mostra que la creació de valor en les carteres d'aliances és una funció del valor creat per combinacions sinergètiques de recursos que impliquen recursos als quals tenen accés diferents socis, com també del valor destruït a causa de la incompatibilitat entre la combinació de recursos d'una empresa focal i els recursos dels seus socis. Sobre la base d'aquest model teòric, s'han desenvolupat diverses hipòtesis en un ambient marginal en què una empresa connectada multilateralment afegeix una nova aliança estratègica a la seva cartera d'aliances. Per comprovar aquestes hipòtesis, s'ha emprat la metodologia de l'event study i s'han utilitzat dades de la indústria de els línies aèries globals sobre acords de code share subscrits entre 1994 i 1998. Els resultats mostren que el mercat recompensa les empreses que formen aliances amb socis que tenen recursos complementaris i poden aportar recursos que no només es poden combinar amb els recursos propis de l'empresa sinó també amb els relacionals i que també són compatibles amb els dels socis que formen l'aliança. D'altra banda, els resultats també mostren que el mercat penalitza les empreses que formen aliances que aporten recursos incompatibles amb les carteres d'aliances, atès que creen un conflicte competitiu amb alguns dels socis existents. Els resultats de la part empírica d'aquesta anàlisi abonen la tesis que les carteres d'aliances afecten els resultats de les empreses que entren en aliances estratègiques. Aquest estudi conclou que els recursos als quals es té accés per mitjà d'aliances entre empreses s'han d'avaluar no tan sols per les seves característiques pròpies y diàdiques sinó també en el context de les carteres d'aliances. / ¿Importan los portafolios de alianzas? ¿Cómo afectan los recursos a los que acceden las empresas por varias alianzas estratégicas simultáneas con socios diferentes a la creación de valor y a la apropiación de valor? Los resultados de la parte empírica de este análisis abonan la tesis de que los portafolios de alianzas afectan a los resultados de empresas que entran en alianzas estratégicas. Este estudio concluye que los recursos a los que se accede a través de las alianzas entre empresas han de evaluarse no sólo por sus características propias y diádicas sino también en el contexto de los portafolios de alianzas. / Do alliance portfolios matter? How do resources accessed from multiple simultaneous strategic alliances with different partners affect value creation and value appropriation? Do alliance portfolios explain heterogeneity across firms with respect to the value that they derive from entering into new strategic alliances? This dissertation builds on insights from the resource-based view of the firm and the strategic behaviour and competitive dynamics literature and advances a theoretical model that addresses value creation and appropriation in firms that access resources through multiple simultaneous inter-firm alliances with different partners. The model illustrates that value creation on the alliance portfolio level is a function of the value created from synergistic resource combinations involving resources accessed from different partners as well the value destroyed by incompatibilities between a focal firm's resource combinations and those deployed by its partners. Based on this theoretical model, empirically testable hypotheses are developed in a marginal setting, in which a multilaterally connected firm adds one new strategic alliance to its alliance portfolio. The hypotheses are tested using an event study method approach and data from the global airline industry on code share agreements formed between 1994 and 1998. The results show that the market on one side rewards firms entering into strategic alliances with partners that possess complementary resources and that contribute resources that cannot only be combined with firms' own but also existing relational resources and that are compatible with the firms' alliance portfolios. On the other side, results show that the market penalizes firms entering into alliances that contribute resources that are alliance portfolio incompatible in the sense that they create a competitive conflict with some of the existing alliance partners. The findings of the empirical part of this dissertation support the view that alliance portfolios affect the performance of firms entering into strategic alliances. This study concludes that resources accessed through inter-firm alliances should not only be evaluated on their standalone and dyadic attributes but also in the context of alliance portfolios.
