A doutrina internacional costuma conceituar o \"forum shopping\" como a escolha da jurisdição mais favorável ao demandante, nas hipóteses em que haja competências internacionais concorrentes. Toda uma série de fenômenos trazidos com a globalização (sejam eles políticos, sociais ou econômicos) repercute concretamente no direito internacional privado, ampliando as possibilidades de litígios em escala mundial, e trazendo consigo diversas inquietações. O exercício dessa mesma opção em jurisdições estrangeiras, ao longo do tempo, tem levado a doutrina e a jurisprudência internacional a qualificar o forum shopping quer como um abuso do direito processual quer como um direito potestativo legítimo do demandante. A proposta deste trabalho é a análise do fenômeno no âmbito do direito internacional privado, com enfoque nos efeitos de ordem material e processual que refletem nos conflitos instaurados no Brasil e no estrangeiro, analisando-se casos de repercussão internacional. / The international doctrine usually conceptualizes forum shopping as the choice of jurisdiction more favorable to the plaintiff, in the hypothesis where there is international concurrent jurisdictions. A whole series of phenomena brought with the globalization (whether political, social or economic) reverberate concretely in the private international law, expanding the possibilities of disputes in a worldwide scale, bringing with itself several concerns. The exercise of such option in foreign jurisdictions, through out the time, has led the international doctrine and jurisprudence to qualify the forum shopping either as an abuse of procedural right either as a legitimate potestative right of the plaintiff. The purpose of this work is the analysis of the phenomenon in the context of private international law, focusing on the effects of substantive and procedural order that reflect in the conflicts filed in Brazil and in abroad, analyzing the cases of international repercussions.

Les relations précontractuelles en droit international privé / Precontractual relationships in private international law

La thèse propose d'abolir, pour les besoins du droit international privé, les différents cloisonnements de la phase précontractuelle en retenant une approche unitaire du processus de formation du contrat. Dans cette perspective, il est proposé de dépasser la distinction entre les relations précontractuelles informelles et celles qui sont formalisées par un contrat préparatoire, de même que la distinction entre la phase précontractuelle et le contrat définitif. L'attraction du contrat projeté conduit à emprunter le rattachement de ce dernier pour désigner la loi applicable aux relations précontractuelles. Cette solution pourrait, dans la mesure du possible, être transposée dans le domaine des conflits de juridictions en retenant la compétence du juge du contrat projeté. / The doctoral dissertation proposes to abolish, for the purpose of private international law, the compartmentalisation of the pre-contractual phase by adopting a unitary approach to the contract formation process. In this perspective, it is proposed to overcome the distinction between unformal pre-contractual relations and pre-contractual relations formalized by a preparatory contract, as well as the distinction between the pre-contractual phase and the final contract. The attraction of the intended contract leads to use its connecting factor in order to determine the law applicable to pre-contractual relations. This option could, whenever possible, be extended to conflicts of jurisdictions by considering that the competent judge is the judge of the intended contract.

Situado no centro do sistema jurídico transnacional da lex mercatoria, o árbitro é autoridade estrangeira em relação ao juiz nacional do foro. O sistema da lex mercatoria se distingue do nacional pela sensibilidade de suas reações aos ruídos provenientes do sistema da economia, não pelo vinculo a território. O árbitro não tem foro, tem setor; fora dele, a arbitragem se adapta mal. Por impor limites à função jurisdicional do Estado-juiz, a convenção de arbitragem constitui regra de competência internacional do juiz do foro e, de competência internacional indireta do árbitro e dos juízes estrangeiros. Profere sentença inexistente o juiz nacional que atropela as regras de sua jurisdição internacional. Também não ingressam no sistema do foro as decisões proferidas por quem não se adeque às regras de jurisdição internacional indireta do foro. Isso ocorre quando a sentença arbitral ou o julgamento estrangeiro em lide cujo objeto é a própria arbitragem agridem a intensidade que o foro atribui aos efeitos negativos da competência-competência e da convenção de arbitragem. O efeito negativo da competência-competência não decorre da convenção de arbitragem, mas da proteção que o ordenamento outorga à mera aparência. Entre árbitro e juiz, não se resolve com remédios concebidos para o conflito de competências, como a litispendência ou o incidente constitucional perante o STJ. Só uma estrutura convencional de acoplamento entre sistemas permitiria a harmonização. Já o efeito negativo da convenção de arbitragem pode ser mitigado em função de risco de denegação de justiça, para devolver ao Estado-juiz a jurisdição de urgência ou a necessária ao julgamento de pretensões do devedor em dificuldades. A abertura da falência não interfere na capacidade do credor ou na natureza de seus bens ou direitos, não suspende a tramitação da arbitragem e não impede a instauração de novas instâncias. Its differentiation from the civil justice system is based upon its capacity to react to the needs of the economy. The fact that the arbitrator is positioned in the center of the lex mercatoria system makes the arbitrator foreign to the courts and its legal system. By imposing limits upon the jurisdictional State function, the arbitration agreement and its regulation serves as an international jurisdiction rule for the forum court. It also works as an indirect international jurisdiction rule through which the national court inspects the jurisdiction of an arbitrator or a given foreign court. National courts decisions that are rendered in disregard of international jurisdiction rules are non-existent. Foreign decisions that are incompatible with indirect international jurisdiction rules must be set aside by the forum courts. This is the case when arbitral awards and foreign judgments related to arbitration are disrespectful to the forum criterions binding the negative effect of the competence-competence and to the negative effect of the arbitration agreement. The negative effect of competence-competence is not a consequence of the agreement to arbitrate, but of the protection that the legal system gives to its mere appearance. The effects of the arbitration agreement concern the merits of the disputes, the negative and the positive. The former, as well as the negative effect of the competence-competence principle, are in nature of subjective public law. The latter is of the nature of subjective private law. All constitute subjective rights in the technical sense, in the way in which they allow the court system to support the commencement of proceedings or to ensure the removal of the national courts. Procedural parallelism has different origins depending upon whether it occurs among arbitrator and courts belonging to the same legal system of the court deciding the conflict or to a different one. In the first hypothesis, it originates from error in judicando; in the second, it is a natural consequence of the lack of harmony between the systems. Between arbitrator and judge, such lack of harmony cannot be resolved through the remedies created to address jurisdictional conflict, such as lis pendens or the constitutional incident before Brazils STJ. Only by coupling different legal systems through conventional structure would harmonization arise. The negative effect of the arbitration agreement is mitigated by conferring upon courts jurisdiction for the grant of interim and provisional measures based on the risk of denial of justice. By its turn, a bankruptcy filing does not interfere with the creditors capacity nor with the nature of its assets or rights, and it does not suspend the arbitration proceeding or the commencement of new proceedings. The agreement to arbitrate after the initiation of bankruptcy proceedings is valid and the estate-in-bankruptcy may participate in the arbitration along with the debtor.

L’internationalisation de la consommation de produits ou services est un phénomène qui peut être observé dans les pays développés, comme la France, mais aussi, en grande mesure, dans les pays en voie de développement comme le Brésil. Cette internationalisation a des effets importants sur la protection du consommateur, considéré dans la plupart des pays comme une partie faible qui mérite protection. Cette internationalisation soulève aussi des questions intéressantes de droit international privé. Dans ce travail, nous allons étudier les questions liées à la détermination de la juridiction compétente et celle de la loi applicable à ces contrats, depuis la perspective du droit français et du droit brésilien. / The internationalization of the consumption of products and services is a phenomenon that can be seen in developed countries, like the case of France, but also to a large extent in developing countries like Brazil. Such internationalization has important implications for the protection of consumers, which are considered in most countries as a weak party that deserves to be protected. This internationalization also raises interesting private international law issues. In this work, we will study the issues related to the determination of the competent jurisdiction and the law applicable to such contracts, from both the French and the Brazilian law perspectives.

Le droit uniforme africain et le droit international privé / The african uniform law and the private international law

Que l’on appréhende le droit uniforme sous l’angle du droit international privé ou que l’on mesure les incidences de la vision communautaire du droit uniforme sur l’évolution du droit international privé des Etats membres, les interactions entre droit uniforme africain et droit international privé peuvent se résumer aux constats suivants. La simple uniformisation du droit entre des Etats se révèle insuffisante à éliminer ou à résorber les conflits de lois et au-delà l’ensemble des difficultés suscitées par l’élément d’extranéité à savoir les conflits de juridictions, la condition des étrangers … Les raisons en sont notamment que l’unification du droit (règles de fond et règles de procédure) n’a jamais pu être totale, des points irréductibles pouvant se révéler insurmontables au stade de la conception des règles uniformes mais aussi l’uniformisation pouvant s’altérer par la suite, lors de son application, du fait de divers facteurs. Les législateurs supranationaux ont donc dû accompagner, le plus souvent, les règles uniformes de fond de règles uniformes de droit international privé de sorte qu’on conclut, en droit uniforme africain, à l’émergence d’un droit international privé d’origine communautaire. Secrété par un droit, lui-même spécifique, se situant à l’intersection du droit international et du droit interne, du droit public et du droit privé, le droit international privé issu du droit uniforme africain sera lui aussi nécessairement spécifique dans sa conception, dans ses méthodes, outils ou instruments même s’il fait preuve à certains égards d’un certain classicisme. Son avènement a bouleversé les assises du droit international privé interne des Etats membres et au delà celles de la discipline du droit international privé elle-même. Toutefois, ce droit international privé, encore en gestation, reste lacunaire dans ses outils et instruments et doit prendre nécessairement appui sur celui des Etats membres comme une nécessité vitale. / Either uniform law is seen from the point of view of the private international law or either one assesses the impact of the communal vision of uniform law on the evolution of private international law of member states, the interactions between African uniform law and private international law can all be summed up as follows. A mere unification of laws between some states is not enough to eliminate or solve conflicts of laws and all the difficulties brought about by foreign origin element, such as jurisdiction disputes, foreigners legal status,… The reasons of this situation are that the unification of law (content and procedure rules) has never been total because some indomitable points may prove to be insurmountable at the level of the drafting of uniform rules, but also because the unification of laws can deteriorate further on during its implementation due to various factors. Therefore, the supranational lawmakers have often had to back up the uniform content rules with the uniform rules of private international laws. This leads, in the African uniform law to the emergence of a private international law with a communal origin. The private international law deriving from African uniform law will also be specific in its conception, its methods, its tools or instrument, even if to some extent, it shows some classicism. This is because the private international law deriving from the African uniform law has been fathered by a law which is specific in itself because it stands between international and home law, between public and private law. Its advent has upset the basics of the international home law of member states but also the basics of the private international law itself. However, this private international law which is still in its gestation period still has some weaknesses in its instruments and rules and must necessarily lean on that of member states as it is a vital necessity.

La contrefaçon en ligne : le traitement judiciaire des atteintes aux droits de propriété intellectuelle / Cyber counterfeiting : the judicial treatment of infringements of intellectual property right

La rencontre intervenue entre les biens protégés par le droit de la propriété intellectuelle et l'internet ne s'est pas faite sans heurts. Ubiquitaire, immatériel, anonyme et transfrontalier sont autant de spécificités de l'internet qui mettent en péril les prérogatives des titulaires de droit de propriété intellectuelle. Dans cette optique, l'identification des usages couverts par un droit de propriété intellectuelle est un enjeu essentiel pour déterminer le périmètre de la contrefaçon en ligne. Ainsi, la portée des droits de propriété intellectuelle sur l'internet détermine le périmètre de la contrefaçon en ligne. Dans cet environnement numérique, la portée des droits de propriété intellectuels ne peut être révélé qu'à l'étude de la masse des atteintes qu'ils endurent. Or, cette analyse ne souffre aucune ambiguïté. Il en résulte incontestablement le constat d'une limitation de la portée des droits exclusifs dans l'environnement numérique. Par ailleurs, la protection des droits de propriété intellectuelle est également affaiblie lors du traitement de la contrefaçon en ligne. En ce domaine, l'intervention du droit international privé est fréquente puisque les atteintes aux droits de la propriété intellectuelle présente souvent un élément d'extranéité. Toutefois, les critères de rattachement territoriaux prévus par la règle de conflit rendent difficile la détermination de la juridiction compétente dans un contentieux partiellement ou totalement dématérialisé. In this field, the intervention of private international law is frequent since when the infringements of intellectual property rights begin having an element of foreignness. La réparation des dommages environnementaux en droit international concerne le droit international public et le droit international privé. Considérant qu’une réparation efficiente des dommages environnementaux est difficilement réalisable par le seul biais du droit international public, la méthode du droit international privé contribue à une meilleure réparation des dommages. La limite du droit international public est liée à la difficulté d’harmoniser les règles matérielles environnementales dans les cadres nationaux, régionaux et internationaux. Une autre raison est le faible contrôle du déplacement des entreprises ainsi que la difficulté de les rendre responsables pour les dommages environnementaux commis. Le droit international de l’environnement nécessite un ensemble d’outils juridiques, publics et privés, ayant comme objectif la protection de l’environnement. Les outils publics comme les traités et les mécanismes de surveillance institutionnalisés doivent opérer en complémentarité avec les outils privés comme la responsabilité civile et l’arbitrage privé. L’utilisation du droit international privé permet d’organiser un ensemble de normes appartenant à différents espaces juridiques. Cette méthode permet l’utilisation, dans un Etat, de mesures juridiques prévues dans le système juridique d’un autre État sans qu’une uniformité ne soit exigée. Le droit international privé, par le biais d’une fonction environnementale accordée aux règles de conflit de lois et de juridictions, conduit à une meilleure interaction entre les espaces normatifs et entre les différentes branches du droit, ce qui favorise une coopération plus efficace pour la protection de l’environnement. / The reparation of environmental damages in international law concerns public and private international law. Due to the fact that efficient reparation of environmental damages is hardly achieved only by public international law, private international law methods can be used to fill the gaps of the former law field. Public international law limits are related to the difficulty of harmonising substantial environmental rules on national, regional and international context. Another reason is that it is hard to control company’s international movements and to hold them liable for damages committed. International environmental law depends on some public and private legal instruments in order to protect the environment. Public instruments such as treaties and Secretariats' mechanisms of control must work jointly with private instruments such as liability and arbitration. Private international law application is useful to organise rules from different legal orders. This methode enables the use of legal measures of one State in another State without looking for uniformity. Private international law, by the environmental function of conflict of laws and conflict of jurisdictions rules, paves the way towards a better interaction between different normative orders and between different law fields. It leads to a more effective cooperation for environmental protection.

Le Traité pour l'Harmonisation en Afrique du droit des affaires a été signé à Port Louis (ÎleMaurice), le 17 octobre 1993 et, entré en vigueur le 18 septembre 1998. Il a été modifié par le Traité deQuébec en date du 17 octobre 2008. Ce traité révisé est entré en vigueur le 21 mars 2010. Il a pour principalobjectif de remédier à l'insécurité juridique et judiciaire existant dans les États parties. Pour ce faire, il aadopté neuf Actes uniformes dont l'Acte uniforme relatif au droit commercial général, ci-après l'AUDCG quifait l'objet de notre étude.Le Traité OHADA a également institué une Cour commune de justice et d'arbitragechargée de l'interprétation et de l'application uniformes desdits actes. L'AUDCG a été adopté le 17 avril 1997et est entré en vigueur le 1er janvier 1998. Il a été modifié le 15 décembre 2010 et publié au Journal Officielde l'OHADA, le 15 février 2011. Il est entré en vigueur le 15 mai 2011.Il est applicable de la même façondans tous les États contractants. L'existence d'un tel corpus de règles permet de réduire l'importance du fordans la résolution des litiges internationaux et de limiter la nécessité de recourir aux règles de conflits quigénèrent une certaine insécurité juridique. C’est la raison pour laquelle le droit OHADA de manière généraleet l'AUDCG en particulier ne se préoccupe pas ou peu des conflits de lois. Pourtant,les conflits de loissubsistent dans l’espace OHADA. D’une part, l'AUDCG laisse subsister les dispositions du droit national dumoment qu'elles ne lui sont pas contraires.L'AUDCG peut également faire l'objet de divergencesd'interprétations par les juridictions nationales qui sont les juridictions de droit commun du droitharmonisé.Tout conflit d'interprétation est un conflit de lois. D'autre part, l'AUDCG s'insère dans un contextenormatif international caractérisé par une profusion de règles matérielles sous-régionales telles que l'UnionÉconomique et Monétaire de l'Afrique de l'Ouest (UEMOA),la Communauté Économique des États del'Afrique de l'Ouest (CEDEAO), la Communauté Économique et Monétaire de l'Afrique Centrale(CEMAC)et internationales de droit matériel tels que la CVIM, le Protocole du 11 avril 1980 et la Convention de New-York du 14 juin 1974 relatifs à la prescription en matière de vente internationale de marchandises, laConvention de Genève sur la représentation en matière de vente internationale de marchandises. De cetteimbrication de règles de droit naissent des conflits. Il persiste donc dans l'AUDCG des conflits de lois et desconflits de normes supranationales.La présente thèse a pour but d'étudier ces conflits ainsi que les principes de solutions qu'il convient d'yappliquer à travers les règles de conflit de lois, les Principes d'Unidroit, la loi d'autonomie, l'arbitrage. / The Treaty for Business Law in Africa Harmonization was signed in Port Louis (Mauritius ) ,October 17, 1993 and entered into force on 18 September 1998. It was amended by the Treaty of Quebec on17 October 2008. This revised treaty entered into force March 21, 2010. The treaty 's main objective is toaddress the legal uncertainty and judicial existing in States parties . To do this , it adopted new Uniform Actsincluding the Uniform Act relating to general commercial law, following the AUDCG which is the subject ofour study. The OHADA Treaty has also established a Joint Court of Justice and Arbitration responsible forthe interpretation and uniform application of those acts .The AUDCG was adopted April 17, 1997 and entered into force on 1 January 1998. It was amendedDecember 15, 2010 and published in the Official Gazette of OHADA , February 15 , 2011. It entered intoforce on 15 May 2011. It is applicable in the same way in all Contracting States.
