The Effects of the Political-Legal Environment and Corporate Characteristics on Mergers and Acquisitions in India, 1991-2005

Emerging markets such as India have witnessed waves of domestic and cross-border mergers and acquisitions. This historical analysis, which consists of two parts, tests central tenets of resource dependence theory. The first part entails an analysis of the transition in public policy governing corporations between 1991 and 2005. The second part tests hypotheses derived from resource dependence theory relating to a firm’s decision to acquire. The analysis explores the factors that explain why firms engage in mergers and acquisitions by examining three specific policy periods (i.e., 1991-1996, 1997-2001 and 2002-2005). The findings from the historical analysis suggest that firms did not merely react to the conditions (i.e., constraints on capital) in their environment by undertaking merger and acquisition activity, but attempted to alter them as resource dependence theory suggests. Findings from the event history logit model also support resource dependence theory. Overall, the study shows that merger and acquisition activity increased during a period of intense deregulation (i.e., 1991-2005) brought about by the adoption of neo-liberal reforms, change to the multilayer subsidiary form, deregulation of the banking and financial sectors’ and reforms in foreign direct investment and equity markets. During this period of uncertainty, firms controlling more resources in terms of earnings, efficiency and number of subsidiaries were more likely to undertake acquisition activity as they have leverage in organization-environment relationships. The effect of number of subsidiaries on acquisition activity was the most consistent across policy periods’. This dissertation is organized in the following manner: Following the introductory chapter, Chapter II is a historical examination of the three policy periods and includes an analysis of the effect of the political-legal environment on mergers and acquisitions between 1991 and 2005. Chapter III reviews the propositions of resource dependence theory that pertain to organizational change and presents research hypotheses related to mergers and acquisitions. Chapter IV describes the data, measurement and methodology employed in the quantitative analysis. Chapter V presents the findings from the quantitative analysis and discusses the results. The concluding chapter (Chapter VI) includes a presentation of the theoretical findings and discussion of the limitations and scope of the study.

Småhusvärdering och Datatillgång : en jämförelse mellan Spanien och Sverige

The purpose of the study is to compare the valuation process and the selection of value-influencing factors for single-unit residentials properties between Spain and Sweden in a sales context, and to examine how the process is influenced by data availability about comparable properties. This to provide a basis for increased understanding, well-informed purchasing decisions and lessons learned between the markets. The study was conducted through interviews with nine real estate agents, distributed over Spain and Sweden, and the results were put in relation to previous research on the subject. The results were analyzed in the perspective of Resource Dependence Theory and Efficient Market Hypothesis.  It was found that the processes are largely similar, both anchored in comparable properties. The choices of value-influencing factors proved to be relatively similar. A major difference emerged: Spanish real estate agents have access to lower quality and quantity of data on comparable properties, particularly in terms of sales prices, and therefore rely more on listing prices that do not necessarily reflect actual market values. It was found that Swedish real estate agents rely on data and are more dependent on it compared to their Spanish counterparts. With this dependence, it was also found that external actors exert greater control over the Swedish real estate agents' processes. As it was established that the Spanish real estate market is less transparent than the Swedish one, a lower degree of market efficiency was found to prevail in the Spanish real estate market compared to the Swedish market. / Studiens syfte är att jämföra mäklares värderingsprocess och val av värdepåverkande faktorer hos småhus med bostadsändamål i försäljningssyfte mellan Spanien och Sverige, och undersöka hur processen influeras av datatillgång om jämförelseobjekt. Detta för att ge utrymme för ökad förståelse, välinformerade köpbeslut och lärdomar marknaderna emellan. Studien genomfördes via intervjuer med nio mäklare, fördelade över Spanien och Sverige, och resultaten ställdes i relation till den tidigare forskningen i ämnet. Resultaten analyserades ur perspektivet av Resource Dependence Theory och Efficient Market Hypothesis.  Det kan fastslås att värderingsprocesserna liknar varandra i sin helhet, båda sker med stöd av jämförelseobjekt. Valen av värdepåverkande faktorer visade sig vara relativt lika. En stor skillnad uppdagades, att spanskverkande mäklare har tillgång till sämre kvalitet på och lägre kvantitet av data om jämförelseobjekten, framförallt i form av försäljningspriser, och därför i högre grad använder sig av utropspriser som inte nödvändigtvis reflekterar ett faktiskt marknadsvärde. Det kan konstateras att de svenskverkande mäklarna förlitar sig på data och är beroende av den i större omfattning än de spanska. Med denna beroendeställning kan det även konstateras att externa aktörer besitter större kontroll över de svenskverkande mäklarnas process. Då det konstaterades att den spanska fastighetsmarknaden var mindre transparent än den svenska kunde en lägre grad av effektiv marknad fastställas råda på den spanska fastighetsmarknaden än på den svenska.

Product innovation in small established enterprises : Managing processes and resource scarcity

This thesis examines product innovation processes in small established enterprises. The research questions are: (1) what motivates small established enterprises to innovate, (2) how do small established enterprises perform product innovation, and (3) how do small established enterprises manage resource scarcity in their product innovation processes? To answer the research questions, a multiple case study approach was chosen with three small established enterprises as cases and different product innovation processes as embedded units of study. The data collection method used was observation during a period of five months, complemented by interviews and secondary data. Product innovation in small established enterprises seems to be motivated by solving existing customers’ problems and the need for a sustained steady cash flow. A steady cash flow is also found to be a prerequisite during the product innovation processes. Product innovation seems to occur when there is a risk of decreased cash flow and/or when existing customers can be satisfied with new products that increase their loyalty so as to secure future sales, cash flow, and the enterprise’s survival in the long run. Promising innovation ideas alone do not result in product innovation. An innovation idea must also have supportive existing customers for product innovation to occur. Product innovation processes in the studied small established enterprises are found highly context dependent, intertwined in operational processes and made possible by a small organic organization and closeness to existing customers. The product innovation processes are further found to follow a flexible and informal overall scheme optimized for decreasing market and technology uncertainty and risk, dealing with resource scarcity, and facilitating fast and easy commercialization to avoid or moderate dips in cash flow. The design processes within the innovation processes can be linearly structured or cyclical and experimental, depending on the experienced novelty. To manage resource scarcity during the product innovation processes, the studied small enterprises used many different bootstrapping methods in combination. These methods can be divided into three categories according to their overall functions: for using existing resources more efficiently, for increasing resources and to secure a fast payback on resources invested in NPD. The studied small enterprises were due to their resource scarcity further found to favor an innovation strategy, only involving new products done with known technology and targeting existing markets. This way to innovate, which creates new products in a resource-efficient way that are accepted by the enterprises’ existing markets, seems to prevent unsuccessful product innovation, while at the same time excluding technologically radical innovation and innovation targeting new markets.

Cette thèse explore les implications des stratégies hors marché des entreprises en termes de performance. Elle attire notamment l'attention sur la nature paradoxale des stratégies hors-marché ainsi que sur l'importance pour les entreprises de former des portefeuilles spécifiques de ce type de stratégie. En utilisant une approche fondée de la théorie de l'échange social et sur la théorie de la dépendance aux ressources, cette thèse tout d'abord analyse les conditions pour lesquelles les entreprises sont soumises à une extraction de “rente” de la part des politiciens. Elle explore ensuite l'impact de ces liens politiques sur la performance financière des entreprises. Elle distingue notamment différents types de liens politiques qui exposent les entreprises à différents niveaux d'incertitude quant à la continuité de leur échange avec les politiciens, et à différents niveaux de dépendance à leurs ressources à postériori. Enfin, cette thèse examine comment l'engagement communautaire des entreprises pourrait agir comme une stratégie complémentaire aux liens politiques, et comment cette complémentarité peut permettre d’obtenir de meilleurs retours financiers de ces liens politiques. Les hypothèses de cette thèse sont empiriquement testées sur des données longitudinales uniques couvrant différents types de liens entre l’ensemble des politiciens britanniques et toutes les sociétés cotées en bourse au Royaume-Unis, sur une période allant de 2002 à 2011. En prenant une position critique sur la valeur que les entreprises peuvent tirer des stratégies hors-marché, cette thèse contribue à la littérature en management stratégique, en particulier à celle portant sur les stratégies hors-marché des entreprises et leurs implications en termes de performance financière / This dissertation looks into performance implications of firms’ non-market strategies. It draws attention to the double-blade nature of firms’ non-market strategies, as well as the importance for the firm of forming a right portfolio of such strategies. Using insights from social exchange theory and resource dependence theory, it first outlines the conditions under which firms will be subject to rent extraction by politicians. It then looks into the impact of political linkages on firms’ financial performance, differentiating between different types of political linkages; which expose a firm to different levels of uncertainty regarding the continuity of exchange with the politician, and different levels of ex-post dependency on the politician. Finally it investigates how community engagement might act as a complement to firms’ political linkages, and how such complementarity may help to achieve improved financial returns from those political linkages. The predictions of the essays are empirically tested using a unique longitudinal dataset covering various types of linkages between all politicians and all publicly listed companies in the UK, for the period from 2002 to 2011. Taking a critical stand on the value to be drawn from firms’ non-market strategies, this dissertation contributes to strategic management literature, particularly the literature on firms’ non-market strategies and their implications on financial performance

Changes in Organization Design Produced by Covid-19 from a Path-Dependence Perspective : A Case Study of a Medical Manufacturing Company / Förändringar av organisationsdesign efter Covid-19 ur ett stigberoende perspektiv : En fallstudie av ett medicintekniskt tillverkningsföretag

Covid-19 brought various challenges that the world that was not fully prepared to face since 2019. The pandemic came with both health and economic repercussions, and various organizations had to adapt their Organization Design to confront these new challenges posed by this Black Swan event. Since the pandemic is still recent, most of the research related to Organization Design and Covid-19 has focused on the changes during the pandemic. What has been missing in the research is a perspective on the evolution of Organization Design over time. Two research questions were addressed. The first question explored how individuals from different positions perceived changes in Organization Design during the pandemic using Jay Galbraith's Star Model. The findings revealed variations in perceptions across positions, particularly regarding hiring growth, structure, communication, rewards, and the hiring process. The second research question uses a combination of Path Dependence Theory and Jay Galbraith's Star Model to compare the short-term and long-term effects of contingencies on Organization Design within a Medical Manufacturing Company. Some changes, like temporary Covid-19 protocols and rewards, were phased out, while others, including remote work, digital transformation, hybrid work models, and certain structural changes, became permanent. The thesis contributes to the understanding of how Black Swan events impact Organization Design in the Medical Manufacturing Industry, providing practical recommendations for decision-making during crises and emphasizing the significance of organizational resilience and change management. The study's theoretical contributions include exploring path dependence in crisis-induced transformations, highlighting the dynamic nature of organizational responses, and suggesting future research avenues. Overall, this research enhances knowledge of Organization Design dynamics and offers guidance for organizations in crisis response and resilience-building. / Covid-19 förde med sig olika utmaningar och konsevenser såväl ekonomiskt som hälsomässigt. Pandemin kan ses som ett exempel på en svart svan-händelse, dvs. en osannolik händelse med omfattande konsekvenser. Organisationer var tvungna att anpassa sig för att möta utmaningarna som denna svarta svan-händelse medförde, i synnerhet när det gäller organisationsdesign. Eftersom pandemin fortfarande ligger relativt nära i tiden, har en stor del av forskningen kring organisationsdesign och Covid-19 fokuserat på förändringarna under pandemin. Det som har saknats i forskningen är ett perspektiv på utvecklingen av organisationsdesign över tid. Denna uppsats bidrar till att fylla detta kunskapsgap genom en fallstudie av ett medicinskt tillverkningsföretag. Två forskningsfrågor behandlas, den första frågan fokuserar på hur individer på olika positioner i företaget uppfattade förändringar i organisationsdesign under pandemin. Med utgångspunkt i Jay Galbraiths Star Model visar uppsatsen att uppfattningar om förändringar skiljer sig åt mellan olika positioner, särskilt med avseende på personaltillväxt, struktur, kommunikation, belöningar och rekryteringsprocesser. Den andra forskningsfrågan behandlar hur organisationsdesignen utvecklats i ett stigberoende perspektiv.Vissa förändringar, som rutiner för hantering av Covid-19 och specifika belöningsmodeller, fasades ut, medan andra, som distansarbete, digitalisering, hybridarbetsmodeller och vissa strukturella förändringar, förblev permanenta. Uppsatsen bidrar till en ny förståelse för hur en svarta svan-händelse kan påverka organisationsdesign inom ett företag och ger rekommendationer för beslutsfattande under kriser samt betonar betydelsen av organisationsresiliens och förändringshantering. Studiens teoretiska bidrag ligger i kombinationen av stigberoendeteori och omvandling under en extern kris av svart svan-typ.

A Longitudinal Examination of How Hospital Provision of Home Health Services Changed after the Implementation of the Balanced Budget Act of 1997: Does Ownership Matter?

By using a natural experiment approach and longitudinal national hospital data, this study sheds light on the objective functions of hospitals with different ownership forms by comparing their relative reductions in HH provision after the implementation of the BBA. The empirical findings reveal that for-profit hospitals behave differently as compared to public and private nonprofit hospitals, due to their different operational objectives. While the response of for-profit hospitals is consistent with the profit-maximizer model, both public and private nonprofit ownership types behave consistently in accordance with the model of two-good producers whose objective is to maximize market outputs for meeting the health care needs of the community, given the break-even requirement. This finding provides support for the tax exemption the United States government has granted private nonprofit hospitals. Although the response patterns of the nonprofit ownership types are in general similar, this study found that, contrary to expectation, religious hospitals were more likely than secular nonprofit hospitals to have reduced HH provision after the BBA. Further studies are needed to explore the difference in operational behaviors between these two ownership types. Built on previous related studies and applying a more comprehensive set of independent and control variables with improved data sources, this study is able to examine the effects of certain organizational and market factors on hospital offering of HH care pre-BBA and the change in the provision of HH care in the six years following the implementation of the BBA. Hospital proportion of Medicare patients, hospital size, total profit margin, case mix index, elderly density in the market are found to be positive determinants of a hospital’s likelihood of offering HH care. However, these organizational and market factors, in general, play a non-significant role in influencing hospitals’ changes in HH care provision after the implementation of the BBA. In the study, explanations and implications of these finding are discussed. Finally, potential limitations to this study and opportunities for future research are addressed.

Inicialmente, discute-se a Teologia Latino-Americana da Libertação (TdL), tentando investigar seus influxos das Ciências do Social (CdS), as quais forneceram o ferramental necessário para abordar o concreto-pensado sobre o qual a TdL teologizou. Pretende-se mostrar como Rubem Alves abriu mão de uma gramática marxista (realidade penúltima) e assumiu uma linguagem mais abrangente, humanista, interdisciplinar e holística sobre a liberdade e essência humana mediante uma interpretação inovadora de não apenas textos bíblicos e evangélicos, mas também de muitos poetas, teólogos, filósofos e uma gama ampla de outros pensadores sociais. A partir do diálogo interdisciplinar e suas próprias inquietudes e vivências dolorosas, Rubem Alves centralizou o corpo como a prioridade axiológica de seu que-fazer teológico da Libertação. Finalmente, propõe-se uma Teologia lúdica da Libertação mais integral, poética e transcendente a partir do método pastoral tripartido ver-julgar-agir que, além de levar em conta a multidimensionalidade e complexidade da essência humana que o corpo expressa, assume uma linguagem mais dionisíaca e polifônica na busca pela libertação humana não só da servidão econômica, mas de todas as formas de repressão. / [en] This dissertation posits a scriptural and Christian faith-based reflection on Brazilian theologian Rubem Alves innovative Liberation Theology proposal. Initially, we examine Latin American Liberation Theology (abbreviated TdL herein) and attempt to trace how it was influenced by the Social Sciences (abbreviated CdS herein) which supplied Liberation Theology with the necessary tools for theologizing the thought concrete. We aim to show how Rubem Alves cast off a Marxist grammar (penultimate reality) in lieu of a broader, more humanistic, interdisciplinary and holistic discourse regarding human freedom and personhood by innovatively interpreting not only Biblical and Gospel texts but also those of poets, theologians, philosophers and a wide range of other social thinkers. From his interdisciplinary dialogs, his personal soul-searching and painful life experiences, Alves centered the body as the axiological priority of his Liberation Theology undertaking. Finally, we propose a more holistic, poetic, playful and transcendental Liberation Theology based on the threefold see-judge-act pastoral process that, beside focusing on the multidimensional and complex human personhood the body expresses, incorporates a more Dionysian and polyphonic discourse in its search for not only human economic freedom, but freedom from all forms of repression. / [es] En esta tesis, se propone una reflexión a la luz de las Sagradas Escrituras y de la fe cristiana sobre la innovadora propuesta de la Teología de la Liberación del teólogo brasileño Rubem Alves. Se analiza primero la Teología de la Liberación en América Latina (aquí abreviada como TdL), tratando de investigar la influencia que sufrió de las Ciencias Sociales (aquí abreviadas como CdS), las cuales le prestaron las herramientas necesarias para teologizar sobre lo concreto-pensado. Se pretende mostrar cómo Rubem Alves abandonó una gramática marxista (penúltima realidad) y asumió un lenguaje humanista, interdisciplinario e integral más amplio sobre la libertad humana mediante una interpretación innovadora, no sólo de los textos bíblicos y evangélicos, sino de muchos poetas, teólogos, filósofos y una amplia gama de otros pensadores.
