IN ENGLISH Criminal liability for breach of the duty of due managerial care The aim of this thesis is to analyze the duty of due managerial care and its attributes for the members of the statutory bodies of the capital companies including the rule of entrepreneurial judgment, the instructions of the General Meeting, the delegation of powers of the statutory body of entrepreneurial judgment and the criminal law aspects of the violation of the care of a goodman. The diploma thesis consists of four chapters. The first chapter briefly describes the basic issues of capital companies. The second chapter deals with the duty of due managerial care of the statutory bodies of capital companies and its attributes, emphasizing the changes brought about by the recodification of private law. First, the duty of loyalty is analyzed, as one of the basic stones of duty of care of a good manager, then attention is paid to the expected care and the approach of its definition. The third chapter deals with general parts of criminal law, which first deals with the possibility of using criminal law, and the attention is then paid to the subjective side and unlawful circumstances. A lentidão processual é um indicador de ineficiência da justiça e também uma de suas causas. A normal duração dos processos cíveis está comprometida por uma série de fatores, tais como o aumento da litigiosidade, a falta de infraestrutura dos órgãos judiciários e insuficiente utilização das novas tecnologias da informação, a deficiente formação dos juízes e advogados e, particularmente, a falta de efetiva repressão às más condutas dos sujeitos processuais. Este trabalho tem por escopo identificar as condutas processuais irregulares causadoras ou contributivas para a morosidade e traçar parâmetros objetivos para sua repressão. Para tanto, foram estudados os principais aspectos relativos ao comportamento abusivo dos sujeitos processuais que violam o direito à razoável duração do processo e trazem prejuízos processuais e extraprocessuais, tanto às partes envolvidas no litígio, quanto à dignidade da jurisdição. O trabalho busca demonstrar, portanto, que ética, compromisso e cooperação são peçaschave na solução do intrincado problema da lentidão processual e que, para resolvê-lo, não são necessárias alterações legislativas: a adequada aplicação dos atuais mecanismos repressores das condutas iníquas, à luz desses valores, é suficiente para a garantia da razoável duração do processo. / The slowness of judicial procedures is a symptom of the inefficiency of justice and is also one of its causes. The usual duration of civil proceedings is jeopardized by a number of factors, such as the increase in litigiousness, the lack of infrastructure of the judiciary bodies and insufficient use of the new information technologies, the deficient educational level of judges and lawyers, and particularly the absence of an effective repression to abusive conducts of the parties to a lawsuit. The scope of this paper is to identify the improper procedural practices that give rise or contribute to the slowness of justice and to establish objective parameters to repress it. For such purpose, a study was performed on the main aspects related to abusive practices carried out by the litigants, which infringe the right to a reasonable length of proceedings, and bring about an adverse effect in court and out of court, both to the parties involved in the litigation and to the dignity of the jurisdiction. Therefore, the paper searches to demonstrate that ethics, commitment, and cooperation are key components to the solution of the intricate problem of procedural slowness, and that no legislative amendments are required to solve it: in light of such values, the proper application of the existing repressive mechanisms for inequitable conducts is sufficient to guarantee the reasonable length of court proceedings.

Text in German / The present thesis undertakes a comprehensive survey and criticak analysis of the concept of duty and its significance in the prose of Siegfried Lenz (born in 1926). It concentrates on those novels and narratives in which duty is the main motif; these are Schwierige Trauer (1960), Das Feuerschiff (1960), Deutschstunde (1968) and Ein Kriegsende (1984). After an introduction which outlines the development and the influence of the concept of duty in Germany, the thesis deals with Lenz's prose in chronological order. Siegfried Lenz's main motif is the significance of the concept of duty within the moral code of the individual, the specific meaning and influence of which has been developed in Germany. Lenz does not deny that duty is a necessary element of the process of socialization. But he rejects the unreflected and uncritical acceptance of a dubious morality based on a sense of duty, at the expense of individuality and responsibility for oneself. It is a deformed understanding of duty which Lenz exposes and criticizes in his work: a characteristic mark of submissiveness and slavish obedience ("Untertanengeist und Kadavergehorsam"). These distortions are determined by political-historical events, theological dogmas, philosophical theses and an authoritarian upbringing. The reasons for the attitudes and behaviour of Lenz's fictitious characters have their roots in those factors. Lenz always insists on reflection. He refuses the uncritical acceptance of a morality based on duty, which allows a person to avoid his or her responsibility. However, Siegfried Lenz neither attempts to construct a social background nor does he offer recipes for a new social order. Rather he restricts himself to the sceptical questioning of norms and values, which are maintained by authority. The author creates a conflict in a hermetic environment, for example a ship or a small village, in which his fictitious characters have to prove themselves. By confronting his readers with such an extreme situation and the protagonists' questionable decisions, Lenz forces his public to reconsider their own position. This diploma thesis deals with the regulation of the duty of due managerial care of members of a governing body of a limited company. The aim is to evaluate Czech national law with respect to the relevant British law rules. Another objective is to propose de lege ferenda amendments to current state of law. The thesis is divided into three chapters The first chapter defines the duty of due managerial care and the content of duties imposed on members of a governing body of a company in Great Britain. Judicial decisions of both jurisdictions reveal that directors are not expected to have a knowledge possessed by a specialist. However, good general knowledge is required. Subsequently, the dual objective / subjective standard is introduced. Lord Hoffmann borrowed the test set by the Insolvency Act 1986 and stated that such a test should not just apply during insolvency. The second chapter is dedicated to fiduciary duties and the position of duty of loyalty within the scope of due managerial care. The aim is to present the subjective test covering acts exercised to promote the success of a company. La thèse examine la responsabilité civile des dirigeants de sociétés anonymes en droit vietnamien et droit français. Il s’agit d’une première étude académique qui aborde l’état actuel du droit vietnamien de la responsabilité civile des dirigeants des sociétés anonymes et fait des comparaisons avec celui de l’actuel ordre juridique français. Quels avantages pourrait-il y avoir à aborder une étude du droit vietnamien touché par des illustrations en droit français ? Les deux pays sont proches sur le plan juridique. Le droit de la responsabilité civile des dirigeants de sociétés n’échappe pas à cette réalité. La responsabilité civile des dirigeants reste fondée sur la faute, mais elle a connu certaines adaptations. Le système actuellement existant dans chacun des deux pays s’est vu par ailleurs complété par des nouvelles sources, justifiées par la mondialisation. Le droit français est très riche en illustrations jurisprudentielles alors que le droit vietnamien est purement théorique et caractérisée par les nouveaux concepts prêtés des principes proposés par la doctrine anglo-saxonne du gouvernement d’entreprise. Ainsi, la conclusion qui s’en dégage est que certaines dispositions du droit français pourraient utilement inspirer le législateur vietnamien et vice versa. / The thesis examines the personal liability of public limited companies directors in Vietnamese law and French law. This is the first academic literature that addresses the current rules on the civil liability of directors of limited companies in Vietnamese law. What benefit is there be to conduct a study of Vietnamese law affected by French law? The two countries are close in law. The law of civil liability of corporate directors does not escape from this fact. Liability of director remains based on fault, but it has experienced some adaptations. The existing system in each country was also supplemented by new sources which are justified by globalization process. French law is then very rich jurisprudential illustrations while Vietnamese law is purely theoretical and characterized by new concepts borrowed from the corporate governance doctrine of common law. Thus, the conclusion that emerges is that some provisions of French law could usefully inspire the Vietnamese legislator and vice versa.

Video games have become the highest grossing entertainment industry in the world, earning more than double that of the music and film industry combined. Many of these games contain political messages, intentional or not. Some game developers explicitly claim that the games they make are apolitical, and this thesis examines whether Call of Duty: Modern Warfare is as apolitical as its developers claim. The research is conducted with the aid of Barthes’ work on mythologies and semiology to analyse the various signs present in the game in relation to construction of myths and ideological messaging. This is aided by Bogost’s procedural rhetoric to enable the analysis of gameplay choices as a semiological sign. The main theories are supported by Murray’s writing on immersion and the first-person perspective. The analysis shows that Modern Warfare consistently uses signs and myths that construct an ideological message that coalesce into a mythical image of the special forces soldier as a sort of human but superhuman character that must be given free rein to perform their mission, while also displaying western politicians as incompetent, the threat of terrorism as omnipresent, and Russia as a dangerous threat. Regardless of intent, such a message is undeniably political.

En el presente informe se analizará el Expediente No. 67-2019/CC2, el cual versa respecto a la denuncia presentada por el Señor Carlos Alberto Vidal Kegel contra Costamar Travel Cruise & Tours S.A.C. ante el Indecopi, por un presunto incumplimiento al Código de Protección y Defensa al Consumidor, toda vez que la denunciada se habría negado a efectuar el reembolso del monto total cancelado solicitado por el denunciante respecto de un paquete turístico que adquirió y, sin embargo, no pudo utilizar debido a un accidente en el tobillo.
