The subject matter of this Master's thesis is to describe and to analyze the legislation of the fiduciary duties as well as the related questions such as the business judgment rule and the request on the management decisions. The fiduciary duties represent the standard of acting which must be respected by the member of the elected body during the exercise of the managerial power. The business judgment rule, however, protects the members of the elected bodies from unjustified accusations of the violation of the standard of the acting while in the final consequence represents the protection of the authority to undertake the decisions. The request on the management decision represents an exception from the common rule, solely entrusting the management of the business into the hands of the statutory body. The main aim of this thesis is to describe and to analyze the listed legislations including the crucial questions arising from these issues together with the suggestion of the solutions. The diploma thesis consists of four chapters. First chapter presents the introductory treatise on the implementation of the legal establishment of the corporate governance together with the emphasis on the economical output. 互聯網保險保險人說明義務研究兼論第三方平台責任 / The research on the duty of representation of Internet insurer and the responsibility of the third-party platform丁楚瀟, Ding, Chu Xiao Unknown Date (has links)
進入二十一世紀的第二個十年以來,科技進步推動中國大陸互聯網經濟快速發展,也使得「互聯網+保險」這一商業模式逐漸進入人們的生活。然而在實際運行過程中,中國大陸保險法第17條規定之保險人說明義務並未能在互聯網平台得到很好的實施。實務中,無論是保險公司自營平台或第三方平台,其說明義務履行均未達到保險法、司法解釋以及相關行政法規之要求。
說明義務之立法目的在於糾正保險人與要保人之間的信息偏在,但實際履行中成本過高。而互聯網保險,尤其是其中的O2O保險碎片化、快捷化、小額化之特點,使得該制度的缺點進一步被放大。所以立法應當廢止現行說明義務規範,參酌其他國家或地區立法,代之以信息提供義務。 其中台灣雖然規定有信息提供義務類似規範,但義務違反之責任仍有缺陷。相較之下,本文建議參考德國保險法與歐盟相關指令進行立法,除信息提供義務之外,增訂承保範圍不一致警示義務、要保人撤銷權與商品資訊書相關規範。
中國大陸有大量保險於第三方平台上銷售,相較於保險公司自營平台,第三方平台對於說明義務履行狀況更加令人堪憂,然而卻極少有平台因此而對保險消費者承擔責任。本文認為,在消費領域雖然第三方平台註冊身份有保險代理人與保險經紀人之分,但考量實務運行情況,現階段宜將其統一認定為保險人之代理人。第三方平台作為保險代理人在義務履行有過錯時,仍應因其侵犯保險消費者資訊權之行為,向保險消費者承擔侵權責任。 / From 2010s, scientific and technological evolution promotes the rapid development of Internet economy in Mainland China, and makes the "Internet + insurance" business model become reality. However, the representation duty clause from Article 17 of Insurance Law, does not operate well especially on the Internet. In practice, the explanation on neither the insurance company's own platform nor third-party platform could meet the requests of the insurance law, judicial interpretation and the relevant administrative regulations.
The purpose of the representation duty is to correct the information asymmetry between the insurer and the insured, but actually the cost is too high. And the features of internet insurance, especially those O2O insurance, such as, fragmentation, small amount and quickness, make the situation even worse. Therefore, the legislation should abolish the existing obligation of representation duty, and imitate the legislation of advanced countries, to replace it with duty of providing pre-contractual information. Among those countries or districts, although Taiwan has similar regulations to those in Germany and European Union, it is a pity that it has shortcomings in terms of responsibility. Thus, China should follow the German Insurance Law and European directives to amend the law, add the duty of warning about inconsistencies in the cover clause, withdraw right clause and information sheet clause, in addition to duty of providing pre-contractual information clause.
In Mainland China , there is a large number of insurance products sold on third-party platforms. Compared to insurance companies’ own platforms, the situation on third-party platforms is even more worrying. However it is disappointing that few third-party platforms take their responsibility towards their consumers. As far as I am concerned, although third-party platforms can be registered as insurance agents or insurance brokers, for now they should be identified as insurers’ agents considering the actual situation when the insured is a consumer. When a third-party platform makes a mistake at work as an insurance agent, it can not be exempted from its identity. On the contrary, the third party platform shall bear the tort liability to the consumer for its behavior of violating consumers’ information rights.

Bakgrund: Revisionsplikten var länge obligatorisk för alla aktiebolag i Sverige men avskaffades år 2010 för små aktiebolag som ett led i att förenkla för företagare. Avskaffandet skapade en debatt mellan olika aktörer. Debatten har till stor del handlat om den ekonomiska brottsligheten har ökat efter avskaffandet av revisionsplikten och om nyttan av revisionen, om den är värd vad den kostar. Syfte: Studiens syfte är att bidra med en förståelse för debatten om avskaffandet av revisionsplikten för små aktiebolag i Sverige. Varför och hur har de olika aktörerna valt att agera för att nå ut med sina budskap samt vilka aktörerna vill påverka med budskapet. Studiens bidrag är att fånga de skillnader och likheter som finns i debatten i nuläget och hur debatten har utvecklats mellan åren 2008-2023. Metod: Studien har en kvalitativ ansats och genomfördes med hjälp av metoder som dokumentanalys och av semistrukturerade intervjuer. De mest relevanta dokumenten valdes ut för att de ligger till grund för en stor del av debatten. Det kompletterades med en sammansatt intervjuguide som anpassades för att uppnå studiens syfte. Slutsats: Politik är en grund till varför debatten ser ut som den gör eftersom politikerna har makten att fatta beslut och förändra. Budskapen som aktörerna förmedlar i debatten har olika syften, som visar på skillnader och likheter mellan aktörerna. Debatten har två olika sidor där den ena sidan argumenterar för ett återinförande av revisionsplikten och därmed minska den ekonomiska brottsligheten. Den andra sidan fokuserar på att höja gränsvärdena för revisionsplikt för aktiebolag så att fler företag ska kunna välja bort revision. / Background: The audit duty was for a long time mandatory for all limited companies in Sweden, but was abolished in 2010 for small limited companies as part of simplification for entrepreneurs. The abolition created a debate between different actors. The debate has largely been about whether economic crime has increased after the abolition of the audit duty and about the benefit of the audit, whether it is worth the cost. Purpose: The purpose of the study is to contribute to an understanding of the debate about the abolition of the audit duty for small limited companies in Sweden. Why and how have the various actors chosen to act in order to reach out with their messages and who the actors want to influence with the message. The study's contribution is to capture the differences and similarities that exist in the current debate and how the debate has developed between the years 2008-2023. Method: The study has a qualitative approach and was carried out using methods such as document analysis and semi-structured interviews. The most relevant documents were selected because they form the basis of a large part of the debate. It was supplemented with a composite interview guide that was adapted to achieve the purpose of the study. Conclusions: The politics is a foundation for why the debate looks the way it does because the politicians have the power to make decisions and change. The messages that the actors convey in the debate have different purposes, which show differences and similarities between the actors. The debate has two different sides, with one side arguing for a reintroduction of the audit duty and thereby reducing financial crime. The other side focuses on raising the threshold for audit obligation for limited companies so that more companies can opt out of audit.

Målet med arbetet var att undersöka hur enskilda gatlyktor skulle kunna utrustas med ljussensorteknik för att implementera automatisk dimring med syftet att sänka energianvändningen. Rapporter visar att väg- och gatubelysningen i Sverige stod för 626 GWh år 2016 samt att en stor del av ljuspunkterna fortfarande består av energikrävande högtrycksnatrium. Uppgifter visar även att energisnåla LED-armaturer blir alltmer förekommande som alternativ till högtryckslampor. Målet var att utveckla en prototyp för LED där funktionen bygger på att lysdioderna ska vara släckta när omgivningens ljusstyrka är hög och dynamisk dimras upp när omgivningens ljusstyrka minskar. Arbetet resulterade i en prototyp som fungerar tillfredsställande och efter uppsatta mål. Varje ljussensor läser in ett analogt mätvärde som tolkas av en mikrokontroller som sedan skickar en pulsbreddsmodulerad signal för styrning av lysdiodens belysningsnivå. Generellt visade arbetet att omfattande fortsatta studier behöver göras innan prototypen skulle kunna implementeras i verkligheten. Prototypen behöver även testas och kalibreras i utomhusmiljö med dagsljus. / The goal of this thesis was to investigate how individual streetlights could be equipped with light sensor technology to apply an automatic dimmer function with the purpose of reducing energy usage. Studies show that road and streetlights in Sweden accounted for 626 GWh during the year 2016 and that a large portion of the lights still consists of energy demanding high pressure sodium lamps. Reports also show that energy efficient LED is becoming more and more common as an alternative to high pressure lamps. The goal was to develop a prototype for LED lighting with the function to control the LED’s to be off when the surrounding light levels are high and to dynamically increase the output power when the surroundings light level go down. Each light sensor reads an analog value which is interpreted by a micro controller that sends a pulse width modulated signal to control the LED power output. The finished prototype worked satisfactory and according to the set goals of the thesis. Generally, the thesis showed that extensive research is needed before the prototype could be implemented in real life. The prototype also needs to be tested and calibrated in an outdoor environment with day light.

Contribution to the Assessment of the Potential of Low Viscosity Engine Oils to Reduce ICE Fuel Consumption and CO2 EmissionsRamírez Roa, Leonardo Andrés 02 November 2016 (has links)
[EN] The automotive industry is currently experiencing one of its most rapidly
changing periods in recent decades, driven by a growing interest in reducing the
negative environmental impacts caused by fossil fuels consumption and the resulting
carbon dioxide (CO2) emissions generated during the operation of the
internal combustion engine (ICE) which have proven to contribute significantly
to Global Warming.
Given the fact that a total replacement of the current fleet, dependent of fossil
fuels, is unlikely to happen in the immediate future and the urgency to reducing
CO2 emissions from transportation in order to tackle Global Warming, it is possible
to say that optimizing current ICE technologies and conventional vehicles
and engines is a first order priority. Among the technical solutions developed to
improve the efficiency of ICE, low viscosity engine oils (LVEO) have emerged as
an effective and low-cost method that provides reductions in fuel consumption
between 0.5% and 5%.
During the development of this thesis, a test plan focused on determining
fuel consumption reduction when low viscosity oils are used in light duty vehicles
(LDV) and heavy duty vehicles (HDV) were carried out. The test plan has been
divided in three parts; the first part was focused on the study of light-duty vehicles
(LDV) using one diesel engine representative of the European market. During this
part three testing modes were used: comparative motored, fired stationary points
and transient homologation cycle tests. All test were performed in the engine
test bed. The second part of the study consisted of another comparative test,
this time using a different engine oils in a HDV fleet. The study was conducted
using the urban buses fleet of the city of Valencia, including 3 buses models ,
with 2 different powertrain technologies. The third part of the study was focused
on the friction coefficient behavior within the engine tribological pairs making
comparative tests in two specialized tribometers; one of reciprocating action to
simulate the lubrication conditions in the piston ring-cylinder liner contact and
a "ball-on-disk" tribometer to simulate the lubrication in the distribution system.
The various comparative studies have served to analyze how the friction and fuel
consumption responded when LVEO were used both in the ICE and the complete
vehicle contexts. The fuel consumption benefit found during the test was used to
calculate the carbon footprint reduction when LVEO were used. / [ES] Actualmente la industria de la automoción vive uno de los periodos de cambio
más vertiginosos de las últimas décadas, marcado por un creciente interés en
reducir los impactos medioambientales negativos generados por el consumo de
combustibles fósiles y sus consecuentes emisiones nocivas de dioxido de carbono
(CO2) generados durante el funcionamiento del motor de combustión interna
alternativo (MCIA).
Teniendo en cuenta que el proceso de sustitución de la flota actual por una totalmente
independiente de los combustibles fósiles puede tomar varias décadas,
y ante la urgencia inmediata de reducir las emisiones de CO2, se puede decir que
actualmente es más urgente hacer una optimización de los vehículos con motorizaciones
convencionales. Entre las soluciones técnicas que se han desarrollado
para mejorar la eficiencia del MCIA destaca la utilización de aceites de baja viscosidad
como un método efectivo y de bajo coste de implementación que brinda
reducciones del consumo entre el 0.5% y el 5%.
Durante el desarrollo de esta tesis se ha llevado a cabo un plan de ensayos
enfocado en determinar valores concretos de ahorro de combustible esperados
cuando se utilizan aceites de baja viscosidad en vehículos de trabajo ligero y pesado.
El plan de estudios se dividió en tres partes; la primera se centró en el estudio
de MCIA de vehículos de trabajo ligero, utilizando un motor Diesel representativo
del mercado Europeo y llevando a cabo pruebas comparativas en arrastre,
puntos de funcionamiento estacionarios y ciclos transitorios de homologación. La
segunda parte del estudio consta de otro ensayo comparativo, esta vez utilizando
una flota de vehículos de trabajo pesado. El estudio se realizó con la flota de autobuses
urbanos de la ciudad de Valencia, incluyéndose 3 modelos de autobuses,
con 2 tipos de motorización diferente. La tercera parte del estudio se centró en el
comportamiento del coeficiente de friction en los pares tribológicos del motor haciendo
ensayos comparativos con tribómetros especializados; uno de movimiento
alternativo para simular las condiciones de la interfaz piston-camisa y un "bola y
disco" para simular la lubricación en el sistema de distribución, específicamente
en la interfaz leva-taqué.
Los diversos estudios comparativos han servido para analizar como es la respuesta
general de la fricción y el consumo de combustible cuando se usan aceites
de baja viscosidad, tanto a nivel de motor como para la totalidad del vehículo, encontrando
diferencias de par en los ensayos de arrastre, de consumo específico de
combustible en los ensayos de motor en estado estacionario y diferencias totales
de consumo de combustible en los ensayos en régimen transitorio y en flota, que
a su vez han permitido estimar la reducción esperada en la huella de carbono. / [CA] Actualment la indústria de l'automoció viu un dels períodes de canvi més vertiginoses
de les últimes dècades, marcat per un creixent interès en reduir els impactes

el funcionament del motor de combustió interna alternatiu (MCIA).
Tenint en compte que el procés de substitució de la flota actual per una totalment

més urgent fer una optimització dels vehicles amb motoritzacions convencionals.

s'utilitzen olis de baixa viscositat en vehicles de treball lleuger i pesat. El pla
d'estudis es va dividir en tres parts; la primera es va centrar en l'estudi de MCIA
de vehicles de treball lleuger, utilitzant un motor dièsel representatiu del mercat
Europeu i portant a terme proves comparatives en arrossegament, punts de
funcionament estacionaris i cicles transitoris d'homologació. la segona part de
l'estudi consta d'un altre assaig comparatiu, aquest cop utilitzant una flota de vehicles
de treball pesat. L'estudi es va realitzar amb la flota d'autobusos urbans
de la ciutat de València, incloent-se 3 models d'autobusos, amb 2 tipus de motorització
diferent. La tercera part de l'estudi es va centrar en el comportament
del coeficient de friction en els parells tribològics del motor fent assajos comparatius
amb tribómetros especialitzats; Un acció reciprocante per simular les condicions
del piston camisa i un bola i disc per simular la lubricació en el sistema de
distribució.
Els diversos estudis comparatius han servit per analitzar com és la resposta
general de la fricció i el consum de combustible quan es fan servir olis de baixa
viscositat, tant a nivell de motor com la totalitat del vehicle, trobant diferències

Airline crew pairing optimization problems and capacitated vehicle routing problemsQiu, Shengli 11 April 2012 (has links)
Crew pairing and vehicle routing are combinatorial optimization problems that have been studied for many years by researchers worldwide. The aim of this research work is to investigate effective methods for solving large scale crew pairing problems and vehicle routing problems. In the airline industry, to address the complex nature of crew pairing problems, we propose a duty tree method followed by a primal-dual subproblem simplex method. The duty tree approach captures the constraints that apply to crew pairings and generate candidate pairings taking advantage of various proposed strategies. A huge number of legal pairings are stored in the duty tree and can be enumerated. A set partitioning formulation is then constructed, and the problem is solved using a primal-dual subproblem simplex method tailored to the duty tree approach. Computational experiments are conducted to show the effectiveness of the methods. We also present our efforts addressing the capacitated vehicle routing problem (CVRP) that is the basic version of many other variants of the problem. We do not attempt to solve the CVRP instances that have been solved to optimality. Instead, we focus on investigating good solutions for large CVRP instances, with particular emphasis on those benchmark problems from the public online library that have not yet been solved to optimality by other researchers and determine whether we can find new best-known solutions. In this research, we propose a route network that can store a huge number of routes with all routes being legal, a set partitioning formulation that can handle many columns, and the primal-dual subproblem simplex method to find a solution. The computational results show that our proposed methods can achieve better solutions than the existing best-known solutions for some difficult instances. Upon convergence of the primal-dual subproblem simplex method on the giant-tour based networks, we use the near optimal primal and dual solution as well as solve the elementary shortest path problem with resource constraints to achieve the linear programming relaxation global optimal solution.

A sound theory of adjudication and of judicial duty requires or presupposes a sound theory of law and of legal argument. Jurisprudential inquiry is properly grounded not in reflections on conceptual properties of law but in reflections on human goods and needs as understood in a morally articulated theory of practical reason and compactly expressed in the normative concept of the common good. Such reflections confirm that law exists, in its central case, as a means to various types of authoritative co-ordination solutions. The underdetermined nature of (a) the positive requirements of practical reasonableness and the common good and of (b) the appropriate means of enforcing compliance and remedying non-compliance with either these requirements or the determinate negative precepts of practical reasonableness entails that a practically necessary aspect of the positive law’s role is constituting the requirements of justice, i.e. of what is due to whom generally and in particular situations (including situations where an injustice has been or is alleged to have been done). As a distinct and practically necessary mode of legal co-ordination for the common good, adjudication, in its central case, answers litigated questions of justice by applying all relevant law in accordance with the legal system’s practice of legal argument. Thus adjudication is performed by authoritative law-applying institutions precisely because it is about answering questions of justice, and not despite that fact. Theories of law developed on the assumption that it is possible to understand the ‘what’ of law without reliance on any moral judgments deny any practically necessary connection between (a) the promotion of justice and the common good and (b) the nature of law, in its central case, and, hence, the adjudicative application of the law. In the absence of this connection a judicial duty to do justice according to law is unintelligible.

Personer som utför skiftarbete ingår i en riskgrupp för hälsorelaterade påfrestningar som resultat av en svårighet att utveckla personliga rutiner för kost, vila och friskvård. Nautiker som arbetar på fartyg där tvåvaktssystem om sex timmar tillämpas ingår således i denna riskgrupp där arbetet i regel förläggs koncentrerat över en längre tidsperiod. I denna studie presenteras en undersökning om hur personer med erfarenhet av tvåvaktssystem upplever förutsättningarna för att skapa sunda rutiner för vila, kost och friskvård. Resultatet är en berättelse om upplevda förutsättningar och i det har följande två intressanta slutsatser framkommit: Respondenterna upplever att frivaktens teoretiska tidsrymd för återhämtning inte överensstämmer med verkligheten varpå sömn och kost prioriteras medan behovet av friskvård blir lidande. Personliga rutiner är avgörande men förutsättningarna för att skapa sunda rutiner för vila, kost och friskvård står i direkt relation till möjligheten att få sin frivakt ostörd från beordrade driftrelaterade arbetsmoment. / Persons that perform shift work are part of a risk group for health related stress as result of difficulties with developing personal routines for eating, sleeping and physical wellness. Sailors that work in ships where a two watch system with 6 hour watches is applied are therefore included in this risk group where work is generally concentrated over an extended period of time. This study presents an investigation on how people with experience in the two watch system with six hour watches, experience the conditions for creating healthy routines for sleep, diet and physical wellness. The result is a story about the perceived opportunities in which the following two interesting conclusions emerged: respondents feel that the off duty period's theoretical timeframe for regeneration doesn't correspond to reality in which the time does not suffice. Hence, sleep and nutrition is prioritized while the need for physical wellness suffers. Personal routines are essential, but prerequisites for developing healthy routines for sleep, diet and wellness are directly related to the possibility of having the off duty period undisturbed from ordered operational tasks.

Improved Functionality for Driveability During Gear-Shift : A Predictive Model for Boost Pressure Drop / Förbättrad Funktionalitet för Körbarhet vid Växling : En Prediktiv Modell för LaddtrycksfallBrischetto, Mathias January 2015 (has links)
Automated gear-shifts are critical procedures for the driveline as they are demanded to work as fast and accurate as possible. The torque control of a driveline is especially important for the driver’s feeling of driveability. In the case of gear-shifts and torque control in general, the boost pressure is key to achieve good response and thereby a fast gear-shift. An experimental study is carried out to investigate the phenomena of boost pressure drop during gear-shift and gather data for the modelling work. Results confirm the stated fact on the influence of boost pressure drop on gear-shift completion time and also indicate a clear linear dependence between initial boost pressure and the following pressure drop. A dynamic predictive model of the engine is developed with focus on implementation in a heavy duty truck, considering limitations computational complexity and calibration need between truck configurations. The resulting approach is based on a mean value modelling scheme that uses engine control system parameters and functions when possible. To be able to be predictive, a model for demanded torque and engine speed during the gear-shift is developed as reference inputs to the simulation. The simulation is based on a filling and emptying process throughout the engine dynamics, and yields final values of several engine variables such as boost pressure. The model is validated and later evaluated in comparison to measurements gathered in test vehicle experiments and in terms of robustness to input and model deviations. Computer simulations yield estimations of the boost pressure drop within acceptable limits. Consid- ering estimations used prior to this thesis the performance is good. Input deviations and modelling inaccuracies are found to inflict significant but not devastating deviations to the model output, possibly more over time with ageing of hardware taken into account. Final implementation in a heavy duty truck ecu is carried out with results indicating that the current implementation of the module is relatively computationally heavy. At the time of ending the thesis it is not possible to analyse its performance further, and it is suggested that the module is optimized in terms of computational efficiency.
