A public-private partnership initiative for the rebuilding of the Tshwane municipal headquarters : City of Tshwane, South Africa

Thesis (MDF)--Stellenbosch University, 2014. / ENGLISH ABSTRACT: South Africa boasts significant cumulative public-private partnership experience when compared to other African countries. However, little has been done to investigate the success and failure of implemented projects versus those registered on the National Treasury database. There is a limited amount of documented progress of public-private partnerships in South Africa, these being successes and failures in project implementation as well as the contributing factors for such outcomes, and these would serve as critical lessons for future partnerships. The main objective of this study is to investigate the challenges faced in the implementation of municipal public-private partnerships, especially concerning the City of Tshwane’s accommodation public-private partnership. A case study approach was adopted, reviewing the City of Tshwane’s public-private partnership initiative by looking at some of the reported challenges faced as well as the process followed during the implementation of the project. The results of this research assignment indicate that major strides have been made in acquiring sufficient experience and knowledge relating to public-private partnerships as they relate to the South African environment, and the main project team members, who have been involved long enough to understand the objectives of the project. However, of concern is the constant change of project team members taking into account that for each project phase a new team is established. The implication of this is that project knowledge may be lost due to changes in the structure of the project team. It should be noted that at the submission of this assignment the City of Tshwane accommodation public-private partnership was still in progress and in the initial stages of physical construction.

The impact of privatisation on socio-economic rights and services in Africa: the case of water privatisation in South Africa.

This study generally centres on the debate about the impact of privatisation on socio-economic rights and services. The specific objective of the study is to establish whether the privatisation of water services in South Africa has led to denial of access, either through the lack of availability of a commercialised, cost-recovery service, or denial of access because of hight rates and resultant inability to pay. The study analysed how this has impacted on the states constitutional and international human rights obligation and how the resultant problems can be addressed. It examines whether or not privatisation, which is basically aimed at improving service delivery and bringing countries in line with globalisation principles, has actually achieved that objective.

The main aim of this diploma thesis is to provide a comprehensive analysis of selected institutes related to the tender price in the award procedures of public contracts in the light of the new Act No. 134/2016 Coll., on public procurement, with its main focus on evaluation of impacts of the new legislation and identification of its potential risks, while its partial focus lies in comparison with previous legislation, i.e. Act No. 137/2006 Coll., on public procurement, as amended, and assessment of usage of up to now decision practice of the Office for the Protection of Competition and case law of administrative courts. The first chapter deals with a brief overview of the public procurement legislation, its aims and purposes and identification of elementary characteristics of the award procedures of public contracts. The subject of the second chapter is to analyze preliminary market consultation from the general point of view and simultaneously to provide an analysis with a focus on its application, practical execution, benefits and drawbacks related thereto and its influence on the procurement procedures. Les contrats publics à l'épreuve de l'aléa en droit anglais et français / Public contracts facing unforeseen and uncertain events in English and French Law

La question du traitement de l’aléa affectant les contrats publics semble opposer de façon « incommensurable » les droits anglais et français. Si le droit français est doté de règles de droit objectif permettant, dans l’intérêt général, le traitement de l’aléa affectant les contrats publics sans accord des parties, rien de tel n’existe en droit anglais ou la règle de la force obligatoire commande l’intangibilité de l’accord initial. La comparaison anglo-française permet, grâce à cet antagonisme, de mettre en exergue les ressorts profonds du traitement de l’aléa affectant les contrats publics au travers de l’opposition théorique entre force obligatoire et intérêt public. Dans cette perspective, les règles générales permettant, en droit français, le traitement de l’aléa sans accord des parties apparaissent comme étant fondées sur une conception économique et téléologique du contrat et de sa force obligatoire, que l’on peut également identifier dans certains aspects du droit anglais des contrats. En outre, le mode de traitement de l’aléa priviligié en Angleterre aussi bien qu’en France est l’accord de volontés – initial ou subséquent. Néanmoins, les possibilités de modification du contrat en cours d’exécution sont drastiquement limitées par le droit de l’Union européenne. A l’inverse, les stipulations initiales qui tendent à ériger, du fait de la généralisation des clauses standardisées, un régime contractuel autonome de traitement de l’aléa, apparaissent désormais comme le mode incontournable d’adaptation des contrats publics en cours d’exécution. / The question of the treatment of uncertain/unforeseen events affecting public contracts seems to oppose in an immeasurable way English and French laws. While, in French law, general rules provide, in the public interest, the treatment of uncertain/unforeseen events affecting public contracts without the consent of the contractors, no such provisions exist in English law, where the sanctity and intangibility of contract prevails. Thank to this antagonism, the proposed comparison enables to highlight the deep motivations of the treatment of uncertain/unforeseen events affecting public contracts, through the theoretical opposition between sanctity of contract and public interest. In this respect, the general rules allowing, in French law, the treatment of the uncertain/unforeseen events without the consent of the parties appear to be based on an economic and teleological approach of the contract and its biding force. Surprisingly, the latter approach can also be noticed, in some respects, in the English law of contracts. Moreover, the priviledged mean to treat uncertain/unforeseen events in England as well as in France is the agreement of the parties – whether ex ante or ex post. Nonetheless, the possibilities of variating the contract in the course of its performance have been drastically limited by the European Union law. By contrast, the intial terms which tends to erect an autonomous regime of treatment of uncertain/unforeseen events through the spreading of standard terms appear to be the major and indispensable mean of adaptation of public contracts in the course of their performance.

O princípio da dignidade humana necessita, como em nenhum outro momento, sair do plano etéreo. Direitos meramente de papel em nada contribuem para o verdadeiro avanço civilizacional por todos ambicionado. Para que a humanidade caminhe celeremente para a realização dos valores sedimentados ao longo de um lento processo de consciência política e jurídica que resultou na construção dos catálogos de direitos fundamentais, impreterível se mostra a efetivação plena dos direitos humanos. A convicção da imprescindibilidade da proteção da dignidade humana necessita ser materializada. A questão da efetividade dos direitos fundamentais afeta, com notável magnitude, a proteção jurídica dos trabalhadores. A Declaração de Princípios e Direitos Fundamentais no Trabalho da OIT e os postulados do trabalho decente, saudável e seguro, os quais configuram a definição dos padrões mínimos de direitos trabalhistas no âmbito internacional, não têm sido cumpridos nos diferentes países, comprometendo gravemente a tutela deferida à dignidade do trabalhador. É preciso assegurar a aplicabilidade e a realização dos direitos trabalhistas fundamentais, combatendo os abjetos casos de trabalho em condições análogas à de escravo, de discriminação de trabalhadores, de cerceamento às liberdades sindicais e negociais, de trabalho infantil, inseguro ou em condições indignas, entre inúmeras outras injustas e execráveis situações vivenciadas no ambiente laboral. No cenário econômico globalizado, em que sobressai o capitalismo financeiro, os governos necessitam assumir, como em nenhum outro momento, seu necessário papel na proteção efetiva dos direitos humanos no trabalho. Neste sentido, diante da vinculação à supremacia e à indisponibilidade dos direitos fundamentais como preceptivos essenciais da atividade administrativa no Estado Democrático de Direito, o Poder Público deve exercer sua função de induzir e modelar as condutas sociais. O trabalho acadêmico presente preconiza e defende que os governos devem exercer um papel verdadeiramente ativo, a fomentar e a exigir o efetivo cumprimento dos direitos fundamentais no trabalho, notadamente pela aplicação de instrumentos jurídicos como a cláusula trabalhista nos contratos públicos. A cláusula trabalhista expressa e proclama a emanação da força cogente, vinculante, dos contratos públicos, das disposições contratuais, e revela a capacidade de subtrair os direitos subjetivos do plano abstrato, formando uma conexão real e obrigatória, alicerçada em obrigações particularizadas, diretamente imponíveis, destinadas à realização dos direitos fundamentais no trabalho e da proteção da dignidade do trabalhador, incorrendo o infrator de seus comandos, na imediata aplicação de sanções. Por conseguinte, produz implicações jurídicas materiais para a proteção do trabalho. Os contornos da concepção contemporânea do contrato público socialmente responsável demandam a adoção da cláusula laboral para a afirmação dos direitos fundamentais no trabalho. As características e particularidades do novo regime jurídico em que se inserem os contratos administrativos exprimem e legitimam a plena pertinência e juridicidade da adoção da cláusula social trabalhista em seu núcleo. Neste contexto, a realização dos padrões internacionais de proteção ao trabalhador é condição mandatória para o desenvolvimento sustentável. A contratação pública socialmente responsável que valoriza e concretiza a proteção da dignidade do trabalhador pode, verdadeiramente, influenciar as atividades econômicas, promovendo a justiça social nas relações de trabalho que encerram ao exigir, com ênfase, a formatação de padrões de emprego e ocupação laboral que respeitam os direitos humanos no trabalho. / The principle of human dignity, as never before, has to be pulled out of its ethereal plane. Empty rights do not contribute to the true civilization progress coveted by all. So that mankind walks faster towards the achievement of the values settled along the slow process of political and legal awareness that resulted in the construction of catalogs of fundamental rights, the full effectiveness of legal rights shall not be avoided. The indispensable protection to human dignity must be enforced with conviction. The issue of the effectiveness of fundamental principles significantly affects workers legal protection. The ILO Declaration on Fundamental Principles and Rights at Work and the guidelines on decent, healthy and safe work, which define minimum international labour standards, have not been complied with in different countries, severely compromising the protection to workers dignity. The applicability and enforcement of fundamental labour rights must be guaranteed to fight contemptible cases of slavery-like work conditions, workers discrimination, retrenchment to free labour union and collective bargaining, child labour, unsafe work or under degrading conditions, among several other unfair and infamous situations experienced in the work environment. In a globalized economic scenario, where financial capitalism is emphasized, governments have to assume, as never before, their role in the effective protection of human rights at work. Accordingly, in view of the supremacy and inalienability of fundamental rights as essential principles of administrative activities of the Rule of Law, the role of the Government is to induce and shape social conducts. The present academic paper argues and claims that governments should have a decisively active role, fomenting and enforcing the effective compliance with fundamental rights at work, notably by applying legal instruments as the labour clause in public contracts. The labour clause expresses and affirms the cogent and binding force that arises out of public contracts and contractual provisions, and pulls subjective rights out of their abstract plane, establishing an actual and mandatory connection grounded on specific obligations immediately enforceable and aimed to realize fundamental rights at work and protect the dignity of workers, and applying immediate sanctions on the offender of such legal provisions. Therefore, it produces real and concrete legal developments to labour protection. The outlines of the contemporary conception of socially responsible public contracts require the adoption of the labour clause for the enforcement of fundamental labour rights at work. The characteristics and specificities of the new legal regime, which comprises administrative contracts, express and legitimize the full pertinence and legality of including the labour clause among their provisions. In this context, the compliance with international workers protection standards is mandatory to a sustainable development. Socially responsible public contracts that value and enforce the protection to workers dignity may effectively influence economic activities, promoting social justice in labour relations that emphatically claim for the structuring of employment and labour standards that respect human rights at work.

Since the 1930s, this type of articulation has been adopted, although at the beginning more focused on transfers of financial resources through subsidies and exemptions. The contractualized format of social service management, even though it was nominated as an agreement, had its practice started in the 1960s and was disseminated to countless services and projects of Brazilian public social policy in the three federative entities. To such a point, the dissemination of this management format was denounced, due to its intransparency and lack of social control that flowed into a national audit, from which a new regulatory law flowed: the Regulatory Framework of State- Organizations Relation of Civil Society (MROSC). Thus, this study deals with the examination of the guarantees of social rights that the social assistance services contracted with the CSO, which operate in the Unified Social Assistance System (SUAS), assure their users, in order to highlight and problematize the practice of monitoring the service contracted, performed by the public agent, named by the new MROSC legislation as Manager of the Partnership, or by previous standards as Technical Supervisor, particularizing the management of SUAS in the city of São Paulo. Thus, the study was dedicated to identifying the ways in which the Manager / Technical Supervisor of social assistance services contracted in the city of São Paulo performed their professional work, as well as their main lines of action, through the analysis of normative acts published by the Municipal Secretary of Assistance and Social Development (SMADS). It is concluded that the practice of Partnership Management / Technical Supervision is weak in the city of São Paulo, in view of normative stimuli that direct its professional work, mainly for a centralizing management, with content of work front demarcated by the excess production of as well as by the strong imbalance in the constitution of the social assistance network, the accumulation of functions and power attributed to some CSO that hold the largest number of contracts with the São Paulo management of SUAS. However, despite this weakening, its action may occur within the regulations already built within the scope of the SUAS that consider the monitoring of the public agent as an instrument or mediation with power to articulate the content of the social assistance service contracted with the rights of users. / A presença da prestação contratualizada de serviços socioassistenciais com Organizações da Sociedade Civil (OSC) não é exceção na gestão pública brasileira. Desde os anos 1930, adota-se esse tipo de articulação, ainda que, de início, fosse mais centrada em transferências de recursos financeiros por meio de subvenções e isenções. Entretanto, foi somente nos anos 1960 que o formato contratualizado da gestão de serviços sociais, também denominado de convênio, passou a ser usado para inúmeros serviços e projetos da política social pública brasileira nos três entes federativos. Desde então, disseminou-se esse formato de gestão que, em face de sua intransparência e ausência de controle social, foi objeto de denúncias desaguando, assim, em uma Auditoria de âmbito nacional, da qual fluiu uma nova lei reguladora: o Marco Regulatório da Relação Estado-Organizações da Sociedade Civil (MROSC). Diante deste panorama, este estudo se ocupa do exame das garantias de direitos sociais que os serviços socioassistenciais contratados junto às OSC – que operam no Sistema Único de Assistência Social (SUAS) – asseguram a seus usuários, evidenciando e problematizando a prática de acompanhamento do serviço contratualizado realizada pelo agente público, denominado como Gestor da Parceria pela nova legislação do MROSC, ou como Supervisor Técnico pelas normas anteriores, além de apresentar particularidades da gestão do SUAS na cidade de São Paulo. Com estes objetivos, o estudo se dedicou a identificar as formas do fazer profissional do Gestor da Parceria/Supervisor Técnico de serviços socioassistenciais contratados na cidade de São Paulo, bem como suas principais frentes de atuação, por meio da análise de atos normativos publicados pela Secretaria Municipal de Assistência e Desenvolvimento Social (SMADS). Concluiu-se que a prática de Gestão da Parceria/Supervisão Técnica na cidade de São Paulo está fragilizada, em vista de estímulos normativos que direcionam seu fazer profissional majoritariamente para uma gestão centralizadora, com conteúdo de frente de trabalho demarcado pelo excesso de produção de documentos, pelo forte desequilíbrio na constituição da rede socioassistencial, bem como pelo acúmulo de funções e poder atribuído a algumas OSC que detém maior número de contratos com a gestão paulistana do SUAS. No entanto, apesar desta fragilização, a ação da Gestão da Parceria/Supervisão Técnica poderá ocorrer dentro de normativas já construídas no âmbito do SUAS que consideram o acompanhamento do agente público como um instrumento ou uma mediação com potência para articular o conteúdo do serviço socioassistencial contratado com os direitos dos usuários

La stabilisation des contrats de l'administration par le juge de la validité / The stabilization of contracts by the administrative judge of the validity

En une décennie, le Conseil d’État a profondément modifié les termes de la contestation juridictionnelle des contrats des personnes publiques. À une politique de stabilisation formelle de la chose contractée, agissant sur l’accès au juge du contrat, a succédé une politique de stabilisation matérielle. Le recul du principe d’irrecevabilité des conclusions d’annulation dirigées contre le contrat s’est accompagné d’une rigidification du prononcé de l’annulation. La mise en évidence d’une irrégularité propre à justifier la disparition rétroactive du contrat de l’acte a été volontairement compliquée.Chaque étape de l’instance est affectée par le phénomène de stabilisation. À tous les moments de l’examen du contrat, des techniques juridictionnelles sont susceptibles d’écarter le risque d’annulation rétroactive de l’acte. En cela, la stabilisation est transversale.La doctrine a maintes fois souligné ses manifestations au stade de la sanction du contrat. Dorénavant, en présence d’une irrégularité, le juge du contrat dispose de pouvoirs de sanction différenciés et adaptés à la gravité du vice. En conséquence, le contrat vicié n’est plus nécessairement exposé à l’annulation. Les pouvoirs de sanction qui autorisent un maintien partiel ou total du contrat irrégulier sont caractéristiques de la stabilisation palliative. Mais le conditionnement du régime de l’action contentieuse affecte également l’examen juridictionnel stricto sensu. Le droit de critique du contrat s’exerce à présent dans un périmètre plus réduit qu’auparavant. C’est ainsi que d’autres procédés juridictionnels agissent sur la caractérisation de l’irrégularité. Ils ont pour effet de repousser la déclaration d’irrégularité. Dans cette perspective, la stabilisation est préventive.L’ouvrage propose une étude d’ensemble du phénomène stabilisateur. Suivant la chronologie du procès fait au contrat, la stabilisation préventive est appréhendée avant la stabilisation palliative du contrat. / Within a decade, the Conseil d’Etat deeply changed the terms of the judicial complaints towards public persons’ contracts. A policy of substantive stabilization replaced a former policy of formal stabilization of the res contracted – which was influencing the access to the judge of the contract. The decline of the rule of inadmissibility of the claims for anulment towards the contract came together with a tensioning on the anulment sentencing. The claim for an irregularity justifying the contract retroactive disappearence has been intentionally complicated.Each step of the proceedings is impacted by the phenomenon of stabilization. At each moment of the contract examination, judicial techniques are likely to eliminate the risk of retroactive anulment of the contract. This shows that the stabilization is transversal. Legal doctrine showed many times those occurrences at the step of the penalty on the contract. From now on, facing an irregularity, the judge of the contract may use some powers of penalty, quite different and adapted to the seriousness ouf the irregularity. Thus, the irregular contract is not necessarily supposed to be anulled. Powers of penalty that allow a partial or global maintenance of an irregular contract are typical examples of a palliative stabilization. But the conditioning of the legal action system also impacts the strictly speaking judicial examination of the contract. The right to contest the contract may now be exercised in a more reduced scope. In this way, other legal processes act on the charcaterisation of the irregularity. The serve to reject the statement of irregularity. From this perspective, this is a preventive stabilization.This work provides an overview study of the stabilization phenomenon. Regarding the timeline of the contract trial, the preventive stabilization will is first presented, before the palliative one.

The main object of my diploma thesis is to quantify an amount of costs invested in contracts awarded in conformity with rules stated in the act on public contracts. Theoretical part dwells on contents of directives whereas practical part uses data comparison -- amount of public contracts obtained from Information System and accounting statements obtained from the Creditinfo -- Albertina and Report database accessible from VŠE local network. Commented conclusions of analysis -- determined ratios are low and mostly do not exceeds 50 %. Simultaneously is not possible to determine a rule which could be broadly utilized on specified types of public contracts.

Predicting Public Managers' Readiness for Contracting of Professional Services in a Changing State Government Agency

The extent of work being contracted out in government and the type of work being contracted out is growing in magnitude. Government agencies wrestle with the effect this has on government operations as the daily work of many government employees is changing from that of actually conducting government work to overseeing government contractors who are now providing goods and services for government. In effect, many government employees are becoming contract managers. However, most studies of government contracting sidestep or ignore the role of individual employees in ensuring the success of contractual relationships with the private sector. Scholars in public policy are calling attention to the need to look at theories from organizational change research and apply them to the context of changing government organizations. Furthermore, organizational change theorists stress the importance of studying individuals within organizations that are undergoing transformations. Heeding this advice, this dissertation research uses the theory of readiness for organizational change from organizational change literature to develop a readiness for contracting construct to study how individual government employees respond to increasing contracting out in government. The readiness for contracting construct builds on current debates about government contracting by encompassing perceptions on the extent to which government contracting is needed and the concept of management capacity as two dimensions of the readiness for contracting construct. This study explores the relationship between readiness for contracting in the context of contracting out in government and 11 career path, involvement, and competence factors identified in the literature that may influence an individual s readiness. The results of multiple regression analysis show that an individual s readiness for contracting is positively predicted by an individual s perceptions of personal impact, information about contracting out, and management support. Results of this research support the need for more attention to be given to individual government employees in the context of government contracting from both a theoretical and pragmatic perspective.
