Odpovědnost členů dozorčí rady / Liability of Supervisory Board

This thesis deals with civil liability of the Supervisory Board and its members for breaching his duties. Emphasis is placed on responsibility and legal relationship, whose content is obligation to pay damages, between Supervisory Board and its member and business companies (in the new terminology "business corporation"). This thesis is dealing at first with the legal anchoring of the Supervisory Board as such, the creation and termination of the Supervisory Board and the definition of its living space not only in the relation to corporation, but also to individual shareholders, General Assembly and of course to the Board - including their mutual rights and responsibilities. Thesis is crossed by author's intention to evaluate the active legislation, whose legislative life is coming to an end, and on the basis of that to comment upcoming legislation that at least brings a fresh wind to the corporate life. Shortly is discussed upon by the factual impossibility to prosecute members of the Supervisory Board for crimes associated with their performance.

The role of the Department of Agriculture, Forestry and Fisheries in strengthening existing second-tier agricultural cooperatives in South Africa

The study was undertaken to establish the role that should be played by the Department of Agriculture, Forestry and Fisheries (DAFF) to strengthen existing second-tier agricultural cooperatives in South Africa to ensure that they are able to provide support services to member cooperatives. Ten existing second-tier agricultural cooperatives in the Zululand district of the province of Kwazulu Natal took part in the study. The results indicate that although these cooperatives understand the services to provide, they lack capacity mainly due to lack of the necessary infrastructure, finance and skills. The study recommends that DAFF should recognise the significance of this tier of cooperatives and provide direct and focused support. DAFF should develop a Cooperative Development Strategy for the sector that clearly articulates how it is going to support this level of cooperatives. Among others DAFF should also provide initial infrastructure to these cooperatives and facilitate private-public-partnership initiatives. / Public Administration and Management / M. Tech. Multi-Tier Systems of Support and Their Impact on a Title I School

The purpose of this study was to examine a novel campus-based multi-tier systems of support (MTSS) framework. The framework included a standard-response protocol approach to response to intervention (RTI), integrated with a reversed process to professional learning communities, to support learning for students who were struggling to learn. Using a causal-comparative research design, a secondary analysis of quantitative data from one Title I school of approximately 500 students during the 2016-2018 school years was conducted to determine the level of impact MTSS had on reading achievement. Independent and paired samples t-tests were used to analyze iStation indicators of progress reading scores, resulting in statistically significant results. Kindergarten through 5th grade students' reading scores were significantly higher after one year of MTSS intervention than students who did not receive MTSS. One year of MTSS intervention had a statistically significant impact on both early and intermediate readers. Early readers, who began below grade level, performed significantly higher in reading achievement after just one year of MTSS as well. Intermediate readers, who began on or above grade level did not perform significantly higher in reading achievement after one year of MTSS, however. Possible long-term implications for MTSS were analyzed by comparing one year to two years of MTSS intervention. A consistently significant increase in reading scores occurred, suggesting growth that took place from one year of MTSS was enhanced by an additional year of MTSS. This novel MTSS framework could be used by campus leaders as an intervention to provide equitable learning for all students and yield statistically significant results in reading achievement in one school year. Additional research examining the impact of MTSS on Tier 1 intermediate readers receiving enrichment is recommended.

Die vorliegende Dissertation behandelt sozialpolitische und philosophische Dimensionen des Vegetarismus. Sie thematisiert den Zusammenhang von partiellem Nahrungsverzicht und gesellschaftlicher Realität und die Beziehungen zwischen den Denksystemen vegetarischer Bewegungen und ihrem besonderen Ernährungsstil. Zwei antike kulturelle Formationen werden modellhaft studiert: der religiös-philosophisch-politische Bund der Pythagoreer in den Stadtstaaten des archaischen und klassischen Griechenlands und die vor dem Hintergrund des frühen Christentums zu verortende manichäische Religion in der Spätantike. Am Schluss steht ein Exkurs zu einer dissidenten Formation innerhalb der Moderne: der Monte-Verita-Bewegung. In das Blickfeld der Untersuchung tritt der Zusammenhang von vegetarischer und karnivorer Ernährung mit Opferstrukturen, der Unterscheidung von Mensch und Tier, dem Geschlechtsverhältnis und Erlösungsvorstellungen. Der Protest der Pythagoreer richtet sich gegen die den griechischen Stadtstaat begründenden Tieropfer. Damit verweigern sie die Anerkennung der kulturstiftenden Schuld und stellen gleichzeitig die Differenz zwischen Göttern und Menschen in Frage, indem sie die Rückkehr in ein Goldenes Zeitalter vor der Kultur proklamieren. Unter Bezug auf Heidegger und Freud wird ein Zusammenhang mit der Betonung der Mathematik im pythagoreischen Denken hergestellt. Der Manichäismus erscheint mit seinem zentralen Ritual, dem Heiligen Mahl der Electi, als gnostische Aufklärung des Christentums. Die verschiedenen Theorien und Praktiken der Ernährung im frühen Christentum werden den manichäischen gegenübergestellt und dieser Vergleich wird mit einer Erörterung der Unterschiede im Verhältnis zum heiligen Text verbunden. Bei der Behandlung der Monte-Verita-Bewegung werden ihre Matriarchatsphantasien und die Theorien des dissidenten Psychoanalytikers Otto Gross erörtert. / The present dissertation considers socio-political and philosophical dimensions of vegetarianism. Its topics are the connection between partial food abstinence and social reality and the relations between the thought systems of vegetarian movements and their special eating style. Two cultural formations of antiquity are being studied as models: the religious-philosophical-political movement of the Pythagoreans in the city states of archaic and classical Greece, and the Manichaean religion in late antiquity which has to be situated against the background of early Christianity. The text closes with an excursus on a dissident formation inside modernity: the Monte Verita movement. The scope of the study includes the connection of vegetarian and carnivorous eating with sacrificial structures, the difference of man and animal, gender relations and eschatological notions. The Pythagoreans protest against the animal sacrifices which constitute the foundation of the Greek city state. By this act they refuse recognition of the foundational guilt of civilization und question at the same time the difference between gods and men by proclaiming the return to a Golden Age before civilization. With reference to Heidegger and Freud a connection is made to the emphasis on mathematics in Pythagorean thought. Manichaeism with its central ritual, the Holy meal of the Elect, appears as a gnostically enlightened counterpart of Christianity. The diverse theories and practices of eating in early Christianity are confronted with the corresponding Manichaean ones, and this comparison is connected with a discussion of the differences in the relation to the holy texts. The treatment of the Monte Verita movement discusses its matriarchal fantasies and the theories of dissident psychoanalyst Otto Gross.

Begins with the conceptualization of the precautionary measure institutes, with the anticipation of the legal protection and the injunctions, going by the analysis of its peculiarities, distinctions and similarities. Then, the characteristics features of each guardianship analyzed in this study, highlighting its requirements and entering slowly in its peculiarities. Subsequently, the study addresses the filing of such measures on appellate headquarters, presenting the general theory of resources for, then, treat more specifically the use of the emergency measures also in this procedural sphere. Still, the peculiarities surrounding the new system of emergency measures under the new Code of Civil Procedure project are highlighted. Finally, the conclusions of the study are brought, presenting the corollary of the analysis and showing the most notable similarities and differences about the displayed topic / O presente trabalho tem o intuito de apresentar, de forma analítica, as medidas de urgência existentes no ordenamento jurídico brasileiro, destacando sua utilização no âmbito recursal. Inicia-se pela conceituação dos institutos da medida cautelar, da antecipação de tutela e das liminares, passando-se à análise de suas peculiaridades, distinções e semelhanças. Em seguida, são apresentados os traços característicos de cada uma das tutelas analisadas neste estudo, destacando seus requisitos e adentrando com mais vagar em suas particularidades. Posteriormente, o estudo aborda a interposição de tais medidas em sede recursal, apresentando a teoria geral dos recursos para, em seguida, tratar mais especificamente da utilização das medidas de urgência também nesta esfera processual. An die Musterfertigung von Systemlieferanten stellt sich die besondere Anforderung, Prototypen verschiedener Erzeugnisse, in vielfältigen Kundenvarianten, in jeweils unterschiedlichen Produktreifegraden, parallel zu fertigen. Daraus resultiert eine spezifische Variabilitätsausprägung der Produktionsplanungsparameter, die zu einer hohen Komplexität und Turbulenz in der Ablaufsteuerung einer Musterfertigung führt. Infolgedessen gilt der Planparametervariabilitätsfall Musterfertigung, sowohl in der Theorie als auch in der betrieblichen Praxis, als ein bislang ungelöstes Steuerungsproblem, welches ein hohes Verbesserungspotenzial aufweist. Die vorliegende Arbeit analysiert und beleuchtet diesen Problemfall im Rahmen einer vergleichenden Fallstudienuntersuchung. Aufbauend auf den gewonnenen Erkenntnissen wird ein Konzept zur Steuerung einer Musterfertigung bei Systemlieferanten entwickelt und in seinem Anwendungszusammenhang evaluiert. / Sample production of tier 1 automotive suppliers demands producing simultaneously different product samples in many customised versions and within various maturity levels. The associated variability of the time-phased work content leads to a high degree of complexity and turbulence in the manufacturing process of such a production type. Therefore, sample production control becomes significantly more complicated and most existing control approaches fail in the real world. For this reason the present thesis examines this subject matter by means of a comparative case study. Based on the findings a customized production control concept will be introduced that fully adapts the specific needs of sample production of tier 1 automotive suppliers.
