Rights to property, rights to buy, and land law reform : applying Article 1 of the First Protocol to the European Convention on Human Rights

This dissertation examines the application and effect of Article 1 of the First Protocol to the ECHR in relation to Scots land law reform. Chapter one will reflect on why existing rights to property have come to be challenged. Chapter two sets out the human rights paradigm and scrutinises what rights and whose rights are engaged. Chapter three traces the development of A1P1. Chapter four applies the human rights paradigm to contemporary reforms. Chapter five considers the broader effect A1P1 has had on domestic property law. This dissertation submits that the problem to be overcome is that, in many instances, Scots land law reform has been reduced into a simplistic struggle. A1P1 has been held up as either a citadel protecting landowners or as an ineffective and unjustified right to be ignored. At the core of this debate are competing claims between liberal individualist rights to property and socially democratic, egalitarian goals. This dissertation argues that it is important to move beyond this binary debate. This is not about finding some mysterious "red card" or eureka moment that conclusively shows compatibility or incompatibility. Instead, compatibility will be determined by following a rule-based approach that values rational decision-making and the best available evidence, as well as the importance of democratic institutions. As such, it will be illustrated how future challenges are likely to focus not on the underlying purpose of land law reform but on the macro or micro granularity of Ministerial discretion. In coming to this conclusion, it will be argued that A1P1 has a pervasive influence on the entire workings of all public bodies and, like a dye, permeates the legislative process.

Remedies for dissenting shareholders : a comparison of the current option of personal action and the proposed appraisal remedy under the companies bill of 2008

Thesis / The Companies Bill B61-2008 proposes to introduce appraisal rights into South African law. Appraisal entitles a shareholder to demand payment from the corporate issuer of his shares at a fair cash value in certain instances where major transactions which would change the company's direction have been proposed. It allows a cash exit rather than being coerced into supporting the majority's decision. Arriving at a fair share value is a challenge to appraisal. Presently, under the Personal action, a shareholder who opines that the company's act or omission is unfairly prejudicial or that its affairs are conducted in an unfairly prejudicial manner, may apply to court for an appropriate order. It enables the minority to challenge the majority's decision. Both remedies will be available to dissenting shareholders under the new dispensation and a shareholder must decide which remedy best suits his purposes. Die studie vergelyk die prestasie van 'n koop-en-hou-strategie met die van 'n tydsberekeningstrategie binne die raamwerk van die arbitrasie-prysbepalingsteorie (APT) op die nywerheidsindeks van die Johannesburgse Aandelebeurs (JA). Die periode van die studie is oor twee tydperke, naamlik Januarie 1970 tot September 1987 en Januarie 1989 tot Junie 1997. Die langtermyntendens van die nywerheidsindeks en APT-faktore is bepaal deur die beste nie-reglynige model vir elke tydreeks te vind. Reglynige meervoudige stapsgewyse regressie-ontleding is gebruik om die bewegings van die nywerheidsindeks rondom die langtermyntendens te voorspel. Die sloeringsreekse van die langtermyntendensresidutelling van die APT-faktore en die sloeringsreekse van die eerste-ordeverskiltelling van die langtermyntendensresidutelling is as moontlike voorspellers gebruik. Gegrond hierop is beslissingslyne ontwik:kel wat gebruik is vir die implementering van 'n tydsberekeningstrategie. Aanbevelings vir toekomstige navorsing is die volgende: ( 1) sistematiese risikofaktore, anders as makro-ekonomiese faktore, behoort identifiseer te word wat die voorspellingswaarde van die faktore in die tweede tydperk van die studie kan verhoog; (2) elke stap van die model wat ontwikkel is, behoort op elke indeks van die JA toegepas te word om die risiko-aangepaste opbrengskoers van 'n tydsberekeningstrategie toegepas op elkeen van die indekse met die van 'n koop-en-hou-strategie te vergelyk; en (3) die invloed van transaksiekoste en dividende op die potensiele voordele van tydsberekening moet bepaal word. / The study compares the performance of a buy-and-hold strategy with that of a markettiming strategy in the framework of the arbitrage pricing theory (APT) applied to the industrial index of the Johannesburg Stock Exchange (JSE). The study period is divided into two parts, namely January 1970 to September 1987 and January 1989 to June 1997. The long-term trend of the industrial index and every APT factor is determined by finding the best nonlinear model for each time series. Linear multiple stepwise regression analysis, with the lagged time series of the long-term trend error terms of the APT factors, is used to forecast the movement of the industrial index around its long-term trend. Decision lines were developed to implement a market-timing strategy. The results of the study are as follows: • Where the lagged time series of the long-term trend error terms of the APT factors were used as possible predictors, the risk-adjusted return of a markettiming strategy was 6, 41 percent and 0, 71 percent higher than that of a buyand- hold strategy for periods one and two respectively. • Where the lagged time series of the first-order difference of the long-term trend error term of the APT factors were used as possible predictors, the riskadjusted return of the market-timing strategy was 10,40 percent and 1,04 percent higher than that of a buy-and-hold strategy for periods one and two respectively. The main conclusion of the study is that the APT and a market-timing strategy are theoretically and practically reconcilable on the JSE. The main recommendations of the study are the following: (1) systematic risk factors, other than macroeconomic factors, should be identified in order to increase the forecasting value of these factors in the second period of the study; (2) each step of the model developed in this study should be repeated on every index of the JSE; and (3) the influence of transaction costs and dividends on the potential benefits of a market-timing strategy should be determined. / Business Management / DCom (Sakebestuur)

Las acciones promocionales de las diversas plataformas online logran que el usuario considere realizar una compra no esperada. Sin embargo, en algunas ocasiones sienten temor con respecto al método de pago. Por ello, la mayoría de las empresas tienen certificado de protección de datos para que el usuario confíe en el sitio web y realice el proceso de compra. Estudios anteriores mencionan que las compras generan beneficios de placer a los consumidores online, lo cual hace referencia al valor hedónico. Dichos consumidores son captados por promociones online que incluyen obsequios, puesto que activan los deseos hedónicos. Además, existen usuarios que realizan actividades de compras orientadas a objetivos utilitarios. Dichos consumidores perciben un mayor nivel de riesgo en compras en línea. Por otro lado, existen barreras en las acciones promocionales, ya que algunos usuarios online no están dispuestos a comprar en línea debido a problemas relacionados con la privacidad de sus datos. A partir de ello, se puede interpretar que el comercio electrónico se puede concretar si los consumidores están satisfechos y se sienten seguros en el canal online. La investigación está enfocada en los usuarios que compran promociones de la categoría electrodomésticos en las páginas de ecommerce de los supermercados y tiendas por departamento de Lima metropolitana. El estudio es de tipo cuantitativo basado en una muestra de 400 participantes, los cuales mediante una encuesta se les evaluará su experiencia online. / The promotional actions of the various online platforms make the user consider making an unexpected purchase. However, sometimes they are fearful about the payment method. For this reason, most companies have a data protection certificate so that the user trusts the website and performs the purchase process. Previous studies mention that shopping generates pleasure benefits for online consumers, which refers to hedonic value. These consumers are captured by online promotions that include gifts, since they activate hedonic desires. In addition, there are users who carry out purchasing activities oriented to utilitarian objectives. These consumers perceive a higher level of risk in online purchases. On the other hand, there are barriers in promotional actions, as some online users are not willing to buy online due to problems related to the privacy of their data. From this, it can be interpreted that electronic commerce can be achieved if consumers are satisfied and feel safe in the online channel. The research is focused on users who buy promotions in the household appliances category on the ecommerce pages of supermarkets and department stores in metropolitan Lima. The study is quantitative based on a sample of 400 participants, who through a survey will evaluate their online experience. / Trabajo de investigación

Frente a un mercado cada vez más competitivo en donde la diferenciación en cuanto al valor percibido del bien o servicio es limitada, se consideró relevante evaluar cómo el programa de beneficios individual ayuda a los supermercados a posicionarse como la primera opción de compra y recompra. El programa de beneficios o programa de lealtad es un conjunto de acciones que generan un beneficio para el usuario con el propósito de cambiar de forma general el comportamiento deseado de los clientes y reunir los datos para acciones futuras, estas pueden ser descuentos, cupones, kilometraje y puntos de canje. A lo largo de nuestra investigación identificamos que existían dos tipos de programa de beneficios. El primero es el programa de coalición, el cual brinda una serie de beneficios de recompensa asociada a marcas de otros rubros. En segundo lugar, se tiene al programa de beneficios individual, el cual brinda una serie de beneficios de tipo recompensa asociados a los productos y servicios de la marca anfitrión. Para efecto de la investigación se eligió el rubro de supermercado debido a que es un modelo de negocio que brinda todo tipo de productos y no se ve afectado al margen de la situación coyuntural. Referente al tipo de programa, se consideró pertinente la aplicación del programa de beneficios individual, debido a que en nuestro país los supermercados solo aplican este tipo de programa acorde a sus objetivos de venta y posicionamiento. / In the face of an increasingly competitive market where differentiation in terms of the perceived value of the good or service is limited, it was considered relevant to assess how the individual benefit program helps supermarkets position themselves as the first choice of purchase and repurchase. The benefit program or loyalty program is a set of actions that generate a benefit for the user for the purpose of generally changing the desired customer behavior and gathering the data for future actions, these can be discounts, coupons, mileage and redemption points. Throughout our research we identified that there were two types of benefit programs. The first is the coalition program, which provides a range of reward benefits associated with brands in other industries. The second is the individual benefit program, which provides a range of reward benefits associated with the host brand's products and services. For the purpose of the research, the supermarket category was chosen because it is a business model that offers all types of products and is not affected by the economic situation. Regarding the type of program, the application of the individual benefit program was considered relevant, since in our country supermarkets only apply this type of program according to their sales and positioning objectives. / Trabajo de investigación

While an end-to-end digital supply chain is an opportunity as it unleashes the next level of strategic growth and involves minimal investment in infrastructure, it is still a challenge to optimize and transform. Furthermore, the recent pandemics and geopolitical disruptions of Covid-19, the Ukraine-Russian war, Brexit and the US-China trade war; have structurally changed the global economy and revealed a new risk assessment that will result in the re-introduction of buffers, boundaries across industries and a partial return to regionalization with sort of de-globalization in which existing just-in-time getting replaced by just-in-case strategy.

Incidencia del derecho en la creación y funcionamiento de las Joint Ventures. Análisis de la organización jurídica de las Joint Ventures en la Unión Europea, con especial referencia a España

La trascendencia práctica del tema del régimen jurídico de las joint ventures es indudable. En los Estados miembros de la Unión Europea, y más especialmente en España, las joint ventures remiten a una idea de mayor eficiencia económica, permitiendo a las empresas formar alianzas entre ellas, y así mejorar su competitividad, adaptando sus estructuras a las dimensiones crecientes de los mercados europeos y mundiales.Las joint ventures no están reguladas como tales en ninguna legislación nacional europea. El derecho comunitario se concentra por su parte en el análisis de los efectos de estas operaciones sobre la competencia. Las joint ventures adquieren en la práctica, únicamente, su contenido jurídico.Este estudio tiene por objetivo presentar un análisis a la vez teórico y práctico del régimen jurídico de las joint ventures, intentando definir el "valor añadido" del trabajo del jurista profesional cuando interviene en la creación y el funcionamiento de las joint ventures. La adopción de esta óptica funcionalista permite integrar el análisis de los diversos aspectos jurídicos de las joint ventures, sus estructuras contractuales y societarias así como su tratamiento en derecho de la competencia, que se abordan tradicionalmente en estudios separados, e insistir en la interelación existente entre las diversas ramas del derecho afectadas. Este estudio se concentra esencialmente en las cuestiones planteadas por las joint ventures en el ámbito del derecho de las obligaciones y del derecho societario.El jurista profesional desempeña, en primer lugar, una función de naturaleza organizativa, creando un conjunto de reglas obligatorias (reglas jurídicas) para todas las empresas participantes en la operación, de acuerdo con sus intereses estratégicos. El resultado puede ser, por ejemplo, la conclusión de un simple contrato, la constitución de una AEIE o la de una sociedad de capital. La complejidad de la organización jurídica de la joint venture impide estudiar de manera separada, como dos piezas aisladas, el llamado acuerdo de base de la joint venture por un lado, y la sociedad eventualmente constituida, la llamada filial común, por otro. El hecho de no entender la filial común como parte de un todo unitario y más complejo no permite describir correctamente las especialidades del régimen aplicable a dicha sociedad frente a sociedades constituidas en otros contextos económicos. La organización compleja de las joint ventures se diferencia de otros negocios jurídicos complejos por razón de su finalidad económica específica, la de establecer una alianza entre empresas. Tal como indica el derecho comunitario de la competencia, la joint venture es una operación en la que: (i) participan dos o más empresas independientemente activas en el mercado; (ii) se agrupan recursos necesarios al desarrollo de una actividad económica común en el seno eventualmente, pero no obligatoriamente, de una entidad separada (la llamada empresa común"); (iii) las empresas participantes ejercen un control conjunto sobre dicha actividad económica común. Estos tres elementos forman el núcleo de la definición de la joint venture en derecho.La cuestión de la validez y eficacia jurídica de los pactos presentes en el contrato complejo de joint venture, cuando implica la existencia de una sociedad de capital, es la que más dificultades plantea. El problema respecto a la joint venture, como respecto a muchos otros contratos complejos, es organizar un discurso sobre el uso de la libertad y sus consecuencias en el ámbito del derecho de sociedades.Mientras el jurista profesional organiza la joint venture, atrae también la atención del legislador sobre las necesidades jurídicas de las empresas que deciden "aliarse" en el seno de una joint venture. Los pactos presentes en los contratos complejos de joint venture no dependen únicamente del contenido del derecho aplicable a la sociedad "filial común" por ejemplo, sino también de la creatividad de los juristas profesionales. Las finalidades a cubrir por el contrato lo serán en regla general mediante combinaciones originales y complejas de mecanismos jurídicos, demostrándose una vez más el papel relevante de la práctica en la formación del derecho. Como consecuencia, puede observarse una tendencia a la flexibilización del derecho aplicable a las sociedades de capital, sobre todo en los países europeos continentales. Esta adaptación del derecho a la realidad práctica se observa también, y de manera significativa, en otras ramas del derecho, como en derecho de la competencia donde el legislador intenta introducir un tratamiento cada vez más pragmático de los efectos producidos por las joint ventures sobre los mercados. El análisis de la organización jurídica de las joint ventures en la práctica demuestra, sin embargo, la falta de utilidad y de oportunidad de una ordenación legal de la joint venture como tal en Europa. Como en el caso de la organización de la empresa, basta con que los operadores "candidatos" a la alianza encuentren en el derecho positivo los legal tools, o instrumentos jurídicos, adaptados a los objetivos económicos legítimos que persiguen ( por ejemplo, diversas formas sociales, la AIE, la UTE, la cuenta en participación etc), y sobre la base de los cuales puedan conservar y reforzar el sentimiento de confianza que necesitan tener en la operación y en su "aliado" para alcanzar con éxito estos objetivos. / This study provides a comprehensive analysis of both practical and theoretical legal issues raised by joint ventures in Europe. In the European Union member states and especially in Spain, joint ventures are viewed as a high efficient strategic operation - allowing alliances between firms, which may improve their competitiveness and adapt them to the growing dimensions of European markets and to the new global economy. Joint ventures are not organised as such by any statute law in Europe. European law focuses on the analysis of the effects they may produce on competition. Joint ventures obtain a legal content only in practice.The aim of this study is to define the "added value" of the practical work of lawyers, when they take part in processes of creation of joint ventures. This question allows to integrate the analysis of different legal aspects of joint ventures - their contractual and corporate structure as well as their legal treatment under competition law - which are traditionally treated in separate studies, and to point out the existence of on-going interfaces between them. This study focuses essentially on the contractual and corporate aspects of joint ventures. Practitioners set up, first of all, mechanisms which are compulsory - i.e. legal rules - for the firms involved in the operation according to their strategic interests. The result may be, for instance, the creation of a mere "contractual joint venture", of an European Economic Interest Grouping, or the incorporation of a "joint venture company". The complexity of the joint venture legal organisation prevents from studying separately the so-called "joint venture agreement" on which is based the operation, and the company which may be incorporated within it. The joint venture company is only a part of a more complex ensemble, which needs to be understood as such in order to be correctly analysed.The complex legal organisation of joint ventures differs from any other complex legal organisations because of its specific purpose, ie. establish a strategic alliance between firms. It aims to organise an operation in which: (i) participate two or more firms independently active on the market; (ii) are gathered the resources necessary to carry out a common business activity, possibly but not obligatory within a separate entity; and (iii) the participating firms jointly control the common business activity. Those three features are at the basis of the legal definition of joint ventures.The question of the legal validity and efficiency of the terms and conditions present in incorporated joint venture agreements is the more problematic one for the practitioners. The main difficulty in relation with joint ventures like in relation with many other complex agreements is to determine the limits of use of contractual freedom in company law.While organising the operation, the practitioners are also drawing the attention of the legislator on the legal needs of the firms willing to enter into alliances. The terms and conditions present in joint venture agreements depend not only on the content of the statute law applicable to the joint venture company for example, but also on the creative skills of the practitioners. The joint venture agreement needs to cover different purposes generally through original and complex combinations of legal mechanisms, proving once again the relevant role of practice in the generation of law.As a result, it is possible to observe a certain "flexibilization" of the rules in company law, especially in continental Europe. This new tendency develops in parallel with the movement observed in competition law towards a more realistic and pragmatic analysis of joint venture effects on the markets.The analysis of the legal organisations of joint ventures existing in practice demonstrates however the lack of necessity for a statutory regulation of this (strategic) operation in Europe. Like in the case of the organisation of a firm, the economic players willing to enter into strategic alliances only need to find in statute law different "legal tools" which may adapt their legitimate economic interests - such as different company forms, the Economic Interest Grouping, the partnership - and on the basis of which they can conserve and reinforce the confidence they need to have in their partner and in the operation in order to achieve successfully their purposes.

Black Food Trucks Matter: A Qualitative Study Examining The (Mis)Representation, Underestimation, and Contribution of Black Entrepreneurs In The Food Truck Industry

<p>Food trucks have become increasingly popular over the last decade following the Great Recession of 2008. Scholars have begun to study the food truck phenomenon, its future projected trajectory, and even positioning it within social justice discourse along cultural lines; however, scholarship has yet to address the participation of Black entrepreneurs in the food truck industry.</p> <p><br></p> <p>The objective of this dissertation is to expand the perception of Black food entrepreneurs within the food truck industry by interrogating how Black food truck owners are misrepresented, under analyzed, and underestimated. Using a series of interdisciplinary qualitative methods including introspective analysis, thematic coding analysis, and case studies, I approach this objective by addressing three questions. First, I analyze movies and television to understand where Black-owned food trucks are represented in popular culture and how they are depicted. In doing so, we come to understand that Black business representation, specifically Black food truck representation consistently falls victim to negative stereotypes. These stereotypes can influence the extent to which Black food truck owners are taken seriously and seen as legitimate business leaders in their community. Second, I interview 16 Black food truck entrepreneurs to understand why the mobile food industry appealed to them and how it has become a platform for them to explore other opportunities. Finally, I review eight cities that have launched Black food truck festivals and parks within the last 6 years to gain an understanding of the collective power wielded by Black food truck owners and its impact Black communities. Moreover, this dissertation challenges the myth that collectivism does not exist among Black entrepreneurs and the Black community broadly.</p>
