The appraisal remedy and the determination of fair value by the courts

This paper examines the different share valuation methods and principles likely to be used by a court in determining the fair value of dissenting shareholders’ shares in appraisal proceedings in terms of section 164(14) of the Companies Act 2008. It is submitted that the valuation principles and methods used by the courts will affect the operation of the triggering actions contemplated in subsections 164(2)(a) - (b). It is proposed that section 164 court appraisals are likely to be guided by the valuation methods and principles developed in section 252 and section 440K court appraisals under the Companies Act 1973, as well as by the decisions of the courts in the state of Delaware relating to share valuations under the appraisal remedy. It is further proposed that the purpose ascribed to the appraisal remedy will influence the application of these valuation methods and principles. / Mercantile Law / LL. M. (Corporate law)

Mit den konstituierungsbezogenen Rechtsbehelfen behandelt die Arbeit den Aspekt personeller Konfliktsituationen eines schiedsrichterlichen Verfahrens nach der ZPO. Es geht insbesondere um die Fragen, wie Schiedsrichter bei unterbliebener Mitwirkung einer Partei bestellt werden, auf welchem Weg eine Verfahrenspartei einen Schiedsrichter ablehnen oder dessen Amt sonst beenden kann und wie gegen einen Schiedsspruch vorzugehen ist, wenn die Konstituierung nicht ordnungsgemäß verlief. Definiert und systematisiert werden die Grundsätze und Begriffe der Konstituierung (Kapitel 1 und 2) sowie die Konstituierungshindernisse und Kriterien für die Bestellung von Schiedsrichtern (Kapitel 3 und 4). Im Detail und mit Blick auf die Praxis folgt die Erörterung aller konstituierungsbezogener Rechtsbehelfe (Kapitel 5 bis 8): Während des schiedsrichterlichen Verfahrens handelt es sich dabei um die Verfahren der Ersetzung von Schiedsrichtern (§ 1034 ZPO), der Ersatzbestellung von Schiedsrichtern (§ 1035 ZPO) und der Nachbestellung (§ 1039 ZPO), der Ablehnung von Schiedsrichtern (§ 1037 ZPO) und der Beendigung des Schiedsrichteramts (§ 1038 ZPO). Abschließend wird untersucht, wie Fehler der Konstituierung in den Verfahren nach dem Schiedsspruch geltend zu machen sind, also im Aufhebungsverfahren (§ 1059 ZPO) und im Vollstreckbarerklärungs- oder Anerkennungsverfahren (§§ 1060 f. ZPO). Ausgewertet ist neben der schiedsverfahrensrechtlichen Literatur und Kommentierung insbesondere die umfangreiche Rechtsprechung. / The text discusses the legal remedies for and in connection with the constitution of the arbitral tribunal, in regards to any personal conflict of arbitral proceedings as per the German Code of Civil Procedure (CPO). Hence the focus is on questions of how an arbitrator is to be appointed if one party fails to cooperate, of how a party may challenge an arbitrator or otherwise terminate an arbitrator''s mandate, and of how to proceed with an arbitral award issued by an unduly constituted arbitral tribunal. Chapters 1 and 2 deal with the principles, terms and definitions of the arbitral tribunal’s composition. Chapters 3 and 4 systematise obstacles to such a tribunal’s composition, and the criteria for an arbitrator’s appointment. Chapters 5 to 8 continue with a detailed examination, and focus on current practice with all corresponding remedies. During the arbitral proceedings such remedies make provision for an arbitrator’s replacement (section 1034 CPO), the appointment of an arbitrator (section 1035 CPO) or substitute arbitrator (section 1039 CPO), the challenge of an arbitrator (section 1037 CPO), or the termination of an arbitrator’s mandate (section 1038 CPO). Finally, for cases where an arbitral award has already been granted, the text discusses how an unduly constituted tribunal may be dealt with through proceedings for setting aside an award (section 1059 CPO), or for an award’s enforcement or recognition (sections 1060 f. CPO). In addition to the literature on arbitration and the annotations of the CPO, the substantial amount of legal precedent is particularly evaluated.

A legal comparison between South African, Canadian and Australian workmen's compensation law

Workers’ compensation originated internationally because of the need to address the plight of workers and communities left destitute due to occupationally sustained disabilities or death. This study examines how the right to no-fault compensation developed in South Africa in comparison to the comparable law in Canada and Australia. Specific limitations regarding the right to workers' compensation pursuant to the South African compensatory laws were identified. Limitations identified include the persons falling within the ambit of the law, circumstances creating a right to compensation, the right to claims for increased compensation uniquely provided for in South African compensatory law and founded in the negligent conduct of employers as well as common law redress for damages. The background of the administrative remedy in the form of the right to compensation for occupational injuries and diseases ought to be seen in the light of the Constitution of the Republic of South Africa 1996. / Mercantile Law / LL.M.

La gouvernance des sociétés par actions canadiennes accorde une place aux créanciers, qui contribuent considérablement à leur financement. Les créanciers fournissent une prestation en échange d’une promesse d’être payé plus tard, de sorte qu’ils sont en conflit d’agence avec d’autres parties prenantes de la société par actions, particulièrement les dirigeants. Principale voie procédurale des litiges en droit des sociétés, le recours en cas d’abus (ou « recours en oppression ») permet d’endiguer certains aspects de ce conflit d’agence en octroyant aux tribunaux de larges pouvoirs pour pallier les abus. Cette intervention judiciaire s’exprime par la théorie des attentes raisonnables, selon laquelle le tribunal doit protéger non seulement les droits des parties, mais également leurs attentes raisonnables. La jurisprudence permet de conclure à des attentes raisonnables relativement à l’information fournie par la société, au patrimoine social et au processus décisionnel des dirigeants. Elle laisse également entrevoir une attente raisonnable à l’égard des modifications du partage des risques découlant d’un événement imprévisible. / Creditors feature prominently in the corporate governance of Canadian business corporations and significantly contribute to their funding. Creditors perform in exchange for a promise to be paid later, so that they are in an agency conflict with other stakeholders of the corporation, especially managers. The main procedural route for litigation in corporate law, the oppression remedy helps curb some aspects of the agency conflict by granting courts broad powers to remedy oppressive conduct. This judicial intervention is expressed through the theory of reasonable expectations, which states that the court must not only protect the legal rights of the parties but also their reasonable expectations. The case law shows that creditors have reasonable expectations toward the information provided by the corporation, its assets and the decision-making process of managers and directors. It also suggests a reasonable expectation with respect to changes in the sharing of risks arising from an unforeseeable event.

La discipline, élément essentiel de la vie pénitentiaire, fut longtemps ignorée du droit. L’analyse comparée des systèmes anglo-gallois, espagnol et français en la matière permet cependant de constater la normativisation de la discipline pénitentiaire et un accroissement des garanties processuelles accordées au détenu, qui accède au statut de justiciable. Ce mouvement traduit une certaine recherche d’équité dans la procédure disciplinaire, qui est à mettre en relation avec le renforcement progressif des droits de l’homme en milieu fermé. Le droit européen des droits de l’homme, bien que timoré sous certains aspects processuels, n’est pas étranger à cette évolution et permet de dégager une idéologie pénitentiaire fixant des standards communs aux différents droits internes. L’examen des systèmes disciplinaires observés révèle néanmoins les difficultés auxquelles est confrontée l’entrée du droit dans le monde pénitentiaire. Le droit est en outre loin d’être le seul instrument de gestion employé en détention. La conjonction de ces divers facteurs incite à proposer un modèle disciplinaire global reflétant cette recherche d’équité dans le système disciplinaire pénitentiaire. / Discipline is a key part of prison life which has long been ignored by the law. The comparative analysis of the English, Welsh, Spanish and French systems on this topic highlights however the prison discipline’s normativization and the increase of all the procedural safeguards for prisoners-litigants. This process reflects the search for a greater equity in prison adjudication, which could be connected to the progressive strengthening of Human Rights’ in prison. Although the European law on Human Rights is still timorous on some procedural aspects, it is part of this evolution, and it develops a global prison ideology by setting common standards for the different national laws in Europe. Nevertheless, the review of the different disciplinary systems enlightens the difficulties faced by the emergence of the rule of law in prison. Besides, the law is far from being the only mean for prison management. These factors’ convergence encourages to propose a new global disciplinary model, reflecting the search of a higher level of equity in the prison disciplinary system.

The aim of the diploma thesis "Current issues of judicial proceedings in cases of international protection" is the evaluation whether the amendment of Asylum Act sufficiently fulfils requirements of the procedural Directive 2013/32/EU regarding the right to effective remedy. Namely these requirements are full and ex nunc examination of both fact and points of law that composes large part of this thesis, suspensive effect and time limits. In order to reach the goal of this thesis several questions are given which one of them relates to the right to effective remedy in international, European and national law. Hence the chapter two deals with the right to effective remedy in European Convention on Human Rights, Convention against Torture and International Covenant of Civil and Political Rights same as in EU Charter of Fundamental Rights and Charter of Fundamental Rights and Freedoms of the Czech Republic. Afterwards the thesis presents the main principles of administrative judiciary such as cassation principle and principle ex tunc and specifics of judicial proceedings in cases of international protection. Crucial part of the thesis is the chapter four that analyses above mentioned requirements of procedural Directive 2013/32/EU and transposition of these requirements by the amendment of Asylum Act....

L’étude de l’évolution des méthodes du juge administratif français doit être rattachée aux nouvelles priorités choisies par lui dans l’exercice de sa fonction. « Dire le droit et trancher les litiges » reste bien la principale mission du juge administratif. Certaines des composantes de son office ont néanmoins pris une importance renouvelée dans le cadre d’une politique de renforcement de sa légitimité. La juridiction administrative tient en effet de plus en plus compte de la personne du justiciable et a placé le renouveau de son office sous le signe de la protection des droits fondamentaux, terrain d’élection du dialogue des juges. Ces tendances fortes ont motivé et alimenté une profonde rénovation de ses techniques et méthodes de jugement. Le juge administratif français est aujourd’hui pleinement adapté au temps de l’action administrative et à ses enjeux. Qu’il s’agisse des opérations de contrôle de légalité ou de leur issue, l’efficacité de ses interventions est manifeste. En pleine possession de ses pouvoirs, le juge administratif français apporte une réponse adéquate à la demande de justice contemporaine et a une nouvelle fois relevé le défi du renouvellement. / The study of the evolution of the methods used by the French administrative judge is necessarily connected to the new priorities that were chosen regarding the carrying out of his functions. « Pass judgment and resolve disputes » remains the foremost mission of the administrative judge. Some of the aspects of his powers and duties have nevertheless grown in importance as part of a policy of strengthening his legitimacy.. Indeed , administrative courts increasingly take into account the persons subject to trial and they have focused the revitalization of the jurisdiction on the protection of fundamental rights, a favoured field for the dialogue of judges. Those strong orientations led to a deep reform of their techniques and methods of judgment. The French administrative judge is now fully in accordance with the requirements of administrative actions and the issues at stake. Whether it concerns reviews of legality or their outcome, those interventions are obviously efficient. Thanks to the powers he now detains, the French administrative judge brings an adequate response to the needs of modern justice and has once again taken up the tough challenge of self-reforming his functions.

The European Commission’s approach to combatting forced labour in global supply chains : Critical frame analysis of the Proposal by the European Commission for a ban on products made with forced labour

Forced labour presents a severe human rights violation and affects about 27.6 million people worldwide. Most forced labour in the private economy takes place in businesses linked to the global market economy. In efforts against forced labour, it is therefore crucial to address the role of business operations in global supply chains. The European Commission has presented a proposal for a ban on products made with forced labour on the EU market which applies to all companies and industries. Although this initiative has been welcomed broadly the proposal has served as a topic for political debate in the EU. Stakeholders have contrasting views on what would serve as the most effective solution to the problem and, indeed, what actually constitutes the problem. Research on policy design acknowledge that the way a problem is framed and understood determines which kind of solutions will be deemed as appropriate. This thesis aims to understand the foundations of how the European Commission perceives the problem by conducting a frame analysis of the proposal focusing in turn on how the problem is framed, which actors are included, and how causes and solutions are framed. The frame analysis reveals that the Commission’s framing of the problem is ambiguous and twofold - it includes aspects of human rights perspectives as well as market and trade perspectives. The aim of the proposal is to contribute to the eradication of forced labour, but it also addresses the issue of distortion on the internal EU market and on removing unfair competition. Although the proposal fails to address some of the underlying root causes of forced labour this initiative, together with other legal measures in the business and human rights field, presents an important step towards keeping companies accountable for their adverse human rights impacts.
