It is worth noting that this program emerges the need of big business and the state to offer a response to local entrepreneurs and society in order to integrate them into the supply chains of large companies. However, to this end, we draw the path from the change in the economy, taking as starting point the private sector, which adopts the restructuring process as this new flagship model, the unbundling of the leading chains of large companies, mainly through outsourcing, thus generating a strategy of regional specialization. Given these changes, turns to examine the paradigm in relation to the State, which is undergoing deep changes, culminating with the so-called Minimum or Neoliberal State. It should be emphasized that the evaluation of the MA-developed PDF is dynamic and want to go from the general international economic relations, through the reflections of these relations in Brazil, reaching the more specific, the program exposed. Finally, the study of the PDF-MA aims to detail the dynamics of the program, building a framework of indicators and developing the theme of Sustainable Development. To undertake such research were two moments evaluative, first we make a political assessment of the policy, so you can figure out the nuances and how its implementation was determined politically, understanding how the program came into the government's agenda and what subjects interest and rationalities involved. In the second, reveals the dynamics of implementation of this policy through an evaluation process, ensuring that the means used are appropriate to the desired ends and if it was able to change the situation that gave rise to the problem program. Along the way, we used a qualitative and quantitative approach, having as research techniques, literature and documentary mode. Thus, we intend to unveil a new vision for the PDF-MA. / Esta dissertação tem como objeto a formulação e a implementação do Programa de Desenvolvimento de Fornecedores do Estado do Maranhão. Vale destacar, que este programa emerge da necessidade das grandes empresas e do Estado de oferecerem uma resposta para os empresários locais e a sociedade no sentido de integra-lós às cadeias produtivas das grandes empresas. No entanto, para atingir essa finalidade, traça-se o caminho a partir da mudança na economia, tendo como ponto inicial o setor privado, que adota a reestruturação produtiva como carro chefe desse novo modelo, levando à desverticalização das cadeias das grandes empresas, principalmente por meio da terceirização, gerando, assim, uma estratégia de especialização regional. Dadas essas transformações, volta-se para analisar o paradigma em relação ao Estado, que passa por profundas alterações, culminando com o denominado Estado Mínimo ou Neoliberal. É necessário ressaltar que a avaliação do PDF-MA desenvolvida é dinâmica e pretende ir desde o geral, as relações econômicas internacionais, passando pelos reflexos dessas relações no Brasil, chegando ao mais específico, o programa exposto. Enfim, no estudo do PDF-MA pretende-se detalhar a dinâmica do programa, construindo um quadro de indicadores e desenvolvendo a temática do Desenvolvimento Sustentável. Para empreender tal investigação ocorreram dois momentos avaliativos, primeiro faz-se uma avaliação política da política, para que seja possível perceber quais as nuances e como foi determinado politicamente sua implementação, entendendo como o programa entrou na agenda do governo e quais os sujeitos, interesses e racionalidades envolvidas. No segundo, desvenda-se a dinâmica de implementação dessa política pública, por meio de uma avaliação de processo, verificando se os meios utilizados estão adequados aos fins desejados e se este foi capaz de alterar a situação problema que deu origem ao programa. Nesse percurso, utilizou-se de uma abordagem qualitativa e quantitativa, tendo como técnicas de pesquisa, a modalidade documental e a bibliográfica. Dessa forma, pretende-se descortinar uma nova visão sobre o PDF-MA.

Busca-se também discutir a possibilidade de se promoverem melhorias e mudanças que possam oferecer saídas que oportunizem, através de uma reestruturação produtiva, diferenciações competitivas ao negócio da empresa. Nesse sentido, considerando a análise sistêmica do ambiente, propõe-se a adoção de alguns princípios de gestão do M odelo Toyota de Produção, cujo um dos princípios preconiza uma relação de efetiva parceria com os fornecedores. Para tanto, considerando a permanente necessidade de as empresas buscarem seu equilíbrio e distinção no mercado, procurou-se fazer uma análise do pensamento sistêmico e outras fundamentações de convergência teórica com este trabalho. Além disso, a fim de melhor entender os prós e contras do pensamento toyotista de administração, buscou-se traçar uma investigação desde o antecessor modelo de produção em massa taylorista-fordista até os últimos acontecimentos que abalaram mundialmente a imagem da montadora Toyota. Acredita-se, ao final, que a análise dissertativa do caso da Lupatech poderá fortalecer e auxiliar a empresa em sua tomada de decisão, tanto no campo operacional como na definição de uma proposta estratégica de gestão. / The purpose ofthis dissertation is to study the case ofthe company called Lupatech CSL in matters fundamentally concerning its productive process. The text also discusses the possibility to promote improvements and changes able to provide solutions that will enable competitive differentiation to the company's business through the restructuring of the manufacturing process. Taking into account the systemic analysis of the environment, the paper thus suggests the adoption ofsome principles ofthe Toyota Production M odel, one of which recommends a relationship of effective cooperation and partnership with suppliers. Considering the companies permanent need to seek their equilibrium and distinction in the market, this work tries to establish and analysis of systemic thinking and of other foundations of theoretical convergence. The better grasp the pros and cons of the Toyota¬style management, this dissertation tries to carry out an investigation starting from the early Taylor-Ford mass production model up to the latest events that shook the image ofToyota worldwide. The dissertational analysis ofthe Lupatech case is likely to ultimately strengthen and assist the company in its decision making both in the operational area and in the definition ofstrategic proposition.

Restructurations financières et droit français des entreprises en difficulté / Financial restructuring operations and French law of insolvency

Pour répondre à leurs difficultés financières, les entreprises doivent procéder à une opération de restructuration consistant à modifier leurs éléments de passif et subsidiairement d’actif. Pour cela, elles doivent identifier et surmonter les obstacles à cette opération en vue d’aboutir à un résultat qui correspond à leurs nouveaux besoins. Chaque système juridique apporte des réponses différentes en fonction de sa tradition, de common law ou de civil law, et des intérêts qu’il cherche à préserver. Entre les intérêts du débiteur et ceux des créanciers, le droit des entreprises en difficulté français a lui-même beaucoup évolué à mesure que les entreprises et les créanciers se sont sophistiqués. D’un droit de la faillite, à un droit pro-créanciers, il est devenu un droit pro-débiteur et semble devenir un droit mixte dont la protection des intérêts de l’une et l’autre des parties parait plus équilibrée. De tradition civiliste, il subit pourtant une influence constante des tribunaux de commerce qui semblent forcer une mutation tenant compte des innovations financières et juridiques des grandes entreprises, tout en restant adapté aux petites entreprises. Ce droit vivant et volontariste affirme clairement ses objectifs de préserver l’activité, les emplois, d’apurer le passif et apporte des outils aux entreprises en difficulté, lorsque le débiteur et les créanciers n’arrivent pas à surmonter eux-mêmes leurs divergences d’intérêts. Ces outils ont évolué et doivent continuer à évoluer pour s’adapter aux innovations contractuelles de certains commerçants, tout en restant un cadre protecteur pour d’autres. / To face financial difficulties, companies shall proceed to restructuring operation involving modification of their assets and liabilities. To this end, companies shall identify and overcome barriers to this operation to reach an overcome suited to their new needs. Each legal system provides different responses according to its legal origin, common law or civil law, and the interests it aims to protect. Between the debtor’s and the creditor’s interests, French insolvency law evolved a lot as the companies and the creditors became more sophisticated. From a bankrupt law to a creditors-friendly law, French insolvency law became a debtor-friendly law and now appears to be a mixed law which seems to protect both parties interests in a more balanced way. Despite its civil law origin, French law is constantly influenced by commercial courts that seem to force a mutation following the financial and legal innovations of large companies, while remaining adapted to small businesses. This living and proactive law clearly states its objectives to preserve the business, the employment, reduce liabilities and provides tools for companies facing difficulties, when the debtor and the creditors fail to overcome their diverging interests. These tools evolved and have to continue to evolve to adapt to contractual innovations of some business stakeholders, while remaining a protective environment for others.

La privatisation des entreprises publiques au Vietnam figure en tête des priorités de l’agenda politique du gouvernement vietnamien depuis l’annonce de la politique Doi-moi en 1987. Cette étude examine le processus de la restructuration des entreprises d’État pendant la période entre 1991 et 2012. La recherche se base sur les théories de la gestion de l’entreprise et du développement, en particulier sur la responsabilité sociale de l’État considéré comme un acteur économique. L’étude examine aussi le cadre macroéconomique vietnamien dans lequel la privatisation s’opère. L’objectif est de déterminer les facteurs conditionnels de réussite de ce processus, en prenant comme variable le degré d’intervention de l’État dans l’économie dans le contexte autant asiatique que mondial du changement. / Restructuring state-owned enterprises in view of their privatization lies at the top of the political agenda of the Vietnamese Government since the launch of the Doi-Moi policy in 1987. The purpose of this study is to examine the macro-environment in which the privatization process of Vietnamese state-owned enterprises takes place. The period of study is between 1991 and 2012. The theoretical framework is based on corporate governance and development theories and the corporate social responsibility of the State, as an economic actor and a majority shareholder, of the country’s public companies which are being privatised. The aim of the study is to determine success factors of the privatization process in Vietnam, with the role of the State in the economy, taken as variable, and examined in the context of change, both at the Asian as well as the global context.

L’objectif de cette thèse est de présenter les stratégies du négoce landernéen de la fin du XVIIe siècle au milieu du XIXe siècle. L’implantation de la Marine Royale à Brest à la fin du XVIIe siècle pour préparer la « Seconde guerre de Cent Ans » la perte du marché anglais pour les crées du Léon, les guerres incessantes entre 1744 et 1815, les crises de toute nature, la perte du marché espagnol et de ses colonies dans les années 1820, voilà autant de défis à relever pour la communauté marchande landernéenne. Elle développe un commerce actif et saisissant toutes les opportunités, s’efforce d’y faire face. Renforcée par des apports allogènes, elle se transforme en groupe dominant, s’installant au sommet de la hiérarchie financière et, en 1721, s’empare du pouvoir local dans une ville qui devient pleinement négociante. Elle peut ainsi orienter l’action publique au service de ses ambitions et, réaliser ainsi un équipement portuaire adapté aux besoins de trafics en expansion. Près de ce poumon économique s’édifient les hôtels particuliers témoignant de la réussite des négociants. Lorsqu’au début des années 1820, la Révolution libérale espagnole et l’émancipation des colonies ferment définitivement ces marchés aux toiles bretonnes, le principal groupe marchand de la ville engage, cas unique en Bretagne, une étonnante reconversion industrielle, afin de se positionner en leader sur les marchés de fournitures militaires. Cette révolution, indispensable pour répondre aux exigences de prix et de qualité du donneur d’ordres, aboutit à la création en 1845 de la Société Linière du Finistère, qui devient la plus importante entreprise privée du Finistère, salariant jusqu’à 4 500 employés. / In this thesis, we aim at presenting the merchants strategies in Landerneau from the end of the XVIIth century to the middle of the XIXth century. The French Navy based in Brest at the end of the XVIIth century – in order to prepare for the « Second Hundred Years’ War » - as well as the loss of the English market by the crées (linen canvas) of Leon, the constant wars betwenn 1744 and 1815, the crisis of all kinds, the loss of the Spanish market and its colonies during the 1820’s, constituted several challenges to address for Landerneau’s merchants’ commmunity. Developping an active trade, this community tried to face every new opportunity. Reinforced by external additions, it became a dominant group, getting the upper place of the financial hierarchy. In 1721, it managed to take over the local government, making the town to fully becoming a trade place. The public policy could then be turned to serve the goals set up by this group, like building new harbour facilities, matching with the needs of an expanding traffic. The beautiful mansions built nearby this economical backbone, are as many testimonies of the merchants’ achievement.When, at the beginning of the 1820’s, the Spanish liberal revolution and the emancipation of the colonies definitly closed those markets to canvas from Brittany, an amazing industrial restructuring was engaged by the main merchant’s group of the town, in order to become leader on the market of military supply. This is a unique case in Brittany. This revolution, essential to respond to the price and quality requiered by the payer, leaded to the creation in 1845 of the Société Linière du Finistère (Linen Society of Finistère), which became the main private compagny of Finistère, employing up to 4500 people.

L'évolution du régime contractuel de défaut des Etats débiteurs européens / The evolution of the european states' default contractual regime

La mise en finance de la dette d'Etat, et les crises auxquelles elle donne lieu, font de l'instauration d'un cadre juridique régissant la restructuration et le défaut des dettes d'Etat, un enjeu majeur pour l'Europe. En l'absence d'un droit européen de la « faillite » d'Etat, un régime de défaut a émergé sur le terrain de la pratique, dans les contrats d'emprunt d'Etat obligataires. Les Etats européens ont en effet privilégié une approche décentralisée et volontaire de la restructuration des dettes d'Etat : le contrat d'emprunt d'Etat établit les règles qui organisent les relations de dette entre les Etats débiteurs et leurs créanciers privés. Sous l'effet de l'intégration financière européenne, ce régime de défaut revêt des formes de plus en plus standardisées. Le présent travail consiste à identifier les éléments constitutifs du régime contractuel de défaut des Etats européens, à en apprécier le caractère idoine à l'aune des besoins de l'Etat et à en évaluer la portée. Il adopte pour ce faire une méthode pragmatique, basée sur une analyse empirique des contrats et une étude de cas.Il ressort de celles-ci que le régime de défaut contractuel des Etats européens conduit à l'abandon, l'érosion voire la suppression des prérogatives exorbitantes de droit commun qui étaient traditionnellement attachées à la qualité de souverain des Etats emprunteurs. D'une part, les Etats consentent, pour assurer l'attractivité de leurs titres de créance sur le marché européen très concurrentiel des dettes d'Etat, à adopter des dispositions attentatoires à leur souveraineté, qui les privent de la marge de manœuvre nécessaire à l'adoption de mesures de sauvegarde adaptées en cas de crise de la dette. D'autre part, les deux principaux fors compétents - les juridictions anglaises et new-yorkaises - ont consacré la force obligatoire des contrats d'emprunt d'Etat, lesquels priment les considérations d'intérêt général qui jadis fondaient le défaut souverain. En effet, la jurisprudence libérale de ces fors, favorables aux créanciers de l'Etat, ont encouragé la professionnalisation des requérants et le développement d'une industrie contentieuse du défaut d'Etat, communément désignée comme l'industrie des « fonds vautours». Les stratégies contentieuses agressives déployées par ces nouveaux acteurs ont permis d'obtenir la condamnation des Etats défaillants et des mesures de contrainte sur le terrain encore très préservé par l'immunité d'exécution des Etats. Cette thèse a ainsi pour enjeu, et s'inscrit, dans le débat contemporain relatif à la transformation de l'Etat européen sous le poids de son endettement. / Sovereign debts’ financiarization is a global phenomenon affecting a very substantial number of States in Europe. Nevertheless, European State insolvency has not been implemented. This legal loophole didn't lead to legal uncertainty : a State default's European regime has emerged from practical experience in sovereign debt contracts. Those contracts include harmonised standards : States adopted boilerplates with the aim of contributing to effective debt market and providing liquidity. Promotion and circulation of boilerplates have been made easier by the fact that many States turn to lawyers for their financial affairs. In fact, sovereign consultancy market remains concentrated among a few major law firms. Given the spread of sovereign debt crisis, which also affected developed economies, contract « as statute » has become a major issue for all democracies. The first part intends to identify and map European boilerplates, reflecting regional particularities ; to analyse them and assess their effectiveness and efficiency in crisis conditions. The second analyses the case law that has developed over the years regarding sovereign debt contract. The European States' default contractual regime had led to the dismissal of prerogatives derogating from the generally applicable rules of law, which States used to enjoy within their financing operations. This research has both practical and prospective dimensions, aiming at putting forward proposals to deal with sovereign debt crisis.

The aim of this PhD thesis is to analyse the current status of European insolvency law and with the help of both national and European judicial decisions put together an overview of practical obstacles that insolvency courts, debtors, creditors and insolvency trustees across Europe are facing when dealing with cross-border insolvencies. At the very core of this topic stands the European Insolvency Regulation ("EIR") which was adopted in 2015 and is effective within the member states as of June 2017. Since this regulation was put together as a recast of its predecessor, i.e. the original insolvency regulation adopted in 2000 and effective as of 2002, naturally this research is oriented at comparing the two legislative acts and mainly assessing whether or not the recast EIR managed to overcome some of the inconsistencies in the wording of the original EIR, often resulting in conflicting interpretations and a great deal of preliminary rulings filed with the Court of Justice of the EU. Apart from looking into good old instruments of private international law such as the scope, the jurisdiction, the choice of law and the recognition and enforcement rules governed by the EIR, this thesis also focuses on topics that are very bankruptcy-specific and dissimilar to anything we know from other fields of law....

Butiksdöd eller butiksrenässans? : Hur skapar små fysiska modebutiker konkurrenskraft?

Bakgrund: Digitaliseringen av sällanköpsvaruhandeln har bidragit till en strukturomställning där konkurrensen för fysiska butiker blivit allt hårdare. Brytpunkten för tillväxt inom modebranschen, som ingår i sällanköpsvaruhandeln, har skiftats från fysisk butik till e-handel och den snabbväxande e-handeln visar inga tecken på att avta, snarare tvärtom. Det sker en prispress, både online och i fysiska butiker, vilket innebär att det oftast är de svagaste butikerna (främst mindre fysiska butiker) som är de först drabbade, på grund av svårigheterna att anpassa sig. Studien visar därmed hur de fysiska butikerna skapar konkurrenskraft för att stå sig kvar på marknaden. Syfte: Syftet med denna studie är att bidra till en ökad förståelse för hur fysiska små butiker inom modebranschen skapar konkurrenskraft, samt hur e-handeln påverkar konkurrensen för dessa. Forskningsfrågor: -Hur påverkas de små fysiska modebutikerna av e-handelns framväxt? Hur skiljer det sig mellan rural area och city area? -Hur skiljer sig marknadsföringsstrategier och prissättningsstrategier från befintliga små fysiska butiker inom modebranschen i jämförelse med nedlagda butiker? -Hur ska de fysiska små modebutikerna undvika butiksdöd och hantera utmaningarna för långsiktig överlevnad? Resultat: Studien resulterar i att alla fallföretag skapar konkurrenskraft genom att erbjuda sina kunder en hög personlig service där kunden alltid är i fokus och kommer i första hand. Den höga personliga servicen är en ännu viktigare konkurrensstrategi om butiken är belägen i en rural area. På sikt kommer däremot små fysiska modebutiker behöva anpassa sig till branschens strukturomvandling och erbjuda kunder ett mer sömlöst upplägg för att kunna konkurrera med e-handeln. I dagsläget har e-handeln ett stort försprång i både pris och räckvidd och en strukturomställning skulle innebära att fysisk butik och e-handel konkurrerar på liknande villkor och på så vis undviks dagens konkurrensasymmetri. / Background: The digitalization of the retail industry has contributed to a restructuring, where competition for physical stores has become increasingly fierce. The breaking point for the growth of the fashion industry has shifted from the physical store to e-commerce and the fast-growing e-commerce is showing no signs of abating, but rather the opposite. There is a constant pressure on prices, both online and in physical stores, which means that it is usually the weakest stores (mainly smaller physical stores) which are the first affected because of the difficulties in adapting. The study thus shows how the physical stores create competitiveness to remain in the market. Purpose: The purpose of this study is to contribute to an increased understanding of how physical small stores in the fashion industry creates competitiveness, and how e-commerce affects competition for these. Research questions: -How do the physical small stores (within the fashion industry) create competitiveness based on marketing strategies and pricing strategies? How does it differ between the rural area and the city area? -How do marketing strategies and pricing strategies differ from existing small physical stores in the fashion industry in comparison to closed stores? -How should the physical small fashion stores handle the challenges of long-term survival? Conclusion: The study results in all case companies creating competitiveness by offering their customers a high personal service where the customer is always in focus and comes first. The high personal service is an even more important competitive strategy if the store is located in a rural area.
