Previous issue date: 2010-10-25 / With the failure in the capitalist production process and the 2008 world economic crisis, a
deceleration in the market occurred with the resulting retraction in product inventory and
credit. The economy s globalization has led the internal market to suffer major impacts in
view of the cancellation of contracts entered with international companies, resulting in the
reduction of costs though collective dismissals of laborers in various companies in our
country. By virtue of absence of regulation in article 7, I, of the Federal Constitution which
provides on the protection of the employment relationship against the arbitrary dismissal or
dismissal without cause and the denunciation of Covenant 158 in the ILO by Brazil the
employers class have been dismissing a considerable number of employees without
observing any process prior to such act. The result is the discussion on the validity of such
dismissals in the labor courts which, based on the normative force of principles, on
international guidelines, on comparative law and the constitutionalizing of private law, which
have been declared abusive due to non-observance of the duties connected to the general
objective good-faith, such as the duty to negotiate and the right to information. There are no
doubts that the parties to this relationship should gather for a social dialogue, aiming at
creating mechanisms to avoid collective dismissals such as the preparation of autonomous
clauses or, in the impossibility thereof, of procedures to be complied with so as to attenuate
the social impact, avoiding great unfair actions in such arena. Therefore, there are
prerequisites to be overcome in the Brazilian labor law, form the point of view of social
efficacy of collective bargaining, either by the fact that the union freedom has not fully
reached the free and democratic organization, or by the fact of the persisting normative power
of the Labor Justice / las?
Com a falha no processo de produção capitalista e a crise econômica mundial de 2008, houve
desaceleração no mercado e consequente estoque de produtos e retração do crédito. A
globalização da economia fez com que o mercado interno sofresse grandes impactos ante o
cancelamento de contratos firmados com empresas internacionais, ensejando a redução de
custos a partir da demissão coletiva de trabalhadores em diversas companhias em nosso país.
Em virtude da ausência de regulamentação do artigo 7º, I, da Constituição Federal, que trata
da proteção da relação de emprego contra a despedida arbitrária ou sem justa causa e da
denúncia da Convenção 158 da OIT pelo Brasil, a classe patronal tem dispensado parcela
considerável de trabalhadores sem observar qualquer processo prévio a esse ato. O resultado é
a discussão sobre a validade de tais despedidas no judiciário trabalhista que, com base na
força normativa dos princípios, nas diretrizes internacionais, no direito comparado e na
constitucionalização do direito privado, as tem declarado abusivas por inobservância dos
deveres anexos da cláusula geral da boa-fé objetiva como o dever de negociar e o direito à
informação. Não há dúvidas de que as partes dessa relação devem se aproximar para um
diálogo social, visando a criar mecanismos através da elaboração de cláusulas autônomas para
evitar o despedimento coletivo ou, em caso de impossibilidade, de procedimentos a serem
observados no sentido de amenizar o impacto social, fazendo com que injustiças maiores não
ocorram nessa esfera. Para tanto, existem pressupostos a serem superados no direito
trabalhista brasileiro, da ótica da eficácia social da negociação coletiva, quer pelo fato de a
liberdade sindical ainda não ter atingido plenamente a organização livre e democrática, quer
pelo fato de persistir o poder normativo da Justiça do Trabalho

La négociation collective n’est plus étrangère à la règlementation des grands licenciements collectifs nécessitant l’établissement d’un plan social. Depuis une vingtaine d’années, son rôle dans l’entreprise se renforce. La négociation collective d’entreprise s’est ainsi emparée de dispositifs procéduraux instituant le cadre d’une information-consultation des représentants du personnel ou encore des garanties d’évitement et d’accompagnement des licenciements. L’instauration par la loi n°2013-504 du 14 juin 2013 de la possibilité d’un plan social négocié par les organisations syndicales représentatives dans l’entreprise marque un tournant. Celles-ci participent désormais à la décision de gestion des conséquences sociales d’un projet de licenciement collectif pour motif économique. Cette négociation décisionnelle est source d’innovations dans la procédure interne mais aussi externe encadrant la mise en œuvre des grands licenciements collectifs. L’évolution de leur encadrement vers un droit négocié dans l’entreprise est affermie et constitue l’objet de la recherche conduite dans la présente thèse. / The collective bargaining of redundancy plan related to collective dismissals The collective bargaining is now part of the regulation of collective dismissals requiring the establishment of a redundancy plan in companies. Its role in companies have been getting stronger during the past thirty years. Thus, collective bargaining in companies seized the procedural rules linked to the framework of information and consultation of representatives but also relating to guarantees of avoidance and social assistance to dismissals. A real watershed was marked thanks to the enactment of the 14th June 2013 (n°2013-504) law. Indeed, this law ensures employment protection by offering the possibility to trade unions that represent workers in companies to negotiate the redundancy plan. These trade unions are now involved in the managerial decision determining the social consequences of collective dismissals for economic reasons. This collective bargaining that applies to a specific decision process generates innovations in the internal and external procedure setting up the framework of collective dismissals. The evolution of the redundancy controls, which are now oriented towards a negotiated right in companies, is reinforced. This constitutes the subject of the researches that are conducted in this thesis.

Assurer l’efficacité du processus décisionnel tout en y associant les salariés : telle est l’équation que s’attache à résoudre le système français de représentation du personnel. Les réformes successives qu’il a connues traduisent bien des incertitudes quant au meilleur moyen d’y parvenir. Fruit d’une lente maturation, la création d’une instance unique, le comité social et économique, est de nature à affecter durablement les relations sociales. Parce qu’elle concentre des pouvoirs jusque-là disséminés, dans les entreprises d’au moins cinquante salariés, entre les délégués du personnel, le comité d’entreprise et le comité d’hygiène, de sécurité et des conditions de travail, cette instance nouvelle constitue a priori un vecteur de simplification des procédures de participation. Favorisant le dialogue, le « nouveau » droit de la représentation du personnel est susceptible d’entraîner de profonds bouleversements. Laissant une large place au contrat collectif, il comporte de multiples facettes. Une analyse systémique est possible, à condition d’identifier les traits saillants d’un déploiement susceptible de remettre en cause, lorsque l’instance est métamorphosée en conseil d’entreprise, la place accordée à la représentation syndicale. / Combining an effective decision-making process with worker participation: such an issue is central in the French representation system. A series of reforms emphasized a state of doubt when it comes to the best way to resolve it. Resulting from a slow maturation, the creation of a single representative body, the economic and social council, shall significantly affect labour relations. Concentrating powers previously spread, within companies having at least fifty employees, among staff delegates, the works council and the health and safety committee, this new representative body shall at first glance be a medium of simplification. Stimulating cooperation, the “new” staff representation law will likely produce radical changes. Encouraging collective bargaining, it carries various aspects. A systemic analysis is feasible provided that the key points of its implementation are identified. If this body is transformed into a company council, the situation of the union representation may be challenged.

L’entreprise est le lieu de déploiement d'un statut professionnel privé nourri de conventions et accords collectifs de travail mais aussi d’engagements unilatéraux, d’usages et d’accords atypiques. L'application de ces normes, quelque fois leur survie, suscitent de nombreuses interrogations au fil des modifications apportées à la situation juridique de l’employeur, singulièrement de celles résultant du transfert de l’entreprise. Comment articuler les normes en concours ? Comment forger un corpus normatif unifié ? Les règles successivement posées par le législateur sont soumises à la double épreuve de la pratique professionnelle et, dès lors qu'éclate un contentieux, de l'interprétation du juge. Contraintes et incohérences sont dans certains cas de nature à neutraliser les effets attendus du transfert, voire d’y mettre obstacle. Des évolutions du corpus normatif seraient pertinentes afin que cessent les doutes (souvent) et les contradictions (parfois). / A private professional status, fed on collective agreements, unilateral commitments and business uses, spreads out over the firm. The fate of those collective standards arouses numerous issues over the modifications of the employer’s legal situation, especially in the case of a transfer of undertaking. How to articulate transferor’s collective standards with transferee’s ? How to build an harmonized professional status ? The legal rules are confronted with the firm’s practicals and the judge’s interpretations. Constraints and inconsistencies could neutralize the transfer’s expected impact. Legal improvements would be relevant to silence doubts and difficulties.

Depuis 1982, la négociation collective d’entreprise s’est fortement développée. La conclusion de conventions et accords adaptant les normes issues de niveaux supérieurs revêt une importance croissante. En atteste le rapport remis en septembre 2015 par le président de la section sociale du Conseil d’Etat au Premier ministre dont certaines propositions vont faire l’objet d’une rapide inscription dans la loi. Son objectif est de redynamiser la négociation collective et de permettre à ses acteurs de s’y investir davantage. Le rôle particulier ainsi confié à la négociation collective d’entreprise tient à la proximité qu’entretiennent les créateurs de la norme avec son application. Le cadre dans lequel ce régime a vocation à déployer ses effets n’est pas intangible. Sous un même vocable sont désignés plusieurs périmètres imbriqués au sein desquels différentes communautés de travail peuvent être identifiées. Toutes ne peuvent être un lieu de négociation. Celle-ci est parfois guidée par l’Etat qui "instrumentalise" les partenaires sociaux dans une logique d’action publique par l’intermédiaire d’incitations à traiter de certains thèmes, voire d’obligations. Concluding collective bargaining agreements and collective agreements adapting higher ranking regulations has become increasingly important, as illustrated by an impending bill of law based on a report written in September 2015 by the President of the Labor Law section of the Conseil d'Etat, and delivered to the Prime Minister. It aims at reinvigorateing company collective bargaining and allowing for an increased implication of the interested parties. Collective bargaining has a noteworthy role since the authors of the regulations are in direct contact with the implementation of the law. The outcome of this technique cannot be materialized within an intangible framework. Several notions are designated under a single denomination. Different working groups can be identified within each notion. Some of these groups cannot be considered as a proper forum for negotiating. Negotiation is sometimes guided by the State that tends to "intrumentalize"social partners to further some State policies. It achieves that through an encouragement or even an obligation to treat certain issues. As a tool used for implementing State policies, collective bargaining has been the breeding ground for the identification of common interests of working communities, that come to light whitin a framework that needs to be identified. This identification enables the parties to start the process of a collective bargaining fitting the company's situation within which the business contract applies.

La globalisation de l’économie a fortement contribué à la constitution de groupes de sociétés dans le cercle national et au-delà. La reconnaissance de l’accord collectif de groupe par le juge, puis par la loi du 4 mai 2004, a permis une adaptation partielle du droit du travail français à cette réalité. Instrument d’harmonisation des normes sociales en vigueur dans les diverses entités composant le groupe, il contribue à forger son identité. Même à ne considérer que les accords conclus dans le cadre national, maintes difficultés subsistent, qu’il s’agisse de la conclusion de l’accord (quel périmètre ? quelles parties ? quel contenu ?...) ou de son régime juridique (quelle force normative ? quelle portée ?...). Au-delà du cercle national, les accords de dimension transnationale emportent un lot d’interrogations plus vives encore, tant font défaut les éléments permettant d’en fixer, de manière sûre, le régime juridique. Des réponses doivent être proposées, dans le respect de la liberté et de l’autonomie des partenaires sociaux. / The globalisation of the economy has greatly contributed to the creation of groups of companies both nationally and internationally. The recognition of the group collective agreement by the judge, followed by the law of May 4th, 2004, has effected a partial adaption of French employment and labour law to its reality. In harmonising the employment standards and methodology enforced in the various entities composing the group, it has contributed to forging its identity. Even in considering only the agreements signed in France, many difficulties remain, whether about the conclusion of the agreement (scope? parties? content?) or its legal framework (enforcement and impact?). More so than strictly-national agreements, transnational ones give rise to complex questions, due to the difficulty in clearly defining their legal framework. Proposals herein are made in respect to the liberty and autonomy of the social partners.

La sovrapposizione fra disposizioni legislative e accordi contrattuali di vario livello caratterizza da sempre la disciplina del tempo di lavoro: la direttiva europea 1993/104 – poi sostituita dalla 2003/88 – autorizza infatti gli Stati membri ad attribuire alla contrattazione collettiva un’ampia capacità derogatoria rispetto alle regole minime introdotte nel medesimo testo normativo, riservando al contempo un ruolo di rilievo all’autonomia individuale. Nucleo centrale della ricerca è l’analisi – effettuata anche in modo comparativo alla luce della disciplina vigente in altri ordinamenti europei – del ruolo attribuito alla contrattazione collettiva e all’autonomia individuale dal d.lgs. n. 66/2003, allo scopo di verificare se il legislatore italiano, nel recepire la direttiva europea sull’orario di lavoro, abbia saputo raggiungere un equilibrio socialmente accettabile tra istanze di flessibilità e di competitività avanzate dalle imprese ed esigenze di stabilità dei lavoratori. / The overlap between law and collective bargaining of various level is typical of working time regulation: in fact, the European directive 1993/104 – replaced by 2003/88 – authorizes collective bargaining to introduce a lot of exceptions to the same normative text, reserving at the meantime a remarkable role to the individual autonomy. The analyses of the role attributed to the collective bargaining and the individual autonomy by legislative degree n. 66/2003 – effected in comparative way too – is the topic of the research; the purpose is to verify if the Italian legislator, implementing working time European directive, has reached an acceptable balance among appeals of flexibility and competitiveness advanced from the enterprises and employees’ demands for stability.

L’opera analizza i fenomeni di frammentazione del ciclo produttivo dal punto di vista delle relazioni collettive, ponendosi l’obiettivo di verificare l’efficacia degli strumenti contrattuali per “governare” tali processi. Si muove dall’ipotesi per cui sia opportuno valorizzare la contrattazione di secondo livello, stante i minori problemi di applicazione generalizzata e la maggiore sensibilità rispetto agli interessi coinvolti. La parte più rilevante dell’indagine ruota attorno al tema degli appalti, dalle clausole di divieto agli obblighi di informazione e consultazione, sino alle previsioni volte a garantire determinati trattamenti contrattuali o la continuità occupazionale ai lavoratori coinvolti; esperienze apprezzabili che richiedono, tuttavia, uno sviluppo a livello decentrato, anche territoriale o interaziendale. Ci si sofferma altresì sul trasferimento d’azienda, evidenziandosi il fondamentale compito della contrattazione decentrata nel cercare un bilanciamento tra competitività e protezione sociale, oltre che nel vigilare sulla genuinità delle operazioni realizzate. Si passa, poi, agli interventi in tema di somministrazione di lavoro, auspicandosi la realizzazione di un sistema di rappresentanza e contrattazione aziendale integrata, che coinvolga anche i lavoratori somministrati. Da ultimo si guarda al lavoro parasubordinato, con riferimento al quale la contrattazione collettiva è chiamata a sviluppare un sistema di sostegno e protezione che trascenda la tutela dei soli occupati. / The work analyses the outsourcing processes on the point of view of industrial relations, with the purpose to verify the effectiveness of the collective bargaining provisions to “manage” these processes. The dissertation moves from the assumption that the second-level agreements should be implemented, considering the applicability to all employees and the greater proximity to the interests concerned. The major part of the analysis revolves around the service contracts and the heterogeneous related provisions of the national collective labour agreements (such as the ban on outsourcing, the information to trade unions, the entitlement to certain treatments or to hold down the employment relationship), which should be developed by company or territorial level agreements. Then the dissertation focuses on the transfer of business, highlighting the role of the second-level bargaining, which could be able to find a compromise between competitiveness and social protection, as well as to control the compliance of the transactions. The work also considers the staff leasing contract, hoping for a system of collective representation and negotiation which includes the temporary workers. Finally, with reference to the so called “working project consulting agreements”, the author observes that the trade unions should give to the consultants a major collective protection.
