Contribuição ao estudo do contrato de licença de uso de marca / Contribution to the study of the trademark license agreement

O escopo da presente tese reside na análise do contrato de licença de uso de marca à luz da Lei 9.279/96 e do Código Civil de 2002, bem como os efeitos jurídicos daí decorrentes, sobretudo na ambiência do direito pátrio. Sinaliza, por igual, que o tema em questão carece de análise mais depurada em torno dos princípios e cláusulas gerais de direito contratual arraigados ao diploma civil em vigor, dada a sua complexidade e a ampla gama de institutos de Direito Civil e Comercial que encerra, além dos elementos econômicos indissociáveis da realidade jurídica que o permeia. São objetos do presente estudo as matérias que circunscrevem a órbita dos contatos de licença de uso de marca e que, portanto, são indispensáveis à compreensão e à análise crítica do instituto, para o qual se recorre ao Direito Estrangeiro e ao amplo exame da jurisprudência pátria. Na esteira dos objetivos da presente tese, fá-se, ainda, análise das evoluções legislativa, doutrinária e jurisprudencial dispensadas ao instrumento contratual em exame. São externalizados, por igual, debates acerca das novas tendências de tratamento do tema no Direito alienígena e no Brasil, sobretudo em relação à aplicação dos dispositivos consignados na Lei 9.279/96 e outros dispositivos normativos consignados no Código Civil vigente, em cujo diploma houve a unificação do direito obrigacional. A delimitação dos preceitos jurídicos aplicáveis aos contratos de licença de marca ainda remanesce pendente de assentamento no Brasil, em função da atipicidade desta figura contratual de direito industrial. Por fim, com respaldo no princípio da função social do contrato, apresenta-se recomendação no sentido de se reformatar redação de dispositivo normativo consignado na legislação marcária vigente, de tal sorte a harmonizá-lo ao princípio contratual em referência. / The scope of this thesis is the analysis of the Trademark License Agreement in the light of Law 9.279/96 (Brazilian Industrial Property Law) and the Civil Code of 2002, as well as the legal consequences arising therefrom, especially under the national legal system. This work equally indicates that the agreement under review requires further investigation on the principles and provisions of general contract law rooted in civil code in force, given its complexity and wide range of institutes of Civil and Commercial Law, as well as indissoluble economic elements of the legal reality which permeates it. The topics that limit the orbit of the Trademark License Agreement are objects of this study and are, therefore, essential for the understanding and critical analysis of the institute, for which we will also run over the international law and comparative jurisprudence. In the wake of the goals of the current thesis, it is intended to proceed with the examination of legislative, doctrinal and jurisprudential developments with regard to the juridical instrument under consideration. Debates concerning the new trends in treatment of the subject under the International and Brazilian Law are also mentioned, especially in relation to the application of the general principles of Contract Law and other regulations established by the current Civil Code, in which there was the amalgamation of the Obligation Law. The demarcation of the civil principles applicable to the Trademark License Agreements still remains pending consolidation in Brazil, due to the newly and still embryonic civil legislation, as may be largely understood from this study. Finally, in accordance with the social function principle, there is recommendation in order to rewrite an article set forth by the current trademark law, with the aim to harmonize the modified article with the afore said principle.

Esta dissertação tem por objetivo apresentar as licenças de software livre mais importantes, sob a luz dos seus principais aspectos jurídicos e da inter-compatibilidade, de forma a auxiliar pessoas envolvidas no desenvolvimento de software a compreender as implicações destas licenças ao fazer uso delas em seus projetos. A dissertação contextualiza as licenças, tanto no tocante à legislação brasileira, quanto no que diz respeito às restrições de licenciamento, de forma a viabilizar a análise de compatibilidade que se segue. Casos de projetos proeminentes de software livre cujo desenvolvimento foi afetado pelas implicações mencionadas ilustram a investigação, que é complementada por uma análise de ferramentas e metodologias existentes que auxiliam na gestão dos aspectos de licenciamento. / The purpose of this Master thesis is to present the most common free software licenses, regarding their main legal and inter-compatibility aspects, to help people involved in software development understand the implications of these licenses when using them in their projects. It contextualizes the licenses, both in terms of the Brazilian legislation, and regarding licensing restrictions, to make the subsequent compatibility analysis possible. Cases of free and open source software in which development was affected by the mentioned implications illustrate the research, and it is complemented by an analysis of existing tools and methodologies that assist in the management of licensing issues.

Interrogating the legitimacy to enter into a social licence in the mining industry in South Africa : a community perspective

Discussions about the significance of the social license phenomenon have been increasing over the last two decades, yet the trend has been to approach it from a company perspective. Over the same period, there have been increasing challenges in mine-community relations, and company interventions have not led to the desired outcomes. A credible process for achieving a social licence within a complex and historically sensitive context is currently not in place, which has perpetuated the feelings of dissatisfaction and has led to serious conflict between mining communities and companies. The literature revealed a lack of clarity on the role of the community in the process, necessitating an interrogation of the phenomenon from a community perspective. Legitimacy theory was used as the basis of the study. The multi-dimensional and dynamic nature of the study necessitated the use of qualitative methods and an inductive approach, based upon a case study within two South African mining communities. The results of the study demonstrated that communities are limited in influencing the social licence, and this highlighted the need to incorporate community specific legitimacy, which more closely reflects the reality within communities (their diversity, informality, broad representation, and dynamic nature). The lack of agreement (emanating from communities, government and industry) on legitimate community leadership significantly also impacts on the social licence process. Communities are unable to articulate their expectations to mining companies, and the requirements for a social licence are not being satisfied. The study also highlighted the deep and complex nature of discourse transition, and that mining companies must concentrate on understanding context and produce context-specific interventions. This research contributes by extending the theorisation of legitimacy, as it relates to the social licence, by adding the concept of community legitimacy and proposes a community leadership framework, to incorporate this aspect. A conceptual model, which integrates the context-specific nuances, is therefore proposed for sectors which are dependent upon achieving accord with stakeholders via a social contract, and are experiencing increasing complexity and social tensions relating to their operations. Fotbollsspelarnas upplevelser av agenter efter agentlicensens avreglering / Football players’ experiences of agents after the deregulation of the agent license

The purpose of this study has been to investigate how the deregulation of the agent license has affected football players' experiences of agents in general, the trust in agents and the experience of the agents' competence and professionalism. To gain an understanding of the football players' experiences, the Rational Choice theory was chosen, where the Principal Agent theory was used to explain the results of the study. Previous research that dealt with competence and professionalism in the agent industry, trust and confidence between the player-agent and research on the deregulation of the agent license and the agent regulations were also used to explain the football players' experiences.  To investigate the football players' experiences, semi-structured interviews were conducted with six professional football players who were active in either Allsvenskan, Superettan or in foreign professional leagues by the 2020 season at the latest. Five of the interviews were conducted on Zoom and one through a physical meeting where the recording was performed in the mobile application AVR X. The study shows that the interviewees perceive the agents who were licensed before the deregulation of the agent license and the agent regulations as more professional and competent than agents or intermediaries who became active after the deregulation.  The interviewees who have had agents for longer periods experience greater trust and confidence in agents in general than players who have had longer periods without agents. The study also shows that these players to a greater extent perceive agents as competent enough to trust them to handle their negotiations with clubs and sponsors. On the other hand, most of the interviewed players are negative in regards of signing contracts with agents. The study showed an interesting aspect regarding external influence on the interviewed players' opinions about agents, namely that although they can be influenced by the sports director's opinions but mainly because negative publicity of the agent can lead to bad relationship with the employer and possibly affect the player's career. The interviewed players can be influenced by other players' opinions about the agent, but in the end, their own opinion and relationship with the agent is most important. Media is the external factor that affects the interviewed players' opinions about agents the least.    Key words: deregulation of the agent license, trust, competence, professionalism. / Syftet i denna studie har varit att undersöka hur avregleringen av agentlicensen har påverkat fotbollsspelares upplevelser av agenter överlag, förtroendet till agenter samt upplevelsen av agenternas kompetens och professionalitet. För att få förståelse av fotbollsspelarnas upplevelser valdes Rational Choice teorin där Principal-agent teorin användes för att förklara studiens resultat. Tidigare forskning som behandlade kompetens och professionalitet i agentbranschen, förtroende och tillit mellan spelaren-agenten samt forskning om agentlicensens och agentreglementets avreglering användes också för att förklara fotbollsspelarnas upplevelser.  För att undersöka fotbollsspelarnas upplevelser utfördes semistrukturerade intervjuer med sex professionella fotbollsspelare som var senast säsongen 2020 aktiva i antingen Allsvenskan, Superettan eller i utländska professionella ligor. Fem av intervjuerna utfördes på Zoom och en genom en fysisk träff där inspelningen utfördes i mobilapplikationen AVR X.   Studien visar att intervjupersonerna upplever agenterna som var licensierade innan agentlicensens och agentreglementets avreglering som mer professionella och kompetenta än agenter eller förmedlare som blev aktiva efter avregleringen.  Intervjuade spelare som har haft agenter längre perioder upplever större förtroende och tillit för agenter överlag än intervjuade spelare som har längre perioder valt att vara utan agenter. Studien visar även att dessa spelare i större utsträckning upplever agenter som tillräckligt kompetenta för att lita på dem att sköta deras förhandlingar med klubbar och sponsorer. Å andra sidan är majoriteten av de intervjuade spelarna negativa till att skriva avtal med agenter.  Undersökningen visade en intressant aspekt gällande yttre påverkan på de intervjuade spelarnas åsikter om agenter, nämligen att visserligen kan de påverkas av sportchefens åsikter men främst på grund av att negativ publicitet av agenten kan leda till dålig relation till arbetsgivaren och eventuellt påverka spelarens karriär. Intervjupersonerna kan påverkas av andra spelarnas åsikter om agenten, men i slutändan är den egna åsikten och relationen till agenten viktigast. Media är den yttre faktorn som påverkar de intervjuade spelarnas åsikter om agenter minst.  Nyckelbegrepp: avreglering av agentlicensen, förtroende, kompetens, professionalitet.

Transportsektorn står för en markant andel av världens koldioxidutsläpp samt att sektorn tillför risker i trafiken. För att adressera dessa problem har hållbarhet blivit allt viktigare inom sektorn. Transportsektorn är även präglad av hård konkurrens och därför blir det avgörande för transportleverantörer att kunna utforma och erbjuda ett attraktivt värdeerbjudande till sina kunder. Ett sätt att göra det på är att integrera hållbarhet i värdeerbjudandet. Det finns begränsad forskning och exempel på praktiska implementeringar där ett hållbart värdeerbjudande undersöks från kundens perspektiv inom transportsektorn. Denna studie syftar därför till att med en explorativ ansats förstå hur transportbolag ska integrera hållbarhet i värdeerbjudandet för att öka kundvärdet. Genom att undersöka hur hållbarhet kan integreras i företagets erbjudande, varumärke och Social License to Operate (SLO) för att öka sitt kundvärde. Metoden för studien har bestått av ett kvalitativt tillvägagångssätt och utförs som en fallstudie hos ett åkeri, där datan har samlats genom att utföra semistrukturerade intervjuer. Totalt har tio respondenter delat med sig av sina tankar och erfarenheter om hållbara transporter. Data från intervjuerna analyserades sedan med en tematisk analys för att identifiera det presenterade resultatet. Resultatet från studien visar att det fanns en stor prioritering på hållbarhet av alla faktorer som undersöktes. Utöver detta visar också resultatet att transportleverantörer bör fokusera sina resurser på ett hållbart erbjudande och att upprätthålla sin SLO för att erhålla konkurrensfördelar. Studiens resultat bidrar till en ökad förståelse om hur ett hållbart värdeerbjudande ska utformas av transportleverantörer för att skapa ett konkurrenskraftigt kundvärde.

The main purpose of this thesis is to provide an overview of the contractual copyright law, mainly focused on the copyright license agreement. The thesis consists of seven chapters. The first chapter describes sources of the contractual copyright law. It consists of four parts which introduce elemental international sources, European Union law, constitutional regulations and primary and secondary legislation. This report is being conducted in collaboration with Koenigsegg Automotive AB, a company founded in 1994 that manufactures mega cars. This study aims to design a license plate holder for their new car Jesko that comes in two models, Absolut and Track. The license plate holder is to be adapted to a specific country and their regulatory framework. The project also involves selecting materials and manufacturing processes in consultation with the industrial partner. The work has been divided into different stages, calculations, CAD modeling, analysis, and selection of materials and manufacturing processes. The CAD modeling is performed using Catia V5, while the analyses are conducted using SimSolid. The methodology used in this project is inspired by the method outlined in the book "Product Design and Development" by Karl T. Ulrich, Steven D. Eppinger, and Maria C. Yang. The method consists of six main steps: planning, research, customer needs, concept generation, concept selection, and detailed design. The result chose six different concepts being developed, analyzed, and compared. After identifying the most suitable concept, it is presented with a detailed product description of its design, materials, and manufacturing methods. Camera Based Deep Learning Algorithms with Transfer Learning in Object Perception

The perception system is the key for autonomous vehicles to sense and understand the surrounding environment. As the cheapest and most mature sensor, monocular cameras create a rich and accurate visual representation of the world. The objective of this thesis is to investigate if camera-based deep learning models with transfer learning technique can achieve 2D object detection, License Plate Detection and Recognition (LPDR), and highway lane detection in real time. The You Only Look Once version 3 (YOLOv3) algorithm with and without transfer learning is applied on the Karlsruhe Institute of Technology and Toyota Technological Institute (KITTI) dataset for cars, cyclists, and pedestrians detection. This application shows that objects could be detected in real time and the transfer learning boosts the detection performance. The Convolutional Recurrent Neural Network (CRNN) algorithm with a pre-trained model is applied on multiple License Plate (LP) datasets for real-time LP recognition. The optimized model is then used to recognize Ontario LPs and achieves high accuracy. The Efficient Residual Factorized ConvNet (ERFNet) algorithm with transfer learning and a cubic spline model are modified and implemented on the TuSimple dataset for lane segmentation and interpolation.
