The Right to Food and Negative Duties: The urgency of an alternative approach toward hunger amidst an overbearing institutional order

Hunger currently plagues over one billion people around the world, leaving mainly women, children and rural communities in post-colonial developing countries unable to obtain their most basic need for nutrition. The fundamental human right to food is found to be a complex human right involving a combination of both positive and negative duties by states and international institutions in order for its guarantee. Hunger is not only remediable but is highly preventable. Main causal factors of hunger are outlined, with a focus on Thomas Pogge’s claim that coercive international institutions are largely responsible for world poverty. In this way, global institutions are responsible not to cause harm in their economic policies and unfair trade rules in order for individuals to obtain economic access to food and thus remedy their hunger.

Lärare i utökad utbildning i Sverige arbetar inte bara i utökad utbildning utan även under skoltid och i verksamhet mellan skola och utökad utbildning. Därför har lärare på utökad utbildning ett komplext uppdrag. Studier visar att lärare, både nationellt och internationellt, upplever psykiska problem. Det är dock få studier som har undersökt lärares olika arbetsuppgifter och psykiska hälsa, särskilt hos lärare som arbetar inom utökad utbildning. I den här texten använder vi en undersökning för att utforska lärares upplevda psykiska hälsa i relation till deras arbetsuppgifter under skoltid, utökad utbildning och de aktiviteter de ägnar sig åt. Vi använder modellen Job demand-control-support för att tolka respondenterna ' svar i undersökningen för att visa att lärare generellt ser sin psykiska hälsa som hälsosam när det gäller deras arbete under skoltid, utökad utbildning och aktiviteter som kopplar samman skola och utökad utbildning. Däremot ser lärarna sin hälsa som något mer hälsosam under utökad utbildning än under skoltid och aktiviteterna däremellan. Våra resultat visar också att lärares arbetsuppgifter är varierande och olika lärare har olika arbetsuppgifter, vilket bidrar till deras yrkes komplexitet.

Company health care services Abstract The thesis is focused on the company health care services and its legal regulation. It aims to describe and analyse particular duties of an employer, an employee and a company health care services provider, hence the subjects which are of an imminent closeness to the company health services issues. The thesis is composed of five chapters. The first chapter is dedicated to the legislation, as the primary law source in the Czech Republic and further to the European and international law. The chapter also comprises basic definition of the term company health care services and its position in relation to the occupational medicine. Second chapter draws attention to the subjects, whose duties the thesis deals with, including their part in the labour law system. They are the company healthcare services provider, the employer, and the employee. Furthermore, the chapter reflects the exceptions based on the agency employment, providing the company health care services by employee's registering health care provider, and providing the health care services by employer's own staff. Pirmajame darbo skyriuje analizuojamas vaikas ir šeima, kaip baudžiamojo įstatymo saugomos vertybės. Pateikiama vaiko ir šeimos samprata pasirinktų nusikalstamų veikų atžvilgiu. Antrajame darbo skyriuje analizuojamos dvi XXIII skyriaus veikos, - piktnaudžiavimas tėvų, globėjo ar rūpintojo arba kitų teisėtų vaiko atstovų teisėmis ar pareigomis (BK 163 str.), ir vengimas išlaikyti vaiką (BK 164 str.). Skyriuje nagrinėjami pasirinktų nusikalstamų veikų sudėties požymiai, pateikiami kvalifikavimo probleminiai momentai, teisingos kvalifikacijos siūlymai. Naudojami teismų praktikos pavyzdžiai bei aptariamos problemos, su kuriomis susiduriama kvalifikuojant veikas teismuose. / This Master’s Thesis solely analyzes two types of legal criminal acts chosen by the author. The examined criminal acts are as follow: The Abuse of the Rights and Obligations of Parents, Guardian or Any Other Legal Representative of a Child (LR BK 163 str.) and Child Support Evasion (LR BK 164 str.). The Master’s thesis presents the analysis of child and family protection ensured by legal criminal acts. It also provides the concept of the child and family according to the chosen criminal acts. Thus the main Children’s Rights and Fundamental Freedoms as well as violation of them are taken into consideration as the main cause of Article incrimination. The paper analyzes in depth the constituent elements of chosen criminal acts as well as enlists problematic points of qualification and suggests right legal qualification. This thesis is based on examples of case law and the results of the research done by the author.

Community leadership in a new democracy

The concept of community leadership as a field of study has attracted the attention of researchers for many years across the globe. The role of municipality councils is of great importance as an aspect of democratic governance. Councils have a significant role to play as partners to the central government in providing community services. This research attempts to explore community leadership in a new democracy focusing on the relationship between community members, community leadership and government organisations compared to the same of established democracies. The specific focus of the research investigation is community leaders and community members in the Kingdom of Bahrain as a new democracy. This thesis is an investigation of the success factors and barriers that influence the performance of municipal councils' members as community leaders. It also investigates how community leaders have practiced their roles and duties and assesses their performance and characteristics in new democracy compared to those of established democracies as exemplified in the UK, Canada, Australia, and the Philippines. The research objectives are: (1) to identify success factors that influence community leadership performance in a new democracy as perceived by community leaders; (2) to identify barriers that hinder community leadership performance in a new democracy as perceived by community leaders; (3) to identify the roles and duties practiced by community leadership in new democracies as perceived by community leaders and community members; (4) to assess community leadership performance in new democracy as perceived by community members; and (5) to identify characteristics practiced by community leadership in a new democracy as perceived by community members. Three sequential pilot studies were undertaken to gain better feedback from respondents and to build a strong foundation for the main survey. Two sets of questionnaires were developed for this study; the first set of questionnaires dealt with community leaders in new democracies, where they evaluated the success factors, barriers and roles and duties practiced by community leadership in established democracies. The second set of questionnaires dealt with community members in a new democracy, where they evaluated their community leaders through roles and duties, performances and characteristics practiced by community leadership in established democracies. The findings showed that municipal councils‘ members agreed on the importance of success factors and barriers that influence communities in established democracies and they were very positive about their own perceptions of their roles and duties in municipality work. On the other hand community members were negative about their own perception of their municipal leaders‘ roles and duties, performance and characteristics. The results also revealed an absence of clear demarcations of roles between government agencies and councils, and disproportionate demarcation of the constituents. The respondents agreed that awareness programs could be an important undertaking to improve and enhance the effectiveness of council leaders. This study may contribute to the literature by filling the gap related to success factors and barriers that influence community leadership performance in new democracies, focusing on problems facing community leadership and the solutions to overcome these problems. Furthermore, the governments of new democracies can use the empirical evidence to create and adopt new laws, policies and regulations that will redound to community improvement services, leadership enhancement and goal achievement.

Le devoir fiduciaire d'agir dans le meilleur intérêt de la compagnie insolvable: comment concilier les intérêts de l'actionnaire et du créancier?

Le présent mémoire analyse l'impact du contexte d'insolvabilité sur le devoir fiduciaire d'agir dans le meilleur intérêt de la compagnie, devoir imposer aux administrateurs de compagnies par la législation corporative canadienne. L'objectif du mémoire est de déterminer un standard de conduite à être adopté par l'administrateur d'une compagnie insolvable en vue de répondre à ce devoir fiduciaire. Dans un premier temps, comment peut-on définir ce que constitue le « meilleur intérêt de la compagnie» ? L'auteur en vient à la conclusion que l'intérêt de la compagnie est au carrefour d'une communauté d'intérêts lui étant sous-jacents. L'intérêt de la compagnie, bien qu'indépendant de ces intérêts sous-jacents, ne peut s'analyser en faisant abstraction de ces derniers. La jurisprudence et la doctrine récentes laissent entrevoir que l'impact du contexte d'insolvabilité se fait sentir sur la détermination de ces intérêts sous-jacents à celui de la compagnie susceptibles d'être affectés par la finalité poursuivie par la compagnie, finalité axée sur la maximisation des profits à partir des opérations de l'entreprise exploitée par la compagnie. Dans un contexte d'insolvabilité, le créancier, à l'instar de l'actionnaire dans un contexte de solvabilité, supporte le risque commercial résiduel et doit recevoir une attention appropriée par les administrateurs. Par conséquent, dans la détermination de ce que constitue le meilleur intérêt de la compagnie, l'administrateur ne peut, lorsque la compagnie est insolvable, faire abstraction de l'intérêt des créanciers. Ainsi, dans un deuxième temps, qui sont les véritables bénéficiaires du devoir fiduciaire d'agir dans le meilleur intérêt de la compagnie dans un contexte d'insolvabilité? L'auteur en vient à la conclusion que le créancier est un bénéficiaire indirect de ce devoir fiduciaire lorsque la compagnie est insolvable. Tout comme l'actionnaire dans un contexte de solvabilité, le créancier doit être en mesure d'intenter un recours de nature dérivée en vue d'obtenir réparation, pour et au nom de la compagnie. Le contexte d'insolvabilité fait naître, à l'endroit des administrateurs, une obligation de nature fiduciaire de prendre en considération l'intérêt des créanciers tout en permettant à ces derniers d'intenter un tel recours dérivé en vue d'obtenir réparation à la suite d'une violation du devoir fiduciaire d'agir dans le meilleur intérêt de la compagnie. En plus d'être soutenue par une revue de la législation, de la jurisprudence et de la doctrine canadiennes, cette conclusion s'appuie sur une revue de la législation, de la jurisprudence et de la doctrine de certains pays du Commonwealth (Angleterre, Australie et Nouvelle-Zélande) et des États-Unis, juridictions avec lesquelles le Canada entretient des relations privilégiés, historiquement ou économiquement. Finalement, que doit faire l'administrateur d'une compagnie insolvable en vue de répondre à ce devoir fiduciaire d'agir dans le meilleur intérêt de la compagnie? L'auteur arrive à la conclusion que cette obligation de prendre en considération l'intérêt du créancier dans un contexte d'insolvabilité se traduit par un exercice de conciliation entre les intérêts du créancier et ceux des actionnaires. Les paramètres de cet exercice de conciliation sont déterminés en fonction du scénario envisagé par les administrateurs face à la situation d'insolvabilité. Plus le scénario se rapproche d'une liquidation plus ou moins formelle des actifs tangibles et facilement dissociables de la compagnie, moins cet exercice en sera un de conciliation et plus l'intérêt du créancier devra recevoir une attention prépondérante. À l'opposé, plus le scénario en est un de restructuration fondée sur une relance de l'entreprise exploitée par la compagnie insolvable, plus l'intérêt de l'actionnaire devra recevoir une attention particulière. / The following thesis analyses the impact of a company's insolvency on the fiduciary duties of its directors and officers, as imposed by Canadian corporate law. More specifically it shall examine the repercussions of an insolvency on management's fiduciary duty to act in accordance with the company's best interests. The objective shall therefore be to assess the extent of such fiduciary duty in the context of an insolvency and to establish a guideline to be followed by directors and officers in view of complying with said duty. Firstly, what constitutes the "best interests of the company"? The author concludes that a company's interests are comprised of a community of underlying interests. Although the interests of the company remain independent, it cannot be determined without taking into account said underlying interests. Amongst this community of underlying interests, shareholders and creditors, members of such community that supports the financing of the company's operations, occupy a predominant place. Recent case law and doctrinal authorities have concluded that the impact of a company's insolvency does not affect the ultimate objective pursued by the company, i.e. the maximisation of profit, but rather affects the determination of the members of the community of underlying interests that shall be affected by the pursuit of such finality. As such, in a context of insolvency, creditors, similar to shareholders in a context of solvency, are the residual risk-bearers of the company's commercial expenditure. Consequently, in view of determining what constitutes the best interests of the company, when it is insolvent, directors and officers may not ignore the creditors' interests. Secondly, who are the real beneficiaries of the fiduciary duty to act in a company's best interests when it becomes insolvent? The author concludes that creditors are indirect beneficiaries of such fiduciary duty in a context of insolvency. Similarly to shareholders in a context of solvency, creditors must be entitled to institute a derivative claim against directors and officers in order to obtain, in the name and for the company, compensation for the violation of said fiduciary duty. Insolvency triggers the existence of an obligation, fiduciary in nature, to take into account the creditors' interests. As such, directors and officers are to consider the creditors' interests in exercising their fiduciary duty to act in strict compliance with the best interests of the company. This conclusion is based on a review of the Canadian statutory law, jurisprudence and doctrinal authorities. Furthermore, this conclusion is supported by a review of same from certain Commonwealth jurisdictions (England, Australia and New-Zealand) and from the United States of America, jurisdictions with whom Canada has a privileged relationship, historically and/or economically. Finally, how does the obligation to take into account the creditors' interests translate in practice for directors and officers of an insolvent company? The author concludes that the obligation to take into account the creditors' interests is, in reality, an obligation to reconcile the shareholders' and creditors' interests with that of the company's best interests. The parameters of such obligation shall be determined with respect to the scenario conceived by directors and officers in order to effectively manage a situation of insolvency. Should such scenario focus on the liquidation of the core assets of the company, then the interests of the shareholders shall be subjugated to that of the creditors'. Conversely, should such scenario focus on the reorganisation of the company's commercial expenditures, based on the company's existing structures, then the shareholder's interest shall receive a more extensive attention by directors and officers.

Formation of a contract is nowadays more sophisticated than it formerly used to be due to major progress in communication technologies and technical development, and therefore, looking on negotiation process only through the notions of offer and acceptance alone appears to be somewhat insufficient. It is not unusual and infrequent that long term and complicated dealings take place prior to the conclusion of a contract, especially in more or less complex business matters. During various negotiation stages, many parties may incur different kinds of significant expenses in order to prepare well for the next phase of the negotiations and, eventually, for the targeted contractual performance. For the conclusion of a contract it may also be necessary to inform the other party about the terms and conditions which are essential for the first party's final decision about the contract, while some of this information might be considered as strictly confidential. Completion of work and rights and duties resulting from defective work This thesis focuses on the analysis and description of selected aspects of a contract for work which are completion of work and rights and duties resulting from defective work. The selected aspects are dealt with in this thesis according to their regulation after the recodification of civil law in Act no. 89/2012 Coll., the Civil Code. This new legislation is analyzed and at the same time compared with the legislation from which it partly arose and that was abolished by the Civil Code, i.e. Act no. 40/1964 Coll., the Civil Code, as amended, and Act no. 513/1991 Coll., the Commercial Code, as amended. The goal of this thesis is to analyze the current legal regulation of the selected aspects of a contract for work and compare it with the previous legislation, then to briefly summarize some conclusions drawn from existing case law in this area, consider comprehensibility and applicability of the new legislation in question, make some recommendations to parties concluding a contract for work and submit several proposals for a modification of the legislation de lege ferenda.
