The growth of international commerce has made the governments improve the price control over sales and purchase of goods, services and rights of multinational companies in different fiscal areas. The fiscal authorities seek to avoid losing fiscal income when the profit is transferred between multinational companies and these companies seek to decrease their tax load. OECD (Organization For Economic Co-Operation And Development), that brings together the thirty most industrialized open market economies, released between 1995 to 1997 guidelines about transfer pricing according to Arm s length principle and recommended the adherence of the signing countries. Brazil is not a participant of OECD, but, following the globalization trend of the economy, it issued the Law 9.430/96 about transfer pricing control. Transfer pricing control is so important and complex for the fiscal authorities as it is for tax managers of multinational companies. The importance and complexity of the transfer pricing control is stressed when it is applied to import of the Brazilian pharmaceutical companies that operate in the market under economical regulation. The regulating authorities intervene in the Brazilian pharmaceutical market because they seek socially desirable results, controlling the selling prices of medicines. The goal of this dissertation is to show whether the current transfer pricing methods are the most adequate in the present economic regulation of the pharmaceutical market. Therefore, we consider simulated imports of pharmaceutical products in the price controlled environments in the scenarios: according to Arm s Length principle, controlled and non-controlled selling prices, international raw material and supplies upgrading of prices, changes in the place of the productive process and exchange rate. This study shows the results of the multinational company operation can be overloaded because of tax upgrades using the transfer pricing methods when importing pharmaceutical products. Several litigations have happened between pharmaceutical segment taxpayers and fiscal authorities related to the current rules of transfer pricing. Facing the present regulating levels in the Brazilian pharmaceutical market, we emphasize that Advance Pricing Agreements can turn out to be a proper alternative to minimize these conflicts / Preços de transferência das transações internacionais resultam do fenômeno da globalização. A intensificação do comércio internacional tem levado os governos ao aprimoramento do controle de preços das transações de compra e venda de bens, serviços e direitos, das empresas multinacionais vinculadas que ocorrem em diferentes jurisdições tributárias. As autoridades fiscais buscam evitar perdas de receitas tributárias pela transferência de resultado entre as empresas multinacionais que procuram reduzir a carga tributária. A OCDE, Organização para Cooperação e Desenvolvimento Econômico, que congrega os trinta países mais industrializados da economia de mercado aberto, divulgou entre 1995 e 1997 diretrizes sobre preços de transferência, os quais são elaboradas mediante o princípio da neutralidade e as recomenda aos países signatários. O Brasil não participa da OCED, porém, inserido na globalização das economias, editou a Lei 9.430/96 sobre o controle de preços de transferência nas transações internacionais entre empresas vinculadas. O controle de preços de transferência se revela importante e complexo, tanto às autoridades fiscais quanto aos gestores tributários das empresas multinacionais. A importância e a complexidade do controle de preços de transferência se acentuam quando aplicado nas importações da indústria brasileira de medicamentos, que atua em mercado sob regulação econômica. As autoridades reguladoras intervêm no mercado farmacêutico, pois buscam atingir resultados socialmente desejáveis, pelo controle de preços de venda de medicamentos. O objetivo dessa dissertação é saber se os atuais métodos de preços de transferência são os mais adequados diante do atual nível de regulação econômica do mercado farmacêutico. São consideradas importações simuladas de produtos farmacêuticos revendidos no ambiente de controle de preços, nos cenários: segundo o princípio da neutralidade, preços de venda sob repressão de valor e sem repressão de valor, aumento dos preços internacionais de matérias-primas e insumos, alteração de local de processos produtivos e de variação cambial. Esse estudo mostra que o resultado das operações da empresa multinacional pode ser onerado por ajustes tributários decorrentes do uso dos métodos de preços de transferência na importação de produtos farmacêuticos revendidos em mercado sob regulação econômica. Diversos litígios têm ocorrido entre contribuintes do setor farmacêutico e autoridades fiscais quanto às normas de preços de transferência. It uses the centralized control, and the transference price of trucks, bus and engines is accomplished with the delivery value, base costs, factory price and final price of business units. The search for continuous development creates an environment to defy costs and prices with the internal transference price locally. In this context, the aim of this research was to evaluate the institutionalization of the transference price of the company. For this we used the single case study methodology. The model was based in the New Institucional Sociology ??? NIS, in the concepts of the institutionalization stages, in Tolbert and Zucker??s dimensions, in Seo and Creed ??s institutional contradictions (inefficience, unadaptable, incompatibility and interests mismatch), as well as in Guapo??s study (principles, business units and practices). The analyzes showed the transfer price system used in a single case study in a relevant and global organization that was developed in a normative way and presented very specific specificities. In addition, the low autonomy of the business units and the centralization of decisions regarding the artefact in the organization supported the cost system and the price system used for the decision and formation of the sales price in the organization. It can be concluded that the transference price is used in a integrated way, and according to the head office rules, in spite of the local adaptation with the annual meetings. The results show that it can be found in the objetification process, with the tendency of the semi-institutional stage to the total institutionalization one. Besides that, the medium institutional contradiction, and the theorization and low dissemination activities have kept the legitimacy and the maintenance of the artefact structure in the company. In this way, the activity of theorization and the institutional contradictions can contribute with the risk of the artefact not being able to sediment. / A organiza????o em estudo est?? h?? 60 anos no Brasil e 126 no mundo. O presente trabalho tem por objetivo analisar a teoria da igualdade tributária e sua aplicação em face da técnica das margens de lucro presumidas, como um dos elementos de cálculo dos preços de transferência, consoante previsto na Lei n. 9.430/96. Parte-se de um estudo analítico da isonomia tributária, esmiuçando-se seus elementos, natureza e dimensão normativa, para, posteriormente, passar-se à análise de sua influência sobre a arm’s legth theory e a técnica dos preços de transferência, em especial sobre a presunção das margens de lucro. Mediante esta perspectiva, busca-se averiguar a possibilidade ou não de flexibilização daquelas margens de lucratividade, de molde a desvendar se o contribuinte possui legitimidade de utilizar margens de lucro diversas daquelas predefinidas, a forma que poderá valer-se deste direito e respectivo momento. / This work aims to analyze the tax equality theory and its application in the face of the presumed profit margins technique, as one of the elements of the calculation of transfer pricing, according to law number 9.430/96. It starts with an analytical study of tax equality theory, scrutinizing its elements, nature and normative dimension, and subsequently moves to an analysis of its influence on the „arm‟s length‟ principle and the technique of transfer pricing, especially on the presumption of profit margins. With this perspective, it seeks to investigate the possibility of the relaxation of those profit margins, which could unravel if the taxpayer has the right to use different profit margins than those pre-defined, however the taxpayer can avail themselves of this right and when is the appropriate moment.

近年來企業或個人,透過移轉計價與關係人進行非常規交易之案例時 有所聞。或許其非常規交易之動機,並非為了規避稅負,而政府為了維護 自身管轄權之行使,或基於公平理念保障少數股權股東及債權人之權益, 勢必對藉由移轉計價進行非常規交易者有所規範。 目前國內對於關係 人間移轉計價問題之研究文獻,大多著重於關係人以非常規交易規避稅負 之型態剖析,及國內外涉及非常規交易調整方法之法令介紹。而關於移轉 計價之理論基礎與關係人之定義二項課題,皆未予以詳盡探討。而國外之 研究文獻,對於廠商間之移轉計價行為是否符合效率?往往多所爭議、並 無定論。此外部份文獻認為,廠商係在政府所允許之常規範圍內,來決定 其移轉價格之數額。但政府如何訂定常規價格?似乎並無文獻論及。故本 文擬由理論、實務及法令三方面,來探討關係人移轉計價之問題。

China - The new Corporate Income Tax Law and its effect on Transfer Pricing : and in particular the issue of documentation requirements

China has had a remarkable development since the late 1970s, when the Chinese government started opening up its internal market for the outside world. The Chinese legislation and the legal system itself have been developing rapidly to adapt to the new economic environment, however not without complications. Many uncertainties still remain. Under the old income tax regime, corporations on the Chinese market were taxed under two different systems, one for domestic enterprises and one for foreign invested enterprises and foreign enterprises. With the new Corporate Income Tax Law, these two systems were merged and new concepts introduced. The new income tax law includes important articles that affect the transfer pricing regime in China. The OECD’s transfer pricing regulations have served as a model when China first started to regulate their transfer pricing, there are consequently similarities between the two. Multinational corporations consider the issue of transfer pricing as the most important issue in their international taxation. It is important both from the aspect of being the most effective way to maximize the world profit of the corporation and also in the aspect that an adjustment due to inaccuracies in the corporation’s transfer prices can be expensive. The Chinese transfer pricing system is considered to be young in comparison with other jurisdictions, for example the United States. The Chinese government and its tax authorities have in recent years put a lot of effort in improving the transfer pricing system and its execution. Due to the amount of loss in tax revenue that is believed to be due to transfer pricing measures, the issue is considered to be of outmost importance. The requirement on transfer pricing documentation has been an important issue for MNCs on the Chinese market, especially now when there is an interest levy on adjustments made through an audit. Since the current regulation on documentation is still quite vague, it constitutes an uncertainty for both taxpayers and tax authorities. However, an issuing of a clearer regulation on documentation requirements have long been anticipated but not yet released, although clarifying measures have been taken through the Corporate Income Tax Law and newly issued circulars during 2007.

無形資產移轉訂價之研究-以成本分攤協議為中心 / A Study on Transfer Pricing of Intangible Assets: Focusing on Cost Sharing Arrangements

本研究旨在檢視我國無形資產移轉訂價之相關規定是否完備,並藉由外國立法例與案例之借鏡,據以針對未盡完備之處進行深入之探討,以作為我國未來制定或施行相關規範之參考。 首先,本研究以無形資產為範圍,對於主要國家與我國無形資產移轉訂價制度加以比較,以瞭解我國相關規定不足之處。研究結果發現,我國關於成本分攤協議之規定最為欠缺,因此本研究亦以上述之主要國家為參考對象,彙整與分析可參考之內容,擬具我國未來制定成本分攤協議相關規範之框架。經由本研究之整理,我國未來制定成本分攤協議相關規範所應著重之主要項目包括定義、應分攤之成本、合理預期收益、成本與收益之比率相符、參與者之異動與協議之終止、稅捐稽徵機關之調整、租稅待遇、協議內容以及稽徵行政等九大項目。 其次,借鑒相關案例之爭議與本研究之設想,本研究擬定我國未來制定或施行成本分攤協議之法規所可能面臨之問題或應考量之事項,分為稅務面、法制面與稽徵行政面,並據以提供相關建議。稅務面主要可分為分攤協議之成本、使用協議所開發之無形資產、成本分攤給付以及買進與買斷給付之稅務處理,法制面為應考量制定之法律位階與訂定內容之相關配套措施,稽徵行政面則須評估預審制度之效益、權責單位之規劃與其保密義務之限制、專責人員之專業素養與獨立性以及對於成本分攤協議進行技術輸出管制之重要性。 / This research examines whether the transfer pricing regulations of intangible assets in Taiwan are sufficient or not. It focuses on lack of regulations pertaining to cost sharing arrangements (CSA) in Taiwan. With the references to foreign legislations and cases, the research further discusses the legislation defects and provides suggestions for Taiwan’s legislatives as to enactment or enforcement of related regulations in the future. Specifically, this research locates the legislation deficiencies by comparing transfer pricing systems of intangible assets between major countries and Taiwan. Examples of such major countries are used as a framework of CSA regulations for Taiwan. This framework covers the following main items: definition of a CSA, intangible development costs (IDC), reasonably anticipated benefits (RAB), the consistency between IDC shares and RAB shares, changes in participants and the termination of CSAs, adjustments by tax administrations, tax treatment of CSAs, elements of a CSA, and administration of tax collection. Based on the above analysis and controversies of related cases, this research points out problems that may arise and issues that should be considered when CSA regulations are to be enacted or enforced in Taiwan. Such problems and issues can be separated into three aspects, namely, taxation, legal system, and administration of tax collection. The research concludes by offering suggestions on each aspect. For the taxation aspect, the tax treatment relating to certain conditions should be contemplated, including IDC shared by each participant in a CSA, exploiting the intangible assets developed by a CSA, cost sharing transaction payments (CST payments), and buy-in/buy-out payments. With regard to the aspect of legal system, the legal position and supplementary measures of CSA regulations should be taken into account. As to the aspect of administration of tax collection, many factors should be taken into consideration, such as assessing the feasibility and benefit of issuing a CSA advance ruling, determining the appropriate tax authorities in charge of CSAs, training and developing qualified tax officials to audit CSAs, and controlling the technologies export via CSAs.

跨國企業電子商務移轉訂價制度之探討 / The Research on Multinational Enterprises’ Transfer Pricing in Electronic Commerce Activities

本研究針對移轉訂價制度在電子商務環境中是否產生適用上的問題、以及是否產生新型態的交易模式來進行探討,以了解現行之移轉訂價規範是否仍適用於電子商務環境。本研究首先透過文獻分析法與比較分析法,將電子商務移轉訂價相關之文獻加以整理與分析,了解移轉訂價在電子商務環境中所可能產生的適用問題,並比較各國對電子商務移轉訂價之態度與作法;接著根據電子商務的特性,提出跨國企業可能的電子商務移轉訂價交易模式。而後採用深入訪談法,針對可能的適用問題與可能的交易模式作為訪談主題,邀請五位產、官、學界之代表進行訪談,以了解實務面的觀點與處理方式,並改善本研究所提出之交易模式。 / 依據文獻彙整及訪談結果顯示,移轉訂價制度在電子商務環境下,仍應適用與傳統商務一致之常規交易原則。針對受控交易進行功能與風險分析,以找出合適之可比較對象並選定最適之移轉訂價方法,來判斷受控交易是否符合常規交易原則。此外,對於電子商務移轉訂價所可能產生的問題,包含可比較對象之找尋、移轉訂價方法之選擇、價值創造中心之決定、租稅天堂的運用、電子商務特性之影響、以及交易軌跡消失之疑慮等方面,皆不至於重大影響移轉訂價制度的運作;電子商務僅係提供另一道交易媒介,使得交易變得更有效率,並未改變受控交易之經濟實質與交易本質。因此,移轉訂價規範不論在傳統商務或電子商務的環境中,皆可一體適用,不因電子商務的加入而須加以改善或修正。 / To know if the existing transfer pricing guideline could still apply to the environment of electronic commerce or not, this study aims to inquire into related issues of the transfer pricing under e-commerce activities, including whether it will bring any possible problems or result in new transaction models or not. First of all, documentary analysis and comparative analysis are applied to compile and analyze the literature related to transfer pricing in e-commerce. It helps to understand possible problems that will occur when applying it in e-commerce and to compare the different ideas and manners of practicing transfer pricing in e-commerce between certain countries. Also, probable transaction models will be proposed according to the characteristics of e-commerce. Secondly, in-depth interviews are used to probe into transfer pricing in e-commerce activities more thoroughly. Possible problems and transaction models of application are the main theme of interviews, and five representatives from the industrial circle, the government, and the academia are the major interviewees of the study. The purpose of in-depth interview is to figure out perspectives and actions of the practical aspect and to improve the transaction models proposed by the study. / According to the results of literature review and interviews, even in e-commerce conditions, the transfer pricing guideline can also apply to the arm’s length principle, the same as the traditional commerce does. As for the function and risk analysis of controlled transaction, which helps to figure out comparable uncontrolled transaction and to decide on the proper transfer pricing methodologies, it is applied to judge if controlled transaction could comply with the arm’s length principle. E-commerce provides another medium of exchange to make transactions more efficient without changing the financial essence and transaction quality. In a word, the transfer pricing guideline can both apply to traditional commerce and e-commerce conditions. It is not necessary to improve or adjust the transfer pricing guideline even when involving in the issue of e-commerce.

The Transfer Pricing Problem in a Service Firm : A Case Study on a Swedish Multinational Enterprise

The purpose of this study is to answer the research question of how a service company (ServiceCo) could achieve a transfer price of its services. This is of particular interest, due to the growth of service firms that have rapidly increased and surpassed the manufacturing firms, as well as the dominant logic shifting towards services. However, the problem with this field of study is that transfer pricing with regards to the service industry, is a rather unexplored phenomenon in which the guidelines and theories are mostly directed towards manufacturing firms. This study uses a single case study approach where ServiceCo’s organizational characteristics were analyzed in order to attain the information required to understand how ServiceCo could achieve a transfer price of its services. Furthermore, this study uses the Eccles (1983) MAP and the OECD Guidelines, as well as incorporating Porter’s (1985) value chain. This study assesses that ServiceCo, in its current state, uses a sub-optimal transfer pricing method of its services. Therefore, a change in the transfer pricing method was suggested to ServiceCo. Given the organizational characteristics of ServiceCo, the results led to the conclusion that ServiceCo could benefit from a residual analysis in the profit split method, in which an actual full cost plus mark-up compensation could be used on its routine functions, and the residual profit could be split between the entities based on the intangible assets employed, functions performed and the risks carried.
