Princip loajality v právu EU / The Principle of Loyalty in EU law

This PhD thesis seeks to establish a multi-layered definition of the principle of loyal cooperation in EU law in its current form. It focuses on four fundamental ways of describing this principle. The first one is a linguistic analysis of the term "principle of loyal cooperation" itself. The thesis looks at its equivalents in all official languages of the EU and applies various linguistic (etymology) and non-linguistic research tools and findings from the study of history, social psychology and philosophy to understand and delimit the principle of loyal cooperation in EU law. In a second step, the principle is examined at three separate levels. At the first level the situation and significance of the actors bound by loyalty is explored. At the second level the paper focuses on the differences between the principle of loyal cooperation, the way commitments are met in international public law, and the mechanisms of ensuring loyalty in countries with a federal structure. Lastly, the third level of analysis looks into the ways the principle of loyal cooperation and its operation vary according to the area of competence. Effective judicial protection and damages in EU law : the case for the deterrent effect

The aim of the thesis is to examine whether the prohibition of overcompensation in the Antitrust Damages Directive is compatible with the EU legal and normative framework. To this end, the analysis is carried out on two levels. First, the rationale for damages in the selected jurisdictions (England, France and Germany) and in the EU is examined to test the main underpinning justification for the prohibition of overcompensation in the Antitrust Damages Directive, i.e. the 'European legal tradition argument'. Second, the thesis addresses broader constitutional implications that underpin the debate on the desirability of the pursuit to prohibit overcompensation in the EU. These entail questions pertaining to the adoption of such measures and, thus, exploring whether the EU has the legitimacy to legislate and the related question of competence and the choice of the appropriate legal basis. The argument to be advanced in this thesis is that the aim of achieving a sufficient level of deterrence with awarding damages for EU competition law infringements stems from the very conceptual basis in which the right to damages is grounded - the principle of effective judicial protection and the principle of effectiveness. Thus, as the analysis reveals, the prohibition of overcompensation is inconsistent with the EU legal framework, since it has potential to jeopardise the deterrent or dissuasive function of antitrust damages actions. The prohibition of overcompensation has significantly contributed to the business-biased gist of the Directive, and thus to breaking the link between the rationale for the right to damages for EU competition law infringements, the legal basis and the content of the Directive. The thesis ultimately argues that the Directive's prohibition is incompatible with the principles of conferral, subsidiarity and proportionality, and to a considerable extent inconsistent with the EU's legal and normative framework.

Quebec’s Labor regime, due to its particular situation, is influenced by Common Law, aswell as by Civil Law, of French origin. Both systems have consecrated the fundamental right to collective negotiation, recognizedto all workers, by limiting State intervention regarding collective agreements. However,this protection does not restrain itself to ensure negotiation; this negotiation has tobe carried out respecting the principle of good faith. In the present article, the author introduces legal doctrine and jurisprudence from Canada and abroad, being able to affirm that Quebecker labor regime is founded upon the principle of good faith negotiation, as it’s established in Canada’s Constitution and their Labor Code. That affirmation, according to the author, will have an impact on the labor system and the content of collective agreements. / El régimen laboral quebequense, dada su situación particular, se ve influenciado tanto por el Common Law cuanto por el Derecho Civil de origen francés. Así, ambas corrientes han consagrado por igual el derecho de los trabajadores a la negociación colectiva, limitando la intervención estatal en lo que respecta a la firma de convenios colectivos. Sin embargo, la protección no se restringe a asegurar la negociación; ésta debe, además, llevarse a cabo siguiendo el principio de buena fe. En el presente artículo, el autor cita doctrina y jurisprudencia canadiense y extranjera parapoder afirmar que en el régimen laboral quebequense debe primar el mandato de negociación de buena fe, pues así lo consagra la Constitución y el Código de Trabajo. Esta afirmación impactará definitivamente el sistema laboral quebequense y el contenido de las convenciones colectivas.

O objetivo principal do texto é apontar alguns elementos para a construção de uma explicação para tal pulverização ¿ que também chamarei de atomização ou fragmentação sindical, e significa o incremento do número de entidades com diminuição do quantum médio de trabalhadores associados e representados. Houve alterações e continuidades na legislação concernente à organização sindical na Constituição de 1988, concentradas no seu artigo 8o. Como já apontaram alguns autores, o novo quadro normativo estimulou o crescimento do número de sindicatos, especialmente pela implicação entre ¿monopólio de representação¿ e garantia de contribuições compulsórias para as entidades. Porém, a literatura subestimou as modificações introduzidas pela Carta Política, que deixaram abertas novas possibilidades de organização dos sindicatos. Creio que, além das questões legais, algumas mudanças no chamado ¿mundo do trabalho¿ e a permanência (ou radicalização) de aspectos da cultura sindical brasileira são fatores chaves para explicar o aprofundamento da fragmentação da organização sindical do país. Toda a discussão tem como base empírica os dados da Pesquisa Sindical do IBGE (2003), que abrange o universo dos sindicatos brasileiros existentes ao final do ano de 2001, sendo complementados por números fornecidos pelo Ministério do Trabalho e Emprego até o ano de 2005 / Abstract: This dissertation discusses the further fragmentation of the trade union organization in Brazil after the promulgation of the Federal Constitution of 1988. The main objective of the text is pointing some elements for the construction of a former explanation for such fragmentation - which I also call as union atomization, and means increase in the number of entities with decrease in the average quantum of members and workers represented. There were continuities and changes in legislation concerning trade union in the Constitution of 1988, concentrated in its Article 8. As pointed out by some authors, the new regulatory framework stimulated growth in the number of unions, especially by implication between "monopoly of representation" and guarantee of compulsory contributions for the entities. However, the literature underestimated the changes, which left open new possibilities for union organization. I believe that, in addition to legal issues, some changes in the so-called "world of labor" and permanence (or radical) of aspects of Brazilian culture union are key factors to explain the further fragmentation of the union organization in the country. This thesis evaluates the regulation of credit institutions. Its aim is to answer the question of how the regulation of credit institutions evolved and how this development influenced current regulation. This thesis examines the potential of credit institution regulation to prevent further financial crises. At first the author deals with the development of the market of financial services and subsequently with the development of regulation of credit institutions. In the first part the author analyses the positive and negative aspects of each piece of legislation, reasons for their adoption, changes or their further use. This thesis deals particularly with capital adequacy requirements. It analyses their gradual development and reason for their amendments, especially in the context of the recent financial crisis. The author concludes that that current se-up of the credit institution regulation and its expected development puts too much emphasis in increasing of the capital adequacy requirements. The author sees this aspect especially in the directive on capital requirements from 2013 which presents new buffers that the credit institutions are required to hold and in the resolution directive from 2014 which adds new, yet similar requirements. The work is comprised of four separate chapters. The first chapter analysis the purpose and forms of protection of distinctive signs; the each of the remaining chapters examines the particular problems relating to different aspects of legal regulation of distinctive signs: the concept and the scope of protection of trade names; protection of distinctive signs according to unfair competition law; additional protection of distinctive signs having a reputation and conflicts between the different legal institutes in the area of protection of distinctive signs. The author of the work presents motivated suggestions regarding possible solutions to the legal problems identified in the rea of protection of distinctive signs.

Après 30 ans de réforme économique et juridique, la Chine a enfin adopté sa loi nationale en matière de concurrence: la Loi antimonopole du 30 août 2007, entrée en vigueur le 1er août 2008. Cette thèse porte sur l’effort que le Gouvernement chinois a consacré à réformer le droit de la concurrence pour établir et protéger son économie de marché socialiste afin de permettre aux entreprises nationales et étrangères de participer au jeu de la concurrence sur la base de principes d’égalité, de liberté et de transparence. Dans cette thèse, une étude comparée est menée selon deux dimensions : verticale et horizontale. Dans la dimension verticale, le droit chinois de la concurrence montre une continuité dans le temps de la culture juridique traditionnelle remontant à plus de 2000 ans, tandis qu’horizontalement, il se place dans le sillage du droit de la concurrence de l’Union européenne qui constitue une source inépuisable d’inspiration. La loi antimonopole de la Chine comprend notamment une interdiction des pratiques anticoncurrentielles (l’interdiction des ententes et celle de l’abus de position dominante), un contrôle des concentrations et des monopoles administratifs, des règles institutionnelles et des règles de la responsabilité juridique de l’infraction à la loi. Il est à noter que le périmètre de la réforme du droit de la concurrence en Chine ne se borne pas qu’au droit antitrust au sens propre, elle implique aussi le développement du droit contre la concurrence déloyale et l’évolution de la relation entre le droit de la concurrence et le droit de la propriété intellectuelle. / After 30 years of economic and legal reform, China finally enacted its competition law: the Anti-Monopoly Law of August 30, 2007 which came into force on August 1, 2008. This thesis reviews firstly China’s efforts to reform its legal system of competition in order to establish and to protect the socialist market economy, in which not only the national enterprises but also foreign commercial entities will be able to participate in the game of competition on the Chinese market on the basis of equality on legal status, of freedom to fix prices and of transparency in the market information in the Chinese substantive and procedural legal framework. Secondly, the comparative method used in this thesis touches upon two aspects: the vertical and the horizontal. (The vertical dimension is unfurled in the historical process whereby the Chinese legal system de la concurrence has demonstrated how it is influenced by its traditional legal culture of more than two thousand years, on one hand; and on the other hand, the horizontal comparative study makes it clear that the Chinese competition law follows in the wake of the European Union whose competition legal system is an inexhaustible resource of inspiration for the Chinese antimonopoly law. So, we focus our study on the contents of the Chinese antimonopoly law which include a merger control, the prohibition of anticompetitive practices (the cartel prohibition and the prohibition of abuses of dominance), and the control of anticompetitive behaviors of public authorities, the institutional rules and the rules of legal responsibility in the breach of law. However, the area of Chinese legal reform in the domain of competition is not confined to the antitrust law in its strict sense; it implicates also the enactment of the law for Countering Unfair Competition and the evolution of the relationship between the antitrust law and the intellectual property law. This constitutes our last focus of study.

Néanmoins, le droit international général n'est une source du droit de l'Union que si les conditions posées par le droit de l'Union lui-même sont vérifiées, le droit de l'Union posant un filtre à l'entrée du droit international général dans l'ordre juridique de l'Union. En tant que source formelle du droit de l'Union, le droit international général est l'objet d'une invocabilité devant la Cour de justice. Le droit international général, source du droit de l'Union, est un vecteur large d'interprétation et un vecteur limité de validité du droit de l'Union, son invocabilité connaissant des particularités au sein du système juridique de l'Union. / The European Union is a subject of international law and its externat relations are conducted within the framework of general international law. As a result, the European Union must comply with it, which necessarily have effects on its own legal order. The effects of general international law on European Union legal order depend, however, on the conditions set by the European Union law itself. lt makes a screening of general international law entering the European Union legal order so that it can become there a source of law. As a formal source of European Union law, general international law is invoked in the Court of Justice. lt is subject to a large interpretation scrutiny and a limited validity scrutiny by the Court of Justice, the justiciability of general international law having, therefore, a specific treatment.

L'accès aux réseaux de distribution publique d'électricité en France métropolitaine / The access to public distribution networks of electricity in continental France

L'évolution du marché intérieur de l'électricité en France suit la vague de libéralisation auxquelles un certain nombre de services publics ont été soumis notamment sous l'impulsion du droit de l’Union européenne. La production et la fourniture d'électricité à tous les clients ne constituent plus un monopole légal, les activités de production, de transport, de distribution et de fourniture d'électricité se doivent d'être désormais juridiquement séparées et un régulateur du marché indépendant de l'Etat d'être mis en place. Cependant, ces modifications structurelles intervenues dans le secteur de l'électricité n'ont eu qu'un impact relatif sur l'activité de distribution. Ainsi, celle-ci reste maintenue sous le monopole de l'opérateur historique Electricité Réseau de France et par dérogation des quelques entreprises locales de distribution. Or cette situation apparaît contestable au regard du droit de l’Union européenne, mais également de la théorie générale du droit des contrats administratifs français et il semble, dès lors, difficilement envisageable qu'elle puisse être maintenue en l'état. Se pose donc, avec acuité, la question de l'ouverture à la concurrence de la distribution publique d'énergie électrique et plus largement, celle de l'accès à ces réseaux de distribution.L’activité de distribution publique d’électricité ne peut être appréhendée sans tenir compte des activités exercées en amont et en aval. Les opérateurs des activités sur les marchés de la production et de la fourniture doivent avoir accès aux réseaux de distribution. Le système actuel, sous le contrôle du régulateur national, donne satisfaction et permet l’accès des tiers aux réseaux de distribution dans des conditions transparentes et non discriminatoires, notamment par le biais de mécanismes de péréquation. En outre, la gestion du réseau est assurée de manière cohérente à une maille suffisamment élargie permettant des économies d’échelle et garantissant le rôle des collectivités territoriales, autorités organisatrices de la distribution publique d’électricité.Enfin, une ouverture à la concurrence de l’activité aurait pour conséquence de complexifier le système, de multiplier les coûts afférents et ne présenterait que des impacts très limités en terme d’amélioration tarifaire. En tout état de cause, elle impliquerait une refonte du système mis en place. / The evolution of the internal electricity market in France is following the wave of liberalization at the instigation of the European Union law. However, the electricity distribution system is maintained under the monopoly of the national historical operators. Even if this situation seems questionable, the current system, under the control of the national regulator, is satisfactory, allows third parties to access to the distribution networks under transparent and non discriminatory conditions and assures tariff equalization essential to the balance between territories. In addition, the management of the electrical network is provided consistently at an appropriate scale allowing mutualisation of infrastructure costs and ensuring the role of local authorities. An opening to competition of the activity would result in a more complex system and would present only a very limited impact in tenns of better pricing. In any case, it would imply an overhaul of the established system.
