Komanditní společnost v českém právu / Limited Partnership in the Czech Law System

The thesis clarifies the operation of the limited partnership in the Czech law system. In particular, it explains the establishment, the operation and the expiration of the limited partnership. There are stated the basic characteristics of the limited partnership and there are described the differences between unlimited partner and limited partner. The establishment of the limited partnership from the limited liability company by the change of the legal form is explained on the concrete example. In conclusion, there is the explanation of the various manners of expirations.

Magister Legum - LLM / Over the past decade countries have embraced globalisation. The depth and influence of globalisation has grown significantly since the 19th century. Globalisation has accelerated mainly due to increased integration in trade with bilateral, regional and multilateral trade negotiations on the rise. Multinational companies have also enlarged which enable production to be done seamlessly in different countries, increase in capital flows such as purchase of assets and bonds has also contributed. Furthermore, the surge on technological innovations and advancement cannot be ignored when one speaks of globalisation this era has been dubbed the technological era additionally there is also the role of migration which enhances labor movements. The world has rapidly shrunk to one global economy. After the World War II countries began to move away from protectionism to liberalised trade and this resulted in the formation of the General Agreement on Tariffs and Trade (GATT) then the World Trade Organisation (WTO) which is comprised of 164-member states. The WTO regulates trade and promotes free trade. Over the years the organisation has been evolving to deal with issues such as climate and technical assistance. Global trade presents challenges which may give rise to the need for countries to protect their domestic industries for political and economic reasons.

Destination Branding : A Qualitative Case Study of Local Stakeholders’ Practices in Mombasa, Kenya

The tourism industry is today the most powerful driver of economic growth and development. Globalization plays a big role in diminishing traveling barriers across the globe, which has led to increased competition between destinations to identify themselves and delineate how they want to be perceived by tourists. In this case, developing a clear destination brand identity is paramount for success. Tourism destinations are complex; they are multidimensional and so are their consumer needs and stakeholders interests. The focal point of this research was on destination branding; it is crucial to have all the stakeholders on board. Consequently, a destination brand has to reflect the authentic identity of the destination hence differentiating it from its competitors. The purpose of the research was to explore stakeholders’ practices in destination branding, their attitude, experiences and expectations of branding Mombasa. The research was based on qualitative method where primary data was gathered through face to face interviews with the tourism stakeholders in Mombasa, and data collected was analysed using content analysis. The key findings include; lack of unity among stakeholders, Mombasa has not been branded, inadequate funds for branding Mombasa, and need for product diversification. The research concludes by suggesting step by step approach for branding the destination.

The aim of the diploma thesis is to explore the influence that smartphones have on personal (romantic) relationships. The thesis examines the influence of smartphones on private lives of partners. The first part of the thesis focuses on literature review presenting key studies that pursued similar topics as the research project. The research as such is described in the following chapters. The methodological basis of the project are in-depth interviews accompanied by questionnaire. The main part of the thesis is description of the research questions, the research sample, the process of analysis, and the interpretation of results of in-depth interviews and questionnaire. The achieved results were interpreted in the context of selected theoretical concepts. Mainly the concepts of Liquid modernity / Liquid love by Zygmunt Bauman and iDisorder by Larry Rosen were used. The aim of the thesis was to find out what kind of influence smartphones have on meeting a potential partner, on a consequent relationship, and also on a possible separation.

[pt] A crescente expansão das atividades sociais efetivadas pelas Organizações Não-Governamentais (ONGs) têm sido constante nas sociedades contemporâneas. Este modelo de intervenção social traz como pano de fundo a redefinição do papel do Estado, aliado ao predomínio da lógica mercadológica e suas conseqüências sociais. No Brasil, o cenário não é diferente, na medida em que o Estado legitima a ação dessas ONGs por meio do estabelecimento de parcerias que possibilitam que suas responsabilidades sejam desenvolvidas através da efetivação de ações sociais coordenadas pelas ONGs. Nesta dissertação buscou-se traçar o perfil das Organizações-Não-Governamentais localizadas na cidade de Manaus/AM, assim como dos profissionais de Serviço Social que atuam nessas organizações, com o objetivo de coletar dados que possibilitassem conhecer os desafios e possíveis limites impostos a esses profissionais. Neste sentido, foi feita uma pesquisa com as assistentes sociais que desenvolvem seu trabalho junto a ONGs que mantêm convênio com a Secretaria de Estado de Assistência Social do Amazonas. Para dar suporte teórico às propostas neste trabalho, foi realizado um levantamento bibliográfico e documental acerca do tema. Os resultados encontrados levam a concluir, ainda que preliminarmente, que o Serviço Social não ficou imune às mudanças societárias em curso, desde a década de 1990. Antes, sofre diretamente, seja nas requisições que lhes são direcionadas pelas mudanças na fatia do mercado de trabalho que lhe cabe, pelos impactos gerados pelas relações que se estabelecem entre Estado, mercado e sociedade, que vai se (re) construindo na atualidade. / [en] The increasing expansion of the social activities accomplished by the Not-Governmental Organizations has been a constant in the societies contemporaries, this model of social intervention brings as deep cloth of the redefinition of the paper of the State, social ally to the predominance of the marketing logic and its consequences. In Brazil the scene is not different, in the measure where the State legitimizes the action of these ONGs by means of the establishment of partnerships that they make possible that its responsibilities are repassed and thus developed through to take the effect of social actions co-ordinate by the ONGs. In this thesis the objective is to trace the profile of Organization-Not-Governmental of Manaus AM, as well as of the professionals of Social Service who act in these ONGs, in order analyzing the limits and the challenges taxes to these professionals. For in such a way, a research with the Social Assistants will be made who develop its work next to ONGs that they keep accord with the State secretary of Social Assistance of Amazon (Brazil). To give theoretical support to the constant reflections in this work, a bibliographical and documentary survey concerning the subject was carried through, object of this study. Thus, one concludes briefly that the Social Service was not immune to the society changes, but that it suffers directly, either in the solicitations that are directed to them, either for the changes in the slice of the work market that fits to it, the impacts generated for the relations that if establish between State, market and society, that goes if (reverse speed) constructing in the present time.

In this case study a partnership between a first-tier supplier and a focal company in a Supply Chain has been examined. The focal company has a function as a wholesaler in the mechanical industry. An issue with communication and obstructions in the information flow between the two partners had caused problems in the material flow, which encompasses late deliveries and problems with the distribution between both partners has been treated in this case. These observations have resulted in recommendations for how employees in the focal company can work proactively with these issues linked to the first-tier supplier. The suggestions include application of Vendor managed inventory VMI between the customer and supplier company, including introduction of Lean methods in the focal company's operational activities. This to implement standardized routines for cleaning with 5S and Kaizen, with the purpose to handle the problems with late deliveries and reduce the risks of intermediate storage outcome in the inventory. At last another proposal for supplementation of the supplier base is formed, regarding the specific product group of strategic items where an acquisition risk prevails. / I denna fallstudie har ett partnerskapsförhållande mellan en primärleverantör och en fokalfirma – med funktion som grossist inom maskinindustrin utvärderats. Problematik med kommunikation och bristande informationsflöde som förorsakat ett bristande materialflöde i form av sena leveranser i distributionen mellan parterna har behandlats. Dessa observationer har i senare led resulterat i rekommendationer och tillvägagångssätt för hur ansvariga i fokalfirman kan arbeta proaktivt kring detta och återkoppla till primärleverantören. Därefter har en rad förslag till förbättringsåtgärder framställts.Förslagen innefattar införande av VMI-styrning mellan kund- och leverantörsföretaget för att åstadkomma en starkare integration i informationsflödet mellan parterna. Detta i kombination med införande av Lean metoder i fokalfirmans operativa aktiviteter på lagret, för att introducera standardiserade rutiner kring städning med 5S och Kaizen-moral. På så sätt ska sena inleveranser på lagret effektivare kunna behandlas och risken för uppkomst av mellanlager på verkstadsgolv reduceras. Slutligen har ett ytterligare förslag tagits fram som en alternativ lösning och det är att uttöka leverantörsbasen. Genom uttökningen underbyggs anskaffningsrisken gällande en specifik produktgrupp med strategiska artiklar ur företagets produktsortiment.

Foi realizado um estudo de caso entre duas empresas de grande porte, que comercializam onze mil produtos e tem suas relações comerciais regidas por um contrato, do tipo take or pay, de longo prazo -dez anos-. Os dados necessários para análise desta parceria de fornecimento foram coletados com base em um levantamento de documentos e pesquisa de campo na empresa compradora. O retrato da aliança entre as duas empresas foi elaborado por meio da Abordagem Sistêmica, que permitiu revelar aspectos intra-empresa compradora capazes de interferir na aplicação do Modelo Balanced Sourcing -Laseter, 1998-. / [en] This investigation intends to search, under the purchaser point of view, a specific synergy aspect of purchaser- vendor relationship, to evaluate the Balanced Sourcing Model -Laseter, 1998- usage in long term partnership agreement. A business study between two large companies has been developed,which includes an eleven-thousand product trade covered by a take or pay long term contract -ten years-. The necessary data for such supply partnership study have been obtained based on document and field survey performed in the purchaser offices. The overall picture of such agreement between the two companies has been prepared by means of a Systems Approach, which allowed to identify inner-purchase company aspects that might be able to interpose in usage of the Balanced Sourcing Model -Laseter, 1998-.

Dès le CP - et jusqu’au CM2 - un écolier est susceptible de s’engager quotidiennement dans des tâches scolaires, une fois passé le temps de la classe. En étant réalisés au domicile familial dans la grande majorité des cas, les devoirs forment une catégorie de tâches scolaires dans lesquelles un élève s’engage seul ou sous la responsabilité potentielle d’autres personnes que son enseignant. Si chaque professeur justifie sa démarche pédagogique en fonction des projets qu’il s’est fixés, les directives du ministère de l’Education nationale établissent de manière claire les bénéfices que ces activités permettent d’atteindre : établir de bonnes relations et assurer une coopération de travail active entre l’école et les familles afin de contribuer à la réussite des élèves dans leurs apprentissages. En réalité, la concision de ces textes empêche les enseignants d’accéder à la connaissance d’un cadre de travail plus précis et plus structuré. En l’absence d’un tel référentiel, ni ces derniers, ni les parents d’élèves ne disposent d’une base solide d’informations sur laquelle s’appuyer pour développer cette pratique. Alors que certains chercheurs ont interrogé la pertinence de ces tâches au regard des avantages procurés sur les apprentissages scolaires de l’enfant, ceux auxquels nous appartenons se sont intéressés aux bénéfices auxquels pouvait mener la réalisation des devoirs sur le plan du partenariat école-famille. Les données empiriques rassemblées au cours d’une enquête exploratoire antérieure nous ont permis, dans un premier temps, de constater qu’elle pouvait autant être une source de stress, qu’un outil au service du partenariat éducatif. La recherche-action qui fut engagée dans un second temps nous permit ensuite d’étudier quatre variables distinctes (communication, feedback, outil et taxonomie) - dans quatre écoles d’une même circonscription - afin d’établir et d’évaluer un catalogue de pratiques enseignantes propres à encourager, maintenir et développer la participation des parents d’élèves dans l’aide qu’ils apportent à leur enfant au moment des devoirs. / During his primary school years and after class, a pupil may do daily school assignments. When done at home, this homework falls into a subgroup of assignments that involves the child only or other people than his teacher. As each primary school teacher gives reason for his educational approach, the Ministry of National Education guidelines have all the more well-defined the advantages of such school tasks, for it ensures a good and dynamic working relationship between school and families as an important factor of success in the learning process of pupils. However, those guidelines impede the teachers to better understand and enhance the studying environment of their pupils. If the teachers aren’t informed enough about such an environment, they will not be able to yield its full benefit. Even though some researchers have already questioned the relevance of homework in the light of the advantages they may bring to the child’s learning, we particularly focused on the valuable sides of a partnership between schools and families to facilitate homework. The empirical data we gathered for our exploratory study enabled us to notice that those school tasks may produce stress as well as it favours our educational partnership. The action-research we then started allowed us to study four different variable (communication, feedback, tool and taxonomy), in four schools in the same district, in order to establish and assess teaching methods that may support, maintain and extend the participation of parents when they help their children to do their homework.

Beyond adolescents : The study of sexual behaviour of middle-aged men in Nigeria

Studies on sexual behaviour in Nigeria have rather been lopsided largely focussing on adolescents while neglecting the older men. This may not be unconnected with the fact that the young people are often seen as being more sexually active than the older men. In this study, the patterns and the determinants of sexual behaviour of middle-aged men were investigated. This study is based on secondary data analysis of the 2003 Nigeria Demographic and Health Survey male dataset. Data collected from a sample of 633 men whose ages fall between 40 and 59 years in Nigeria were extracted and analysed to achieve the set objectives. The variables of interest were analysed by using relevant statistical techniques with the aid of SAS enterprise guide. Sexual behaviour was measured by three variables namely: current sexual activity, extra marital partnership and condom use. Also, three hypotheses were tested. The Health Belief Model (HBM) was the theoretical model used for this study. The study shows that a high proportion of men (71.2%) aged 40-59 years in Nigeria are sexually active. The study further reveals that about 12% of Nigerian middle-aged men engage in extramarital sex and 30% are in polygynous relationships (i.e. have multiple sex partners) while condom use is very low among them. Extramarital sex is more prevalent in the rural (7.05%) than urban (4.5%) areas. The study shows that the correlates of current sexual activity among the middle-aged men in Nigeria are education and religion while engagement in extramarital sexual activity is determined by ethnicity, age at first intercourse and knowledge of HIV/AIDS. Among the sexually active ones, condom use is influenced by ethnicity, marriage type and extramarital partnership. The sexual behaviour of middle-aged men in Nigeria follows the pattern described in the HBM. That is, individual, socio-economic and HIV/AIDS factors can influence the sexual behaviour of Middle-aged men. The study concludes that in addressing the problems associated with sexual and reproductive health of Nigerian, focus should also be extended to middle-aged men, instead of the narrow focus on only adolescents and youths. Further investigation, using multiple methods of data collection is also suggested.
